This indemnification shall include, but not be limited to, indemnification against Claims arising
in connection with actions or proceedings instituted by or on behalf of (i) an Obligor with respect
to any of the Loans, or (ii) any person prosecuting or defending any action or proceeding as a
representative of or on behalf of a class or other interest group, or (iii) any governmental
legal fees will be paid by the losing party. The failure of the Buyer to notify the Seller of such
Claim shall not relieve the Seller of any liability that the Seller may have with respect to such
Claim except to the extent the Seller demonstrates that the defense of such Claim is materially
prejudiced by such failure. The Buyer shall have the right to reject any settlement proposed by
the Seller in connection with Seller’s defense of such Claim; provided however, that if such
settlement is within the financial means of the Seller, without cost to the Buyer, includes a full
compromise or settlement of such Claim with counsel of its own choosing at the expense of the
Seller.
profits, incurred by the Buyer or any assignee of the Buyer in connection with any violation of
any representation or warranty of the repurchased Mortgage Loan by the Seller. It is understood
and agreed by the parties that the repurchase obligations hereunder are in addition to, and not in
lieu of, all other remedies available in this Agreement or by law. In the event of a demand for
repurchase, Buyer represents and warrants that no act or failure to act by Buyer, its employees,
agents, affiliates or subsidiaries has caused the loan to become either invalid or unenforceable in
whole or in part. Buyer shall have the right to set off any amounts owed to Buyer hereunder or
otherwise by Seller against any and all amounts owed to Seller by Buyer.
insolvent or bankrupt, or if a receiver is appointed for Seller, or if a petition for
reorganization is filed by or against Seller. If Seller is in default under this
Agreement, Buyer shall give Seller written notice of such default and provide
Seller with a period of (30) days in which to cure such default. If Seller shall not
have cured such default within thirty (30) days from the date of Buyer’s
notification, then Buyer shall have the option to immediately terminate this
Agreement upon notification to Seller. If Seller becomes insolvent or bankrupt,
or if a receiver is appointed for Seller, or a petition for reorganization is filed by
USBCF Correspondent Flow Agreement (Rev. 031408-01) 15 of 15

(b) Recipient agrees now and at all times in the future that all such Confidential
Information shall be held in strict confidence and disclosed only to those
employees or agents whose duties reasonably require access to such information.
Recipient shall protect such Confidential Information using the same degree of
care, but no less than a reasonable degree of care, to prevent the unauthorized use,
disclosure or duplication (except as required for backup systems) of such
Confidential Information as Recipient uses to protect its own confidential
information.
(c) If Recipient is required by a court or governmental agency having proper
jurisdiction to disclose any Confidential Information, Recipient shall promptly
provide to the Owner notice of such request so that the Owner may seek an
appropriate protection order.
(d) Seller shall establish data security policies and procedures to ensure compliance
with this section and that are designed to:
1. Ensure the security and confidentiality of Customer(s)’ information;
2. Protect against any anticipated threats or hazards to the security or
integrity of such information;
3. Protect against the unauthorized access to, disclosure of, or uses of such
information that could result in substantial harm or inconvenience to
Customer(s); and
4. Otherwise comply with the requirements of the Gramm-Leach-Bliley Act
and the regulations promulgated there under, and any and all local or state
privacy laws that are applicable to this Agreement and Seller’s business.
(e) In the event of any disclosure or loss of, or inability to account for, any of
Owner's Confidential Information, Recipient will promptly notify the Owner.
(f) Limited Use of Confidential Information and Survival of Obligations.
1. Recipient may use the Confidential Information only as necessary for
Recipient’s performance hereunder and for no other use. Recipient’s
limited right to use the Confidential Information shall expire when upon
expiration or termination of the Agreement for any reason but its
confidentiality obligations shall survive beyond such termination or
expiration.
2. Upon expiration of Recipient’s limited right to use the Confidential
Information, Recipient shall return all physical embodiments thereof to
Owner or, with Owner’s permission, destroy the Confidential Information
and provide Owner written certification of its compliance with this
Section.
Confidential Information by any such third parties shall be with Recipient.
(h) Exclusions. Except for Customer(s)’ information as described herein, the term
Recipient can establish by clear and convincing evidence to have:
1. been known publicly without breach of this Agreement;
2. been known by Recipient without any obligation of confidentiality, prior
to disclosure of such Confidential Information; or
3. been received in good faith by the receiving party from a third-party
source having the right to disclose such information.
(i) Remedies. If Recipient, its agents or employees, violate the obligations of
confidentiality and non-disclosure herein, the parties agree that irreparable injury
may result to the Owner or third parties entrusting Confidential Information to the
Owner, that the Owner’s remedy at law for damages may be inadequate, and that
the Owner will be entitled to an injunction to restrain any continuing breach by
Recipient its agents or employees with no bond required, or if bond is required,
only a nominal bond. Notwithstanding any other provision of the Agreement
purporting to limit Recipient’s liability, the Owner shall further be entitled to
USBCF Correspondent Flow Agreement (Rev. 031408-01) 17 of 17

(c) If the Loan is prepaid more than twelve (12) months after the Settlement Date of such
provided that Buyer shall use reasonable efforts to collect the prepayment premium except where
there is a substantial question as to the enforceability of the prepayment premium.
SECTION 16. POWER OF ATTORNEY. In order to enforce Buyer’s rights under this
Agreement, Seller shall, upon the request of Buyer or its assigns, perform or cause to be done
