General Terms and ConditionsSalzburger <strong>Burgen</strong> & Schlösser BetriebsführungI. Parties to the ContractUnless otherwise agreed in writing, the terms and conditionsof business shall remain unaffected by otherlegal obligations or provisions and apply to all agreementsregarding the hiring of rooms made betweenthe Salzburg <strong>Burgen</strong> & Schlösserbetriebsführung, acompany-like operation of the Austrian federal provinceof Salzburg, hereinafter referred to as SBSB – andtheir contractual partners, hereinafter referred to asthe ‘customer’.II. Contract invocation1: On request SBSB can produce a non-binding offer.2: The utilisation contract will only become valid uponreceipt by the SBSB of confirmation of the customer’sacceptance of the offer in writing within the specified timelimit; and if the first instalment (or agreed total) has beenpaid into the Land Salzburg account at the SalzburgerLandes Hypothekenbank AG, account number 2127017, sortingcode 55000 within the agreed time limit.3: The customer shall not be entitled to invoke any of his/her own terms and conditions.4: The customer shall not be entitled to exclusive use of theentire building. If two events are to be staged within thevenue, priority shall be given to the booking received first.III. Prices1: General:All prices are subject to the legal percentage of valueaddedtax; the prices charged are the rates as in the pricelist valid at the date(s) of provision, even if the proposalquotes other prices (e.g.: from an outdated price list).2: Renting rooms:The basic three-hour lease rate quoted in the price lists isa minimum rate payable even if the duration of utilisationis less than three hours. From the start of the fourth hourand for each subsequent hour commenced, the full hourlyrate quoted in the price lists will be payable for on-premisework - whether for preparatory, assembly or dismantlingpurposes.3: Operating expenses:Costs for electricity for lighting and heating, personnelcosts as well as costs for preparatory or cleaning work aresubject to the price lists valid at the time of service provision.All such costs shall also be charged to the customernamed in the contract. In case of extraordinary cleaningexpenses, the actual higher cost of cleaning will be charged.4: Fee collection, duties and other charges:All costs, duties and fees resulting from the room rentalagreement and the organised event, as well as a commissionfee payable for a public event and AKM (performers’union) fees, will be borne by the customer named in thecontract in addition to the rates quoted in the price lists.IV. Mode of payment1: The utilisation fee is payable in two instalments as follows:a) Upon issue of the signed utilisation acknowledgementby SBSB, the specified down payment is payable within7 days to account no. 2127017 at Salzburger Landes-Hypothekenbank, sorting code 55000, Residenzplatz 7,A-5020 Salzburg.b) The remaining utilisation fee and the actual operationexpenses, personnel costs as well as duties and other feespossibly levied by the authorities, will be invoiced by SBSBafter the event. This amount is payable within 14 days fromthe invoice date without discount or the offsetting of otherexpenses.2: Furthermore, SBSB reserves the right to demand advancepayment of the entire contract sum or the provision ofan abstract bank guarantee to be valid up until after thedate of the event booked. The SBSB shall be entitled toredeem the bank guarantee should the customer fail tohonour his/her obligations to pay according to the deadlinesand amounts stipulated in the contract.3: In case of late payment, SBSB may charge interest 8%above the basic lending rate per annum on due remainingamounts. Additionally, the customer shall be obliged to payall expenses incurred by SBSB, such as a penalty of €20 perreminder, as well as those incurred by SBSB for debt collectionservices and out-of-court legal advice.4: If the user is a group of persons, all persons involved willbe liable.V. Cancellation Policy1: In case of cancellation by the customer up to two weeksprior to the booking date, the down payment will becharged as a cancellation fee. After that time, the entireutilisation fee will be charged as a cancellation fee.2: SBSB reserves the right to withdraw from the utilisationcontract for grave and important reasons. Grave andimportant reasons are particularly (a) If the customer fallsbehind in regard of the schedule of payment obligations.(b) If, upon request, the customer is unable to show officialpermits or to prove that approval has been granted for theplanned event. (c) If any form of bankruptcy charges havebeen filed against the customer, regardless of the result.(d) If the planned events are of a nature considered to contradictthe dignity and standard of the venue or to be of anextreme nature. (e) If the nature of the event suggests thatpublic order, quiet or security will be compromised. (f) Ifthe customer violates any of the terms and conditions ofthe contract laid down in this document. In case of withdrawalby SBSB for grave and important reasons, the cancellationfee as quantified in paragraph 1, depending upon thedate on which the reason for cancellation was announced,shall be payable.3: The SBSB shall also be legally entitled to withdraw fromthe contract: (a) If rooms of the Salzburger Residence areneeded for an official reception organised by the regionalgovernment of Salzburg province, Land Salzburg, up tothree weeks before the event is scheduled to take place. Insuch a case the SBSB will, if possible, try to make anothersuitable SBSB venue available to the customer. b) In a caseof force majeure (such as fire, floods, storms, strikes etc.)or any other events beyond the control of the SBSB (suchas open air events held outside any of the SBSB sites (thatmake it impossible to carry out the event as planned.In such cases the contractual partner, the customer, shallnot be entitled to demand any form of compensation fromthe SBSB.4: If there is considered to be a risk of danger to personsor grave damage to property if the event is continued,the SBSB shall be entitled to abandon the event, evenonce it has begun. In such a case, the customer shall notbe entitled to demand any form of compensation fromthe SBSB whatsoever. The SBSB reserves the right todemand compensation to at least the value of the cancellationfee as specified in 1).5: If a customer cancels a part of the rooms, a part of thetime or part of the services originally booked, the cancellationfee shall be charged aliquot as in point IV. 1).VI. Liability1: The customer shall bear the entire risk accruing to his/her event, including activities during the assembly andpreparation period, during the event itself, and during thedismantling period. The customer will be held liable to theSBSB, SBSB employees and SBSB customers, for all damagesinflicted by the customer, the customer’s employees,agents or visitors at the event.2: The customer will hold SBSB free of claims and damageswith respect to damages and third party claims resultingfrom venue utilisation. This also applies to the immunity ofthe SBSB regarding all displayed goods and exhibits.3: The customer has the obligation to present SBSB or theproperty manager with event indemnity insurance (personaland material damage as well as damages sufferedby SBSB) with a minimum coverage of 3 million Euros perinstance prior to the event. In case proof of such insurancecover is not presented at least 24 hours prior to the event,the event indemnity insurance closed by SBSB (which willnot cover damages to SBSB) will be used, the pro-rata premiumwill be invoiced to the User. In this case, the retainerper case will be €730.4: Should the future party to the contract – the customer –choose to advertise an event before the contract has beenlegally invoked as in point II. 2), the customer shall have noentitlement to enforce any claims whatsoever for compensationon the part of the SBSB.5: Any claims by the User must be submitted immediately inwriting; otherwise all titles will be lost. They expire unlessfiled with a competent legal court within six months. If nocomplaints are submitted by the customer on receipt ofthe venue, the venue and rooms shall be considered to beaccepted without fault. Subsequent complaints and claimsin this regard shall not be entertained. By commencingassembly work, the customer confirms that the rentedrooms, spaces, objects and facilities are fully functionaland not faulty in any way.6: Claims for damages submitted by the customer againstSBSB shall be excluded for slight and gross negligence asfar as such exclusion is permissible by law and in any caseinasmuch as such damages are not covered by indemnityinsurances in favour of SBSB.7: Liability by SBSB is also excluded as in §§ 970ff and1316 of the Austrian General Laws (ABGB). The SBSB shallaccept no liability whatsoever for any objects brought tothe venue by the customer, the customer’s employees, thecompany’s contractors, visitors or guests – nor for theirsubsequent loss or damage. In this regard the customershall be subject to a greater degree of care and responsibilityfor the safety and security of such objects. Valuableand easily removable objects must be kept in a safe placeand locked away if possible.VII. Conditions of Use1: Smoking and/or the use of open fires/flames is prohibitedin all event locations. The User has the obligation to informall visitors and aides of that fact. The ban has to be observedunconditionally. As far as rooms are equipped withsmoke detectors/fire alarms, these must not be turned offduring events.2: For all furnishing or construction within the rooms a300mm minimum distance to walls and obstacles (e.g.chandeliers) must be observed. Spotlights must beinstalled at least 500mm from wood, textiles and tapestries,and must not be directed at paintings. Users mustprovide heat and pressure resistant protective padding ormats, felt or boards, for all furnishing, tripods or ladders– to protect the flooring. All constructions and furnishingsmust be compliant with all regulations and requirements ofthe building and event authorities.3: Decorations, fittings and constructions may not create asignificant increase in the fire risk in the venue in the contract(i.e. exhibition area).Decorations, fittings and constructions must be entirelymade of fire-resistant material of combustibility class >Cs1< (weak smoke productioncapacity) and droplet class >dO< (weak productionof droplets). The customer shall be obliged to provide writtenproof of suitability according to the Austrian Ö-NormEN 13501-1 valid at the time of the event.All test results must be provided in either German orEnglish.4: The customer is responsible for compliance with allpublic regulations, and for gaining all required official permits.5: Any customer advertising making reference to the venueto be utilised may only be permitted via written consentfrom the SBSB. Use of venues for purposes of so<strong>und</strong>, film orvideo recordings, or for radio or TV productions, requiresthe written consent of the SBSB.6: The customer shall not be permitted to transfer anyrights, claims, whether partially or completely, whether fora fee or free of charge, to any third parties, or allow them toexercise the aforementioned without the written permissionof the SBSB. Even in the case of the permitted transferof rights etc. the customer shall remain completely liable asregards obligations towards the SBSB.7: The customer is aware of the house rules and is obligedto obey every single detail of these rules. Should this notbe the case the SBSB shall reserve the right to make allnecessary corrections, reparations and improvements atthe expense of the customer8: At the end of the agreed period for the use of the venue,the venue must be vacated and all fixtures, fittings and furnishingare to be returned clean and tidy in their originalcondition. Objects, things, packaging and remains of cateringbrought in by the customer, and companies contractedby the customer, must be entirely removed. Otherwise, theSBSB the removal and storage of these objects shall becontracted out at the expense of the customer. All damagesto the contracted venue shall be repaired by the SBSB atthe expense of the customer.VIII. ParticipantsThe headcount limits set for each venue (as detailed inthe venue documents) must not be exceeded, unless theresponsible municipality has granted special dispensation.The party to the contract – the customer – confirms his/herknowledge of the details of the permit for this event. TheSalzburg Residence is permitted a maximum headcount of645 people (525 people without the permission of the universityand the cathedral). This number may not be exceeded.The Kuenburgsaal hall (New Residence) is permitted toaccommodate 100 people, and from 5pm 150 people.IX. ItineraryAt the time of booking an itinerary with a schedule ofevents must be submitted to SBSB. The final itinerary andschedule must be in the hands of the SBSB at the latest oneweek before the event. The User must be represented bya responsible supervisor during the entire event and availablefor SBSB at all times. The name and mobile telephonenumber of the responsible supervisor must be made knownto SBSB a week prior to the start of the event.X. SupervisionThe number of supervisors depends on the size and natureof the event as well as the venue. This number is set bySBSB. At least one SBSB supervisor will be present at alltimes during the event and will be charged for. For eventsat the Residence, at least one person at the cloakroom andone concierge will be charged for.XI. Official permitsIf official permission is required for an event (e.g. by the1997 Salzburg Events Act in its current version), such permitsneed to be applied for in good time (advisably immediatelyupon receipt of the utilisation confirmation). A copyof the permit must be submitted to SBSB as soon as it hasbeen issued. All requirements by the authorities must bemet by the customer at the customer’s expense and withoutdirecting claims for compensation to the SBSB.XII. Breach of ContractIf a customer fails to fulfil obligations specified in thiscontract, the customer shall pay a penalty amounting to€2000 (including VAT). Regardless of this, SBSB has theright to claim for damages resulting from such default.XIII. Place of Jurisdiction. Applicable Law.Written FormFor all disputes arising from, or in conjunction with, thiscontract, the factually competent court of justice in thecity of Salzburg, Austria, will be the sole place of jurisdiction.The parties to this contract agree upon applicabilityof material Austrian Law with the exclusion of the UN conventionon contract for the international sale of goods. Anychanges or amendments to the utilisation contract or tothese general terms and conditions must be made in writing.Should any part of the »Terms and Conditions of theSalzburger <strong>Burgen</strong> <strong>und</strong> Schlösser Betriebsführung« bepartly or completely invalid or impracticable, this shall haveno effect on the validity of the remaining terms and conditions.The parties to the contract shall be obliged to agree ona legally valid ruling that best serves the commercial purposeof the invalid or impracticable term or condition.
