TERMS AND CONDITIONSEligibility<strong>ABCO</strong> <strong>Office</strong> <strong>Furniture</strong> (<strong>ABCO</strong>) products are sold nationally through authorizeddealers and distributors only. Distribution of this price list does not in itselfconstitute an offer to sell.New AccountsNew accounts may only be established with:• Approval of an <strong>ABCO</strong> Sales Representative• Approval of <strong>ABCO</strong> Sales Management• Purchase Order for $2,000 List Minimum Initial Order• Completion or Receipt of a Blanket Certificate of Resale• Completion of Credit Application• Agreement to <strong>ABCO</strong> Terms of SaleSales will be cash in advance until credit is established and will require acashier’s check, money order or bank approved company check. Clearance ofcash in advance check or money order must occur prior to being scheduled forproduction.Pricing and SpecificationsPrices, product specifications and packaging are subject to change withoutnotice. Surcharges may be added during the life of this price list as deemednecessary due to unforeseen economic conditions. This Price List supersedesany and all prior published Price Lists. <strong>ABCO</strong> cannot be responsible forcustom layout or space design of products in a required space.Terms of SaleNet 30 days with approved credit. <strong>ABCO</strong> reserves the right to withhold shipmentand/or production of customer’s order due to customer’s failure to satisfy creditrequirements or pay any past due invoices. Past due amounts will be subject toa 1.5% monthly interest charge plus collection costs including, but not limitedto, attorney’s fees and court costs.Credit<strong>ABCO</strong> may review credit, change or cancel credit terms and/or request advancepayment at any time at its discretion.Disputed AccountsDisputed accounts must be submitted in writing within 30 days of invoice datefor consideration. Lack of written dispute may result in delayed orders.OrderingThe customer bears responsibility for order correctness. Sample order forms areincluded on pages iv and v in this Price List. Please fax orders to Order Entry at(800) 992-2261.To avoid purchase order duplication, mark confirming copies “confirming copy.”To avoid order delays, please ensure that your purchase order contains thefollowing information:• Purchase Order Number• Correct Model Number(s)• Detailed Product Description(s)• Applicable Specifications (laminate, paint, edge treatment, fabric)• Correct Cost(s)• Ship To Address• Contact and Phone Number• Any Special Instructions• Reference to a Supplement Order with any Special Quote Informationor Custom Product DocumentationFor further information on ordering <strong>ABCO</strong> products refer to the “How toOrder” instructions in each section of this Price List.Purchase Order Verification<strong>ABCO</strong> will automatically fax purchase order verifications within approximately24 hours of order entry (or mail if no fax number is on file). Order verification maybe delayed due to credit issues. Please check the verification thoroughly andnotify <strong>ABCO</strong> Customer Service within 24 hours of any discrepancies. <strong>ABCO</strong>will manufacture the product as specified on the verification and cannotbe responsible for errors if not notified by customers. The verification shipdate reflects the estimated shipping week. This date does not constitute anessential term of agreement. Shipments may occur prior to or after the originalacknowledged date.Additions to OrdersPlease contact <strong>ABCO</strong> Customer Service prior to adding to, changing or combiningorders already received by <strong>ABCO</strong> and reference the original order numberto combine with the additional order for shipping or to meet prepaid freightrequirements. <strong>ABCO</strong> will not accept additions to original orders if already scheduledfor production and cannot hold orders once production has begun. For moreefficient handling, factory approved additions to original orders will be treatedas separate orders and invoices by <strong>ABCO</strong>.Lead TimeOrders for standard product ship from <strong>ABCO</strong> within 7 to 15 working daysupon receipt of a valid purchase order and credit approval (6 to 8 weeks forWilsonart ® custom color product).Customs<strong>ABCO</strong> prides itself in meeting our customers’ needs with our full line of standardproducts. However, we do understand that your customers at times will requirecustom design and custom products to meet unusual or unique specifications.Please note that orders for custom product are not covered under warranty andmay not be cancelled or returned. Orders for custom product should be senton a separate purchase order when ordered with standard product to ensuretimely delivery of standard product. Split shipments to expedite standardproducts are subject to additional freight charges.Please contact the <strong>ABCO</strong> Custom/Quotation department at (800) 336-0070 forfurther information on <strong>ABCO</strong> custom capabilities.Customer’s Own Material (COM)COM orders for panels or Smart Seating require contact with <strong>ABCO</strong> Custom/Quotation department for product pricing and yardage requirements. A sampleof material must be sent to <strong>ABCO</strong> for approval prior to acceptance of order.Customer’s material must ship prepaid to <strong>ABCO</strong> with the supplier tag clearlyshowing the amount of material, product number, dealer’s name, customerpurchase order number and <strong>ABCO</strong> order number. Customer’s material is appliedat customer’s own risk and excluded from the <strong>ABCO</strong> warranty. Customer isresponsible for providing material that meets any state or federal codes or laws.Lead times for COM orders are 6 to 8 weeks upon receipt of customer’s material.Customer Pick-UpAll merchandise for which customer pick-up has been specified and a pick-upappointment has been established must be picked up within 24 hours of thescheduled date. All merchandise not picked up within 72 hours will be deemedas delivered to the customer for invoicing and payment purposes.FreightRefer to chart on inside back cover for a freight zone map. Orders witha minimum list price of $5,000 will be shipped prepaid by <strong>ABCO</strong> on carriersselected by <strong>ABCO</strong>. Orders for less than $5,000 will be prepaid and a $80 flatfee will be added to the invoice.***The exception to this policy is Zone 1 or 2 customers shipping to Zone 3locations. In that circumstance, orders with a minimum list price of $5,000 willbe shipped prepaid and a 10% fee will be added to the invoice. Orders forless than $5,000 will be prepaid and a flat fee of $80 plus 10% of invoicedamount will be added to the invoice.******UPSable items will be shipped at standard UPS rates plus additionalhandling charges.***Flat fees will be reflected on the invoice as “Shipping and Handling.” Shipmentsoutside of the continental United States that qualify for prepaid freight areprepaid to port and collect from that point.
