10.2 Investment in Bridge Mobile Pte. Ltd. (BMPL)<strong>Globe</strong> Telecom and other leading Asia Pacific mobile operators (JV partners) signed an Agreement in 2004(JV Agreement) to form a regional mobile alliance, which will operate through a Singapore-incorporatedcompany, BMPL. The JV company is a commercial vehicle for the JV partners to build and establish aregional mobile infrastructure and common service platform and deliver different regional mobile servicesto their subscribers.<strong>Globe</strong> Group has a ten percent (10%) stake in BMPL. The other joint venture partners each with equalstake in the alliance include SK Telecom, Co. Ltd., Advanced Info Service Public Company Limited, BhartiAirtel Limited, Maxis Communications Berhad, Optus Mobile Pty. Limited, Singapore Telecom Mobile Pte,Ltd., Taiwan Mobile Co. Ltd., PT Telekomunikasi Selular and CSL Ltd. Under the JV Agreement, eachpartner shall contribute USD4.00 million based on an agreed schedule of contribution. <strong>Globe</strong> Telecommay be called upon to contribute on dates to be determined by the JV. Upon maturity in 2009, the loan was rolled over untilSeptember 2014 and bears interest at 7.75%. Further, in 2009, the <strong>Globe</strong> Group granted an additionalloan to the retirement fund amounting to P168.00 million which bears interest at 7.75% and is due also inSeptember 2014.The <strong>Globe</strong> Telecom retirement fund utilized the loan to fund its investments in BHI, a company it organizedto invest in media ventures. In 2009, BHI acquired two operating companies.138
On August 13 and December 21, 2009, the <strong>Globe</strong> Group granted five-year loans amounting to P250.00million and P45.00 million, respectively, to BHI at 8.275% interest. The P250.00 million loan is covered bya pledge agreement whereby in the event of default, the <strong>Globe</strong> Group shall be entitled to offset whateveramount is due to BHI from any unpaid fees of Broadcast Enterprises and Affiliated Media Inc. (BEAM),BHI’s subsidiary, from the <strong>Globe</strong> Group. The P45.00 million loan is fully secured by a chattel mortgageagreement dated December 21, 2009 between <strong>Globe</strong> Group and BEAM (see Notes 16.3 and 25.5).12. As of February 8, 2011, the remaining pending claims and assessments are still being resolved.The provisions for National Telecommunications Commission (NTC) permit fees amounting to P117.26 millionfor an assessment by the NTC on March 27, 1996 and contested by Innove and other members of theTelecommunications Operators of the Philippines was reversed in 2009 after taking into account all availableevidence including the merits of the ruling of the Court of Appeals (CA) in favor of another telecommunicationsservice provider.139
