Directors’ and Supervisors’ Rights to AcquireSharesSave as disclosed in the employee share option scheme below, at notime during the period were rights to acquire benefits by means of theacquisition of shares in the Company granted to any Directors andsupervisor or their respective spouse or minor children, or were any suchrights exercised by them; or was the Company, its holding company, orany of its subsidiaries or fellow subsidiaries a party to any arrangementto enable the Directors and supervisors to acquire such rights in anyother body corporate. As at 30 June 2009, none of the Directors orthe supervisors had any rights to acquire H shares (“H Shares”) of theCompany.The Company has adopted Code of Conduct for Securities Transactionsby Directors of the Company (the “Securities Code”) on terms no lessexacting than the required standard of dealings as set out in Rules 5.48to 5.67 of the GEM Listing Rules. Having made specific enquiries, allDirectors confirm that they have complied with the Securities Code forthe six months ended 30 June 2009.Employee Share Option SchemeThe Company approved a share option scheme on 5 July 2000,pursuant to which the Board may, at its discretion, grant share optionto any full-time employees (including directors of the Company and itssubsidiaries) of the Group to subscribe for H Shares of the Company,subject to a maximum aggregate of 30% of the Company’s shares inissue from time to time. However, employees who are Mainland Chinanationals shall not be entitled to exercise the option until the currentrestrictions on Mainland China nationals from subscribing for or dealingin H Shares imposed by the relevant PRC law and regulations have beenabolished or removed.
