(GIL), Gandhinagar invitesProposals for “Selection of a consulting firm/company for providing senior IT Consultants.GIL intends to select a consulting firm/company to provide Senior IT Consultants having :a. Domain Knowledge of ITb. Domain Knowledge of Health Sectorc. RFP for Selection of Consulting firm/companyp) “Services” means the work to be performed by the consulting firm/companypursuant to the selection by GIL and to the contract to be signed by the parties inpursuance of any specific assignment awarded to them by CoH.2.2 IntroductionOffice of the Commissioner of Health, <strong>Government</strong> of <strong>Gujarat</strong> has created wide networkof health and medical care facilities in the state to provides primary, secondary andtertiary health care at the door step of every citizen of <strong>Gujarat</strong> with prime focus on BPLfamilies, marginalized population and weaker sections in rural and urban slum areas.Department also takes appropriate actions to create adequate educational facilities formedical and paramedical manpower in the state of <strong>Gujarat</strong>.2.3 Qualification CriteriaThe consulting firm/company meeting the following qualification criteria will be shortlisted and considered for technical evaluation.Sr. No. Qualification Criteria <strong>Document</strong>/ Information to besubmitted with proposal1. The consulting firm/company should have atleast 5 consultants in each category andtotal 25 certified consultants in all the 3categories given below.a. PMI/PRINCE 2 certified consultantsb. RFP for Selection of Consulting firm/companyTechnical <strong>Bid</strong> Evaluation:Technical <strong>Bid</strong> will be assigned a technical score (Tb) out of a maximum of 100 points asper the TEC. <strong>Bid</strong>ders with technical score of 70% and above will qualify for theevaluation in the commercial process.The technical score would be normalized on a scale of 100, with highest score beingnormalized to 100 and the rest being awarded on a pro-rata basis. Such normalizedscores would be considered for the purpose QCBS based evaluation, explained inselection 1.1.9Commercial/Financial <strong>Bid</strong> Evaluation:The Commercial bid of those bidders who qualify in the technical evaluation will onlybe opened. All other Commercial bids will not be opened. The Commercial bids (as perthe formats provided in Section 6) of the technically qualified bidders will be evaluatedas per the evaluation criteria mentioned below:The lowest evaluated Financial Proposal (Fmin) will be given the maximum financialscore (Fn) of 100 points. Three lacs only), in the form of DD drawn in favor of<strong>Gujarat</strong> <strong>Informatics</strong> <strong>Limited</strong>, <strong>Gujarat</strong>, payable at Gandhinagar and must besubmitted along with the Proposal.b) Proposals not accompanied by EMD shall be rejected as non-responsivec) Earnest Money Deposit (EMD) shall be refunded to all the unsuccessful bidderswithin one month after award of the work to the successful/suitable bidder on awritten requestd) The EARNEST MONEY DEPOSIT shall be forfeited:1. If a <strong>Bid</strong>der withdraws its bid during the period of <strong>Bid</strong> validity specified bythe <strong>Bid</strong>der on the <strong>Bid</strong> Form;2. Or in case of a successful <strong>Bid</strong>der, if the <strong>Bid</strong>der fails:a) To sign the Contract; orb) To furnish the performance security.e) No exemption for submitting the EMD will be given to any agency including SSI Units.f) The bidder is liable to pay liquidated damages and penalty imposed by the TenderInviting Authority in the event of non-fulfillment of any of the terms or whole of thecontract.2.6 Clarifications and Amendment of RFP <strong>Document</strong>The prospective bidder, requiring any clarification on RFP may notify the same in theform of query to GIL/CoH by letter or email sent to within 9 th September, 2009 up to 1500hrs.(as indicated in Section 1.2). GIL/CoH response as well as the clarifications sought(including an explanation of the query but without identifying the source of inquiry) willbe uploaded to the GIL website for all the prospective bidders interested in submittingProposal as early as possible after the pre-bid (as indicated in Section 1.2).At any time prior to deadline for submission proposal, GIL/CoH may for any reason,modify the RFP. RFP for Selection of Consulting firm/company2.7 Validity of ProposalsProposals shall remain valid for a period of 180 days (one hundreds eighty days) afterthe date of Proposal opening prescribed in RFP. A Proposal valid for shorter period maybe rejected as non-responsive. GIL/CoH may solicit the bidders’ consent to anextension of Proposal validity (but without the modification in Proposals).2.8 Conflict of Interest“The selected consulting firm/company or any of its group organizations/subsidiariesshall not be eligible to work on any downstream activities/projects arising out of thisconsultancy including project implementation, software development, maintenanceand support, supply & installation of hardware“.2.9 Right to Accept ProposalGIL/CoH reserves the right to accept or reject any proposal, and to annul the proposalprocess and reject all Proposals at any time prior to award of contract, without therebyincurring any liability to the affected bidder(s) or any obligation to inform the affectedbidder(s) of the grounds for such decision.2.10 DisqualificationGIL/CoH may at its sole discretion and at any time during the evaluation of Proposal,disqualify any bidder, if the bidder has:a) Submitted the Proposal documents after the response deadline.b) Made misleading or false representations in the forms, statements and attachmentssubmitted in proof of the eligibility requirements.c) Exhibited a record of poor performance such as doing as abandoning works, notproperly completing the contractual obligations, inordinately delaying completionor financial failures, etc. in any project in the preceding three years.d) Submitted a proposal that is not accompanied by required documentation or isnon-responsive.e) Failed to provide clarifications related thereto, when sought.Page 13 of 42<strong>Gujarat</strong> <strong>Informatics</strong> <strong>Limited</strong>


RFP for Selection of Consulting firm/companyf) Declared ineligible by the <strong>Government</strong> of <strong>Gujarat</strong> for corrupt and fraudulentpractices or blacklistedg) Submitted a proposal with price adjustment / variation provision.2.11 Fraud and CorruptionGIL/CoH requires that consulting firm/company selected through this RFP must observethe highest standards of ethics during the performance and execution of such contract.In pursuance of this policy, GIL/CoH:1. defines, for the purposes of this provision, the terms set forth as follows:I. “Corrupt practice” means the offering, giving, receiving or soliciting of any thingof value to influence the action of GIL/CoH or any personnel of consultingfirm/company(s) in contract executions.II. "Fraudulent practice" means a mis-presentation of facts, in order to influence aprocurement process or the execution of a contract, to GIL/CoH, and includescollusive practice among bidders (prior to or after Proposal submission) designedto establish Proposal prices at artificially high or non-competitive levels and todeprive GIL/CoH of the benefits of free and open competition.III. “Unfair trade practices” means supply of services different from what is orderedon, or change in the Scope of Work which was given by the GIL/CoH in SectionIV.IV. “Coercive Practices” means harming or threatening to harm, directly or indirectly,persons or their property to influence their participation in the execution ofcontract.2. For interpretation of any clause in the RFP or ContractAgreement, the interpretation of the GIL/DST/GOG shall be GIL/DST/GOG final andbinding on the consulting firm/company.3.2 Relationship between partiesNothing mentioned herein shall be constructed as relationship of master and servant orof principal and agent as between the GIL/CoH and ‘the consulting firm/company’.The consulting firm/company subject to this contract for selection has complete chargeof personnel and sub-consulting firm/company, if any, performing the services underthe Project executed by GIL/CoH from time to time. The senior IT consultant(s) providedby consulting firm/company shall be fully responsible for the services performed bythem or on their behalf hereunder. The GIL/CoH will allocate work/assignment to thesenior IT consultant(S) provided by consulting firm/company.3.3 Standards of PerformanceThe Senior IT Consultant(s) provided by selected consulting firm/company shall give theservices and carry out their obligations under the Contract with due diligence,efficiency and economy in accordance with generally accepted professionalstandards and practices. The Senior IT Consultant(s) provided by selected consultingfirm/company shall always act in respect of any matter relating to this contract asfaithful advisor to GIL/CoH. The consulting firm/company shall abide by all theprovisions/Acts/Rules etc of information Technology prevalent in the country. Theconsulting firm/company shall conform to the standards laid down in RFP in totality.3.4 Delivery and <strong>Document</strong>sAs per the time schedule agreed between parties for specific projects given to theSenior IT Consultant(s) provided by consulting firm/company from time to time shallsubmit all the deliverables on due date as per the delivery schedule. There are specialized domains mentioned as categories in Clause 1.1and it is desirable from the consulting firm/company to deploy the personnel, who haveadequate experience in the domain related with the project. It is desirable that fordomain-related Projects, the consulting firm/company must hire the services of domainSpecialists, on a case to case basis, to work on the Project effectively.3.6 Applicable LawApplicable Law means the laws and any other instruments having the force of law inIndia as they may be issued and in force from time to time. The contracts shall beinterpreted in accordance with the laws of the Union of India.3.7 Governing LanguageThe Contract shall be written in English Language. English version of the Contract shallgovern its interpretation. Thereplacement of resource by bidder will be allowed (with penalty) only incase, the resource leaves the organization by submitting resignation withthe present employer.b. In case of failure to meet the standards of the purchaser, (whichincludesefficiency,cooperation, discipline and performance) bidder may be asked toreplace the resource without any penalty for replacement/exit.c. The replaced resource will be accepted by the NodalAgency/<strong>Gujarat</strong> <strong>Informatics</strong> Ltd only if he scores the same or more on theevaluation criterion mentioned in this RFP and is found suitable to thesatisfaction of the purchaser. The outgoing resource should complete theknowledge transfer with the replaced resource as per the satisfaction ofthe . The bidding firm shall be allowed 15 days to replacethe resource.d. The payment for replaced resources will be made as per the manmonth rates quoted/agreed by the bidder. If during execution of the Project,following Problems are to be found, then a penalty of 0.5% of the contract value perweek (subject to maximum of 5%) may be imposed by CoH, which will be the part ofProject specific RFP and Terms of Reference:a) Quality of deliverable is not up to the mark, (till the quality is improved to therequired extent)b) Delays in deliverablesc) Not assigning adequate resources in timed) Not engaging resources on a dedicated basis, even when required.e) Assigning resources that do not meet the clients requirementsf) Inadequate interaction with the client departmentg) The work is either not complete or not completed satisfactorily as per the approvedtime schedule or the quality of deliverable.If the delay is beyond 10 weeks then the CoH may rescind the Contract and shall befree to get it done from other consulting firm/company at the risk and costs of theappointed consulting firm/company.3.13 SuspensionCoH may, by written notice to consulting firm/company, suspend all payments to theconsulting firm/company hereunder if the consulting firm/company fails to perform anyPage 21 of 42<strong>Gujarat</strong> <strong>Informatics</strong> <strong>Limited</strong>


RFP for Selection of Consulting firm/companyof its obligations under this contract including the carrying out of the services, providedthat such notice of suspension.a) Shall specify the nature of failureb) Shall request the consulting firm/company to remedy such failure within a periodnot exceeding thirty (30) days after receipt by the consulting firm/company of suchnotice of failure3.14 TerminationUnder this Contract, CoH may, by written notice terminate the consulting firm/companyin the following ways:a) Termination by Default for failing to perform obligations under the Contract of if thequality is not up to the specification or in the event of non adherence to timeschedule.b) Termination for Convenience in whole or in part thereof, at any time.c) Termination for Insolvency if the consulting firm/company becomes bankrupt orotherwise insolvent.In all the three cases termination shall be executed by giving written notice to theconsulting firm/company as prescribed in Clause 3.19 under GCC. Upon termination ofthe contract, payment shall be made to the consulting firm/company for:a) services satisfactorily performed and reimbursable expenditures prior to theeffective date of terminationb) any expenditure actually and reasonably incurred prior to the effective date ofterminationNo consequential damages shall be payable to the consulting firm/company in theevent of such termination.3.15 Force MajeureNotwithstanding anything contained in the RFP, the consulting firm/company shall notbe liable for liquidated damages or termination for default, if and to the extent that, it’sdelay in performance or other failures to perform its obligations under the agreement isthe result of an event of Force Majeure.For purposes of this clause “Force Majeure” means an event beyond the control of theconsulting firm/company and not involving the consulting firm/company’s fault ornegligence and which was not foreseeable. Thedecision of the CoH regarding Force Majeure shall be final and binding on theconsulting firm/company.If a Force Majeure situation arises, the consulting firm/company shall promptly notify tothe CoH in writing, of such conditions and the cause thereof. Unless otherwise directedby the CoH in writing, the consulting firm/company shall continue to perform itsobligations under the agreement as far as reasonably practical, and shall seek allreasonable alternative means for performance not prevented by the Force Majeureevent.3.16 Resolution of DisputesIf any dispute arises between parties, then there would be two ways for resolution of thedispute under the Contract.3.16.1 Amicable SettlementPerformance of the Contract is governed by the terms the conditions of the Contract,however at times dispute may arise about any interpretation of any term or condition ofContract including the scope of work, the clauses of payments etc. In such a situationeither party of the contract may send a written notice of dispute to the other party. Theparty receiving the notice of dispute will consider the notice and respond to it in writingwithin 30 days after receipt. If that party fails to respond within 30 days, or the disputecannot be amicably settled within 60 days following the response of that party, thenClause 3.18.2 of GCC shall become applicable.3.16.2 Resolution of DisputesIn the case dispute arising between the CoH and the consulting firm/company, whichhas not been settled amicably, any party can refer the dispute for Arbitration under(Indian) Arbitration and Conciliation Act, 1996. Such disputes shall be referred to ArbitralTribunal as prescribed by Ministry of Law, <strong>Government</strong> of India. The Indian Arbitrationand Conciliation Act, 1996 and any statutory modification or re-enactment thereof,shall apply to these arbitration proceedings.Arbitration proceedings will be held in India at Ahmedabad and the language of thearbitration proceeding and that of all documents and communications between theparties shall be in English. The decision of the majority of arbitrators shall be final andbinding upon both the parties. The consultingfirm/company shall pay such domestic tax, duties, fees and other impositions (whereverapplicable) levied under the applicable law.3.18 Legal JurisdictionAll legal disputes between the parties shall be subject to the jurisdiction of the courtssituated in India only.3.19 NoticeAny notice, request or consent required or permitted to be given or made pursuant tothis contract shall be in writing.
