The idea thatit could one day become part <strong>of</strong> a united Europe was completely unth<strong>in</strong>kable.But here we are <strong>in</strong> 2004, part <strong>of</strong> Europe and, for many <strong>of</strong> us who left<strong>in</strong> <strong>the</strong> old days, this is aga<strong>in</strong> our home.I was on <strong>the</strong> board <strong>of</strong> <strong>the</strong> <strong>Chamber</strong> <strong>of</strong> <strong>Commerce</strong> dur<strong>in</strong>g <strong>the</strong> years 1999to 2002, but <strong>the</strong> <strong>Chamber</strong> as it was <strong>the</strong>n was quite different. This board,and this <strong>Czech</strong> <strong>Republic</strong>, are a whole new scenario. As is usual <strong>in</strong> May,a new board was voted <strong>in</strong>, but we also have two new Jo<strong>in</strong>t Chairmen,a new Executive Director and a new Strategy & External Relations Adviser,and I am sure that you will soon see that we mean bus<strong>in</strong>ess!In <strong>the</strong> next few weeks you will hear about quite a few new <strong>in</strong>centives for<strong>the</strong> <strong>Chamber</strong>. A ‘Code <strong>of</strong> Conduct’ that is be<strong>in</strong>g brought <strong>in</strong> for members;Legal ‘Info Sheets’ – first-hand legal <strong>in</strong>fo; as well as a bi-weekly ‘<strong>in</strong>formationsheet’ BCC Digest that will replace <strong>the</strong> sometimes excessive number <strong>of</strong>e-mails that members were receiv<strong>in</strong>gThere are also some excit<strong>in</strong>g new events <strong>in</strong> store, <strong>in</strong>clud<strong>in</strong>g d<strong>in</strong>ners andlunches with some <strong>of</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>’s bus<strong>in</strong>ess leaders and politicians.As a practic<strong>in</strong>g lawyer I have been able to assist <strong>the</strong> Board <strong>in</strong> implement<strong>in</strong>gnew concepts brought about by <strong>the</strong> changes <strong>in</strong> <strong>the</strong> Articles. This makessure <strong>the</strong> Board does not get carried away with <strong>the</strong> feasibility <strong>of</strong> its newideas! With dual legal <strong>Czech</strong> and English qualifications, I will be able tocontribute to <strong>the</strong> fur<strong>the</strong>r development <strong>of</strong> <strong>the</strong> ECF/BCCC relationship andECF new policies. Like my fellow Board members I want to ensure thatmembers get value for money from <strong>the</strong>ir membership.I hope you will f<strong>in</strong>d <strong>the</strong> new changes equally excit<strong>in</strong>g. InterviewRené Samek is <strong>the</strong> Director <strong>of</strong> UK and IrelandOperations at <strong>Czech</strong>Invest, <strong>the</strong> <strong>Czech</strong> governmentagency for bus<strong>in</strong>ess developmentand <strong>in</strong>vestment promotion. He graduatedfrom Charles University <strong>in</strong> Prague and alsostudied at <strong>the</strong> Central European University<strong>in</strong> Prague and Budapest, where he obta<strong>in</strong>eddevelopment programmes. We also act as an <strong>in</strong>termediary between <strong>the</strong> EU andsmall and medium-sized enterprises <strong>in</strong> implement<strong>in</strong>g EU structural funds <strong>in</strong> <strong>the</strong><strong>Czech</strong> <strong>Republic</strong>.We have changed our name from <strong>Czech</strong>Invest: <strong>Czech</strong> Agency for ForeignInvestment, to <strong>Czech</strong>Invest: The Investment and Bus<strong>in</strong>ess Development Agency,but potential foreign <strong>in</strong>vestors should not be afraid that we will put less emphasison attract<strong>in</strong>g foreign <strong>in</strong>vestment. On <strong>the</strong> contrary, <strong>the</strong> merger prompted us to lookDo not neglect <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>at our services and <strong>in</strong>formation materials and after a bit <strong>of</strong> restructur<strong>in</strong>g and consolidation,our services to <strong>the</strong> potential <strong>in</strong>vestor and our <strong>in</strong>formation materials willbe better than ever!The role <strong>of</strong> our foreign <strong>of</strong>fices rema<strong>in</strong>s unchanged: to promote <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> to potential <strong>in</strong>vestors abroad and work with colleagues <strong>in</strong> Prague and <strong>the</strong><strong>Czech</strong> regions on help<strong>in</strong>g <strong>the</strong> <strong>in</strong>vestors choose <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> over our rivalcountries. Competition is tough – almost every country <strong>of</strong> <strong>the</strong> world has an <strong>in</strong>vestmentpromotion <strong>of</strong>fice <strong>in</strong> London.Could you describe <strong>the</strong> structure <strong>of</strong> <strong>in</strong>com<strong>in</strong>g <strong>in</strong>vestments? Has it changed over<strong>the</strong> past few years (<strong>in</strong> <strong>the</strong> sense <strong>of</strong> traditional manufactur<strong>in</strong>g projects versusbus<strong>in</strong>ess development services, know-how etc.)?Most <strong>in</strong>quiries and projects come from <strong>the</strong> follow<strong>in</strong>g six sectors: automotive components,electronics, plastic components, precision eng<strong>in</strong>eer<strong>in</strong>g, s<strong>of</strong>tware developmentand bus<strong>in</strong>ess support services, (shared services, call centres and high-tech repaircentres). These are also our target sectors – most <strong>of</strong> my market<strong>in</strong>g activities <strong>in</strong> <strong>the</strong>UK are directed towards <strong>the</strong>m.The last two years saw a big shift towards higher value added manufactur<strong>in</strong>gprojects and non-manufactur<strong>in</strong>g projects. In 2001-2 <strong>the</strong> London <strong>of</strong>fice had just ahandful <strong>of</strong> <strong>in</strong>quiries <strong>in</strong> bus<strong>in</strong>ess support services and s<strong>of</strong>tware development. Today,<strong>the</strong>se sectors account for nearly one-third <strong>of</strong> all my <strong>in</strong>quiries and I am confidentthat <strong>in</strong> a year or two more than half <strong>of</strong> <strong>in</strong>quiries/projects from <strong>the</strong> UK will be nonmanufactur<strong>in</strong>gknowledge based projects.The London <strong>of</strong>fice was <strong>the</strong> first po<strong>in</strong>t <strong>of</strong> contact for successful projects such asDHL Systems (pan-European IT support centre), Symbol Technologies (high-techrepair centre) and Ricardo (design <strong>of</strong> automotive components).his Master’s degree <strong>in</strong> <strong>the</strong> field <strong>of</strong> InternationalRelations and European Studies, and at <strong>the</strong>London School <strong>of</strong> Economics, where he obta<strong>in</strong>edano<strong>the</strong>r Master’s <strong>in</strong> Political Economy. Hehas been with <strong>Czech</strong>Invest s<strong>in</strong>ce 1997 – he was<strong>the</strong> Deputy Director <strong>of</strong> Market<strong>in</strong>g and <strong>the</strong>Market<strong>in</strong>g Director for four years before com<strong>in</strong>gto London at <strong>the</strong> end <strong>of</strong> 2001 to head<strong>the</strong> agency’s UK & Ireland <strong>of</strong>fice.We asked him a few questions about <strong>the</strong>role <strong>of</strong> <strong>Czech</strong>Invest <strong>in</strong> <strong>the</strong> UK and <strong>the</strong> structure<strong>of</strong> <strong>in</strong>com<strong>in</strong>g <strong>in</strong>vestments, as well <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> as an <strong>in</strong>vestment target.What is <strong>the</strong> mission <strong>of</strong> <strong>the</strong> ‘new’ <strong>Czech</strong>Investafter <strong>the</strong> merger <strong>of</strong> <strong>the</strong> M<strong>in</strong>istry <strong>of</strong> Trade andIndustry’s agencies – Agency for Bus<strong>in</strong>essDevelopment (ARP) and Agency for Development<strong>of</strong> Industry <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>(<strong>Czech</strong>Industry) with <strong>Czech</strong>Invest? What is<strong>the</strong> specific role <strong>of</strong> <strong>the</strong> London/UK branch<strong>of</strong> <strong>Czech</strong>Invest?<strong>Czech</strong>Invest contributes to attract<strong>in</strong>g foreign<strong>in</strong>vestment and develop<strong>in</strong>g domestic companiesthrough its free-<strong>of</strong>-charge services and severalHow would you def<strong>in</strong>e <strong>the</strong> CR as an <strong>in</strong>vestment target? Does it have somespecific characteristics <strong>in</strong> comparison with o<strong>the</strong>r neighbour<strong>in</strong>g states?The <strong>Czech</strong> <strong>Republic</strong> <strong>of</strong>fers a unique comb<strong>in</strong>ation <strong>of</strong> a strategic location <strong>in</strong> <strong>the</strong> centre<strong>of</strong> Europe, well developed <strong>in</strong>frastructure, highly educated and technically skilled labourforce and low costs. There are many countries <strong>in</strong> sou<strong>the</strong>astern Europe and <strong>the</strong>former Soviet Union where labour is cheaper than <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>, but <strong>the</strong>yusually lack one or more <strong>of</strong> <strong>the</strong> o<strong>the</strong>r advantages <strong>of</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>. You maybe able to produce your products cheaper fur<strong>the</strong>r East, but gett<strong>in</strong>g <strong>the</strong> products toyour clients <strong>in</strong> Germany may be significantly more expensive and time consum<strong>in</strong>gthan from <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>.The availability <strong>of</strong> technically skilled labour, especially university-educated eng<strong>in</strong>eers,has become <strong>the</strong> most important factor <strong>in</strong> our success <strong>in</strong> attract<strong>in</strong>g foreign <strong>in</strong>vestment.The <strong>Czech</strong> <strong>Republic</strong> still has a large percentage <strong>of</strong> students graduat<strong>in</strong>g <strong>in</strong>science and technology subjects. This <strong>the</strong>oretical background is comb<strong>in</strong>ed with an<strong>in</strong>novative approach <strong>of</strong> <strong>Czech</strong> people that helps to f<strong>in</strong>d solutions to almost everytechnical problem. Let us hope that young <strong>Czech</strong>s will not turn <strong>the</strong>ir backs on <strong>the</strong>sediscipl<strong>in</strong>es and <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> will be able to ma<strong>in</strong>ta<strong>in</strong> this advantage.One <strong>of</strong> <strong>the</strong> significant advantages <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> <strong>of</strong>fers to <strong>British</strong> companiesand entrepreneurs is <strong>the</strong> excellent accessibility <strong>of</strong> Prague and <strong>the</strong> rest <strong>of</strong> <strong>the</strong> <strong>Czech</strong><strong>Republic</strong>. I know that you <strong>in</strong> Prague are fed up with all <strong>the</strong>se stag parties, but dueto Prague’s popularity you can fly to Prague directly from twelve UK airports – noo<strong>the</strong>r city <strong>in</strong> Central and Eastern Europe can <strong>of</strong>fer you that. I have been contacted bya company from Carlisle – <strong>the</strong>y want to be able to fly to <strong>the</strong>ir future <strong>Czech</strong> subsidiary<strong>in</strong> <strong>the</strong> morn<strong>in</strong>g and be back <strong>in</strong> Carlisle <strong>in</strong> <strong>the</strong> even<strong>in</strong>g. They were very pleased tohear that from <strong>the</strong> end <strong>of</strong> October <strong>the</strong>y will be able to choose between Newcastleand Glasgow airports. InterviewDo you th<strong>in</strong>k <strong>the</strong>re has been a significant shift <strong>in</strong> <strong>in</strong>vestors’ <strong>in</strong>terest follow<strong>in</strong>g<strong>the</strong> CR’s accession to <strong>the</strong> EU?There has been a significant <strong>in</strong>crease <strong>in</strong> <strong>the</strong> number <strong>of</strong> <strong>in</strong>quiries this year and thatis no surprise, as <strong>the</strong> EU expansion has received a good share <strong>of</strong> publicity here <strong>in</strong> <strong>the</strong>UK. I am confident that <strong>the</strong> <strong>in</strong>flow <strong>of</strong> foreign <strong>in</strong>vestment to <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> willcont<strong>in</strong>ue to be strong. There has been one significant shift, however. While <strong>in</strong> <strong>the</strong>past most <strong>of</strong> <strong>the</strong> <strong>in</strong>quiries / projects came from larger companies, today <strong>the</strong>re aremany <strong>in</strong>quiries / projects from small and medium-sized enterprises. They probablytake our membership <strong>in</strong> <strong>the</strong> EU as a guarantee that <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> is a safecountry to <strong>in</strong>vest <strong>in</strong>.From your experience, what are <strong>the</strong> key factors <strong>in</strong> <strong>the</strong> potential <strong>in</strong>vestor’sdecision mak<strong>in</strong>g?Market access, availability <strong>of</strong> labour, quality <strong>of</strong> local <strong>in</strong>frastructure and cost <strong>of</strong> do<strong>in</strong>gbus<strong>in</strong>ess. Support from local government bodies is also important – many <strong>in</strong>vestorshave told me that <strong>the</strong> quality <strong>of</strong> our services and <strong>the</strong> perceived support from localauthorities had played prom<strong>in</strong>ent role <strong>in</strong> <strong>the</strong>ir decision mak<strong>in</strong>g.Examples <strong>of</strong> realised <strong>in</strong>vestmentprojects <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>Lam<strong>in</strong>ar MedicaThe lead<strong>in</strong>g European producer <strong>of</strong> <strong>in</strong>sulatedshipp<strong>in</strong>g systems for <strong>the</strong> pharmaceutical andbiotech <strong>in</strong>dustries, Lam<strong>in</strong>ar Medica Limited,recently opened a new production facility <strong>in</strong> <strong>the</strong><strong>Czech</strong> <strong>Republic</strong>. The new plant <strong>in</strong> Vodňany,South Bohemia, will br<strong>in</strong>g to <strong>the</strong> region up to35 new jobs.Heads & All ThreadsOne <strong>of</strong> <strong>the</strong> lead<strong>in</strong>g <strong>British</strong> <strong>in</strong>dependent suppliers<strong>of</strong> <strong>in</strong>dustrial fasteners, wire harnesses &Is <strong>the</strong> <strong>British</strong> <strong>in</strong>vestor ‘different’ from o<strong>the</strong>rs? Are <strong>the</strong>re any specifics <strong>of</strong> <strong>the</strong> ‘<strong>British</strong><strong>in</strong>vestor’?Some <strong>British</strong> companies have quite low expectations when <strong>the</strong>y go to visit <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> for <strong>the</strong> first time. They are not fully aware <strong>of</strong> <strong>the</strong> enormous changes whichhave taken place <strong>the</strong>re s<strong>in</strong>ce 1989.Also, many UK companies have experience with trad<strong>in</strong>g with, and <strong>in</strong>vest<strong>in</strong>g <strong>in</strong>cont<strong>in</strong>ental Europe, Commonwealth countries or Sou<strong>the</strong>ast Asia, but less experiencewith Central and Eastern Europe. This is probably different with German and Austriancompanies which have more and longer contacts with <strong>the</strong> region.Into what sectors do <strong>British</strong> companies <strong>in</strong>vest most? Is <strong>the</strong>re a type <strong>of</strong> <strong>in</strong>dustry<strong>in</strong> which <strong>the</strong>y show <strong>the</strong> greatest <strong>in</strong>terest?In <strong>the</strong> past <strong>the</strong>re were several large privatisation projects <strong>in</strong> utilities, but <strong>the</strong> typical<strong>British</strong> <strong>in</strong>vestment <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> is <strong>in</strong> high-tech manufactur<strong>in</strong>g <strong>in</strong>dustriessuch as automotive components, electronics, plastic parts and precision eng<strong>in</strong>eer<strong>in</strong>g.S<strong>of</strong>tware development seems to be a grow<strong>in</strong>g sector now. Quite a lot <strong>of</strong> <strong>British</strong><strong>in</strong>vestment has also gone to real estate and to retail services. The <strong>Czech</strong> TechnologyPark <strong>in</strong> Brno and Tesco supermarkets are <strong>the</strong> most visible examples, but <strong>the</strong>re aremany more.Is <strong>the</strong>re a way <strong>in</strong> which a company that is already established here <strong>in</strong> <strong>the</strong> CRcould benefit from <strong>Czech</strong>Invest?Our services are provided to both new and already established <strong>in</strong>vestors. We canprovide <strong>in</strong>formation on <strong>the</strong> bus<strong>in</strong>ess and <strong>in</strong>vestment climate <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>,<strong>in</strong>formation on available <strong>in</strong>dustrial real estate, location <strong>of</strong> potential <strong>Czech</strong> suppliersand assistance <strong>in</strong> application for <strong>in</strong>vestment <strong>in</strong>centives.The scheme <strong>of</strong> <strong>in</strong>vestment <strong>in</strong>centives has recently been amended to extend <strong>the</strong>tax <strong>in</strong>centive for already exist<strong>in</strong>g <strong>in</strong>vestors who plan to expand <strong>the</strong>ir <strong>Czech</strong> activities.There is also a new programme to support <strong>the</strong> creation <strong>of</strong> new jobs <strong>in</strong> regions withhigh unemployment. Our regional <strong>of</strong>fices collect applications for grants from programmesaimed at <strong>in</strong>creas<strong>in</strong>g <strong>the</strong> competitiveness <strong>of</strong> small and medium-sized enterprises,such as <strong>the</strong> Inovace (Innovation) or Školící střediska (Tra<strong>in</strong><strong>in</strong>g Centres). Fur<strong>the</strong>rmore,new and exist<strong>in</strong>g companies will be able to benefit from programmes aimed at develop<strong>in</strong>gbus<strong>in</strong>ess <strong>in</strong>cubators, science and technology parks, and <strong>in</strong>dustrial clusters.How many <strong>British</strong> and Irish companies already exist <strong>in</strong> <strong>the</strong> <strong>Czech</strong> market?As far as I am aware, <strong>the</strong>re are more than 300 <strong>British</strong> and more than 50 Irish companies<strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> – from large mult<strong>in</strong>ational companies such as Shell,Unilever, Tesco, LogicaCMG, K<strong>in</strong>gspan and Barlo, to small manufactur<strong>in</strong>g and servicefirms and consultants and sales branches.What would be your key message to potential <strong>in</strong>vestors?Do not leave <strong>the</strong> door open for your competitors by neglect<strong>in</strong>g <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>.Many <strong>British</strong> companies have had <strong>the</strong>ir eyes set on India or Ch<strong>in</strong>a, but Central andEastern Europe <strong>of</strong>fers similar opportunities and a much friendlier bus<strong>in</strong>ess and <strong>in</strong>vestmentclimate. ECF NewsEUIC NewsWill <strong>the</strong> New Governmentbe brave enough to make <strong>the</strong>necessary reforms?European entrepreneurs united <strong>in</strong> <strong>the</strong> Euro-<strong>Czech</strong> Forum (ECF) hope that <strong>the</strong> new <strong>Czech</strong>Government rema<strong>in</strong>s committed to f<strong>in</strong>alis<strong>in</strong>g<strong>the</strong> necessary reforms. A fur<strong>the</strong>r delay <strong>of</strong> <strong>the</strong>reform processes will <strong>in</strong>evitably lead to a slowdown <strong>of</strong> <strong>in</strong>vestments, an <strong>in</strong>crease <strong>in</strong> unemploymentand a decrease <strong>in</strong> economic growth.The reform <strong>of</strong> public f<strong>in</strong>ance, <strong>the</strong> legalbus<strong>in</strong>essenvironment <strong>in</strong>clud<strong>in</strong>g <strong>the</strong> modernisation<strong>of</strong> <strong>the</strong> taxation system and <strong>the</strong> redef<strong>in</strong>ition<strong>of</strong> <strong>the</strong> social-security payments systemshould rema<strong>in</strong> <strong>the</strong> priorities <strong>of</strong> <strong>the</strong> <strong>in</strong>com<strong>in</strong>gGovernment. Bus<strong>in</strong>ess people with capitalto <strong>in</strong>vest personally (i.e., “bus<strong>in</strong>ess angels”) may provide <strong>the</strong> seedcapital and some f<strong>in</strong>ancial or bus<strong>in</strong>ess know-how. Amounts <strong>in</strong>vestedat this stage range up to about €200,000. Itis important to realise that <strong>the</strong> sources <strong>of</strong> fund<strong>in</strong>g available dependvery much on <strong>the</strong> stage <strong>of</strong> development <strong>the</strong> company has achievedwhen it is seek<strong>in</strong>g external fund<strong>in</strong>g.and need fur<strong>the</strong>r fund<strong>in</strong>g to f<strong>in</strong>alise development and take <strong>the</strong>irproduct to market but, most importantly, <strong>the</strong> product already exists.At this stage, most companies can demonstrate some <strong>in</strong>terest frompotential or actual customers and show revenue growth, whichhelps <strong>the</strong> company obta<strong>in</strong> fur<strong>the</strong>r private fund<strong>in</strong>g from venture capital<strong>in</strong>vestors. They do this via a seat on <strong>the</strong> board <strong>of</strong> directors aspart <strong>of</strong> <strong>the</strong>ir acquisition <strong>of</strong> anequity stake <strong>in</strong> <strong>the</strong> SME, as well as <strong>the</strong>iron-go<strong>in</strong>g dialogue with management. Their <strong>in</strong>volvement usuallymeans a higher degree <strong>of</strong> control over <strong>the</strong> bus<strong>in</strong>ess, which serves<strong>the</strong> goal <strong>of</strong> prepar<strong>in</strong>g <strong>the</strong> company for potential fur<strong>the</strong>r rounds <strong>of</strong>fund<strong>in</strong>g, creates more transparency and performance monitor<strong>in</strong>g.A seat on <strong>the</strong> board usually means that <strong>the</strong> company may also beable to access <strong>the</strong> <strong>in</strong>vestor’s additional resources <strong>in</strong> terms <strong>of</strong> bus<strong>in</strong>essdevelopment, legal or f<strong>in</strong>ancial advice.Expansion stage – venture capital and private equityWhile <strong>the</strong> bus<strong>in</strong>ess is grow<strong>in</strong>g <strong>in</strong> revenues, it may need all its cashflowto be <strong>in</strong>vested <strong>in</strong> product development and without additionalf<strong>in</strong>anc<strong>in</strong>g <strong>the</strong> company will have difficulty hir<strong>in</strong>g new sales andmarket<strong>in</strong>g staff, mak<strong>in</strong>g an acquisition or enter<strong>in</strong>g a new marketby sett<strong>in</strong>g up a sales <strong>of</strong>fice. Try E-learn<strong>in</strong>gOne <strong>of</strong> <strong>the</strong> fundamental company obligations <strong>in</strong> <strong>the</strong> field <strong>of</strong> humanresources is to provide health and safety at work (HSW) tra<strong>in</strong><strong>in</strong>gfor employees.The system <strong>of</strong> HSW tra<strong>in</strong><strong>in</strong>g is regulated by legal regulations.For simplification it can be divided <strong>in</strong>to <strong>the</strong> follow<strong>in</strong>g:In terms <strong>of</strong> time:1. Induction tra<strong>in</strong><strong>in</strong>g – conducted on <strong>the</strong> new employee entry.2. Periodic tra<strong>in</strong><strong>in</strong>g – employees must be tra<strong>in</strong>ed regularly <strong>in</strong> regulationsand <strong>in</strong>formed about HSW issues.In terms <strong>of</strong> activity:1. Basic tra<strong>in</strong><strong>in</strong>g – attended by all employees irrespective <strong>of</strong> <strong>the</strong>sector <strong>of</strong> <strong>the</strong> work<strong>in</strong>g activity.2. Special qualification tra<strong>in</strong><strong>in</strong>g – attended by employees operat<strong>in</strong>gequipment or carry<strong>in</strong>g out operations with <strong>in</strong>creased exposureto risks to health and safety (e.g. work on electrical <strong>in</strong>stallations,elevated work, operation <strong>of</strong> material handl<strong>in</strong>g trucks etc.)The modern wayE-learn<strong>in</strong>g is a modern, efficient and elegant solution, which cansignificantly help organisations <strong>in</strong> HSW tra<strong>in</strong><strong>in</strong>g. Due to <strong>the</strong> specificrequirements for HSW tra<strong>in</strong><strong>in</strong>g, e-learn<strong>in</strong>g can be recommendedabove all to organisations whose employees are exposed to lowerhealth and safety risks, such as <strong>the</strong> bank<strong>in</strong>g or <strong>in</strong>surance sectors,<strong>in</strong>formatics, bus<strong>in</strong>ess, services, public adm<strong>in</strong>istration and o<strong>the</strong>rs.The highly positive contribution provided by e-learn<strong>in</strong>g is mostvisible <strong>in</strong> companies <strong>of</strong> a fully adm<strong>in</strong>istrative character, but also <strong>in</strong><strong>the</strong> case <strong>of</strong> adm<strong>in</strong>istrative personnel <strong>of</strong> o<strong>the</strong>r companies. Electroniccourses are not necessarily ‘dull sessions on regulations prevent<strong>in</strong>gemployees from fulfill<strong>in</strong>g more important work<strong>in</strong>g duties, with<strong>the</strong> only last<strong>in</strong>g memory piquant occupational accident stories’.A significant role <strong>in</strong> <strong>the</strong> tra<strong>in</strong><strong>in</strong>g organisation proper belongs to<strong>the</strong> Learn<strong>in</strong>g Management System (LMS), which <strong>the</strong> electronic coursesare organised <strong>in</strong>. Proper sett<strong>in</strong>g <strong>of</strong> this system allows specificrequirements for HSW tra<strong>in</strong><strong>in</strong>g given by legal regulations, whicho<strong>the</strong>rwise <strong>in</strong> terms <strong>of</strong> organisation processes are difficult to cope with,(exam<strong>in</strong>ation <strong>of</strong> knowledge, periodic tra<strong>in</strong><strong>in</strong>g, <strong>in</strong>formation for employeesbetween periodic tra<strong>in</strong><strong>in</strong>g sessions, issuance <strong>of</strong> certificates, etc.),to be solved <strong>in</strong> a very simple manner. Certa<strong>in</strong>ly, e-learn<strong>in</strong>g is also <strong>the</strong>cheapest solution for adequate organisation <strong>of</strong> compulsory courses.Most Frequent QuestionsIs e-learn<strong>in</strong>g acceptable for <strong>the</strong> Health and Safety Executive?Application <strong>of</strong> e-learn<strong>in</strong>g to <strong>the</strong> HSW tra<strong>in</strong><strong>in</strong>g system is not preventedby any legal regulation. The tra<strong>in</strong><strong>in</strong>g system depends fullyon <strong>the</strong> organisation. Government bodies have also participated <strong>in</strong> <strong>the</strong>development <strong>of</strong> electronic courses, above all those designed for<strong>the</strong> pr<strong>of</strong>essional public – MPSV (<strong>the</strong> M<strong>in</strong>istry <strong>of</strong> Labour), ČÚBP (<strong>the</strong><strong>Czech</strong> Occupational Health and Safety Adm<strong>in</strong>istration), VÚBP (<strong>the</strong> OccupationalHealth and Safety Research Institute) and IVBP (<strong>the</strong> OccupationalHealth and Safety Education Institute).Is tra<strong>in</strong><strong>in</strong>g conducted us<strong>in</strong>g e-learn<strong>in</strong>g sufficiently provable?The LMS records <strong>the</strong> tra<strong>in</strong><strong>in</strong>g history <strong>of</strong> each employee. Employeespass courses <strong>in</strong> sections protected by access data. The course contentscan be back checked anytime, <strong>in</strong>clud<strong>in</strong>g associated legal regulations.Is <strong>the</strong> exam<strong>in</strong>ation <strong>of</strong> knowledge adequate?Exam<strong>in</strong>ation <strong>of</strong> knowledge <strong>in</strong> <strong>the</strong> e-learn<strong>in</strong>g system is ensured bytest<strong>in</strong>g, for which it is simple to set parameters. The test is evaluatedautomatically by <strong>the</strong> LMS. No employee passes <strong>the</strong> test withoutmeet<strong>in</strong>g <strong>the</strong> set criteria.Don’t employees miss contact with <strong>the</strong> lecturer?The LMS allows employee-lecturer communication <strong>in</strong> a form <strong>of</strong> enquiriesand answers. Feedback is for <strong>the</strong> entire time <strong>of</strong> e-learn<strong>in</strong>g period,thus also beyond obligatory deadl<strong>in</strong>es for periodic tra<strong>in</strong><strong>in</strong>g sessions.How about certificates?Requirements as to <strong>the</strong> certificate are important for HSW tra<strong>in</strong><strong>in</strong>g.Essential are namely <strong>the</strong> identification <strong>of</strong> <strong>the</strong> tra<strong>in</strong>ee, <strong>the</strong> coursecontents description, specification <strong>of</strong> <strong>the</strong> method <strong>of</strong> exam<strong>in</strong>ation<strong>of</strong> knowledge and identification <strong>of</strong> <strong>the</strong> tra<strong>in</strong><strong>in</strong>g guarantor (a personqualified to conduct <strong>the</strong> particular tra<strong>in</strong><strong>in</strong>g). Despite all <strong>the</strong> electronicrecords on <strong>the</strong> course history conta<strong>in</strong>ed <strong>in</strong> <strong>the</strong> LM, it is advisableto establish a system where employees pr<strong>in</strong>t <strong>the</strong>ir certificates from<strong>the</strong> LMS, sign <strong>the</strong>m and send <strong>the</strong>m to a unified register.Is <strong>the</strong> course content also adequate?As <strong>in</strong> <strong>the</strong> case <strong>of</strong> traditional courses, it is advisable to select a providerqualified to conduct <strong>the</strong> respective courses, who can guaranteethat <strong>the</strong> content <strong>of</strong> electronic courses are adequate. The key is to proactively address <strong>the</strong>se issues<strong>in</strong> your conversation with <strong>the</strong> venture capital <strong>in</strong>vestor – preferablybefore he or she is ask<strong>in</strong>g.But remember as a general rule it always takes more <strong>in</strong>vestmentthan orig<strong>in</strong>ally envisioned, and <strong>the</strong> prospect <strong>of</strong> subsequent<strong>in</strong>vestment rounds may make <strong>the</strong> <strong>in</strong>vestment at hand less attractivefor <strong>the</strong> <strong>in</strong>vestor. Moreover, <strong>the</strong> existence <strong>of</strong> competitors on yourcompany’s target markets does not discourage <strong>in</strong>vestors fromback<strong>in</strong>g your company. On <strong>the</strong> contrary: competitors validate <strong>the</strong>bus<strong>in</strong>ess opportunity and provide motivation for your company tomake better products or provide a better service, which is goodnews for <strong>in</strong>vestors.What does a venture capital firm <strong>of</strong>fer?You should be look<strong>in</strong>g for a lot more than just fund<strong>in</strong>g from yourpartners. Most venture capital firms will tell you about <strong>the</strong>ir abilityto add value <strong>in</strong> all aspects <strong>of</strong> bus<strong>in</strong>ess from management and strategy,to human resources, sales, market<strong>in</strong>g, account<strong>in</strong>g, valuationand forecast<strong>in</strong>g. Legal NewsOn 2 June 2004, Act no 340/2004 Coll., amend<strong>in</strong>g<strong>the</strong> <strong>Czech</strong> Competition Act 1 (<strong>the</strong> “Amendment”)took effect. The Amendment followsa recent change <strong>in</strong> competition rules at EUlevel as well as <strong>the</strong> accession <strong>of</strong> <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> <strong>in</strong>to <strong>the</strong> EU. The purpose <strong>of</strong> thisChanges to CompetitionLaw <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>article is to briefly outl<strong>in</strong>e <strong>the</strong> ma<strong>in</strong> changes<strong>in</strong>troduced by <strong>the</strong> Amendment.Horizontal and vertical restra<strong>in</strong>tson competitionThe Amendment abolishes <strong>the</strong> previous system<strong>of</strong> notify<strong>in</strong>g agreements restra<strong>in</strong><strong>in</strong>gcompetition to <strong>the</strong> <strong>Czech</strong> Office for <strong>the</strong> Protection<strong>of</strong> Economic Competition (<strong>the</strong> “Office”)and <strong>the</strong> grant<strong>in</strong>g <strong>of</strong> <strong>in</strong>dividual exemptionsby <strong>the</strong> Office. Therefore, from now on, <strong>the</strong>only exceptions to <strong>the</strong> prohibition <strong>of</strong> horizontaland vertical restra<strong>in</strong>ts on competition areconta<strong>in</strong>ed (i) <strong>in</strong> <strong>the</strong> Competition Act itself;or (ii) <strong>in</strong> <strong>the</strong> block exemption regulationsissued by <strong>the</strong> Office <strong>in</strong> <strong>the</strong> form <strong>of</strong> generallyb<strong>in</strong>d<strong>in</strong>g regulations.The restra<strong>in</strong>ts on competition (whe<strong>the</strong>r<strong>in</strong> <strong>the</strong> form <strong>of</strong> an agreement, resolution <strong>of</strong>an association <strong>of</strong> undertak<strong>in</strong>gs or act <strong>in</strong> concert)will be exempt from <strong>the</strong> prohibition if<strong>the</strong>y meet <strong>the</strong> follow<strong>in</strong>g conditions:(i) They aim to improve production or distributionor promote technical and economicdevelopment and, at <strong>the</strong> same time, assignto consumers an adequate portion <strong>of</strong> <strong>the</strong>advantages aris<strong>in</strong>g as a result <strong>the</strong>re<strong>of</strong>;(ii) They do not impose restrictions on undertak<strong>in</strong>gswhich would be unnecessary to achieve <strong>the</strong> aims described at po<strong>in</strong>t (i)above; and(iii)They will not result <strong>in</strong> <strong>the</strong> elim<strong>in</strong>ation <strong>of</strong> competition <strong>in</strong> a substantial part <strong>of</strong>a market <strong>in</strong> goods or services, <strong>the</strong> purchase or supply <strong>of</strong> which is <strong>the</strong> subjectmatter <strong>of</strong> <strong>the</strong> agreement (or <strong>the</strong> subject matter <strong>of</strong> <strong>the</strong> resolution <strong>of</strong> an association<strong>of</strong> undertak<strong>in</strong>gs or act <strong>in</strong> concert).Fur<strong>the</strong>rmore, <strong>the</strong> Amendment <strong>in</strong>creased <strong>the</strong> thresholds under which agreementsare considered de m<strong>in</strong>imis and thus exempt from <strong>the</strong> prohibition. Horizontal agreementsare thus exempt if <strong>the</strong> comb<strong>in</strong>ed market share <strong>of</strong> <strong>the</strong> parties <strong>the</strong>reto doesnot exceed 10%. Vertical agreements are exempt if <strong>the</strong> comb<strong>in</strong>ed market share <strong>of</strong><strong>the</strong> parties <strong>the</strong>reto does not exceed 15%. 2In addition, <strong>the</strong> Amendment <strong>in</strong>troduced <strong>the</strong> follow<strong>in</strong>g changes:(iv) It is no longer possible to request that <strong>the</strong> Office issue a negative clearance, i.e.a decision confirm<strong>in</strong>g that a particular agreement does not distort competition;(v) The Office may accept commitments <strong>of</strong>fered by <strong>the</strong> parties to a restrictive agreement,provided that such commitments will be sufficient for <strong>the</strong> protection <strong>of</strong>competition and provided any distortion <strong>of</strong> competition can be removed. However,<strong>the</strong> Office may not accept <strong>the</strong> commitments <strong>of</strong> parties who have already actedupon <strong>the</strong> restrictive agreements and such actions resulted or could have resulted<strong>in</strong> <strong>the</strong> distortion <strong>of</strong> competition.Abuse <strong>of</strong> dom<strong>in</strong>ant positionThe Amendment extends <strong>the</strong> application <strong>of</strong> <strong>the</strong> essential facilities doctr<strong>in</strong>e to <strong>in</strong>tellectualproperty or o<strong>the</strong>r natural monopolies (whe<strong>the</strong>r based on ownership or public law).Fur<strong>the</strong>rmore, <strong>the</strong> Amendment makes it possible for <strong>the</strong> Office to accept commitmentsfrom a dom<strong>in</strong>ant undertak<strong>in</strong>g which abused its position, provided that<strong>the</strong> Office considers <strong>the</strong> commitments sufficient for <strong>the</strong> protection <strong>of</strong> competitionand provided any distortion <strong>of</strong> competition can be removed. Incomparison with <strong>the</strong> previous regulation, <strong>the</strong> Amendment makes it clear that<strong>the</strong> seller’s turnover should not be taken <strong>in</strong>to account when calculat<strong>in</strong>g <strong>the</strong>comb<strong>in</strong>ed turnover <strong>of</strong> <strong>the</strong> undertak<strong>in</strong>gs concerned.The Amendment abolished <strong>the</strong> mandatory seven-day fil<strong>in</strong>g deadl<strong>in</strong>e.Therefore, from now on merger notifications should be made only when <strong>the</strong>notification documentation is complete. The prohibition on clos<strong>in</strong>g prior toclearance still applies.The Amendment has also substantially <strong>in</strong>creased <strong>the</strong> fil<strong>in</strong>g fees – from <strong>the</strong>current amount <strong>of</strong> CZK 10,000 to CZK 100,000.Procedural changes, dawn raids <strong>in</strong> private homes <strong>of</strong> company <strong>of</strong>ficialsThe Office has been designated as <strong>the</strong> authority responsible for apply<strong>in</strong>gArticles 81 and 82 <strong>of</strong> <strong>the</strong> Treaty. When enforc<strong>in</strong>g rules conta<strong>in</strong>ed <strong>in</strong> Articles81 and 82 and <strong>in</strong> Regulation 1/2003/EC <strong>the</strong> Office will apply <strong>the</strong> same proceduralrules as applicable to domestic competition law matters.With <strong>the</strong> prior approval <strong>of</strong> <strong>the</strong> national court, <strong>the</strong> Office will be entitledto conduct on-<strong>the</strong>-spot <strong>in</strong>vestigations <strong>in</strong> private homes <strong>of</strong> company <strong>of</strong>ficials,provided that it is reasonably expected that <strong>the</strong>re are documents evidenc<strong>in</strong>ga substantial breach <strong>of</strong> competition law.ConclusionThe Amendment br<strong>in</strong>gs about two pr<strong>in</strong>ciple categories <strong>of</strong> change. Here is a perfectcomb<strong>in</strong>ation <strong>of</strong> ambience, unobtrusive and virtuous care from<strong>the</strong> staff, all accompanied by nice music.But <strong>the</strong> most <strong>in</strong>terest<strong>in</strong>g moment comes when you open <strong>the</strong>menu. A “bubble” <strong>in</strong>a market generally means <strong>the</strong> price <strong>of</strong> an asset has grown so much that it has outstripped<strong>the</strong> asset’s fundamental value, usually on speculation that prices will cont<strong>in</strong>ue to <strong>in</strong>crease,driv<strong>in</strong>g prices higher until <strong>the</strong>y reach an unsusta<strong>in</strong>able level and eventually collapse.But note that bubbles typically do not pop like a balloon; <strong>the</strong>y don’t even crash likestock markets. Ra<strong>the</strong>r, <strong>the</strong> air <strong>in</strong> hous<strong>in</strong>g bubbles tends to just leak out slowly – sometimespa<strong>in</strong>fully slowly – while <strong>in</strong> commercial real estate markets <strong>the</strong>re is a more noticeablehiss. And traditionally <strong>the</strong> market adjustment to a collapse <strong>in</strong> real estate has come from<strong>the</strong> quantity side, not <strong>the</strong> price side – fewer houses are sold – while price reductionstend to come gradually. This doesn’t mean that hous<strong>in</strong>g bubbles can’t exist or that <strong>the</strong>bust is any less pa<strong>in</strong>ful, only that it doesn’t make as much noise.Now, with respect to <strong>the</strong> hous<strong>in</strong>g market <strong>in</strong> Prague, let’s be clear; <strong>the</strong>re is no bubbleand here’s why:• Home prices rema<strong>in</strong> relatively affordable. Even though home prices have grown, <strong>the</strong>affordability <strong>of</strong> hous<strong>in</strong>g – <strong>the</strong> l<strong>in</strong>k between <strong>in</strong>comes and home costs – rema<strong>in</strong>s <strong>in</strong> check,thanks <strong>in</strong> part to historically low mortgage rates and <strong>the</strong> fact that for several years,mid-manager/manager <strong>in</strong>comes grew slightly faster than home prices and people saved.Home prices rema<strong>in</strong> with<strong>in</strong> <strong>the</strong> reach <strong>of</strong> many with a little saved and <strong>the</strong> ambition tobe a home owner.• Hous<strong>in</strong>g <strong>in</strong>ventories rema<strong>in</strong> reasonably low. One key sign <strong>of</strong> a hous<strong>in</strong>g “bubble” wouldbe a grow<strong>in</strong>g stock <strong>of</strong> unsold homes on <strong>the</strong> market as speculative production outpaceddemand and affordability. This has not yet occurred <strong>in</strong> this market, nor do we anticipateit <strong>in</strong> <strong>the</strong> near to mid term. Demand for homes cont<strong>in</strong>ues <strong>in</strong> a large part because<strong>of</strong> strong demand fuelled <strong>in</strong> some ways by growth <strong>in</strong> new household formations, <strong>the</strong>steady growth <strong>in</strong> disposable <strong>in</strong>come and <strong>the</strong> strongest eng<strong>in</strong>e, <strong>the</strong> new mortgage productsbe<strong>in</strong>g <strong>of</strong>fered by area lenders. Meanwhile, <strong>the</strong> supply <strong>of</strong> homes is held <strong>in</strong> checkby land use, available developable land, and homebuilder <strong>in</strong>ventory controls, (<strong>the</strong>phas<strong>in</strong>g <strong>of</strong> build<strong>in</strong>g construction and <strong>the</strong> sales <strong>of</strong> new units). These supply-demandfactors – not price speculation – have helped to push home prices up.• Hous<strong>in</strong>g bubbles are hard to create. The hous<strong>in</strong>g market here has not experienced <strong>the</strong>“boom-bust” cycle <strong>in</strong> prices which have been seen <strong>in</strong> mature hous<strong>in</strong>g markets suchas <strong>the</strong> United States. Indeed, home prices have not really decl<strong>in</strong>ed as some mightsuggest. While home prices <strong>in</strong> a few areas <strong>of</strong> <strong>the</strong> city have been a little more buoyanton occasion, that is due mostly to some o<strong>the</strong>r volatility <strong>in</strong> that particular locale but notnecessarily because <strong>of</strong> a price “bubble”. As <strong>the</strong> US Federal Reserve Chairman AlanGreenspan recently noted, it is difficult to generate bubble conditions <strong>in</strong> hous<strong>in</strong>g.“Certa<strong>in</strong>ly <strong>the</strong> analogy to stock market bubbles is <strong>in</strong>appropriate,” he said, not<strong>in</strong>g thattransaction costs and <strong>the</strong> process alone generally prevents <strong>the</strong> type <strong>of</strong> speculativehous<strong>in</strong>g demand that leads to bubbles.There cont<strong>in</strong>ues to be unprecedented <strong>in</strong>terest <strong>in</strong> <strong>the</strong> residential real estate markets <strong>of</strong>central and eastern Europe, but particularly <strong>in</strong> Prague. But not only among local buyers.Prague is seen as far more western than its Polish or Hungarian counterparts and<strong>the</strong> level <strong>of</strong> English spoken throughout <strong>the</strong> city helps <strong>British</strong> and Irish <strong>in</strong>vestors feel morecomfortable about where <strong>the</strong>ir <strong>in</strong>vestments are located. It also helps that <strong>the</strong>re are somany relatively <strong>in</strong>expensive flights to and from <strong>the</strong> City, to say noth<strong>in</strong>g <strong>of</strong> <strong>the</strong> stunn<strong>in</strong>garchitecture and <strong>the</strong> fasc<strong>in</strong>ation people have always had with Prague.S<strong>in</strong>ce May 1st <strong>in</strong>vestor <strong>in</strong>terest has steadily <strong>in</strong>creased while prices have rema<strong>in</strong>edrelatively stable. This flies <strong>in</strong> <strong>the</strong> face <strong>of</strong> <strong>the</strong> many predictions a year ago that EU entrywould br<strong>in</strong>g about a price spike. Note: this author never agreed with that <strong>the</strong>ory but ra<strong>the</strong>rsaid that prices would cont<strong>in</strong>ue unphased along <strong>the</strong>ir current growth curve. Today, <strong>the</strong>value <strong>of</strong> quality properties cont<strong>in</strong>ue to appreciate at about 6-8% per year and it is anticipatedthat this growth will follow that trend for some time to come.Rental yields have slowly levelled <strong>of</strong>f due <strong>in</strong> large part to <strong>in</strong>creased <strong>in</strong>vestor activities.There is a larger stock <strong>of</strong> quality rental hous<strong>in</strong>g, leav<strong>in</strong>g new expats mov<strong>in</strong>g to Praguewith more to choose from and more to say about where <strong>the</strong>y will live. Yields, <strong>in</strong> today’srental market average 5 to 7%; still averag<strong>in</strong>g a few po<strong>in</strong>ts above western equivalent<strong>in</strong>vestment returns.Is now a good time to buy? Categorically yes.
