NOTICE TO ALL MEMBERSNotice is hereby given that the Annual General Meeting of the City of Blacktown RSL Club Limitedwill be held in the Club's Celebrity Room on Sunday, 17th October 2010 at 10.00am.BUSINESS1. Confirm the Minutes of the Thirty Seventh (37th) Annual General Meeting.2. Receive reports from the Board of Directors.3. Receive and consider the Income Statement, Balance Sheet and the Report from theAuditor.4. Notice of Special Resolutions.Notice is hereby given that at the Annual General Meeting of the City of Blacktown RSL Club Limited, tobe held on Sunday, 17th October 2010 at 10.00am in the Club’s Celebrity Room, those Memberspresent will be asked to consider and if thought fit, pass the following resolutions which are proposed asSpecial Resolutions.FIRST SPECIAL RESOLUTION.That the Constitution of the City of Blacktown RSL Club Ltd be amended by:1. Replacing the word ‘member’ with the word ‘Member’ and the word ‘members’ with the word‘Members’ wherever they appear in the Constitution in relation to a Member or Members of the Club,but not where they are used in relation to a member or members of the Board.2. Deleting the words ‘When any provision of the Act is referred to the reference is to that provision asmodified by any law for the time being in force. Unless the contrary intention appears expressionsdefined in the Act or any modifications thereof made by any law in force at the date at which theseregulations become binding on the Club shall have the meaning so defined.’ from the definition of‘The Act’ in Rule 1.3. Deleting the definition of ‘R.S.L.’ from Rule 1.4. Adding the following definitions to Rule 1:‘Authorised Person, for the purposes of Rule 38(c), means the Secretary, the senior employee onduty in the absence of the Secretary, or an employee or agent of the Club authorised by theSecretary.’‘Business Day means any day except Saturday, Sunday, a bank holiday or public holiday in NewSouth Wales.’‘Club Licence means a licence held by the Club under the Liquor Act.’‘Liquor Act means the Liquor Act 2007.’‘Registered Clubs Act means the Registered Clubs Act 1976.’5. Deleting the definitions of ‘In writing and written’ and ‘month’ from Rule 1.6. Deleting Rule 3 in its entirety and replacing it with the following new Rule 3:‘3 (a) A decision of the Board on the construction or interpretation of this Constitution, or on any By-Laws or regulations of the Club made pursuant to this Constitution or on any matter arising outof them, shall be conclusive and binding on all Members of the Club.(b) In this Constitution, the following rules of interpretation apply unless the context requiresotherwise:(i) headings are for convenience only and do not affect interpretation;(ii) the singular includes the plural and conversely;(iii) a gender includes any gender;(iv) if a word or phrase is defined, then its other grammatical forms have a correspondingmeaning;(v) a reference to legislation includes but is not limited to a modification or re-enactment of it,a legislative provision substituted for it and a regulation or statutory instrument under it;(vi) a reference to writing includes any mode of representing and reproducing words, figures,drawings or symbols in a visible form; and(vii) a reference to a ‘month’ means a calendar month.’7. Deleting the words ‘a certificate of registration under Part 2 of the Registered Clubs Act’ from Rule6(c) and replacing them with the words ‘Club Licence’, and, deleting the final word of Rule 6(c) being‘certificate’ and replacing it with the words ‘Club Licence’.8. Deleting Rule 7(b) in its entirety.9. Deleting the words ‘including residential and other accommodation liquid and other refreshment andprovision for sporting and educational activities and other social amenities’ from Rule 9(a).4 BLACKTOWN RSL CLUB LIMITED - where friends love to meet
ANNUAL REPORT 201010. Deleting the word ‘an’ from the first line of Rule 9(h) and replacing it with the word ‘and’.11. Deleting Rule 9(t) in its entirety and replacing it with the following new Rule 9(t):‘(t) To take such steps to make known the objects, aims and activities of the Club and to promote theobjects of the Club by any means the Club considers fit from time to time.’12. Deleting the words ‘Blacktown sub-Branch of the Returned and Servicemen's League (NSW Branch)Inc’ from Rule 13 and replacing them with the words ‘Blacktown sub-Branch of the Returned andServices League of Australia (New South Wales Branch)’.13. Deleting Rule 17 in its entirety.14. Deleting the word ‘Various’ from the heading of Rule 19 and replacing it with the word ‘Ordinary’.15. Deleting the words ‘Blacktown sub-Branch of the R.S.L.’ from Rule 19(a) and replacing them with thewords ‘Blacktown sub-Branch of the Returned and Services League of Australia (New South WalesBranch)’.16. Adding the word ‘Financial’ to the beginning of Rule 20(a) and before the words ‘Associate members’in the first line of Rule 20(a).17. Deleting Rule 23 in its entirety and replacing it with the following new Rule 23:‘23 (a) Persons may be admitted as Temporary Members of the Club for a period of up to, but notexceeding, 7 consecutive days (or for such longer period as the Casino. Liquor & GamingControl Authority may approve in writing) in accordance with the Registered Clubs Act.(b) The following persons in accordance with procedures established by the Board may beadmitted as Temporary Members of the Club:(i) any visitor whose permanent place of residence in New South Wales is not less than adistance from the Club as may be determined from time to time by the Board by By-lawpursuant to this Constitution (but being not less than the distance prescribed by theRegistered Clubs Act);(ii) Full Members (as defined in the Registered Clubs Act) of other clubs which are registeredunder the Registered Clubs Act and which have objects similar to those of the Club;(iii) a Full Member (as defined in the Registered Clubs Act) of any registered club or anyinterstate club (as defined in the Registered Clubs Act) who, at the invitation of the Boardor of a Full Member of the Club, attends on any day at the premises of the Club for thepurpose of participating in an organised sport or competition to be conducted by the Clubon that day, from the time on that day when the person so attends the premises of theClub until the end of that day; and(iv) any interstate or overseas visitor.’18. Adding the words ‘(or on the first day of a period of membership which is more than one day inaccordance with Rule 23)’ after the words ‘on any day’ in the third line of Rule 24(f).19. Deleting the words ‘name, address and occupation’ from Rule 30(b) and replacing them with thewords ‘name and address’.20. Deleting Rule 31(a) in its entirety and replacing it with the following new Rule 31(a):‘31 (a) If an applicant is not elected to membership under Rule 29, the Secretary will notify theapplicant in writing and refund any money paid by the applicant with his or her application formembership.’21. Adding a new Rule 32(c) as follows:‘(c) Membership subscriptions must be paid annually in advance, or if the Board so directs, may bepaid by monthly, quarterly or half-yearly instalments in advance or for more than 1 year inadvance. The Board may prescribe the time and manner of payment and all other relatedmatters not specifically provided for in this Constitution.’22. Deleting the words ‘Secretary shall give to the member in default 14 days written notice within whichsuch entrance fee or subscription must be paid and if the same shall not have been paid within thetime limited by such notice’ from Rule 34.23. Adding the words ‘from among their own number’ to the end of the first and second sentences ofRule 42(a).24. Deleting Rule 42(b) in its entirety.25. Deleting Rule 42(c) in its entirety and replacing it with the following new Rule 42(c):‘(c) On and from the 2003 election of the Board, the Board shall be elected biennially. The membersof the Board shall hold office until the conclusion of the second Annual General Meeting after thatat which they were elected when they shall retire but shall be eligible for re-election, subject to thisConstitution.’26.
