e.<strong>control</strong> TM functionalityEnergy efficiency according to EN 15232e.<strong>control</strong> TM - energy efficiency for lighting and sunblindsThe European standard EN 15232 sets thestandard for building automation, specifyingfor the first time a list of room and buildingautomation and management methodswhich influence the energy efficiency ofbuildings. Moreover, these are divided intofour efficiency classes in order ensure areasonable minimal functionality in accordancewith building contractors’ requirements.Whereas efficiency class C requires justthe legal minimum standards to be metwithout any specific energy-saving automation,class B already requires the use ofenergy-efficient room automation functionsfor all systems (heating, cooling, ventilation,lighting and sunblinds). This is reasonableinsofar as an increase in energy efficiencyis primarily achieved by <strong>control</strong>ling theusage of energy, i.e. within the rooms. Onlyin this way can waste energy, which is theresult of energy output which is not adaptedto utilisation requirements, be effectivelyruled out. For this reason, room automationin Green Buildings is of immense importanceand is explained in greater detail inthe tables below.The first two columns contain the roomautomation-related methods detailed inEN 15232 and which refer to lighting,sunblind, heating and cooling systems aswell as room climate <strong>control</strong> systems.The third column, also from this standard,shows the efficiency class which can beachieved with one method.The next column describes by which meansenergy savings are achieved.Column 5, “VDI 3813-2 Function” is particularlyimportant for the planning of roomautomation systems, as it provides the linkto the room automation functions describedin the directive VDI 3813-2. The 3 followingtables show which methods can beused efficiently in which type of building.The last column lists the e.<strong>control</strong> devices –and <strong>com</strong>binations thereof, which fulfil therequirements of the respective method andthus the required room automation functions.For the lighting system, the <strong>com</strong>bination ofan e.<strong>control</strong> multisensor and dimmable lightactuators of series R or M meets the highestefficiency class A. Via web technologies suchas HTML and XML users can carry out all<strong>control</strong> functions such as setting the desiredtemperature, energy mode and fan settingthrough their PC’s web browser – regardlessof the operating system installed – or via anIP-<strong>com</strong>patible telephone with display. In thisway, lamps can of course be switched onand off or dimmed, sunblinds, ventilationflaps or windows positioned and scenescalled up.From the point of view of system integration,dialog Web represents a device with amaximum of 150 virtual room <strong>control</strong> deviceswhich can be designed as simply asany other e.<strong>control</strong> room <strong>control</strong> device. Onthe LON side the server has its own Ethernetconnection with which it is integrated intothe automation backbone. As is usual at<strong>spega</strong>, parameterisation of the entire functionalityis achieved via productive plug-ins,making it possible to work online or offline.The integration into the IP infrastructure ofthe user is achieved via a separate Ethernetconnection. In this way, the server is alsobrilliantly suited for use in buildings withseveral rented units in which there is a strictdivision between the building automationbackbone and the respective LANs of thetenants. Access for administering user rightsand presentation features is also gainedthrough this port via web browser. Thelogin, password and access to variousrooms can be administered for each user.What’s more, this access is used for updatinglayout templates. This allows the userinterface to be largely adapted to the requirementsof the users and to the <strong>com</strong>pany'scorporate design.In addition to the web licences which grantaccess via web browser, dialog Web alsosupports the integration of IP-<strong>com</strong>patible telephoneswith display for XML applications(e.g. Siemens OpenStage or Cisco UnifiedIP Phones) via additional licences whichare available separately. The administrationtakes place in the same way via theweb access on the user side as describedabove. The administration of the telephonenumber assigned to the telephone is sufficientas an identifier for the room anduser assignment. Since nobuilding project is the same as the next,it is absolutely essential for the installedactuators to be variable. This is where theM series of <strong>spega</strong> gets full points. Up to24 random input or output channels canbe operated on a LON universal <strong>control</strong>lersistema MC and, thanks to the applicationspecificdimensioned modules, without anygain links or coupling relays. The following terms and conditions of sale and delivery of Spelsberg GebäudeautomationGmbH & Co. KG (hereinafter referred to as: <strong>spega</strong>) apply to allcurrent and – vis-à-vis businessmen regardless of a separate indication in theindividual case – also to all future legal transactions unless <strong>spega</strong> have expresslyacknowledged any deviations in writing. Collaterals and subsequent modificationsare binding for <strong>spega</strong> only after written confirmation by <strong>spega</strong>. The employeesof <strong>spega</strong> are not authorised to make oral agreements which deviate from theseGeneral Terms and Conditions.2. Any conditions of purchase of the ordering party shall be binding only after theexpress agreement of <strong>spega</strong> in writing.§ 2 Offers and scope of supply1. The offers of <strong>spega</strong> shall always be subject to change and not binding. Thecontract <strong>com</strong>es into force only after the written acknowledgement of order by<strong>spega</strong>. <strong>spega</strong> have the right to accept an offer from the ordering party within aperiod of three weeks.2. The documents which belong to <strong>spega</strong>’s offers such as figures, drawings,weight and measurement specifications only identify the subject-matter of thecontract and do not constitute an assurance of the properties and features of thecontractual item. They contain only approximate information within the scope ofthe customary <strong>com</strong>mercial tolerance values.3. <strong>spega</strong> retain the right of ownership and copyright with regard to drawings andother documents. These drawings and documents may not be made available tothird parties and are to be returned forthwith to <strong>spega</strong> postage paid at <strong>spega</strong>’srequest or in the event of the order not being placed.4. For the scope of supply, the written order acknowledgement of <strong>spega</strong> isdecisive. Protective devices shall be part of the delivery if and insofar as this hasbeen agreed upon in writing.5. <strong>spega</strong> reserve the right to make modifications to the delivery item if this doesnot impair the usability of the items for the purpose agreed upon, and the agreedcost effectiveness is not modified to the customer’s detriment. Technical improvementsare always permitted.§ 3 Prices and payments1. All prices are net prices. Discounts shall not be granted unless otherwiseagreed upon. The prices shall apply “ex works” (<strong>spega</strong>’s sales office), andexclude packaging and insurance. Bank, discount and debiting charges shallnot be borne by <strong>spega</strong>.2. The prices shall be calculated on the basis of the prices of materials andwages valid at the time of signing the contract. Should these increase by the timeof delivery, <strong>spega</strong> shall be entitled to invoice correspondingly higher prices asdeemed appropriate. This shall not be affected by downpayments and advancepayments made by the ordering party.3. In the absence of any agreement to the contrary, payment shall be made in cashwithout discount ex appointed payment office of <strong>spega</strong>, and at the time of invoicingregardless of the time of delivery of the goods (“cash upon invoice”).4. In the event of payment not being effected on time, <strong>spega</strong> have the righta) to demand annual interest in the amount of 5% over the basic interest rateaccording to §1 of the discount transfer law of 9.6.1998 (Official FederalGazette I S1242),b) to immediately assert all claims vis-à-vis the ordering party arising from thisor other business transactions, also in cases where individual instalmentsare not yet due,c) to retain supplies or other services from this or other transactions until <strong>com</strong>pletefulfilment of all claims which <strong>spega</strong> is entitled to from this or other orders bythe ordering party,d) to request appropriate security.<strong>spega</strong> reserve the right to assert any damage that goes beyond the aforementioned.5. The assertion of rights of retention or set-offs as well as the plea of non-performanceor poor performance are not possible vis-à-vis <strong>spega</strong>’s claims unless thecounterclaims are legally ascertained, indisputable or acknowledged by <strong>spega</strong>..6. In the event of cancellation of orders, the agreed price shall be due and payablewith immediate effect. However, the costs which <strong>spega</strong> have saved for thepartial work still to be performed until the <strong>com</strong>pletion of the ordered parts mustbe deducted. The remuneration amounts to 30% of the order volume, unless thecontracting party proves a smaller damage. <strong>spega</strong> reserve the right to provideproof of a greater damage.§ 4 Delivery period and delay in acceptance1. <strong>spega</strong> shall do their utmost to meet all delivery dates and deadlines; the deliverydates specified by <strong>spega</strong> can, however, only be intended for general guidancedue to lack of explicit assurance. Delivery shall, however, take place at the latestwithin 3 weeks of the specified date subject to timely self-delivery.2. Deadlines begin with the sending of the order acknowledgement, however,not before provision of the final documents and/or approvals to be procured bythe ordering party, the clarification of all technical issues as well as before thereceipt of an agreed downpayment. Delivery dates shall be deemed observed ifthe delivery item has left the point of dispatch at <strong>spega</strong> by the time they expire ornotice of readiness for dispatch has been submitted.3. Delivery and performance dates shall be extended appropriately in case ofmeasures due to labour disputes, in particular in the case of strikes or lock-outsand in the event of occurrence of unforeseeable obstacles if these result indelays in the rendering of services which are not caused by <strong>spega</strong> or their suppliersor sub-suppliers.4. In the event of default on the part of <strong>spega</strong>, their obligation to pay damages inthe case of slight negligence is restricted to foreseeable damage. Further damagesclaims apply only if the delay is caused by wilfulness or gross negligence.5. In case the ordering party falls into arrears with the acceptance of the service,<strong>spega</strong> without prejudice to further statutory claims are authorised to charge ½%of the invoiced value per month for the costs of storage, however, a maximum of5% unless the ordering party proves a smaller damage. <strong>spega</strong> reserve the rightto assert a greater damage.§ 5 Transfer of riskThe risk is transferred to the ordering party the moment the delivery leaves thepoint of dispatch at <strong>spega</strong> or the moment it is made available to the ordering partythrough notice of readiness for dispatch. Dispatch is carried out for account of theordering party and at the latter’s risk.§ 6 Partial deliveries<strong>spega</strong> are entitled to effect partial deliveries and also premature deliveries afterprior information.§ 7 Reservation of ownership1. The items delivered by <strong>spega</strong> remain the property of <strong>spega</strong> until <strong>com</strong>pletepayment of the purchase price including all incidental claims. Furthermore, <strong>spega</strong>reserve the right of ownership regarding these items up to the <strong>com</strong>plete paymentof all existing and future claims from the already existing business relationship orthe one brought about by the contract.2. Processing or alteration of the supplied item shall always be carried out for<strong>spega</strong>. If the item is processed together with other items which do not belong to<strong>spega</strong> with the consequence that the item loses its legal independence, <strong>spega</strong> shallacquire co-ownership for the new item at a ratio of the value of the goods deliveredby <strong>spega</strong> to the other processed goods at the time of processing.3. If the item is mixed with other items which do not belong to <strong>spega</strong>, <strong>spega</strong> shallthen acquire the co-ownership for the new item at a ratio of the value of the itemdelivered by <strong>spega</strong> to the other mixed item at the time of mixing. If the item of theordering party is to be seen as the main item, the ordering party shall proportionallytransfer the ownership to <strong>spega</strong>.4. In case of seizure or other interventions on the part of third parties, the orderingparty must inform <strong>spega</strong> forthwith in writing. The costs of intervention and reprocurementshall in all circumstances be borne by the ordering party.5. In case of negligent behaviour on the part of the ordering party which is inbreach of the contract as well as in the event of justified doubts regarding thecreditworthiness, in case of delayed payment, stoppage of payment or institutionof insolvency proceedings, <strong>spega</strong> have the right to ask for the purchased item tobe returned or to take it back. This as well as seizure of the reservation item doesnot imply a termination of the contract unless this would be expressly stipulatedby <strong>spega</strong>. Items which have been taken back can be freely used by <strong>spega</strong>. Thein<strong>com</strong>e from such utilisation shall be offset against the remuneration. The orderingparty is liable for the claim of preferential creditor.6. The delivery items are to be treated carefully by the ordering party and must befully insured by the latter at own expense against fire, water, explosion and otherdamage. <strong>spega</strong> must be informed forthwith of the occurrence of any damage.7. The ordering party is authorised to sell off the goods in the course of a properbusiness transaction. If the ordering party disposes of the item which is coveredby reservation of ownership, it is, however, obliged to preserve such reservationof ownership likewise vis-à-vis third-party purchasers. The ordering party shallassign to <strong>spega</strong> for the period of the reservation of ownership, from now up to<strong>com</strong>plete redemption of all claims of <strong>spega</strong>, the claims vis-à-vis its buyer arisingfrom the sale, including all subsidiary rights, regardless of whether the itempurchased has been re-sold without or after processing. The ordering party hasthe right to collect the assigned claim itself, however, this assigned claim mustforwarded forthwith to <strong>spega</strong>. <strong>spega</strong> can notify third-party purchasers at anytime of the assignment.<strong>spega</strong> are entitled to revoke the authorisation for further disposal and collectionwith immediate effect if the ordering party does not fulfil its service obligationstowards <strong>spega</strong>.8. If the value of the security rights granted to <strong>spega</strong> through reservation ofownership exceeds the delivery requirements of <strong>spega</strong>, including subsidiaryrequirements, by more than 20%, <strong>spega</strong> shall, at the request of the ordering party,undertake to release any securities in the corresponding amount.§ 8 Copyright, software license, industrial rights<strong>spega</strong> retain the copyright to the software. After <strong>com</strong>plete payment, the orderingparty is granted the non-exclusive right of use to the supplied software. Here, theseparate license conditions for the relevant software shall apply.§ 9 Warranty, damages and claims for<strong>com</strong>pensation of expenses1. If the customer is an entrepreneur, then he must duly fulfil his obligation toexamine and give notice of defects according to §377 of the German CommercialCode. Notice of defects must be submitted in writing within 8 working days afterreceipt of the delivery item at the place of destination or, insofar as these couldnot be detected during a standard examination, within 8 working days after thedetection of such defects. If the customer is a consumer, the obvious defectsmust be notified within two weeks following hand-over of the goods, non-obviousdefects within two months following detection of the defects.2. Insofar as a service rendered on the part of <strong>spega</strong> shows a defect, the causeof which was already known at the time of transfer of risk, the customer hasthe right to post-performance through rectification or post-delivery dependingon <strong>spega</strong>’s choice. The expenses required here shall be borne by <strong>spega</strong> only ifthey are not increased because a delivery item was transferred subsequently toa location other than the <strong>spega</strong> head office, unless this transfer is in accordancewith the intended purpose. Replaced goods shall be<strong>com</strong>e the property of <strong>spega</strong>and must be returned to <strong>spega</strong>.3. In case of failure to subsequently perform the contractual obligations, thecustomer has the right, notwithstanding any claims for damages or <strong>com</strong>pensationof expenses according to the present General Terms and Conditions, to choosebetween either reducing the remuneration or, insofar as the violation of the obligationon the part of <strong>spega</strong> is considerable, rescinding the contract.4. Defects in a part of the goods delivered do not entitle the customer to object to theentire delivery, unless the partial deliver is not of any interest to the customer.5. Warranty claims be<strong>com</strong>e statute-barred in 12 months, in business transactionswith a consumer in 24 months according to § 13 of the German Civil Code. Thisdoes not apply insofar as these claims are based on wilful behaviour attributableto <strong>spega</strong> or if statutory regulations make longer deadlines mandatory. For replacementparts or rectification work, <strong>spega</strong> shall be liable until the expiry of the periodof limitation applicable to the original delivery item.6. In case of notices of defect, payments of the customer can be retained onlyto an extent which is appropriate to the defects that have occurred if the claimsof the customer are indisputable or legally ascertained. If the notice of defect isunjustified, <strong>spega</strong> have the right to demand <strong>com</strong>pensation from the customer forthe expenses incurred by <strong>spega</strong>.7. <strong>spega</strong> are liable according to the statutory provisions insofar as the customerasserts claims for damages or for <strong>com</strong>pensation of expenses which are causedby wilfulness or gross negligence. Furthermore, <strong>spega</strong> are liable according tostatutory provisions if <strong>spega</strong> culpably violate an important contractual obligationas well as in cases of injury to life, body or health and insofar as guaranteeshave been assumed.8. Damages for the violation of an important contractual obligation are restrictedto foreseeable, typical forms of damage insofar as not caused by wilfulness orgross negligence and as long as there is no liability for the injury to life, body orhealth or due to guarantees assumed. Hence, these claims for damages be<strong>com</strong>estatute-barred in 12 months, and in the case of business transactions with aconsumer, in 24 months.9. In all other cases, liability for damages is excluded without taking into accountthe legal nature of the asserted claim. Thus <strong>spega</strong> are, in particular, not liable fordamage which has not occurred on the delivery item itself, e.g. loss of profit orother damage to the property of the customer or of his buyer.10. The obligatory provisions of the product liability act shall remain unaffected.11. Claims for <strong>com</strong>pensation of expenses on the part of the customer are limitedto the amount of interest which the customer has in the performance of thecontractual obligations.12. Insofar as the liability of <strong>spega</strong> is excluded or limited, this also applies topersonal liability of the employees, representatives and agents.§ 10 ImpossibilityIf <strong>spega</strong> are unable to render the service expected for reasons attributable to<strong>spega</strong>, the ordering party has the right to rescind the contract. Damages do notexist unless this impossibility is caused by wilfulness or gross negligence on thepart of <strong>spega</strong>, their representatives or agents. In case of slight negligence, theliability is limited to typical, foreseeable damage, excluding indirect damage. Theamount of damages is 10% of the value of the item which cannot be rendered,whereby the ordering party reserves the right to prove a greater damage and<strong>spega</strong> reserve the right to prove a smaller damage.§ 11 Industrial rights and copyright1. In the event that a third party raises justified claims against the ordering partydue to the violation of an industrial right or copyright (hereinafter referred to as: industrial right) caused by products supplied by <strong>spega</strong> and contractually used,<strong>spega</strong> shall be liable vis-à-vis the ordering party as follows:a) <strong>spega</strong> shall, of their own choice, either bring about a right of use for the product,modify the product in such a way that the industrial right is not violated or replacethe product. If <strong>spega</strong> are unable to do so at appropriate conditions, they musttake back the product and reimburse the purchase price.b) The aforementioned obligations of <strong>spega</strong> only exist if the ordering party notifies<strong>spega</strong> forthwith in writing about claims asserted by the third party, does notrecognise a violation and if <strong>spega</strong> reserve the right to initiate any defensivemeasures and conciliation negotiations. If the ordering party stops using theproduct for reasons of mitigation of damage or other important reasons, theordering party is obliged to point out to third parties that stopping the use of theproduct does not imply a recognition of violation of industrial rights.2. Claims of the ordering party are excluded insofar as the ordering party has toaccount for the violation of the industrial rights.3. Claims of the ordering party are furthermore excluded insofar as the violationof industrial rights has been caused by special specifications on the part of theordering party, by an application which could not be foreseen by <strong>spega</strong> or becauseof the fact that the product was modified by the ordering party or used togetherwith products not supplied by <strong>spega</strong>.4. All further claims against <strong>spega</strong> are excluded. However, this does not affect §12 nor the right of the ordering party to terminate the contract.§ 12 Liability1. In all cases of violation of contractual or pre-contractual as well as statutoryobligations, <strong>spega</strong> are liable only where such violation is caused by wilfulness orgross negligence. A product liability applies only if this is made mandatory throughstatutory regulations. The liability for damage to persons is not affected.2. Insofar as <strong>spega</strong> violate a main obligation or an essential contractual obligationdue to negligence, <strong>spega</strong>’s <strong>com</strong>pensation obligation shall be restricted tocontractually typical, foreseeable forms of damage.§ 13 Final provisions1. Place of performance is Moers; exclusive venue for all legal disputes arisingfrom this legal relationship is Moers. <strong>spega</strong>, however, have the right to take legalaction against the contracting parties at their general venue.2. The contractual relationship including the delivery conditions shall be judgedexclusively according to German law, with the exclusion of the standardised UNConvention of Contracts for the International Sale of Goods, CISG, even if theordering party has its head office abroad or if the transaction in question is anexport transaction.3. Should individual parts of the afore-described provisions be ineffective, thisshall not affect the validity of the remaining delivery conditions. The contractingparties shall undertake to replace an ineffective provision through an effectiveversion which corresponds to its economic purpose.92 www.<strong>spega</strong>.<strong>com</strong>
