AUDITORS’REPORT TO THE BOARD OF DIRECTORS OF DIAMINES AND CHEMICALS LIMITED ONTHE CONSOLIDATED FINANCIAL STATEMENTS1. We have audited the attached Consolidated Balance Sheet of DIAMINES AND CHEMICALS LIMITED(“the Company”) and its subsidiary as at March 31, 2012, the Consolidated Statement of Profit andLoss and the Consolidated Cash flow Statement for the year ended on that date annexed thereto.These financial statements are the responsibility of the Company’s management and have beenprepared by the management on the basis of separate financial statements and other financialinformation regarding components. Our responsibility is to express an opinion on these financialstatements based on our audit.2. We conducted our audit in accordance with auditing standards generally accepted in India. ThoseStandards require that we plan and perform the audit to obtain reasonable assurance about whetherthe financial statements are free of material misstatement. An audit includes examining, on a test basis,evidence supporting the amounts and disclosures in the financial statements. An audit also includesassessing the accounting principles used and significant estimates made by management, as well asevaluating the overall financial statement presentation. We believe that our audit provides a reasonablebasis for our opinion.3. We have audited the financial statements of Diamines Speciality Private Limited (“the Subsidiary”),which was incorporated on January 16, 2012. Total Negative Net assets of the subsidiary as at March31, 2012 is ` 710,969, total revenue for the period of ` 810,969 and net cash inflow of ` 99,812.4. We report that the Consolidated Financial Statements have been prepared by the Company inaccordance with the requirements of Accounting Standards 21 (AS-21) - “Consolidated FinancialStatements”, as referred to in Section 211 (3C) of the companies Act, 1956, which have been notifiedby the Companies (Accounting Standards) Rules, 2006.5. We report that on the basis of the information and according to the explanations given to us, and on theconsideration of the separate audit report on individual audited financial statements of the Companyand its subsidiary, we are of the opinion that the said Consolidated Financial Statements, read togetherwith the notes forming part thereof, give a true and fair view in conformity with the accounting principlesgenerally accepted in India :i. In the case of the Consolidated Balance Sheet, of the state of affairs of the Company and itssubsidiary as at March 31, 2012;ii.iii.In the case of the Consolidated Statement of Profit and Loss, of the consolidated results of operationsof the Company and its subsidiary for the year ended on that date; andIn the case of the Consolidated Statement of Cash Flow, of the cash flows of the Company and itssubsidiary for the year ended on that date.For BANSI S.
