ARTICLE II MEMBERSHIPSection 1. Eligibility: Parents and /or legal guardians of children enrolled and attending theschool, and members of the school administration, faculty and staff shall be considered members inthe Home and <strong>School</strong> Club.Section 2. Voting: In any proceeding which voting by members is called for, each memberin good standing shall be entitled to cast one (1) vote.ARTICLE III: MEETINGSSection 1. Annual Meeting: The annual meeting of the organization shall be held duringSeptember of each year, or at such other date as may be designated by the Executive Board. TheBoard shall fix the time and place of the meeting and notice thereof shall be given by appropriatemeans to each member at least seven (7) days before said meeting. All planned activities andfundraising for the school year will be presented, discussed and voted upon at this meeting. Theannual budget will also be presented, discussed and voted upon.Section 2. Additional Meetings: General meetings of the organization shall be calledmonthly by the President, in conformance with the time, place and notice requirements for annualmeetings.Special meetings may be called by the President at any time, or upon written petition by ten(10) or more of the current members. Proper notice shall be given at least seven (7) days in advanceof any special meeting.Board meetings may be called by the President at any time, or upon application of three (3)or more members of the Executive Board. The Executive Board shall meet regularly.Section 3. Quorums: At any duly called general meeting, fifteen (15) members, includingthe Executive Board, in attendance shall constitute a quorum. Business may be conducted atgeneral meetings when a quorum is not present; however, all such business must be ratified at thenext general meeting during which a quorum is present.At any duly called board meeting, a quorum shall consist of no less than tow-thirds (2/3) ofthe Executive Board members. No business shall be conducted until a quorum is established, butsubsequent withdrawal of one (1) or more members shall not prevent a vote on pending matters.ARTICLE IV: ELECTION OF OFFICERSApril.Section 1. Time: Officers shall be elected annually by vote of the General Membership inSection 2. Nominating Committee: A committee shall be appointed by the ExecutiveBoard and presented to the membership at the March General Meeting. The Committee shallconsist of three members, one of which must be a teacher or staff member, and shall serve until theconclusion of the annual election in April.<strong>Jackson</strong> HSC By Laws May 2010.doc May 2010 2
