oOr, be an Emeritus member duly appointed to the Board by the VMASCExecutive Director.Section 4.02. Number, Qualifications and Term. The Board of Advisors shall consistof nine (9) Industry Members, one of which shall be the Chairman. The Board shall bemade up of at least one Member from each of the following industry groups defined asLarge, Medium, and Small companies as determined by an average of the AnnualGross Revenue. Large companies are defined as companies with revenue greater than$100M, medium companies with revenue greater than $50M but less than $100M, andsmall companies with revenue less than $50M. At the discretion of the VMASCExecutive Director, the Board may be augmented by At-Large Members who are invitedto participate in VMASC Board meetings and activities for a period of one-year. At-Large Members serve at the pleasure of the VMASC Executive Director and may serveconsecutive terms. Emeritus Members are not limited in number or duration of tenure.They provide advice and counsel to the Board. Emeritus Members do not vote at BoardMeetings.A Board Member shall serve until the completion of his term or until a successor iselected. In the case of vacancies occurring between annual VMASC meetings, theBoard of Advisors may, at its discretion, elect a person to fill the vacancy until the nextannual VMASC meeting, at which time a person shall be elected to fill the remainingyears of the departing Board of Advisors Member's term. The initial Board of Advisorsas defined under these bylaws shall consist of those initial Members of the Board ofAdvisors listed and in place under the Bylaws dated April 2004, who shall serve until the6
