CONTRACT TERMS & CONDITIONS1. Eligible Exhibits: <strong>Food</strong> and wine related organizations, including food specialty companies, wineries anddistributors, restaurants & delis, cookware manufacturers, coffee suppliers, microbreweries, fine dinnerwareproducers, specialty beverages, and kitchen equipment firms. Non-related products are also eligible, but aresubject to <strong>the</strong> sole determination of <strong>the</strong> <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong>.2. Space Reservations: will be accepted upon receipt of a signed contract and 25% non-refundable deposit.Payment must be made in full by September 15, 2011. <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> shall endeavor to assign bothspace consistent to <strong>Exhibitor</strong>'s wishes, subject to availability. However, <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> reserves <strong>the</strong>right, in its sole discretion, to assign or <strong>the</strong>refor reassign booth spaces in accordance with <strong>the</strong> effectiveness of <strong>the</strong>show as a whole. <strong>Exhibitor</strong> shall not assign or sub-lease <strong>the</strong>ir booth space to any person or entity.3. Care of Exhibits: <strong>Exhibitor</strong>s are responsible for <strong>the</strong> orderly presentation of <strong>the</strong>ir booth and for cleaningwithin <strong>the</strong>ir booth space, which may require purchasing housekeeping (e.g. vacuuming, etc.) from <strong>the</strong> AlliantEnergy Center. All tables must be skirted with floor-length, flame-proofed material that is pleated or ga<strong>the</strong>red4. Staffing/Attendance: <strong>Exhibitor</strong>s must have <strong>the</strong>ir displays set up by 3:00 pm, Friday, October 21, 2011.Booths must be staffed during all show hours; in no instance can a booth be left unattended. No booth will bedismantled before <strong>the</strong> official close of <strong>the</strong> show at 5 p.m., Sunday, October 23, 2011. If a booth is vacated priorto <strong>the</strong> show's closing, exhibitor will be charged an additional $400. All booths must be moved out no laterthan 11 p.m. on October 23, 2011. NO EXCEPTIONS.5. Signage/Demonstrations: Only professionally typeset signs will be allowed; no “homemade” or handlettered signs. No mechanical devices or o<strong>the</strong>r apparatuses can be noisy or interfere with o<strong>the</strong>r exhibitors.Mechanically-amplified demonstrations must be approved by <strong>the</strong> show producers.6. Booth Provisions: <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> will supply eight-foot high backdrapes; three-foot sidedrapesand rail; booth identification sign; one table with skirt, two chairs, carpeting and a waste basket. <strong>Exhibitor</strong>s areresponsible for any additional material, equipment or labor needed in <strong>the</strong>ir areas, including additional tables& chairs, electrical outlets and garbage cans. Exhibit booth packages and electricity can be ordered on <strong>the</strong>front of this form. Remaining services and equipment may be ordered through <strong>the</strong> Alliant Energy Center.7. Insurance and Liability: <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> assumes no risk and by <strong>the</strong> acceptance of this agreement,<strong>the</strong> <strong>Exhibitor</strong>s expressly release <strong>the</strong> management of and from any and all liabilities for any damage, injury orloss to any person or goods that may arise from <strong>the</strong> rental and occupations of space by <strong>Exhibitor</strong>s, and agreeto hold and save <strong>the</strong> management harmless of and from any loss or damage by reason <strong>the</strong>reof. <strong>Madison</strong> <strong>Food</strong>& <strong>Wine</strong> <strong>Show</strong> assumes no responsibility whatsoever for any property placed in <strong>the</strong> exhibition center and <strong>the</strong>management is hereby released and discharged from any and all liability from and loss, injury or damages topersons or property that may be sustained while at <strong>the</strong> show.8. Decorations: All decorations must be of fireproof material, or be made fireproof by treatment with fireproofingliquid. No decorations may exceed above <strong>the</strong> booth's 8' backdrop or 3' side wall. <strong>Exhibitor</strong>s may not place anybooth furnishings, etc. outside of assigned area. <strong>Show</strong> colors are burgandy and gray.9. <strong>Food</strong> Vendors: Must comply Dane County health department regulations concerning <strong>the</strong> storage, preparationand distribution of food items. <strong>Food</strong> exhibitors must provide <strong>the</strong>ir own hand-washing station and supplybooth workers with rubber gloves.10. <strong>Wine</strong> Vendors: All wine vendors must provide an inventory list of wines sampled at <strong>the</strong> <strong>Show</strong> toCenterplate Catering. All wines sold in <strong>the</strong> <strong>Wine</strong> Cellar must be brought in by a distributor.11. Trademark: The <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> is a registered trademark of <strong>Madison</strong> Magazine. Any use of<strong>the</strong> event name or logo must be approved by <strong>Madison</strong> Magazine.12. Cancellation: If <strong>the</strong> show as presently scheduled is cancelled or rescheduled due in whole or part to anycauses beyond <strong>the</strong> control of <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong>, <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> shall be entitled to 50%of all fees owed by <strong>Exhibitor</strong>, in order to cover <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> costs incurred in planning and staging<strong>the</strong> show. If show is cancelled or rescheduled due solely to any cause within <strong>the</strong> control of <strong>Madison</strong> <strong>Food</strong>& <strong>Wine</strong> <strong>Show</strong>, <strong>Madison</strong> <strong>Food</strong> & <strong>Wine</strong> <strong>Show</strong> shall refund all monies paid by <strong>Exhibitor</strong>.
