It is theVendor’s obligation to monitor <strong>Citizens</strong>’ website to review addendums.2.4 ENVIRONMENTAL POLICY: <strong>Citizens</strong> has implemented a Go Green Policy topromote sustainability. In its effort to do this, <strong>Citizens</strong> is identifying companiesthat have implemented policies that encourage environmental stewardship.Vendors are encouraged to identify green standards such as EnergyStar, GreenSeal, and LEED, among others, within their response.2.5 COOPERATIVE PURCHASING: With the consent of the awarded Vendor(s),this contract, if awarded, may be used by other governmental entities (includingfederal agencies) within and outside the State of Florida. The AwardedVendor(s) agree to make the same terms, and price, exclusive of freight andtransportation fees, if applicable, available to other such governmental entities.<strong>Citizens</strong> will in no way whatsoever incur any liability in relations to specifications,scope of work, delivery, payment, or any other aspect of purchases by suchagencies.2.6 SUBMISSION OF PROPOSAL: The purpose of the Proposal is to demonstratea Vendor’s qualifications, competence and capacity to undertake services inconformity with the requirements of this solicitation. The Proposal shoulddemonstrate the qualifications of the Vendor and of the particular staff to beassigned to this engagement.The prospective Vendor hereby certifies, by submission of a Proposal to thissolicitation, acceptance of the requirements, terms and conditions of thissolicitation and all appendices and any addendum released hereto. Five (5) points will be awarded to each Vendor whoqualifies for and provides notarized Standard Document No.: 08,FSBE / MBE / FBE Declaration of Qualification Form behind Tab 4.The decision whether to use FSBE preference will be made by<strong>Citizens</strong> after Proposals are received.2.8.5 TAB 5 – VENDOR’S ABILITY TO SUPPORT ALL GENERATORS ATALL SITES: Vendor shall provide copies of all training / certifications fromall manufacturers currently supported. Of specific interest are Caterpillar,Generac and Cummins Onan. Vendor is also required to providedocumentation demonstrating established partnerships / agreements withauthorized part suppliers.2.8.6 TAB 6 – NUMBER OF QUALIFIED TECHNICIANS ON STAFF INIDENTIFIED COUNTIES: Vendor is to provide documentationdemonstrating total headcount (by full and part time) of qualifiedtechnicians and other support resources per county, up to and includingan organizational chart.2.8.7 TAB 7 – ABILITY TO PROCURE RENTAL GENERATOR: Vendors toprovide documentation demonstrating established partnerships /agreements with entities that are in the business of renting and / orprocuring emergency power generators.2.9 EXCEPTIONS OR REQUESTED MODIFICATIONS: All proposed exceptionsand / or modifications to the solicitation requirements or the Standard Terms &Conditions shall be identified in the form of questions submitted to theProcurement Officer identified in Section 1.4, Contact Information and inaccordance with Section 2.1, Inquiries and Questions.Each proposed change or new requirement shall be submitted and marked as“proposed” or “required”. A notation of “required” by the Vendor will denote thatthe Vendor requires the change in order to accept an award. Proposed orrequired changes may be rejected by <strong>Citizens</strong> without notice.<strong>Citizens</strong>’ answers to questions will indicate whether <strong>Citizens</strong> is agreeable or notagreeable to the proposed exception(s) or requested modification(s). • Group 1 – Exceptions that are required in order for Vendor to submit aProposal. Without approval of the exception, the Vendor will not be ableto submit a Proposal; and• Group 2 – Requested modifications Vendor is proposing to <strong>Citizens</strong> thatwill not preclude Vendor from providing a Proposal to this solicitation.2.10 CORPORATE CHANGE: If Vendor is involved in or undergoing a sale,purchase, merger, or other related acquisition (“Change”) that will in any wayalter the Vendor’s legal entity, name, structure, financial status or businessoperations, Vendor shall submit behind Tab 1 if applicable:• A section disclosing all current entities involved in the Change, when theChange is anticipated to take place and any information related to theChange that may affect the Proposal;• Each area in Vendor’s Proposal (All Tabs) should contain a separatesection that discusses whether the Change will alter, modify or otherwiseaffect the Vendor’s Proposal; and• If this is not applicable to your Proposal, Vendor should provide astatement that this section is “not applicable” behind Tab 1.2.11 TIE BREAKING PROCESS: In the event a tie occurs in price and / or scorebetween two (2) or more Vendors during a competitive solicitation evaluation,<strong>Citizens</strong> will use the following process to break the tie and <strong>Citizens</strong> shalldetermine the recommended Vendor for award based upon the following criteria:• <strong>Citizens</strong> shall conduct a coin toss to determine the recommended Vendorfor award. The tied Vendors will be informed of the tie, and if possible willbe given the option of attending the coin toss. <strong>Citizens</strong> will document thecoin toss results in writing, which shall be signed by the person conductingthe coin toss and at least one (1) witness.2.12 REVIEW AND EVALUATION PROCESS: <strong>Citizens</strong> shall conduct acomprehensive and impartial review and evaluation of all Proposals meeting therequirements of this solicitation.Only timely submitted Proposals shall be reviewed by staff to determine if theycomply with the required forms and documents and submission requirementslisted in the solicitation. This will be a pass / fail review. Failure to meet any ofthese requirements may render a Proposal non-responsive and result in rejectionof the entire Proposal. Further evaluation will not be performed.For the purpose of review, evaluation, scoring and ranking, review categorieshave been divided into multiple sections. Vendor shall maintain all required licenses for its work and will beresponsible for obtaining all required permits at no cost to <strong>Citizens</strong>;4. All personnel in the employ of Vendors shall be trained, licensedand insured as required;5. Vendors must have a minimum of five (5) consecutive years priorexperience with the specific system(s), and with systems of similarsize and complexity to the requirements within this solicitation;6. Vendors must provide validation of certificate of training andauthorization by the generator’s manufacturer(s) to the competencyof their work ability;7. Vendors must obtain from the appropriate generator’s manufacturertheir status as a supplier, reseller or direct support chain vendor forthe materials and services required to support <strong>Citizens</strong>’ systems.Additionally, Vendors must be qualified as an approved supplychannel to the systems’ manufacturer(s). Vendors shallcontinuously adhere to all manufacturer and code-required checkoutprocedures for installation, maintenance, startup,commissioning and operation of any system or system equipmentbehind Tab 5;8. Vendors shall continuously adhere to all manufacturer startupprocedures for commissioned equipment;9. The personnel employed by the Vendor shall be capableemployees age 18 years or above qualified in this type of work.The Vendor shall be staffed with trained and experienced personnelwho will exhibit the capability to operate with a minimum ofsupervision. It is the Vendor’s responsibility to ensure that allemployees are legally allowed to work in the United States inaccordance with Immigration Policies.10. The Vendor shall require his employees to comply with theinstructions pertaining to conduct and building regulations issued byduly appointed officials such as the building managers, guards,inspectors, etc;11. Friends, visitors or family members of employees are not permittedin the work area at <strong>Citizens</strong>’ sites (addresses in Section 3.3,Service Locations, <strong>Generator</strong> Specifications and Requirements);and<strong>RFP</strong> No.: 10-0023 March 2, 2010Section 3 – Scope of Services Page 13 of 34


12. The Vendor shall adhere to security and safety standards.B. Service Requirements:1. Vendors must have adequate facilities, tools and equipment toprovide the services both properly and expeditiously;2. Vendors must have local staff to support each <strong>Citizens</strong>’ locationspecified in this solicitation; Vendor can submit proposal in supportof one (1) or multiple cities’ sites, but must have a presence (officestaffed with technicians) in each county for which a proposal wassubmitted.3. Vendors shall ensure that a trained representative is scheduledwith <strong>Citizens</strong> at the appropriate time to perform or provide allnecessary field services, maintenance, commissions and repairsrequired to preserve and maintain a manufacturer warranty for theinstalled system(s);4. Vendors shall keep all work areas clean and free from all debrisand rubbish to the most reasonable extent possible. The Vendorshall remove all debris and rubbish from the work area on each visitand shall maintain the work area in a broom clean condition;5. Prior to final inspection and / or acceptance of and work performed,Vendors shall provide a thorough wipe of all equipment panels andexposed access terminals. Vendors shall provide a visualinspection of the work area to ensure that no equipment or safetyhazards exist;6. Vendors shall immediately notify <strong>Citizens</strong>’ Facilities Managementpersonnel prior to removing or returning a system to service;7. Vendors shall perform the services at the designated <strong>Citizens</strong>’premises where the generator is located, unless otherwise agreedto by <strong>Citizens</strong>;8. All work shall be completed in a workmanlike manner according tostandard practices and any additional specifications provided by<strong>Citizens</strong>; and9. All parts, materials and supplies used by Vendor shall be new andfree of defects; and Vendor shall warrant that all repairs andimprovements provided as part of the services shall be free ofdefects in materials and workmanship for a period of one-year fromthe date of completion of each repair or improvement.C. Insurance Requirements: Vendors agree to maintain the followinginsurance coverage:1. Worker’s Compensation and Employer’s Liability InsuranceCoverage must include all Vendor’s employees and agentsengaged in performing the services, with limits as follow:<strong>RFP</strong> No.: 10-0023 March 2, 2010Section 3 – Scope of Services Page 14 of 34


a) Worker’s Compensation Insurance Coverage with limits noless than that required by the laws of the Florida; andb) b. Employer’s Liability Insurance Coverage with limits forbodily injury each accident - not less than one million dollars($1,000,000.00), for bodily injury / disease; each employee -not less than one million dollars ($1,000,000.00).2. Commercial General Liability Insurance Coverage: Coverage mustinclude personal injury, bodily injury (including wrongful death),broad form property damage, operations hazard, owner’s protectivecoverage and contractual liability. Limits shall be as follows:general aggregate - not less than two million dollars($2,000,000.00); per occurrence - not less than one million dollars($1,000,000.00); and products and completed operations liability -not less than one million dollars ($1,000,000.00) in the aggregate.3. Automobile Liability (If not covered by Vendor’s commercial liabilityinsurance): Coverage must include non-owned automobile liabilityinsurance in an amount not less than one million dollars($1,000,000.00) per occurrence insuring against any claims forpersonal injury (including wrongful death) and property damageresulting from any automobile accident involving Vendor or anyemployee or agent of Vendor.3.4 SERVICE REQUIREMENTS: The Vendor shall furnish all labor, equipment,transportation and materials to perform the scheduled maintenance andinspections as herein specified.The Vendor shall, for each generator listed in section 3.2, Locations of<strong>Generator</strong>s, make three (3) Quarterly Technical inspection calls (Level 1) andone (1) Annual <strong>Maintenance</strong> and Inspection (Level 2) call.A. Level 1: Quarterly Technical Inspection:1. Qualified technician to perform Technical Analysis. See Attachment“D”, Technical Analysis Inspection Form;2. Department prior to departure to verify the necessity of the repair services.This condition shall represent that a severe, abnormal condition exists, which hasgenerated an alert of a monitored element. This declaration shall mean “there isa disruption” to <strong>Citizens</strong>’ operations.<strong>Emergency</strong> repairs will require the following response:• <strong>Citizens</strong> shall be provided a corrective action within a time period set forthby <strong>Citizens</strong>, not to exceed four (4) hours from the 1st notice of incidentand request for service.• A list of these qualified individuals shall be provided to <strong>Citizens</strong> andupdated immediately whenever any change occurs.• When emergency repairs commence on a generator, repairs shallcontinue until completion, or unless <strong>Citizens</strong> determines another suitablecourse of action should be taken.• All labor hours for emergency repairs shall be per the flat rate the Vendorincludes on its attached bid sheets.If, during the emergency repair of a generator, <strong>Citizens</strong> determines a rentalgenerator is required, Vendor will respond with immediate efforts to initiate theprocess required to obtain and deliver a rental unit and once put in place, Vendorwill continue to provide and support same rental unit until such time as <strong>Citizens</strong>’generator is repaired and fully functional. In addition, if an emergency arises thatrequires the use of a rental generator; Vendor shall provide a rental generator atthe price stated on the proposal. If <strong>Citizens</strong> requires the use of a rental generatorfor a planned maintenance activity (maintenance on an on-site generator thatnecessitates a rental generator), Vendor will provide rental generator at thestated bid price. All rental generators shall arrive on site with a minimum of 200gallons of fuel, with additional fuel to be provided by the Vendor as required tomaintain an adequate quantity of fuel to ensure that it is not depleted during theemergency repair. <strong>Citizens</strong> reserves the right to procure additional fuel if it sochooses.<strong>Citizens</strong> reserves the right to eliminate or add additional locations or equipmentfor maintenance as needed without contract amendment. There may be timeswhen the equipment herein specified shall need repairs due to an Act of God,vandalism, etc.; therefore, Vendor is requested to provide “hourly labor rates” forboth normal and afterhours maintenance / repair and rental unit provision. Underthese circumstances, an Act of God, Vandalism, etc., <strong>Citizens</strong> may elect to havethe Vendor perform the repairs.3.6 WARRANTIES: All warranties shall commence at the time of acceptance of thesystem by <strong>Citizens</strong> and shall continue for a period of not fewer than 12 monthsand shall include labor and materials. 3.7 GUARANTEES: Vendors shall provide a minimum of a one-year guarantee forall work performed and all materials provided to the covered system(s). Theguarantee shall include any and all defective workmanship. Vendors shallprovide <strong>Citizens</strong> with a written statement of guarantee for the covered system(s).3.8 SPARE PARTS: Vendors shall provide <strong>Citizens</strong> with recommendations for thestocking of spare parts approved by the manufacturer for all equipment at aspecific location. The lists shall include part number and where the spare partcan be purchased. The vendor shall stock commonly used spare parts or havethem readily available.3.9 REPORTS: The Vendor shall provide <strong>Citizens</strong> with a copy of each and every“maintenance / inspection” report for <strong>Citizens</strong> equipment covered by this contract,to include copies of all completed Technical Analysis Inspection Forms and anyother maintenance reports created in conjunction with conducting maintenanceon <strong>Citizens</strong>’ generators.3.10 INVOICING <strong>FOR</strong> SERVICES: All services, except emergency services, shall bebilled and paid net 30 from date of invoice receipt. All invoices must includeapplicable supporting documentation, warranty information, maintenancedocumentation (copy of work order signed by authorized <strong>Citizens</strong> representativeper Section 3.9, Reports), and other relevant documentation.
