employment with the Company for a period <strong>of</strong> eighteen<br />
(18) months;<br />
(c) Employee agrees, that for a period lasting until eighteen<br />
(18) months after termination <strong>of</strong> his employment, he will<br />
not at any time, directly or indirectly, solicit the<br />
Company’s customers.<br />

Louisiana law makes noncompete agreements unenforceable. LA. REV. STAT.<br />
§ 23:921(A)(1). Texas law limits noncompete agreements but does not invalidate them.<br />
TEX. BUS. & COM. CODE § 15.50(a); see also Alex Shushen<strong>of</strong>f Mgmt. Servs., L.P. v. Johnson,<br />
209 S.W.3d 644 (Tex. 2006). The Employment Agreement Cammarata signed addressed<br />
both choice-<strong>of</strong>-law and forum. The relevant provision stated:<br />
Place <strong>of</strong> Performance; Governing <strong>Law</strong>. This Agreement is<br />
executed in Houston, Harris County, Texas. Further, any<br />
dispute or other proceeding to enforce the terms <strong>of</strong> this<br />
Agreement shall be adjudicated by a court <strong>of</strong> competent<br />
jurisdiction in Harris County, Texas. This Agreement and all<br />
rights, obligations, and liabilities arising hereunder shall be<br />
governed by, and construed and enforced in accordance with the<br />
laws <strong>of</strong> the State <strong>of</strong> Texas (excluding its conflicts <strong>of</strong> law<br />
provisions) applicable to contracts made and to be performed<br />
therein.<br />
