4 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>Insuring ClauseThe Statement of Fact or any information supplied by or on behalf of <strong>the</strong> Insured forms <strong>the</strong> basis of this contract between<strong>the</strong> Insured <strong>and</strong> <strong>the</strong> Insurer.In consideration of payment of <strong>the</strong> premium <strong>the</strong> Insurer will indemnify or o<strong>the</strong>rwise compensate <strong>the</strong> Insured against loss,destruction, damage, injury or liability (as described in <strong>and</strong> subject <strong>to</strong> <strong>the</strong> terms, conditions, limits <strong>and</strong> exclusions of this <strong>Policy</strong>or any Section of it) occurring or arising in connection with <strong>the</strong> Business during <strong>the</strong> Period of Insurance or any subsequentperiod for which <strong>the</strong> Insured pays <strong>and</strong> <strong>the</strong> Insurer agrees <strong>to</strong> accept a renewal premium.Signed on behalf of AllianzAndrew TorranceChief Executive, Allianz Insurance plc

Radioactive ContaminationLoss or destruction of or damage <strong>to</strong> any propertywhatsoever or any loss or expense whatsoever resulting orarising <strong>the</strong>refrom or any consequential loss or any legalliability of whatsoever nature directly or indirectly causedby or contributed <strong>to</strong> by or arising froma. ionising radiations or contamination by radioactivityfrom any nuclear fuel or from any nuclear wastefrom <strong>the</strong> combustion of nuclear fuelb. <strong>the</strong> radioactive, <strong>to</strong>xic, explosive or o<strong>the</strong>r hazardousproperties of any explosive nuclear assembly ornuclear component <strong>the</strong>reof.2. War (Not applicable <strong>to</strong> <strong>the</strong> Employers’ Liability Section)Loss, destruction, damage, death, injury, disablement orliability or any consequential loss occasioned by war,invasion, act of foreign enemy, hostilities (whe<strong>the</strong>r war bedeclared or not), civil war, rebellion, revolution, insurrectionor military or usurped power.3. E.Risks Exclusion(Not applicable <strong>to</strong> Employers Liability, Public Liability,Products Liability, Personal Accident Sections)a. loss or destruction of or damage <strong>to</strong> any ComputerEquipment (as defined below) consisting of or causeddirectly or indirectly by:i. programming or opera<strong>to</strong>r error whe<strong>the</strong>r by <strong>the</strong>Insured or any o<strong>the</strong>r personii. Virus or Similar Mechanism (as defined below)ii. Hacking (as defined below)iv. malicious personsv. failure of external networksunless, in respect of i, ii. <strong>and</strong> iii. above, such loss ordestruction or damage results from a concurrent orsubsequent cause not excluded by this or any o<strong>the</strong>r policyexclusion


6 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>General Exclusionsb. any financial loss or expense of whatsoever nature,including but not limited <strong>to</strong> business interruption,resulting directly or indirectly from <strong>the</strong> type of loss ordestruction or damage described in paragraph 1. of thisExclusionunless, in respect of a. i,ii, or iii above, <strong>the</strong> financial loss orexpense results from a concurrent or subsequent cause notexcluded by this or any o<strong>the</strong>r policy exclusionc. loss or destruction of or damage <strong>to</strong> any property o<strong>the</strong>rthan Computer Equipment where it arises directly orindirectly out of loss or destruction of or damage <strong>to</strong> anyComputer Equipment of <strong>the</strong> type described in paragraph1. of this Exclusionunless, in respect of loss or damage <strong>to</strong> o<strong>the</strong>r propertyarising from a. i, ii. or iii. above, resulting from a concurren<strong>to</strong>r subsequent cause not excluded by this or any o<strong>the</strong>rpolicy exclusiond. loss or destruction of or damage ei<strong>the</strong>r <strong>to</strong> ComputerEquipment or any o<strong>the</strong>r property where it consists of orarises directly or indirectly out of:i. <strong>the</strong> erasure, loss, dis<strong>to</strong>rtion, corruption orunauthorised access <strong>to</strong> or modification ofinformation on computer systems or o<strong>the</strong>r records,programs or software by rioters, strikers, locked-outworkers, persons taking part in labour disturbancesor civil commotions, or malicious personsii. <strong>the</strong> erasure, loss, dis<strong>to</strong>rtion, corruption orunauthorised access <strong>to</strong> or modification ofinformation on computer systems or o<strong>the</strong>r records,programs or software due <strong>to</strong> any cause not includedin d.i. aboveiii. any misinterpretation, use or misuse of informationon computer systems or o<strong>the</strong>r records, programs orsoftwareunless, in respect of d ii <strong>and</strong> iii above, such loss, destructionor damage results from a concurrent or subsequent causenot excluded by this or any o<strong>the</strong>r policy exclusione. any financial loss or expense of whatsoever nature,including but not limited <strong>to</strong> business interruption, whereit arises directly or indirectly from <strong>the</strong> type of loss ordestruction or damage described in paragraphs c <strong>and</strong> dof this exclusionunless, in respect of c, d. ii. <strong>and</strong> iii. above, <strong>the</strong> financial lossor expense results from a concurrent or subsequent causenot excluded by this or any o<strong>the</strong>r policy exclusion.For <strong>the</strong> purpose of this exclusion:Computer Equipmentmeans computer equipment, component, system or itemwhich processes, s<strong>to</strong>res, transmits or retrieves data, or anypart <strong>the</strong>reof, whe<strong>the</strong>r <strong>the</strong> property of <strong>the</strong> Insured or not,whe<strong>the</strong>r tangible or intangible <strong>and</strong> including withoutlimitation any information, programs or software.Virus or Similar Mechanismmeans any program code, programming instruction or o<strong>the</strong>rset of instructions intentionally constructed with <strong>the</strong> ability<strong>to</strong> damage, interfere with or o<strong>the</strong>rwise adversely affectcomputer programs, data files or operations (whe<strong>the</strong>rinvolving self replication or not), including but not limited<strong>to</strong> ‘Trojan Horses’, ‘Worms’ or ‘Logic Bombs’.Hackingmeans unauthorised access <strong>to</strong> any computer or computerequipment, component, system or item, whe<strong>the</strong>r <strong>the</strong>property of <strong>the</strong> Insured or not, which processes, s<strong>to</strong>res,transmits or retrieves data.


<strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong> 7General Conditions(Not applicable <strong>to</strong> <strong>the</strong> Legal Expenses Section where <strong>the</strong>Section Conditions replace <strong>the</strong> General Conditions statedbelow.)1. <strong>Policy</strong> VoidableThis <strong>Policy</strong> shall be voidable in <strong>the</strong> event ofmisrepresentation, misdescription or non-disclosure of anymaterial particular.2. Reasonable PrecautionsThe Insured shall take all reasonable care <strong>to</strong> preventaccidents <strong>and</strong> any injury, loss, destruction or damage <strong>and</strong>shall take all reasonable steps <strong>to</strong> observe <strong>and</strong> comply withstatu<strong>to</strong>ry or local authority laws, obligations <strong>and</strong>requirements3. ClaimsThe Insured shall in <strong>the</strong> event of any injury, loss,destruction, damage or consequential loss as a result ofwhich a claim is or may be made under this <strong>Policy</strong> or anySection of it, <strong>and</strong> again upon receipt by <strong>the</strong> Insured inwriting of any notice of any claim or legal proceeding,a. notify <strong>the</strong> Insurer as soon as reasonably possibleb. pass immediately, <strong>and</strong> unacknowledged, any letter ofclaim <strong>to</strong> <strong>the</strong> Insurerc. notify <strong>the</strong> Insurer immediately upon being advisedof any prosecution, inquest or enquiry connectedwith any injury, loss, destruction, damage orconsequential loss which may form <strong>the</strong> subject of aclaim under this <strong>Policy</strong>d. notify <strong>the</strong> police as soon as it becomes evident thatany loss, destruction or damage has been caused by<strong>the</strong>ft or malicious personse. carry out <strong>and</strong> permit <strong>to</strong> be taken any action whichmay be reasonably practicable <strong>to</strong> prevent fur<strong>the</strong>rloss, destruction, damage or consequential lossf. retain unaltered <strong>and</strong> unrepaired anything in any wayconnected with <strong>the</strong> injury, loss, destruction, damageor consequential loss for as long as <strong>the</strong> Insurer mayreasonably requireg. furnish within a reasonable time at <strong>the</strong> Insured’sexpense such fur<strong>the</strong>r particulars <strong>and</strong> information as<strong>the</strong> Insurer may reasonably requireh. make available at <strong>the</strong> Insured’s expense anydocuments required by <strong>the</strong> Insurer with regard <strong>to</strong>any letter of claimi. not pay or offer or agree <strong>to</strong> pay any money or makeany admission of liability without <strong>the</strong> previousconsent of <strong>the</strong> Insurerj. allow <strong>the</strong> Insurer in <strong>the</strong> name of <strong>and</strong> on behalf of<strong>the</strong> Insured <strong>to</strong> take over <strong>and</strong>, during such periods as<strong>the</strong> Insurer thinks proper, <strong>to</strong> have <strong>the</strong> absoluteconduct <strong>and</strong> control of all negotiations <strong>and</strong>proceedings which may arise in respect of any claim<strong>and</strong> <strong>the</strong> settlement <strong>the</strong>reof <strong>and</strong> co-operate fully with<strong>the</strong> Insurer for that purpose.No claim under this <strong>Policy</strong> shall be payable unless <strong>the</strong> termsof this General Condition have been complied with <strong>and</strong> anypayment on account of a claim already made shall be repaid<strong>to</strong> <strong>the</strong> Insurer.4. CancellationThe Insurer may cancel this <strong>Policy</strong> by giving <strong>the</strong> Insuredthirty (30) days notice at <strong>the</strong>ir last known address. Provided<strong>the</strong> premium has been paid in full <strong>and</strong> no claim has beenmade during <strong>the</strong> Period of Insurance <strong>the</strong> Insured shall beentitled <strong>to</strong> a proportionate rebate of premium in respect of<strong>the</strong> unexpired Period of <strong>the</strong> Insurance. For cancellationfollowing default in payment of <strong>the</strong> premium or any agreedinstalment <strong>the</strong> period of notice may be reduced <strong>to</strong> seven (7)days.5. FraudIf a claim is fraudulent in any respect or if fraudulentmeans are used by <strong>the</strong> Insured or anyone acting on behalfof <strong>the</strong> Insured <strong>to</strong> obtain any benefit under this <strong>Policy</strong>, or ifany injury, loss, destruction or damage is caused by <strong>the</strong>wilful act or <strong>the</strong> connivance of <strong>the</strong> Insured, all benefitunder this <strong>Policy</strong> shall be forfeited.6. Discharge of Liability (Not applicable <strong>to</strong> <strong>the</strong> Employers’Liability Section)The Insurer may absolve itself from any fur<strong>the</strong>r liability inconnection with any occurrence or all occurrences of aseries consequent on or attributable <strong>to</strong> one source ororiginal cause by <strong>the</strong> payment of <strong>the</strong> specified limit ofliability in respect <strong>the</strong>reof (after deducting <strong>the</strong>refrom anysums already paid) or by <strong>the</strong> payment of any balance of anymaximum limit of liability for any one Period of Insurancewhichever is <strong>the</strong> less, <strong>to</strong>ge<strong>the</strong>r with <strong>the</strong> amount of anycosts <strong>and</strong> expenses <strong>to</strong> <strong>the</strong> date of such payment.7. Law ApplicableUnless agreed o<strong>the</strong>rwise by <strong>the</strong> Insurera. <strong>the</strong> language of <strong>the</strong> <strong>Policy</strong> <strong>and</strong> all communicationsrelating <strong>to</strong> it will be English; <strong>and</strong>b. all aspects of <strong>the</strong> <strong>Policy</strong> including negotiation <strong>and</strong>performance are subject <strong>to</strong> English law <strong>and</strong> <strong>the</strong>decisions of English courts.8. Rights of PartiesSave as set out herein a person or company who was not aparty <strong>to</strong> this <strong>Policy</strong> has no right under <strong>the</strong> Contracts (Rightsof Third Parties) Act 1999 or any subsequent legislation <strong>to</strong>enforce any term of this <strong>Policy</strong> but this does not affect anyright or remedy of a third party which exists or is availableapart from such Act.

Bodily injury, death, disease, illness, mental injury,mental anguish or nervous shockb. invasion of <strong>the</strong> right of privacy, false arrest, falseimprisonment, false eviction or malicious prosecutionof any person2. Employeea. Any person under a contract of service orapprenticeship with <strong>the</strong> Insuredb. any of <strong>the</strong> following persons whilst working for <strong>the</strong>Insured in connection with <strong>the</strong> Businessi. any labour master or labour only subcontrac<strong>to</strong>ror person supplied by himii. any self-employed person providing labour onlyiii. any trainee or person undergoing workexperienceiv. any voluntary helperv. any person who is borrowed by or hired <strong>to</strong> <strong>the</strong>Insured3. BusinessThe Business specified in <strong>the</strong> Schedule conducted solelyfrom Great Britain, Nor<strong>the</strong>rn Irel<strong>and</strong>, <strong>the</strong> Isle of Man or<strong>the</strong> Channel Isl<strong>and</strong>s <strong>and</strong> includinga. <strong>the</strong> ownership, maintenance <strong>and</strong> repair of Premisesused in connection <strong>the</strong>rewithb. <strong>the</strong> provision <strong>and</strong> management of canteen, social,sports or welfare organisations for <strong>the</strong> benefit ofEmployees <strong>and</strong> <strong>the</strong> ambulance, first aid, fire, medical<strong>and</strong> security services of <strong>the</strong> Insuredc. <strong>the</strong> execution of private duties by Employees for anypartner, direc<strong>to</strong>r or senior official of <strong>the</strong> Insured4. Terri<strong>to</strong>rial Limitsa. The Insurer's liability for all compensation payable inrespect ofa. any one occurrence or all occurrences of a seriesconsequent on or attributable <strong>to</strong> one source ororiginal causeb. all claims first made against <strong>the</strong> Insured <strong>and</strong> notified<strong>to</strong> <strong>the</strong> Insurer during any one Period of Insurancecaused by <strong>and</strong> arising from Productsc. all claims first made against <strong>the</strong> Insured <strong>and</strong> notified<strong>to</strong> <strong>the</strong> Insurer during any one Period of Insurancecaused by <strong>and</strong> arising from Pollution orContaminationd. all claims first made against <strong>the</strong> Insured <strong>and</strong> notified<strong>to</strong> <strong>the</strong> Insurer during any one Period Of Insurancecaused by <strong>and</strong> arising from Libel <strong>and</strong> Sl<strong>and</strong>er asreferred <strong>to</strong> in Section Extension 14shall not exceed <strong>the</strong> Limit of Indemnity stated in <strong>the</strong>Schedule.2. Terrorism Limit of IndemnityIn respect of an act of Terrorism <strong>the</strong> Limit of Indemnityshall not exceed <strong>the</strong> Limit of Indemnity shown in <strong>the</strong>Schedule or £5,000,000 (whichever is <strong>the</strong> lesser). For <strong>the</strong>purposes of this limitation <strong>the</strong> Definition of an act ofTerrorism is:an act including but not limited <strong>to</strong> <strong>the</strong> use of force orviolence <strong>and</strong>/or threat <strong>the</strong>reof of any person or group(s)of persons whe<strong>the</strong>r acting alone or on behalf of or inconnection with any organisation(s) or government(s)committed for political religious ideological or similarpurposes including <strong>the</strong> intention <strong>to</strong> influence anygovernment <strong>and</strong>/or <strong>to</strong> put <strong>the</strong> public or any section of<strong>the</strong> public in fear.If <strong>the</strong> Insurer alleges that by reason of this limitationany loss damage cost or expense is not covered <strong>the</strong>burden of proving <strong>the</strong> contrary shall be upon <strong>the</strong>Insured.ExclusionsThis Section does not cover1. Products <strong>to</strong> <strong>the</strong> United States of America or Canadaliability in respect of Injury, loss or damage caused by orarising from any Product exported by <strong>the</strong> Insured orwith <strong>the</strong>ir knowledge <strong>to</strong> <strong>the</strong> United States of America orCanada.12.Excess<strong>the</strong> amount of <strong>the</strong> Excess shown in <strong>the</strong> Schedule.13.Retroactive Dateliability in respect of Injury loss or damage occurringprior <strong>to</strong> <strong>the</strong> retroactive date stated in <strong>the</strong> Schedule14.Repair of Defects in Previously Owned Premisescosts of remedying any defect or alleged defect inpremises disposed of by <strong>the</strong> Insured.15.Medical Negligencein respect of claims for breach of professional duty byany medical practitioner or dental practitioner whileworking in a professional capacity consequent upon anyneglect error or omission in providing medical advicetreatment or prescriptions16.Firework <strong>and</strong> Bonfireliability in respect of Injury, loss or damage caused by orarising from any firework or bonfire unlessi. <strong>the</strong> Police <strong>and</strong> Fire Brigade authorities are consultedat least 7 days before <strong>the</strong> proposed event <strong>and</strong> <strong>the</strong>irrecommendations strictly adhered <strong>to</strong>ii <strong>the</strong>re is at least 1 steward in attendance for every100 specta<strong>to</strong>rs for <strong>the</strong> duration of <strong>the</strong> eventiii all specta<strong>to</strong>rs are kept behind an adequate barrier atall times, <strong>and</strong> <strong>the</strong> barrier is at least 25metres from<strong>the</strong> fireworks or bonfireiv qualified First Aid personnel are in attendance with<strong>the</strong> means available <strong>to</strong> summon <strong>the</strong> EmergencyServices.17.Sun Beds, Solariums, Sauna <strong>and</strong> Turkish Bathsliability in respect of Injury, loss or damage caused by orarising from any sun bed or solarium unlessa. <strong>the</strong> operation of <strong>the</strong> solarium or sun-bed equipmen<strong>to</strong>r sauna or Turkish baths or hydro massage facilities<strong>and</strong> all control of <strong>the</strong>m is under <strong>the</strong> supervision of<strong>the</strong> Insured or an experienced Employee who shallensure that <strong>the</strong> cus<strong>to</strong>mer or user is fully aware of<strong>and</strong> complies with <strong>the</strong> published instructions <strong>and</strong>recommendations of <strong>the</strong> manufacturers of suchequipment including all instructions <strong>and</strong>recommendations regarding exposure time bathingdistance variomatic filter setting frequency ofexposure <strong>the</strong> wearing of protective goggles <strong>and</strong>avoiding <strong>the</strong> use of body lotionb. on every occasion prior <strong>to</strong> <strong>the</strong> use of any solarium orsun-bed involving <strong>the</strong> release of ultra violet rays <strong>the</strong>Insured or an experienced Employee shall check that<strong>to</strong> <strong>the</strong> knowledge of <strong>the</strong> cus<strong>to</strong>mer or user <strong>the</strong>reof

Joint Insured - Cross LiabilitiesIf more than one party is named as <strong>the</strong> Insured thisSection shall apply as though each were insuredseparately provided that <strong>the</strong> Insurer's liability <strong>to</strong> allparties indemnified shall not exceed in <strong>to</strong>tal <strong>the</strong> Limit ofIndemnity shown in <strong>the</strong> Schedule.3. Mo<strong>to</strong>r Contingent LiabilityThe Insurer will indemnify <strong>the</strong> Insured in <strong>the</strong> terms ofthis Section against liability arising out of <strong>the</strong> use inconnection with <strong>the</strong> Business of any vehicle not owned,provided or being driven by <strong>the</strong> Insured but this Sectiondoes not cover liabilitya. in respect of loss of or damage <strong>to</strong> such vehicleb. arising out of any such use in any country outside<strong>the</strong> European Unionc. incurred by any party o<strong>the</strong>r than <strong>the</strong> Insuredd. incurred by any party identified in Section Extension1. (Indemnity <strong>to</strong> O<strong>the</strong>r Parties) o<strong>the</strong>r than anEmployee.For <strong>the</strong> purpose of this cover Exclusion 1. (Injury <strong>to</strong>Employees) does not apply.5. Health <strong>and</strong> Safety at Work - Legal Defence CostsThe Insurer will indemnify <strong>the</strong> Insured <strong>and</strong> if <strong>the</strong>Insured so request any partner, direc<strong>to</strong>r or Employee of<strong>the</strong> Insured in <strong>the</strong> terms of this Section in respect ofa. costs <strong>and</strong> expenses incurred with <strong>the</strong> Insurer'swritten consentb. costs <strong>and</strong> expenses of <strong>the</strong> prosecution awardedagainst any such party in connection with criminalproceedings or an appeal against conviction arisingfrom such proceedings brought in respect of anyoffence under <strong>the</strong> Health <strong>and</strong> Safety at Work etc.Act 1974 or <strong>the</strong> Health <strong>and</strong> Safety at Work(Nor<strong>the</strong>rn Irel<strong>and</strong>) Order 1978 committed or alleged<strong>to</strong> have been committed during <strong>the</strong> Period ofInsurance in connection with <strong>the</strong> BusinessProvided thati. <strong>the</strong> proceedings relate <strong>to</strong> <strong>the</strong> health, safety orwelfare of any person o<strong>the</strong>r than an Employeeii. <strong>the</strong> Insurer shall have <strong>the</strong> conduct <strong>and</strong> control of all<strong>the</strong> said proceedings <strong>and</strong> appeals.The Insurer will not pay forA. fines or penalties of any kindB. proceedings or appeals in respect of any deliberate ac<strong>to</strong>r omissionC. costs or expenses insured by any o<strong>the</strong>r insurance.6. Data ProtectionThe Insurer will indemnify <strong>the</strong> Insured <strong>and</strong> at <strong>the</strong>Insured's request any partner direc<strong>to</strong>r or employee of<strong>the</strong> Insured against sums which <strong>the</strong> Insured or anydirec<strong>to</strong>r partner or employee of <strong>the</strong> Insured become(s)legally liable <strong>to</strong> pay as compensation for damage ordistress resulting from failure of <strong>the</strong> Insured <strong>to</strong> complywith data protection legislation <strong>and</strong> caused inconnection with <strong>the</strong> Business during <strong>the</strong> Period ofInsuranceProvided that <strong>the</strong> Insured isa. a registered user in accordance with <strong>the</strong> terms ofsuch legislationb. not in business as a data processing bureauThe <strong>to</strong>tal amount payable including costs <strong>and</strong> expensesunder this paragraph in respect of all claims occurringduring any one Period of Insurance is limited <strong>to</strong>£250,000The Insurer will not pay fori. any damage or distress caused by any deliberate ac<strong>to</strong>r omission by <strong>the</strong> Insured <strong>the</strong> result of which couldreasonably have been expected by <strong>the</strong> Insuredhaving regard <strong>to</strong> <strong>the</strong> nature <strong>and</strong> circumstances ofsuch act or omissionii. any damage or distress caused by any act of fraud ordishonestyiii. <strong>the</strong> costs <strong>and</strong> expenses of rectifying rewriting orerasing dataiv. liability arising from <strong>the</strong> recording processing orprovision of data for reward or <strong>to</strong> determine <strong>the</strong>financial status of any personv. <strong>the</strong> payment of fines or penalties.7. Defective Premises Act 1972The Insurer will indemnify <strong>the</strong> Insured in <strong>the</strong> terms ofthis Section against liability incurred by <strong>the</strong> Insuredunder Section 3 of <strong>the</strong> Defective Premises Act 1972 orSection 5 of <strong>the</strong> Defective Premises (Nor<strong>the</strong>rn Irel<strong>and</strong>)Order 1975 in connection with premises or l<strong>and</strong>disposed of by <strong>the</strong> InsuredProvided that this Extension does not covera. <strong>the</strong> cost of rectifying any damage or defect in <strong>the</strong>premises or l<strong>and</strong> disposed ofb. liability for which <strong>the</strong> Insured is entitled <strong>to</strong>indemnity under any o<strong>the</strong>r insurance.8. Consumer Protection <strong>and</strong> Food Safety Acts - LegalDefence CostsThe Insurer will indemnify <strong>the</strong> Insured <strong>and</strong> if <strong>the</strong>Insured so request any partner, direc<strong>to</strong>r or Employee of<strong>the</strong> Insured in <strong>the</strong> terms of this Section in respect oflegal costs <strong>and</strong> expenses incurred with <strong>the</strong> writtenconsent of <strong>the</strong> Insurer in connection with <strong>the</strong> defenceof any criminal proceedings or an appeal againstconviction arising from such proceedings brought inrespect of any offence undera. Part 2 of <strong>the</strong> Consumer Protection Act 1987orb. Section(s) 7, 8, 14, <strong>and</strong>/or 15 of <strong>the</strong> Food Safety Act1990 committed or alleged <strong>to</strong> have been committedduring <strong>the</strong> Period of Insurance in connection with<strong>the</strong> BusinessProvided that <strong>the</strong> Insurer shall have <strong>the</strong> conduct <strong>and</strong>control of all <strong>the</strong> said proceedings <strong>and</strong> appeals.The Insurer will not pay fori. fines or penalties of any kind

Court Attendance CompensationIf during <strong>the</strong> Period of Insurance any partner, direc<strong>to</strong>r orEmployee of <strong>the</strong> Insured is required <strong>to</strong> attend court as awitness at <strong>the</strong> request of <strong>the</strong> Insurer in connection witha claim which is <strong>the</strong> subject of indemnity under thisSection <strong>the</strong> Insurer will pay compensation <strong>to</strong> <strong>the</strong>Insured on <strong>the</strong> following scale for each day thatattendance is required:a. any direc<strong>to</strong>r or partner £500b. any Employee £250.10. Contractual LiabilityIn respect of liability assumed by <strong>the</strong> Insured solely byvirtue of contract or agreement entered in<strong>to</strong> by <strong>the</strong>Insured <strong>and</strong> which would not have attached in <strong>the</strong>absence of such contract or agreement, <strong>the</strong> indemnityprovided by this Section shall only apply if <strong>the</strong> soleconduct <strong>and</strong> control of any claim is vested in <strong>the</strong> InsurerProvided that <strong>the</strong> Insurer shall not in any event providean indemnitya. under Exclusion 9. a. except as stated in thatexclusionb. in respect of liquidated damages or fines or damagesimposed by or payable under any penalty clause.11. Obstructing VehiclesExclusion 5 shall not apply <strong>to</strong> liability caused by orarising from any vehicle (not owned by or hired by orlent <strong>to</strong> <strong>the</strong> Insured) being driven by <strong>the</strong> Insured or byany Employee with <strong>the</strong> Insured's permission whilst suchvehicle is being moved for <strong>the</strong> purpose of allowing freemovement of any vehicle owned, hired by or lent <strong>to</strong> <strong>the</strong>Insured or any Employee of <strong>the</strong> InsuredProvided thata. movements are limited <strong>to</strong> vehicles parked on orobstructing <strong>the</strong> Premisesb. <strong>the</strong> vehicle causing <strong>the</strong> obstruction will not bedriven by any person who is not competent <strong>to</strong> drive<strong>the</strong> vehiclec. <strong>the</strong> vehicle causing <strong>the</strong> obstruction is driven by <strong>the</strong>use of <strong>the</strong> owner's ignition keyd. <strong>the</strong> Insurer shall not provide indemnity againstliabilityi. in respect of loss or damage <strong>to</strong> such vehicleii. in respect of which compulsory insurance orsecurity is required under any legislationgoverning <strong>the</strong> use of <strong>the</strong> vehicle.12.Extended Claims Notification RequirementsIn <strong>the</strong> event of <strong>the</strong> Insurer not inviting renewal of this<strong>Policy</strong> for reasons o<strong>the</strong>r than non-compliance with <strong>the</strong>terms of this <strong>Policy</strong> or <strong>the</strong> Insured retiring or ceasing <strong>to</strong>participate in <strong>the</strong> Business <strong>the</strong> Insurer, will provideindemnitya. in respect of legal liability <strong>to</strong> pay compensation <strong>and</strong>claimants costs <strong>and</strong> expenses in respect of Injury lossor damage in connection with <strong>the</strong> Business as aresult of advice tuition or coaching provided duringany Period of Insurance <strong>and</strong> arising out of any claimwhich isi. first made in writing <strong>to</strong> <strong>the</strong> Insured <strong>and</strong>ii. notified <strong>to</strong> <strong>the</strong> Insurer during <strong>the</strong> twelvecalendar months immediately following <strong>the</strong> finalPeriod of Insurance for which <strong>the</strong> Insured shallhave paid <strong>and</strong> <strong>the</strong> Insurer shall have agreed <strong>to</strong>accept <strong>the</strong> premium as if <strong>the</strong> claim had been firstmade in writing <strong>to</strong> <strong>the</strong> Insured <strong>and</strong> notified <strong>to</strong><strong>the</strong> Insurer during such final Period of Insuranceb. in respect of costs for representation of <strong>the</strong> Insuredi. at any coroner’s inquest or fatal accident inquiryin respect of deathii. at proceedings in any court of summaryjurisdiction or on indictment in any higher courtin respect of any alleged breach of statu<strong>to</strong>ry dutyresulting in Injury loss or damage in connectionwith a) above incurred by <strong>the</strong> Insured with <strong>the</strong>Insurer’s written consent.c. for all o<strong>the</strong>r costs <strong>and</strong> expenses which are incurredby <strong>the</strong> Insurer or with <strong>the</strong> written consent of <strong>the</strong>Insurer in connection with <strong>the</strong> defence of any anyclaim made against <strong>the</strong> Insured <strong>and</strong> notified underthis Extension.Provided thata) <strong>the</strong> indemnity will not apply where an indemnity isprovided by any o<strong>the</strong>r insuranceb) <strong>the</strong> <strong>to</strong>tal amount payable for compensation inrespect of claims made during <strong>the</strong> final Period ofInsurance <strong>to</strong>ge<strong>the</strong>r with those made under <strong>the</strong> termsof this Extension shall not exceed <strong>the</strong> Limit ofIndemnity for <strong>the</strong> final Period of Insurance


14 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>Section 1 – Civil Liability13.Financial LossThis Section is extended <strong>to</strong> indemnify <strong>the</strong> Insuredagainst legal liability <strong>to</strong> pay compensation <strong>and</strong>claimants’ costs <strong>and</strong> expenses in respect of accidentalFinancial Loss sustained by <strong>the</strong> claimant within GreatBritain Nor<strong>the</strong>rn Irel<strong>and</strong> <strong>the</strong> Isle of Man <strong>and</strong> <strong>the</strong>Channel Isl<strong>and</strong>s <strong>and</strong> for which any claim isa) first made in writing against <strong>the</strong> Insured during <strong>the</strong>Period of Insurance <strong>and</strong>b) notified <strong>to</strong> <strong>the</strong> Insurer during <strong>the</strong> same Period ofInsurance or within 30 days of <strong>the</strong> expiry of suchPeriod of InsuranceIn addition <strong>the</strong> Insurer will pay costs <strong>and</strong> expensesincurred by <strong>the</strong> Insurer or with <strong>the</strong> written consent of<strong>the</strong> Insurera. in connection with <strong>the</strong> defence of any claimb. at proceedings in any court of summary jurisdictionor on indictment in any higher court in respect ofalleged breach of statu<strong>to</strong>ry duty resulting inFinancial Losswhich may be <strong>the</strong> subject of indemnity under this extensionprovided thatA. <strong>the</strong> Insurer’s liability under this extension for allclaims first made against <strong>the</strong> Insured during any onePeriod of Insurance shall not exceed £500,000B. for <strong>the</strong> purposes of this extension Financial Lossshall mean a pecuniary loss or expense incurred byany person o<strong>the</strong>r than <strong>the</strong> Insured or a partnerdirec<strong>to</strong>r or Employee of <strong>the</strong> InsuredC. <strong>the</strong> indemnity granted by Section Extension 2 JointInsured - Cross Liabilities shall not apply <strong>to</strong> thisextensionExclusionsThis Extension does not cover1. Injury <strong>and</strong> Damageliability in respect ofa. Injury <strong>to</strong> any personb. loss or damage <strong>to</strong> any material propertyc. nuisance trespass obstruction or interference withany right of way air light or waterd. wrongful arrest detention imprisonment or evictionof any person or invasion of right of privacye. libel sl<strong>and</strong>er or defamation of characterf. infringement of patent copyright design trademarktrade name or any o<strong>the</strong>r intellectual property rights2. Contractual Liabilityliability assumed by <strong>the</strong> Insured ei<strong>the</strong>r directly orindirectly by a contract or agreement entered in<strong>to</strong> by<strong>the</strong> Insured3. Property in <strong>the</strong> charge or control of <strong>the</strong> Insuredliability in respect of Financial Loss incurred as a resul<strong>to</strong>f loss or damage <strong>to</strong> material property belonging <strong>to</strong> orin <strong>the</strong> charge or control of <strong>the</strong> Insured or failure <strong>to</strong>return such property4. Delays or Damage <strong>to</strong> Goods Suppliedliability in respect ofa. <strong>the</strong> costs of or arising from <strong>the</strong> need for makinggood removal repair rectification replacement orrecall of any Productsb. diminution in value of Products or work executed byor on behalf of <strong>the</strong> Insuredc. delay non-completion or non delivery of Products14.Libel <strong>and</strong> Sl<strong>and</strong>er LiabilityThis Section is extended <strong>to</strong> indemnify <strong>the</strong> Insuredagainst legal liability <strong>to</strong> pay compensation <strong>and</strong> claimantscosts <strong>and</strong> expenses in respect of libel sl<strong>and</strong>er, sl<strong>and</strong>er ofgoods, passing off, infringement of trademark orregistered design, or patent right infringement ofcopyright committed by <strong>the</strong> Insured in connection with<strong>the</strong> Business <strong>and</strong> arising out ofa) any claimb) <strong>the</strong> notification of any circumstance which hascaused or is alleged <strong>to</strong> have caused Injury loss ordamagewhich isi) first made in writing <strong>to</strong> <strong>the</strong> Insured during anyPeriod of Insurance <strong>and</strong>ii) notified <strong>to</strong> <strong>the</strong> Insurer during <strong>the</strong> same Period ofInsurance or within 30 days of <strong>the</strong> expiry of suchPeriod of InsuranceThe Insurer will also pay all o<strong>the</strong>r costs <strong>and</strong> expensesincurred on <strong>the</strong> instructions of <strong>the</strong> Insurer in connectionwith <strong>the</strong> defence of any claim under this <strong>Policy</strong>.This Extension does not cover:-1. any claim made against <strong>the</strong> Insured for passing off,infringement of trademark of registered design orpatent right or copyright in connection withcomputer software.2. any claim arising from proceedings brought against<strong>the</strong> Insured in a Court of Law outside Great Britain,Nor<strong>the</strong>rn Isl<strong>and</strong>, Channel Isl<strong>and</strong>s or Isle of Man orany o<strong>the</strong>r member country of <strong>the</strong> European Union.

Upon <strong>the</strong> Insured becoming aware of any publication ormaterial published or statement likely <strong>to</strong> give rise <strong>to</strong>liability under this Extension <strong>and</strong> again upon receipt by<strong>the</strong> Insured of notice of any claim whe<strong>the</strong>r well or illfounded <strong>the</strong> Insured shall immediately <strong>and</strong> in any casewithin 7 days give notice of <strong>the</strong> same <strong>to</strong> <strong>the</strong> Insurer <strong>and</strong>supply a copy of such publication or material published<strong>to</strong>ge<strong>the</strong>r with any communication received from anyclaimant.2. The Insured shall not disclose <strong>the</strong> fact that <strong>the</strong>y areinsured.Section Conditions1. O<strong>the</strong>r InsurancesThe Insurer will not indemnify <strong>the</strong> Insured in respect ofliability which is insured by or would but for <strong>the</strong>existence of this Section be insured by any o<strong>the</strong>r policyor section except in respect of any excess beyond <strong>the</strong>amount payable under such o<strong>the</strong>r policy or section orwhich would have been payable under such o<strong>the</strong>r policyor section had this Section not been effected.2. AlterationIf at any time anything shall occur or be done whichmaterially affects <strong>the</strong> risk insured <strong>the</strong> Insured shall giveimmediate notice in writing <strong>to</strong> <strong>the</strong> Insurer.3. Discharge of LiabilityThe Insurer may pay <strong>to</strong> <strong>the</strong> Insured in <strong>the</strong> event of anyone claim or series of claims arising out of oneoccurrence <strong>the</strong> specified Limit of Indemnity in respect<strong>the</strong>reof (after deducting <strong>the</strong>re from any sums alreadypaid) or any lesser amount for which <strong>the</strong> claim(s) can besettled <strong>and</strong> <strong>the</strong>reafter be under no fur<strong>the</strong>r liability inrespect of such claim or series of claims arising out ofone occurrence, except for <strong>the</strong> amount of any costs <strong>and</strong>expenses incurred prior <strong>to</strong> <strong>the</strong> date of <strong>the</strong> payment.


16 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers LiabilityAllianz Global Corporate <strong>and</strong> Specialty AG (<strong>the</strong> Insurer inthis Section 13) <strong>and</strong> <strong>the</strong> Insured (as named in <strong>the</strong> <strong>Policy</strong>Schedule) agree:The Insurer will indemnify <strong>the</strong> Insured in accordance with<strong>and</strong> subject <strong>to</strong> <strong>the</strong> terms <strong>and</strong> conditions of this Section, inconsideration of <strong>the</strong> payment <strong>to</strong> <strong>the</strong> insurer of <strong>the</strong> premiumfor <strong>the</strong> Period of Insurance.The proposal made <strong>to</strong> Allianz Insurance plc by or on behalfof <strong>the</strong> Insured whe<strong>the</strong>r in writing or o<strong>the</strong>rwise shall be <strong>the</strong>basis of <strong>the</strong> contract.Provided that this <strong>Policy</strong> shall not be in force unless it hasbeen signed by an authorised official of <strong>the</strong> Insurer.UK Direc<strong>to</strong>rs <strong>and</strong> Officers LiabilityThis is a Claims Made <strong>Policy</strong>In consideration of <strong>the</strong> payment of premium, <strong>the</strong> Insureragrees <strong>to</strong> provide insurance in accordance with <strong>the</strong> terms ofthis <strong>Policy</strong>.Section 1 Scope of Cover(a) Direc<strong>to</strong>rs <strong>and</strong> Officers CoverageThe Insurer will pay on behalf of any Insured any Lossarising from any claim first made against <strong>the</strong>m during <strong>the</strong><strong>Policy</strong> Period for any Wrongful Act committed by <strong>the</strong>m in<strong>the</strong>ir capacity as an Insured except <strong>to</strong> <strong>the</strong> extent <strong>the</strong>Company has indemnified any such Insured in respect ofsuch Loss.(b) Company Reimbursement CoverageThe Insurer will pay on behalf of <strong>the</strong> Company any Lossarising from any claim first made against any Insuredduring <strong>the</strong> <strong>Policy</strong> Period for any Wrongful Act committedby such Insured in <strong>the</strong>ir capacity as an Insured <strong>to</strong> <strong>the</strong>extent <strong>the</strong> Company has indemnified <strong>the</strong> individualconcerned in respect of such Loss.Section 2 Definitions2.1 Claim shall mean:a) any written dem<strong>and</strong> or written allegation of aWrongful Act against any Insured; orb) any civil or criminal suits or proceedings against anInsured; orc) any regula<strong>to</strong>ry or administrative proceedings or anyo<strong>the</strong>r official investigation in<strong>to</strong> <strong>the</strong> conduct of anInsured.d) any regula<strong>to</strong>ry or administrative proceedings in<strong>to</strong> <strong>the</strong>conduct of <strong>the</strong> Company only in so far as it relates<strong>to</strong> an alleged Wrongful Act by an insuredIt is unders<strong>to</strong>od that any number of Claims against <strong>the</strong>Insured which arise out of or are attributable <strong>to</strong> orconnected in any way with a single Wrongful Act or aseries of <strong>the</strong> same, related or continuous Wrongful Actswhich arise from a common set of facts shall constitute asingle Claim for <strong>the</strong> purposes of this <strong>Policy</strong>.2.2 CompanyShall mean <strong>the</strong> organisation named in <strong>the</strong> Schedule <strong>and</strong> anySubsidiary <strong>the</strong>reof, including any NOT-FOR-PROFITorganisation associated with <strong>the</strong> Company.2.3DeductibleShall mean <strong>the</strong> amount stated in <strong>the</strong> Schedule. For <strong>the</strong>purposes of determining <strong>the</strong> applicable Deductible <strong>the</strong>Company shall be deemed <strong>to</strong> have indemnified <strong>the</strong> Insuredpersons defined in clause 2.5 (a) <strong>to</strong> (f) below <strong>to</strong> <strong>the</strong> extentthat it is permitted <strong>to</strong> do so.2.4Defence CostsShall mean :a) all legal expenses, including disbursements, reasonablyincurred by or on behalf of an Insured with <strong>the</strong> priorwritten consent of <strong>the</strong> Insurer, which shall not beunreasonably withheld, in <strong>the</strong> investigation, defence <strong>and</strong>settlement of Claims <strong>and</strong> or appeals <strong>the</strong>refrom.b) external consultants’ costs incurred in <strong>the</strong> mitigation ofany potential Claim which may arise out of allegationsof a Wrongful Act, subject <strong>to</strong> <strong>the</strong> prior written consen<strong>to</strong>f <strong>the</strong> InsurerDefence Costs shall not include overhead or benefitexpenses associated with salaries, wages <strong>and</strong> fees ofan Insured.2.5InsuredShall mean any natural person who was, is or who becomesduring <strong>the</strong> <strong>Policy</strong> Period:a) a direc<strong>to</strong>r, officer, committee member or trustee of <strong>the</strong>Company;b) a shadow direc<strong>to</strong>r of <strong>the</strong> Company as defined in S.741(2)of <strong>the</strong> Companies Act 1985;c) <strong>the</strong> lawful spouse (which will include same sexrelationships which are recognised by law) of anyInsured where recovery is sought solely because jointproperty is held or owned by or on behalf of <strong>the</strong> spouse.There is no cover for any Claim that alleges a WrongfulAct by <strong>the</strong> spouse;d) <strong>the</strong> legal representatives, heirs, assigns or estates of <strong>the</strong>above mentioned in <strong>the</strong> event of <strong>the</strong>ir death, incapacity,insolvency or bankruptcy ;e) an employee of <strong>the</strong> Company who carries out amanagerial or supervisory function for <strong>the</strong> Company;f) an employee of <strong>the</strong> Company who is joined as a party <strong>to</strong>any action against any person defined in a) <strong>to</strong> e) above;For <strong>the</strong> avoidance of any doubt insured shall not includeexternal audi<strong>to</strong>rs appointed in accordance with S.384 of <strong>the</strong>Companies Act 1985 or any similar or applicable legislationin any o<strong>the</strong>r jurisdiction


<strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong> 17Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers Liability2.6Employment Practice LiabilityMeans any actual or alleged:a) Unfair or wrongful dismissal, termination or discharge ofemployment, ei<strong>the</strong>r actual or constructive;b) harassment;c) discrimination;d) retaliation, including lockouts;e) employment related misrepresentations <strong>to</strong> an employeeor applicant for employment;f) employment related humiliation, defamation or invasionof privacy;g) wrongful failure <strong>to</strong> employ or promote;h) wrongful deprivation of career opportunity;i) any o<strong>the</strong>r Claim pursuant <strong>to</strong> <strong>the</strong> Employment Rights Act1996 relating <strong>to</strong> any past, present or prospectiveemployee.solely relating <strong>to</strong> employees of or applicants foremployment with <strong>the</strong> Company2.7InsurerShall mean Allianz Global Corporate <strong>and</strong> Specialty AG onbehalf of Allianz Insurance Plc2.8Limit of LiabilityShall mean <strong>the</strong> amount stated in <strong>the</strong> Schedule.2.9LossShall mean any sums which an Insured is legally liable <strong>to</strong>pay for a Wrongful Act.Loss includes Defence Costs.Loss shall not include fines, penalties, punitive or exemplarydamages or any damages constituting <strong>the</strong> multiplication ofa lesser damages sum or, taxes or any matters which are ormay be deemed uninsurable under English Law providedthat Loss shall include any exemplary damages which aninsured may be legally liable <strong>to</strong> pay in respect of that par<strong>to</strong>f any Wrongful Act which consists of any defama<strong>to</strong>rypublication.2.10 NotificationMeans written notice of any Claim or circumstances whichmay give rise <strong>to</strong> a Claim given <strong>to</strong> <strong>the</strong> Insurer within <strong>the</strong><strong>Policy</strong> Period or during <strong>the</strong> Extended Discovery Period(under Section 4 - Extensions) by an Insured, <strong>to</strong> <strong>the</strong> addressspecified in of <strong>the</strong> Schedule2.11 Not-For-ProfitShall mean an organisation, whe<strong>the</strong>r incorporated or not,which is formed solely for charitable, social, community orindustry purposes <strong>and</strong> not for <strong>the</strong> purpose of making profitsor gain <strong>to</strong> its individual members or constituent parts.2.12 <strong>Policy</strong> PeriodShall mean <strong>the</strong> period of time specified in <strong>the</strong> Schedule, orany o<strong>the</strong>r period as may be agreed in writing by <strong>the</strong>Company <strong>and</strong> <strong>the</strong> Insurer.2.13 PollutantsMeans any substance, solid, liquid, gaseous or <strong>the</strong>rmalirritant or contaminant including, but not limited <strong>to</strong> smoke,vapours, soot, fumes, acids, alkalis, chemicals, air emissions,odour, waste water, oil, oil products, medical waste, asbes<strong>to</strong>sor asbes<strong>to</strong>s products, fungus, mycota or by-products, leador lead containing products <strong>and</strong> waste materials. Wastematerials include but are not limited <strong>to</strong> recycled,reconditioned or reclaimed materials.2.14 SecuritiesMeans any of <strong>the</strong> following issued by <strong>the</strong> Company:a) Bonds, debentures, evidence of indebtedness, notes,shares, s<strong>to</strong>cks or o<strong>the</strong>r equity or debt security: <strong>and</strong>b) Certificates of interest or participation in, receipts for,warrants or o<strong>the</strong>r rights <strong>to</strong> subscribe <strong>to</strong> or purchase,voting trust certificates relating <strong>to</strong>, certificates ofdeposits for, or o<strong>the</strong>r documentary evidence of interestin any of <strong>the</strong> securities referred <strong>to</strong> (a) above.2.15 SubsidiaryMeans any company as defined by Section 736 of <strong>the</strong>Companies Act 1985 or any re-enactment <strong>the</strong>reof.2.16 Unintentional Non-DisclosureIn <strong>the</strong> event of non-disclosure or misrepresentation ofinformation <strong>to</strong> Insurers, <strong>the</strong> Insurers will waive <strong>the</strong>ir rights<strong>to</strong> avoid this <strong>Policy</strong> provided that:a) <strong>the</strong> Insured are able <strong>to</strong> establish <strong>to</strong> <strong>the</strong> satisfaction ofInsurers that such non-disclosure or misrepresentationwas innocent <strong>and</strong> free from any fraudulent conduct orintent <strong>to</strong> deceiveb) where an Insured or <strong>the</strong> Company should have notifiedduring a Period of Insurance a Claim, circumstancewhich might subsequently give rise <strong>to</strong> a Claim <strong>and</strong> <strong>the</strong>cover <strong>to</strong> which <strong>the</strong> Insured or <strong>the</strong> Company would havebeen entitled was in any way more restrictive than thatprovided at <strong>the</strong> date of notification Insurers shall onlybe liable <strong>to</strong> <strong>the</strong> extent available during such precedingPeriod of Insurancec) where an Insured or <strong>the</strong> Company has prejudiced <strong>the</strong>h<strong>and</strong>ling or settlement of any Loss <strong>the</strong> amount payablein respect of such Loss shall be reduced <strong>to</strong> such sum asin <strong>the</strong> Insurers opinion would have been payable in <strong>the</strong>absence of such prejudiceInsurers shall not deny payment or indemnity on <strong>the</strong>grounds of <strong>the</strong> breach of Section 6 subject <strong>to</strong> provisions b)<strong>and</strong> c) above.


18 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers Liability2.17 Wrongful ActMeans any actual or alleged misrepresentation,misstatement, misleading statement, defamation,negligence, breach of warranty of authority or breach ofduty or any o<strong>the</strong>r act by an Insured acting solely in <strong>the</strong>ircapacity as such.Section 3 ExclusionsThe Insurer shall not be liable for Loss on account of any:3.1 Claims arising from, based on, related or attributable <strong>to</strong>,associated with or alleging <strong>the</strong> same facts as anyWrongful Acts which are <strong>the</strong> subject of:-a) any Claims or circumstances notified <strong>to</strong> any policywhich incepted prior <strong>to</strong> <strong>the</strong> inception of this <strong>Policy</strong>,orb) any proceedings which existed or were pending at<strong>the</strong> date stated in Item 5 of <strong>the</strong> Schedule.3.2 Claims arising from or attributable <strong>to</strong> any actual oralleged violation of <strong>the</strong> responsibilities, obligations orduties imposed by any retirement or pension legislationanywhere in <strong>the</strong> world, including but not limited <strong>to</strong> <strong>the</strong>UK Pensions Act 1995 <strong>and</strong> <strong>the</strong> Employee RetirementIncome Security Act of 1974 (USA) <strong>and</strong> anyamendments <strong>the</strong>re<strong>to</strong> or any act or omission in <strong>the</strong>capacity of a trustee or administra<strong>to</strong>r of any trust fund,pension scheme, profit sharing scheme or employeebenefit scheme or any deficiency in <strong>the</strong> assets of anysuch trust fund or scheme or any failure <strong>to</strong> comply withany requirement imposed by any regula<strong>to</strong>r in relation <strong>to</strong>such a trust fund or scheme or any warranty, statemen<strong>to</strong>r representation made in relation <strong>to</strong> any such trustfund or scheme.3.3 Claims arising from or attributable <strong>to</strong>:a) any act or omission committed with <strong>the</strong> knowledgethat it was in breach of any statute, contract, dutyor o<strong>the</strong>r legal obligation; or recklessness as <strong>to</strong>whe<strong>the</strong>r it was in such breach orb) an Insured gaining any personal profit, remunerationor advantage <strong>to</strong> which <strong>the</strong>y were not legally entitled.This exclusion shall only apply if <strong>the</strong> act, omission profit,remuneration or advantage is established by a court,tribunal, or by admission.3.4 Claims arising from bodily injury, sickness, mentalanguish or emotional distress or disturbance, disease ordeath of any person howsoever caused or damage <strong>to</strong> ordestruction of any tangible property, including loss ofuse <strong>the</strong>reof except than for emotional distress arisingfrom defamation. <strong>and</strong> <strong>to</strong> <strong>the</strong> extent that in relation <strong>to</strong>only this exclusion shall not apply <strong>to</strong> Claims for or inrespect of mental anguish or emotional distress ordisturbance.3.5 Claims arising from Employment Practice Liability3.6 Claims arising from or attributable <strong>to</strong> bodily injury,sickness, disease, death, damage <strong>to</strong> or destruction of anytangible property, including loss of use arising <strong>the</strong>refromresulting from <strong>the</strong> hazardous properties of radioactive ornuclear material or of any radioactive or nuclear facility.3.7 Claims arising from or attributable <strong>to</strong>:a) <strong>the</strong> actual, alleged or threatened discharge, dispersal,release or escape of Pollutants in<strong>to</strong> or upon l<strong>and</strong>, <strong>the</strong>atmosphere or any water course or body of water,whe<strong>the</strong>r such discharge, dispersal, release or escapeis intentional or accidental; orb) any direction or request <strong>to</strong> test for, moni<strong>to</strong>r, cleanup, remove, contain, treat, de<strong>to</strong>xify or neutralisePollutants.This exclusion shall not apply <strong>to</strong> Defence Costs where <strong>the</strong>incident(s) giving rise <strong>to</strong> <strong>the</strong> Claim occurred within <strong>the</strong>terri<strong>to</strong>rial jurisdiction of <strong>the</strong> United Kingdom <strong>and</strong> <strong>the</strong>proceedings in respect of <strong>the</strong> Claim are brought ormaintained entirely within <strong>the</strong> United Kingdom.The Limit of Liability that <strong>the</strong> Insurer shall be liable <strong>to</strong> payin respect of Defence Costs in relation <strong>to</strong> such a Claim islimited <strong>to</strong> <strong>the</strong> amount specified in <strong>the</strong> Schedule. Thisamount shall be part of <strong>and</strong> not in addition <strong>to</strong> <strong>the</strong>aggregate Limit of Liability of <strong>the</strong> Insurer.3.8 Claims which are made by or on behalf of or at <strong>the</strong>instigation of <strong>the</strong> Company or by or on behalf of or at<strong>the</strong> instigation of any insured except:-a) any Claim bought or maintained by an Insuredwhilst acting solely in <strong>the</strong>ir capacity as a generalmember of <strong>the</strong> Company;b) any Claim brought or maintained by a liquida<strong>to</strong>r,receiver, administrative receiver or <strong>the</strong> equivalent inany o<strong>the</strong>r jurisdiction, ei<strong>the</strong>r directly or on behalf of<strong>the</strong> Company, without <strong>the</strong> instigation, assistance orparticipation of any Insured or <strong>the</strong> Company;c) any Claim brought or maintained by an Insured forcontribution or indemnity if <strong>the</strong> Claim directlyresults from ano<strong>the</strong>r Claim covered under thisSection;d) any member derivative action brought by ormaintained on behalf of <strong>the</strong> Company by any legallyempowered entity or person, which is broughtwithout <strong>the</strong> solicitation, assistance or participationor co-operation of any Insured.3.9 Claims arising from or attributable <strong>to</strong> or in consequenceof or in any way involving <strong>the</strong> sale or offer for sale orallocation of Securities or any shares of any privatecompany or corporation including, but not limited <strong>to</strong>, aninitial public offering, secondary offering or a privateplacement.


<strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong> 19Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers Liability3.10 Claims alleging, arising out of, based upon orattributable <strong>to</strong> <strong>the</strong> Company or an Insured’sperformance of or failure <strong>to</strong> perform professionalservices for o<strong>the</strong>rs, or any act, error, or omission relating<strong>the</strong>re<strong>to</strong>.3.11 Claims where legal action or litigation is brought in acourt of law within <strong>the</strong> United States of America orCanada or where legal action or litigation is brought ina court of law outside those terri<strong>to</strong>ries <strong>to</strong> enforce ajudgment in those terri<strong>to</strong>ries whe<strong>the</strong>r by way ofreciprocal agreement or o<strong>the</strong>rwise.3.12 Claims that would o<strong>the</strong>rwise be covered by any type ofCompulsory Insurance.Section 4 Extensions4.1 Extended Discovery Period4.1.1If ei<strong>the</strong>r <strong>the</strong> Company or <strong>the</strong> Insurer fail <strong>to</strong> renew this<strong>Policy</strong>, for whatever reason o<strong>the</strong>r than non-payment ofpremium or following <strong>the</strong> provisions of Section 8.5Termination / Cancellation, <strong>the</strong> Company shall have <strong>the</strong>right <strong>to</strong> purchase an extended discovery period providedthat:a) written notice of <strong>the</strong> required extended discoveryperiod option is given <strong>to</strong> <strong>the</strong> insurer within 30 daysof <strong>the</strong> expiry of <strong>the</strong> <strong>Policy</strong> Period;b) <strong>the</strong> cover granted by <strong>the</strong> extended discovery periodshall only afford protection in respect of WrongfulActs committed or alleged <strong>to</strong> have been committedprior <strong>to</strong> <strong>the</strong> expiry of <strong>the</strong> <strong>Policy</strong> Period;c) this <strong>Policy</strong> is not replaced or succeeded by any o<strong>the</strong>rpolicy affording direc<strong>to</strong>rs <strong>and</strong> officers liability cover;d) any Claim made during <strong>the</strong> Extended DiscoveryPeriod shall be considered made during <strong>the</strong> <strong>Policy</strong>Period.4.1.2The offer by <strong>the</strong> Insurer of renewal terms, conditions,limits of liability or premium different from those of <strong>the</strong>expiring policy shall not constitute a refusal <strong>to</strong> renew.4.1.3Calculation of <strong>the</strong> additional premium for <strong>the</strong> extendeddiscovery period is as set out in <strong>the</strong> Schedule.Section 5 Limit of Liability5.1 The Limit of Liability of <strong>the</strong> Insurer shall mean <strong>the</strong> <strong>to</strong>talaggregate limit of <strong>the</strong> Insurer’s liability in respect of allLoss <strong>and</strong> any o<strong>the</strong>r sums payable hereunder.5.2 Each of <strong>the</strong> sub limits shown in <strong>the</strong> Schedule is anaggregate limit <strong>and</strong> is part of <strong>and</strong> not in addition <strong>to</strong> <strong>the</strong>overall Limit of Liability.5.3 The Limit of Liability of <strong>the</strong> Insured shall mean <strong>the</strong>amount of Loss in excess of <strong>the</strong> applicable Deductible.Section 6 Claim Reporting – Condition Precedent6.1 An Insured shall, as a condition precedent <strong>to</strong> <strong>the</strong>Insurer’s liability under this <strong>Policy</strong>, provide Notificationas soon as practicable <strong>and</strong> in any event within 45 daysafter <strong>the</strong> date a Claim was first made against an insured<strong>and</strong> within <strong>the</strong> <strong>Policy</strong> Period or Discovery Period (ifapplicable).Section 7 Defence <strong>and</strong> Settlement7.1 In respect of any Claim under this Section <strong>the</strong> Insurerwill pay Defence Costs on behalf of <strong>the</strong> Insured on an asincurred basis prior <strong>to</strong> final disposition or adjudication.If at any time a Claim is withdrawn or deemed not <strong>to</strong> becovered under this Section or is found <strong>to</strong> be excludedunder this Section <strong>the</strong>n all such Defence Costs must bereturned <strong>to</strong> <strong>the</strong> Insurer on dem<strong>and</strong>.7.2 It shall be <strong>the</strong> duty of <strong>the</strong> Insured <strong>to</strong> defend Claims.7.3 Any lawyers or o<strong>the</strong>r advisors from whom advice is <strong>to</strong> betaken shall be approved by <strong>the</strong> Insurer prior <strong>to</strong> <strong>the</strong>irappointment. Such approval shall not be unreasonablywithheld.7.4 The Insured shall not admit liability for or settle anyClaim without <strong>the</strong> written consent of <strong>the</strong> Insurer, suchconsent not <strong>to</strong> be unreasonably withheld. The Insurerwill not be liable for any settlement, agreement orassumed obligation <strong>to</strong> which it has not consented inwriting.7.5 The Insured shall assert all appropriate defences <strong>and</strong>cross claims for contribution, indemnity or damages <strong>and</strong>shall co-operate fully with <strong>the</strong> Insurer <strong>and</strong>/or its legalrepresentative in <strong>the</strong> conduct of <strong>the</strong> defence.7.6 The Insured shall at its own cost <strong>and</strong> in a timely fashionprovide all information <strong>and</strong> assistance reasonablyrequired <strong>to</strong> allow any Claim <strong>to</strong> be effectivelyinvestigated, defended <strong>and</strong>/or resolved.Section 8 General Conditions8.1Au<strong>to</strong>matic AcquisitionIf during <strong>the</strong> <strong>Policy</strong> Period <strong>the</strong> Company acquires, directlyor indirectly through any Subsidiary, a controlling interestin ano<strong>the</strong>r company <strong>the</strong>n <strong>the</strong> Company shall provide <strong>the</strong>Insurer with full information in respect of <strong>the</strong> said company<strong>and</strong> agree <strong>to</strong> any additional premium <strong>and</strong>/or amendment <strong>to</strong><strong>the</strong> provisions requested by <strong>the</strong> Insurer <strong>to</strong> obtain coverunder this Section for said company.8.2Subsidiary CoverCoverage with respect <strong>to</strong> Claims made against an Insuredshall only apply <strong>to</strong> Wrongful Acts committed or allegedlycommitted after <strong>the</strong> effective date that a Subsidiarybecame a Subsidiary <strong>and</strong> prior <strong>to</strong> <strong>the</strong> date such Subsidiaryceased <strong>to</strong> be a Subsidiary8.3AllocationIf an Insured incurs Loss in respect of a Claim whichincludes both covered <strong>and</strong> non covered matters or which ismade against both covered <strong>and</strong> non covered parties <strong>the</strong>n<strong>the</strong> Insured <strong>and</strong> <strong>the</strong> Insurer shall use <strong>the</strong>ir best efforts <strong>to</strong>


20 <strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong>Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers Liabilityagree upon a fair <strong>and</strong> proper allocation of <strong>the</strong> proportion of<strong>the</strong> Loss covered hereunder, having regard <strong>to</strong> <strong>the</strong> relativelegal <strong>and</strong> financial exposures. Only Loss incurred by anInsured <strong>and</strong> in <strong>the</strong> case of Defence Costs directlyattributable <strong>to</strong> <strong>the</strong> defence of an Insured is coveredhereunder. Loss incurred by or attributable <strong>to</strong> <strong>the</strong> defenceof <strong>the</strong> Company itself is not covered.If an allocation cannot be agreed between <strong>the</strong> Insured <strong>and</strong><strong>the</strong> Insurer, <strong>the</strong>n <strong>the</strong> parties agree that such allocation shallbe determined, having regard <strong>to</strong> <strong>the</strong> relative legal <strong>and</strong>financial exposures, by a Queen’s Counsel <strong>to</strong> be mutuallyagreed upon, or in default of agreement, <strong>to</strong> be nominatedby <strong>the</strong> <strong>the</strong>n Chairperson of <strong>the</strong> Bar Council. Such QC shallact as an expert <strong>and</strong> not an arbitra<strong>to</strong>r <strong>and</strong> his or herdetermination shall be based upon <strong>the</strong> written sub missionsof <strong>the</strong> parties <strong>and</strong> will be final <strong>and</strong> binding on <strong>the</strong> parties.There shall be no obligation on <strong>the</strong> QC <strong>to</strong> provide reasonsunless specifically requested by <strong>the</strong> Insured <strong>and</strong> <strong>the</strong> Insurer.The costs of any reference <strong>to</strong> expert determination underthis clause shall be borne equally by both <strong>the</strong> Insuredseeking <strong>the</strong> determination <strong>and</strong> <strong>the</strong> Insurer.8.4Merger / Acquisition ClauseIt is agreed that if <strong>the</strong> Company is merged, consolidatedwith or acquired by ano<strong>the</strong>r entity, or entities acting inconcert, who have ownership or controlling interest of 50%or more of <strong>the</strong> share capital or outst<strong>and</strong>ing securitiesrepresenting <strong>the</strong> right <strong>to</strong> vote for <strong>the</strong> election of boardmembers this Section shall only apply <strong>to</strong> Wrongful Actscommitted prior <strong>to</strong> <strong>the</strong> effective date of such transaction.8.5Termination / Cancellationa) In <strong>the</strong> event of non-payment of premium <strong>the</strong> Insurermay cancel this Section by giving 30 days writtennotice <strong>to</strong> <strong>the</strong> Company.b) This Section shall terminate at <strong>the</strong> expiration of <strong>the</strong><strong>Policy</strong> Period as stated in <strong>the</strong> Schedule.8.6Liability Exoneration ClauseIf an Insured refuses <strong>to</strong> consent <strong>to</strong> any settlementrecommendation by <strong>the</strong> Insurer <strong>and</strong> elects <strong>to</strong> contest <strong>the</strong>Claim, <strong>the</strong>n <strong>the</strong> Insurer’s liability for <strong>the</strong> Claim shall notexceed <strong>the</strong> amount for which <strong>the</strong> Claim could have beensettled, including Defence Costs up <strong>to</strong> <strong>the</strong> date of <strong>the</strong>Insurer’s refusal <strong>to</strong> consent.8.7O<strong>the</strong>r InsuranceThis Section shall apply only in excess of any o<strong>the</strong>r validinsurance, o<strong>the</strong>r than insurance written as specific excessinsurance over <strong>the</strong> Limits of Liability provided in this Section.8.8Governing Law <strong>and</strong> JurisdictionThis Section shall be governed by <strong>and</strong> construed inaccordance with <strong>the</strong> laws of Engl<strong>and</strong> <strong>and</strong> Wales, <strong>the</strong>Company, <strong>the</strong> Insured <strong>and</strong> <strong>the</strong> Insurer agree <strong>to</strong> submit <strong>to</strong><strong>the</strong> exclusive jurisdiction of <strong>the</strong> courts of Engl<strong>and</strong> <strong>and</strong>Wales.8.9Assignation of <strong>Policy</strong>This Section <strong>and</strong> any rights hereunder cannot be assignedwithout <strong>the</strong> written consent of <strong>the</strong> Insurer.8.10 Severability of ExclusionsFor <strong>the</strong> purposes of determining <strong>the</strong> application of <strong>the</strong>Exclusions, no fact pertaining <strong>to</strong> or knowledge possessed byone insured shall be imputed <strong>to</strong> any o<strong>the</strong>r insured.8.11 Severability of ProposalThe Proposal for this Section shall be construed as aseparate Proposal by each insured. With respect <strong>to</strong> <strong>the</strong>declarations <strong>and</strong> statements contained in <strong>the</strong> Proposal, nostatement in <strong>the</strong> Proposal or knowledge possessed by anyone Insured shall be imputed <strong>to</strong> any o<strong>the</strong>r Insured for <strong>the</strong>purpose of determining <strong>the</strong> availability of coverage withrespect <strong>to</strong> Claims against that o<strong>the</strong>r insured.8.12 Subrogation <strong>and</strong> Assignment of RightsIn <strong>the</strong> event of payment under this Section, <strong>the</strong> Insurershall be subrogated <strong>to</strong> all of <strong>the</strong> Insurer’s rights of recoveryin respect of such payment. In addition, <strong>the</strong> Insured shallexecute all <strong>and</strong> any documentation <strong>and</strong> do any o<strong>the</strong>r thingsas may be necessary <strong>to</strong> enable <strong>the</strong> Insurer <strong>to</strong> bring anaction or suit in <strong>the</strong> name of <strong>the</strong> Insurer or <strong>the</strong> Insured. Anyrecovery received shall first be applied against any paymentmade by <strong>the</strong> Insurer with any balance remaining <strong>the</strong>reafterbeing remitted <strong>to</strong> <strong>the</strong> Insured.8.13 Singular <strong>and</strong> Plural / Masculine <strong>and</strong> FeminineAny reference <strong>to</strong> <strong>the</strong> singular shall include <strong>the</strong> plural <strong>and</strong>vice versa.Any reference <strong>to</strong> <strong>the</strong> masculine shall include <strong>the</strong> feminine<strong>and</strong> vice versa.8.14 Authorisation of <strong>the</strong> CompanyThe Company shall act as agent on behalf of <strong>the</strong> Insured inrespect of all matters of any nature relating <strong>to</strong> or affectingthis Section. The Insurer shall be entitled <strong>to</strong> treat <strong>the</strong>Company as having such authority for all purposesconnected with this Section.8.15 Contracts (Rights of Third Parties) Act 1999Notwithst<strong>and</strong>ing <strong>the</strong> provision of <strong>the</strong> Contracts (Rights ofThird Parties) Act 1999, <strong>and</strong> for <strong>the</strong> avoidance of doubt:-a) This Section is not intended <strong>to</strong> <strong>and</strong> accordingly does notconfer any enforceable rights upon any third party,whe<strong>the</strong>r or not an interest of such third party or partiesis acknowledged by <strong>the</strong> Insurer.b) The parties <strong>to</strong> this Section shall be entitled <strong>to</strong> rescind orvary such without <strong>the</strong> consent of any third party,whe<strong>the</strong>r or not an interest of such third party or partiesis acknowledged by <strong>the</strong> Insurer.


<strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong> 21Section 2 – Direc<strong>to</strong>rs <strong>and</strong> Officers Liabilityc) In <strong>the</strong> event of proceedings by a third party against <strong>the</strong>Insurer for an enforcement of a term of this Section <strong>the</strong>Insurer shall have available <strong>to</strong> it <strong>the</strong> option of anydefence or set off which would have been available if<strong>the</strong> proceedings had been brought by an insured.Section 9 DeclarationsIt is unders<strong>to</strong>od <strong>and</strong> agreed that <strong>the</strong> statements <strong>and</strong>declarations made by <strong>the</strong> Insured <strong>and</strong> <strong>the</strong> Company <strong>to</strong> <strong>the</strong>Insurer have been relied upon by <strong>the</strong> Insurer <strong>and</strong> are <strong>the</strong>basis of this <strong>Policy</strong> <strong>and</strong> shall be deemed <strong>to</strong> be incorporatedin<strong>to</strong> <strong>and</strong> constitute part of this <strong>Policy</strong>.

BusinessThe Business specified in <strong>the</strong> Schedule conducted solelyfrom Great Britain, Nor<strong>the</strong>rn Irel<strong>and</strong>, <strong>the</strong> Isle of Man or<strong>the</strong> Channel Isl<strong>and</strong>s <strong>and</strong> includinga. <strong>the</strong> ownership, maintenance <strong>and</strong> repair of Premisesused in connection <strong>the</strong>rewithb. <strong>the</strong> provision <strong>and</strong> management of canteen, social,sports or welfare organisations for <strong>the</strong> benefit ofEmployees <strong>and</strong> <strong>the</strong> ambulance, first aid, fire, medical<strong>and</strong> security services of <strong>the</strong> Insuredc. <strong>the</strong> execution of private duties by Employees for anypartner, direc<strong>to</strong>r or senior official of <strong>the</strong> Insured4. Terri<strong>to</strong>rial Limitsa. Great Britain, Nor<strong>the</strong>rn Irel<strong>and</strong>, <strong>the</strong> Isle of Man <strong>and</strong><strong>the</strong> Channel Isl<strong>and</strong>sb. elsewhere in <strong>the</strong> world in respect of Injury sustainedby any Employee resident within <strong>the</strong> terri<strong>to</strong>riesspecified in Definition 4.a. above <strong>and</strong> caused whilstsuch Employee is temporarily employed outside <strong>the</strong>seterri<strong>to</strong>ries provided that any action for compensationin respect of such Injury is brought in a court of lawwithin <strong>the</strong> said terri<strong>to</strong>ries or any o<strong>the</strong>r membercountry of <strong>the</strong> European Union5. Offshore Installationsa. Any installation in <strong>the</strong> sea or tidal waters which isintended for underwater exploitation of mineralresources or exploration with a <strong>view</strong> <strong>to</strong> suchexploitationb. any installation in <strong>the</strong> sea or tidal waters which isintended for <strong>the</strong> s<strong>to</strong>rage or recovery of gasc. any pipe or system of pipes in <strong>the</strong> sea or tidal watersd. any installation which is intended <strong>to</strong> provideaccommodation for persons who work on or from<strong>the</strong> locations specified in Definition 5a, 5b, or5c above.CoverThe Insurer will indemnify <strong>the</strong> Insured against legal liability<strong>to</strong> pay compensation <strong>and</strong> claimants’ costs <strong>and</strong> expenses inrespect of Injury sustained by any Employee arising out of<strong>and</strong> in <strong>the</strong> course of <strong>the</strong> employment or engagement ofsuch person by <strong>the</strong> Insured in connection with <strong>the</strong> Business<strong>and</strong> caused within <strong>the</strong> Terri<strong>to</strong>rial Limits during <strong>the</strong> Periodof Insurance.In addition <strong>the</strong> Insurer will pay costs <strong>and</strong> expenses incurredby <strong>the</strong> Insurer or with <strong>the</strong> written consent of <strong>the</strong> Insurer1. in connection with <strong>the</strong> defence of any claim2. for representation of <strong>the</strong> Insureda. at any coroner’s inquest or fatal accident inquiry inrespect of deathb. at proceedings in any court of summary jurisdictionor on indictment in any higher court in respect ofany alleged breach of statu<strong>to</strong>ry duty resulting inInjurywhich may be <strong>the</strong> subject of indemnity under this Section.Limit of Indemnity1. The Insurer’s liability for all compensation, costs <strong>and</strong>expenses payable (including interest <strong>the</strong>reon <strong>and</strong> <strong>the</strong>costs of defending a Health <strong>and</strong> Safety legislationprosecution) in respect of any one claim or series ofclaims arising out of one occurrence shall not exceed<strong>the</strong> Limit of Indemnity stated in <strong>the</strong> Schedule.2. Terrorism inner Limit of IndemnityThe Limit of Indemnity shall not exceed £5,000,000 inrespect of an act of Terrorism.For <strong>the</strong> purposes of this limitation <strong>the</strong> Definition of anact of Terrorism is:an act including but not limited <strong>to</strong> <strong>the</strong> use of force orviolence <strong>and</strong>/or threat <strong>the</strong>reof of any person or group(s)of persons whe<strong>the</strong>r acting alone or on behalf of or inconnection with any organisation(s) or government(s)committed for political religious ideological or similarpurposes including <strong>the</strong> intention <strong>to</strong> influence anygovernment <strong>and</strong>/or <strong>to</strong> put <strong>the</strong> public or any section of<strong>the</strong> public in fear.If <strong>the</strong> Insurer alleges that by reason of this limitationany loss damage cost or expense is not covered <strong>the</strong>burden of proving <strong>the</strong> contrary shall be upon<strong>the</strong> Insured.


<strong>Bowls</strong> <strong>and</strong> Racquet Club Insurance – <strong>Policy</strong> 23Section 3 – Employers’ LiabilityExclusionsThis Section does not cover1. liability in respect of Injury <strong>to</strong> any Employee arising ou<strong>to</strong>f <strong>the</strong> ownership, possession or use by or on behalf of<strong>the</strong> Insured of any mechanically propelled vehicle ortrailer attached <strong>the</strong>re<strong>to</strong> if such liability is required byany road traffic legislation <strong>to</strong> be <strong>the</strong> subject ofcompulsory insurance or o<strong>the</strong>r security.2. liability in respect of Injury <strong>to</strong> any Employee who isworking on, visiting or travelling <strong>to</strong> or fromOffshore Installations.Section ExtensionsThese Section Extensions are subject o<strong>the</strong>rwise <strong>to</strong> <strong>the</strong> terms,Exceptions <strong>and</strong> Conditions of this <strong>Policy</strong>.1. Indemnity <strong>to</strong> O<strong>the</strong>r PartiesIf <strong>the</strong> Insured so request <strong>the</strong> Insurer will indemnify <strong>the</strong>following partiesa. any officer or committee member or o<strong>the</strong>r member of<strong>the</strong> Insured’s canteen, social, sports or welfareorganisations or ambulance, first aid, fire, medical orsecurity services against liability incurred in suchcapacityb. any partner, direc<strong>to</strong>r or Employee of <strong>the</strong> Insuredagainst liability incurred in such capacity <strong>and</strong> inrespect of which <strong>the</strong> Insured would have been entitled<strong>to</strong> indemnity under this Section if <strong>the</strong> claim had beenmade against <strong>the</strong> Insuredas though each party was individually named as <strong>the</strong>Insured in this Sectionc. any principal for whom <strong>the</strong> Insured have agreed <strong>to</strong>execute work under contract or agreement againstliability arising out of <strong>the</strong> performance of such workby <strong>the</strong> Insured <strong>and</strong> in respect of which <strong>the</strong> Insured arelegally liable <strong>and</strong> would have been entitled <strong>to</strong>indemnity under this Section if <strong>the</strong> claim had beenmade against <strong>the</strong> InsuredProvided thati. each such party shall observe fulfil <strong>and</strong> be subject<strong>to</strong> <strong>the</strong> terms <strong>and</strong> conditions of this Section in sofar as <strong>the</strong>y can applyii. <strong>the</strong> Insurer’s liability <strong>to</strong> <strong>the</strong> Insured <strong>and</strong> all partiesindemnified shall not exceed in <strong>to</strong>tal <strong>the</strong> Limit ofIndemnity specified in <strong>the</strong> Schedule.2. Health <strong>and</strong> Safety at Work – Legal Defence CostsThe Insurer will indemnify <strong>the</strong> Insured <strong>and</strong> if <strong>the</strong> Insured sorequest any partner, direc<strong>to</strong>r or Employee of <strong>the</strong> Insured in<strong>the</strong> terms of this Section in respect ofa. costs <strong>and</strong> expenses incurred with <strong>the</strong> Insurer’swritten consentb. costs <strong>and</strong> expenses of <strong>the</strong> prosecution awarded againstany such partyin connection with criminal proceedings or an appealagainst conviction arising from such proceedingsbrought in respect of any offence under <strong>the</strong> Health <strong>and</strong>Safety at Work etc. Act 1974 or <strong>the</strong> Health <strong>and</strong> Safetyat Work (Nor<strong>the</strong>rn Irel<strong>and</strong>) Order 1978 committed oralleged <strong>to</strong> have been committed during <strong>the</strong> Period ofInsurance in connection with <strong>the</strong> BusinessProvided thati. <strong>the</strong> proceedings relate <strong>to</strong> <strong>the</strong> health, safety orwelfare of any Employeeii. <strong>the</strong> Insurer shall have <strong>the</strong> conduct <strong>and</strong> control ofall <strong>the</strong> said proceedings <strong>and</strong> appeals.<strong>the</strong> Insurer will not pay forA. fines or penalties of any kindB. proceedings or appeals in respect of anydeliberate act or omissionC. costs or expenses insured by any o<strong>the</strong>r policy.3. Unsatisfied Court JudgementsIf a judgement for compensation or costs in respect ofInjury sustained by any Employee arising out of <strong>and</strong> in <strong>the</strong>course of employment or engagement by <strong>the</strong> Insured inconnection with <strong>the</strong> Business <strong>and</strong> caused within <strong>the</strong>Terri<strong>to</strong>rial Limits during <strong>the</strong> Period of Insurancea. is obtained by such Employee in any court situatedwithin <strong>the</strong> terri<strong>to</strong>ries specified in Definition 4.a.against any person or corporate body domiciled oroperating from premises within such terri<strong>to</strong>ries <strong>and</strong>b. remains wholly or partly unsatisfied six months after<strong>the</strong> date of such judgement<strong>the</strong> Insurer will if <strong>the</strong> Insured so request pay <strong>to</strong> <strong>the</strong> saidEmployee <strong>the</strong> amount of any such compensation <strong>and</strong> costs<strong>to</strong> <strong>the</strong> extent that <strong>the</strong>y remain unsatisfiedProvided thati. <strong>the</strong>re is no appeal outst<strong>and</strong>ingii. <strong>the</strong> Employee shall have assigned <strong>the</strong> judgement<strong>to</strong> <strong>the</strong> Insureriii. this Section was shown in <strong>the</strong> Schedule at <strong>the</strong>time of <strong>the</strong> Injury.4. Court Attendance CompensationIf during <strong>the</strong> Period of Insurance any partner, direc<strong>to</strong>r orEmployee of <strong>the</strong> Insured is required <strong>to</strong> attend court as awitness at <strong>the</strong> request of <strong>the</strong> Insurer in connection with aclaim which is <strong>the</strong> subject of indemnity under this Section<strong>the</strong> Insurer will pay compensation <strong>to</strong> <strong>the</strong> Insured on <strong>the</strong>following scale for each day that attendance is required:

Contractual LiabilityIn respect of liability assumed by <strong>the</strong> Insured by a contrac<strong>to</strong>r agreement entered in<strong>to</strong> by <strong>the</strong> Insured <strong>and</strong> which wouldnot have attached in <strong>the</strong> absence of such contract oragreement, <strong>the</strong> indemnity provided by this Section shallonly apply if <strong>the</strong> sole conduct <strong>and</strong> control of any claim isvested in <strong>the</strong> InsurerProvided that <strong>the</strong> Insurer shall not in any event provideindemnity in respect of liquidated damages or fines ordamages imposed by or payable under any penalty clause.5. Discharge of LiabilityThe Insurer may pay <strong>to</strong> <strong>the</strong> Insured in <strong>the</strong> event of anyone claim or series of claims arising out of oneoccurrence <strong>the</strong> specified Limit of Indemnity in respect<strong>the</strong>reof (after deducting <strong>the</strong>refrom any sums alreadypaid) or any lesser amount for which <strong>the</strong> claim(s) can besettled <strong>and</strong> <strong>the</strong>reafter be under no fur<strong>the</strong>r liability inrespect of such claim or series of claims arising out ofone occurrence, except for <strong>the</strong> amount of any costs <strong>and</strong>expenses incurred prior <strong>to</strong> <strong>the</strong> date of <strong>the</strong> payment.Section Conditions1. Compulsory Insurance LegislationThe indemnity granted by this Section is deemed <strong>to</strong> bein accordance with <strong>the</strong> provisions of any law relating <strong>to</strong>compulsory insurance of liability <strong>to</strong> Employees in <strong>the</strong>terri<strong>to</strong>ries specified in Definition 4.a. but <strong>the</strong> Insuredshall repay <strong>to</strong> <strong>the</strong> Insurer all sums paid by <strong>the</strong> Insurerwhich <strong>the</strong> Insurer would not have been liable <strong>to</strong> pay butfor <strong>the</strong> provisions of such law.2. Certificate of Employers’ LiabilityIf this <strong>Policy</strong> or Section is cancelled any certificate ofEmployers’ Liability insurance issued hereunder issimilarly cancelled from <strong>the</strong> same date.3. O<strong>the</strong>r InsurancesThe Insurer will not indemnify <strong>the</strong> Insured in respect ofliability which is insured by or would but for <strong>the</strong>existence of this Section be insured by any o<strong>the</strong>r policyor section except in respect of any excess beyond <strong>the</strong>amount payable under such o<strong>the</strong>r policy or section orwhich would have been payable under such o<strong>the</strong>r policyor section had this Section not been effected.4. AlterationIf at any time anything shall occur or be done whichmaterially affects <strong>the</strong> risk insured <strong>the</strong> Insured shall giveimmediate notice in writing <strong>to</strong> <strong>the</strong> Insurer.

If you are in anydoubt please consult your insurance adviser• If an employee or someone else is holding youresponsible for injury <strong>to</strong> <strong>the</strong>m or for damage <strong>to</strong> <strong>the</strong>irproperty <strong>the</strong>n you should tell us promptly via yourinsurance adviser, <strong>and</strong> send any letters, writs orsummons <strong>to</strong> us unanswered• Our aim is <strong>to</strong> deal with your claim promptly <strong>and</strong>fairly. Depending on <strong>the</strong> type of claim <strong>and</strong> valueinvolved we may:• forward a claim form for you <strong>to</strong> complete<strong>and</strong> sign• appoint an independent Loss Adjuster <strong>to</strong> dealwith your claim• arrange for one of our Claims staff <strong>to</strong> visit you• reply <strong>to</strong> you via your insurance adviser by letteror by telephone.• You should comply with <strong>the</strong> requirements for claimnotification contained in <strong>the</strong> policy conditions,which detail your obligations <strong>and</strong> our rights in <strong>the</strong>event of a claim.
