<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong><strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong> <strong>of</strong> <strong>Appointment</strong> (“T&Cs”) <strong>as</strong> <strong>an</strong> Insur<strong>an</strong>ce Intermediary <strong>of</strong> <strong>Aviva</strong> Life & PensionsIrel<strong><strong>an</strong>d</strong> Limited a comp<strong>an</strong>y registered in Irel<strong><strong>an</strong>d</strong> <strong><strong>an</strong>d</strong> having its principal place <strong>of</strong> business at One ParkPlace, Hatch Street, Dublin 2 (hereinafter called “<strong>Aviva</strong>”).Ple<strong>as</strong>e read these T&Cs carefully. These T&Cs will constitute a legally binding agreement between<strong>Aviva</strong> <strong><strong>an</strong>d</strong> you the Intermediary for Business conducted with <strong>Aviva</strong> on or after the Date <strong>of</strong> Effect. Bysubmitting business to <strong>Aviva</strong> after the Date <strong>of</strong> Effect, you agree to these T&Cs.<strong>Aviva</strong> hereby appoints you, the Insur<strong>an</strong>ce Intermediary(the “Intermediary”) <strong>as</strong> its non-exclusive intermediaryfor the purpose <strong>of</strong> the Business in accord<strong>an</strong>cewith these T&Cs (<strong>as</strong> hereinafter defined) <strong><strong>an</strong>d</strong> theIntermediary accepts such appointment on the termscontained in these T&Cs.SECTION 1.0 - DEFINITIONS ANDCONSTRUCTION1.1 Definitions1.1.1 “Applicable Laws <strong><strong>an</strong>d</strong> Regulations”, allapplicable laws <strong><strong>an</strong>d</strong> regulations <strong><strong>an</strong>d</strong> allrelev<strong>an</strong>t codes, guidelines <strong><strong>an</strong>d</strong> requirementsissued by a relev<strong>an</strong>t competent regulatory orgovernmental authority from time to time;1.1.2 “<strong>Aviva</strong>’s Property”, all certificates, books,proposal <strong><strong>an</strong>d</strong> other forms, policy <strong><strong>an</strong>d</strong> renewaldocuments, prospectuses, advertisingmaterial, show cards, books, stationery,<strong>of</strong>ficial documents, computer s<strong>of</strong>tware <strong><strong>an</strong>d</strong>materials <strong>of</strong> every other description furnishedby <strong>Aviva</strong> for use by the Intermediary inconnection with the business <strong>of</strong> <strong>Aviva</strong> duringthe term <strong>of</strong> this appointment;1.1.3 “Business”, the business <strong>of</strong> insur<strong>an</strong>ceintermediary in respect <strong>of</strong> Insur<strong>an</strong>ce Policiesincluding, without limitation, performing theduties set out at Clause 4 herein;1.1.4 “Business Day”, a day on which b<strong>an</strong>ks areopen for business in the Territory;1.1.5 “Ch<strong>an</strong>ge in Control”, in the context <strong>of</strong> i)a comp<strong>an</strong>y, a ch<strong>an</strong>ge in holding comp<strong>an</strong>ywithin the me<strong>an</strong>ing <strong>of</strong> Section 155 <strong>of</strong> theComp<strong>an</strong>ies Act 1963; or ii) a partnership, ach<strong>an</strong>ge in the majority <strong>of</strong> the partners; oriii) a sole trader, a ch<strong>an</strong>ge in the sole traderoperating the Intermediary;1.1.6 “Client”, a client <strong>of</strong> the Intermediary;1.1.7 “Commission Arr<strong>an</strong>gements”, thearr<strong>an</strong>gements in place between theIntermediary <strong><strong>an</strong>d</strong> <strong>Aviva</strong> at the Date <strong>of</strong> Effect<strong>as</strong> may be modified from time to time bywritten notice <strong>of</strong> <strong>Aviva</strong> to the Intermediary;1.1.8 “Date <strong>of</strong> Effect”, me<strong>an</strong>s(i)in respect <strong>of</strong> the T&Cs <strong>as</strong> originally issuedthe Business Day next following the dateon the covering letter sending theseT&Cs to the Intermediary;(ii) in respect <strong>of</strong> the T&Cs <strong>as</strong> amended fromtime to time by <strong>Aviva</strong> in accord<strong>an</strong>ce withClause 22.1 whichever <strong>as</strong> determined by<strong>Aviva</strong> <strong>of</strong> (a) a date specified by <strong>Aviva</strong> or(b) the Business Day next following thedate on the covering letter sending theamended T&Cs to the Intermediary;1.1.9 “Insur<strong>an</strong>ce Policies”, policies <strong>of</strong> life <strong>as</strong>sur<strong>an</strong>ceunderwritten by <strong>Aviva</strong> for Clients resident inthe Territory;1.1.10 “Parties”, <strong>Aviva</strong> <strong><strong>an</strong>d</strong> the Intermediary, each aParty <strong>as</strong> appropriate;1.1.11 “Separate Agreement”, <strong>an</strong>y otheragreement entered into between the Partiesincluding without limitation <strong>an</strong>y WriteNowagreement;1.1.12 “Territory”, the Republic <strong>of</strong> Irel<strong><strong>an</strong>d</strong>;1.1.13 “T&Cs”, these terms <strong><strong>an</strong>d</strong> conditions <strong>as</strong> maybe amended from time to time by <strong>Aviva</strong> inaccord<strong>an</strong>ce with Clause 22.1;1.1.14 “Unsatisfactory Conduct”, conduct thatwould not be re<strong>as</strong>onably expected <strong>of</strong> aproperly qualified <strong><strong>an</strong>d</strong> competent <strong><strong>an</strong>d</strong>prudent insur<strong>an</strong>ce intermediary carrying onthe business <strong>of</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inthe Territory1.1.15 “WriteNow”, the online service by thatname provided by <strong>Aviva</strong> to intermediariesappointed by <strong>Aviva</strong>.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>1.2 Construction1.2.1 References in these T&Cs to <strong>an</strong>y statutoryprovision shall be deemed also to refer to<strong>an</strong>y statutory modification, re-enactmentor consolidation there<strong>of</strong> or <strong>an</strong>y statutoryinstrument, order or regulation madethereunder or under <strong>an</strong>y such modification,re-enactment or consolidation.1.2.2 Words denoting the male gender shall bedeemed to include the female <strong><strong>an</strong>d</strong> neutergenders <strong><strong>an</strong>d</strong> words denoting the singularshall be deemed to include the plural whereappropriate <strong><strong>an</strong>d</strong> vice versa.1.2.3 The term “governmental authority” shallwhere appropriate, <strong><strong>an</strong>d</strong> in particular butwithout limitation in relation to pensionsInsur<strong>an</strong>ce Policies, include the RevenueCommissioners,1.2.4 Headings used in these T&Cs are for e<strong>as</strong>e<strong>of</strong> reference only <strong><strong>an</strong>d</strong> shall not affect theinterpretation <strong>of</strong> <strong>an</strong>y provision here<strong>of</strong>.1.3 Agreement, Scope <strong><strong>an</strong>d</strong> Authority1.3.1 These T&Cs explain how <strong>Aviva</strong> will conductbusiness with the Intermediary on or afterthe Date <strong>of</strong> Effect. By submitting businessto <strong>Aviva</strong> after the Date <strong>of</strong> Effect, theIntermediary agrees to these T&Cs.1.3.2 In all the Intermediary’s dealings with<strong>Aviva</strong> (including but not limited to businesssubmitted to <strong>Aviva</strong> electronically) theIntermediary warr<strong>an</strong>ts that the Intermediaryis acting with the Client’s full authority atall times unless the Intermediary notifies<strong>Aviva</strong> otherwise in writing. Unless otherwisespecified to the contrary in these T&Cs,<strong>Aviva</strong> do not act <strong>as</strong> the Intermediary’s agentor <strong>as</strong> the agent <strong>of</strong> the Client under <strong>an</strong>ycircumst<strong>an</strong>ces.1.5 Nothing in these T&Cs limits our discretion todecline <strong>an</strong> application for <strong>an</strong> Insur<strong>an</strong>ce Policy,<strong>of</strong>fer different terms on which <strong>Aviva</strong> acceptssuch applications, withdraw Business, ch<strong>an</strong>geBusiness or vary conditions on which Businessis sold.1.6 These T&Cs operate between theIntermediary <strong><strong>an</strong>d</strong> <strong>Aviva</strong> only <strong><strong>an</strong>d</strong> they do notcreate <strong>an</strong>y contractual relationship between<strong>Aviva</strong> <strong><strong>an</strong>d</strong> <strong>an</strong>y director, partner, member,employee, adviser, agent or Client <strong>of</strong> theIntermediary.1.7 <strong>Aviva</strong> will <strong>as</strong>sume that <strong>an</strong>y Person givinginstructions to <strong>Aviva</strong> on the Intermediary’sbehalf h<strong>as</strong> the authority to act for theIntermediary but <strong>Aviva</strong> reserves the rightto <strong>as</strong>k for evidence <strong>of</strong> such authority orconfirmation <strong>of</strong> instructions received.1.8 These T&Cs are not intended to <strong><strong>an</strong>d</strong> donot create <strong>an</strong>y agency, partnership or jointventure or (other th<strong>an</strong> for the purposes <strong>of</strong> theBusiness) agency, between the Intermediary<strong><strong>an</strong>d</strong> <strong>Aviva</strong>.SECTION 2.0 - APPOINTMENT OFINTERMEDIARY2.1 <strong>Appointment</strong>2.1.1 <strong>Aviva</strong> hereby appoints the Intermediary tobe the non-exclusive insur<strong>an</strong>ce intermediary<strong>of</strong> <strong>Aviva</strong> for the purposes <strong>of</strong> the Business inaccord<strong>an</strong>ce with the terms <strong>of</strong> these T&Cs.2.1.2 Unless otherwise stated, the Intermediaryshall act solely in the capacity <strong>of</strong> <strong>an</strong> insur<strong>an</strong>ceintermediary acting on behalf <strong>of</strong>, <strong><strong>an</strong>d</strong> <strong>as</strong>intermediary for, the Client.2.1.3 Nothing in these T&Cs shall be deemed toconstitute a partnership, <strong>as</strong>sociation, jointventure or other co-operative enterprisebetween the Parties.2.1.4 Nothing herein contained shall restrict <strong>Aviva</strong>from appointing other insur<strong>an</strong>ce intermediariesto do business <strong>of</strong> a nature similar to theBusiness or otherwise or prohibit the salethrough alternative distribution ch<strong>an</strong>nels by<strong>Aviva</strong>, <strong>of</strong> Insur<strong>an</strong>ce Policies.2.1.5 Neither these T&Cs nor <strong>an</strong>y provisionhere<strong>of</strong> shall detract from, limit or otherwiseaffect <strong>an</strong>y duties, liabilities, obligations orresponsibilities <strong>of</strong> the Parties under <strong>an</strong>ySeparate Agreement <strong><strong>an</strong>d</strong> in the event <strong>of</strong><strong>an</strong>y inconsistency between the terms <strong>of</strong>these T&Cs <strong><strong>an</strong>d</strong> the terms <strong>of</strong> <strong>an</strong>y SeparateAgreement, the terms <strong>of</strong> <strong>an</strong>y such SeparateAgreement shall prevail. Termination <strong>of</strong>these T&Cs shall not affect the validity <strong>of</strong>a Separate Agreement <strong><strong>an</strong>d</strong> termination <strong>of</strong>a Separate Agreement shall not affect thevalidity <strong>of</strong> these T&Cs.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>2.1.6 Unless expressly authorised in writing by<strong>Aviva</strong> to do so under the terms <strong>of</strong> these T&Csor <strong>an</strong>y other written agreement (including<strong>an</strong>y Separate Agreement) between the Parties<strong><strong>an</strong>d</strong> then only in strict accord<strong>an</strong>ce with theterms <strong>of</strong> that express written authority, theIntermediary is not empowered to <strong><strong>an</strong>d</strong> shallnot or shall not purport to:(a) effect Insur<strong>an</strong>ce Policies on behalf <strong>of</strong> <strong>Aviva</strong><strong><strong>an</strong>d</strong> the Intermediary must make it clearto Clients that the Insur<strong>an</strong>ce Policies willonly be effective upon issue by <strong>Aviva</strong>;(b) alter, modify, waive or ch<strong>an</strong>ge in <strong>an</strong>yway whatsoever the terms, rates <strong>of</strong>premium or conditions <strong>of</strong> the Insur<strong>an</strong>cePolicies without the prior written consent<strong>of</strong> <strong>Aviva</strong>;(c) provide cover on behalf <strong>of</strong> <strong>Aviva</strong> orotherwise incur <strong>an</strong>y liability on behalf<strong>of</strong> <strong>Aviva</strong> or bind <strong>Aviva</strong> by <strong>an</strong>y statementwritten or oral <strong><strong>an</strong>d</strong> accordingly Aviv<strong>as</strong>hall not be obliged to accept <strong>an</strong>yproposal for insur<strong>an</strong>ce or renewal <strong>of</strong> <strong>an</strong>yexisting policy;(d) endorse cheques, money orders, drafts,postal orders or other negotiableinstruments made payable to <strong>Aviva</strong>;(e) negotiate the settlement <strong>of</strong> <strong>an</strong>y claimunder <strong>an</strong> Insur<strong>an</strong>ce Policy nor admitliability nor agree qu<strong>an</strong>tum on behalf <strong>of</strong><strong>Aviva</strong> in relation to <strong>an</strong>y such claim.SECTION 3.0 - OBLIGATIONS OF THEPARTIES3.1 General3.1.1 In relation to the obligations <strong>of</strong> the Partieshereunder, the Parties shall each obtain <strong><strong>an</strong>d</strong>maintain all licences, permits, authorisations,registrations <strong><strong>an</strong>d</strong> approvals which arenecessary for the conduct <strong>of</strong> their businessin the Territory <strong><strong>an</strong>d</strong> shall at all times observe<strong><strong>an</strong>d</strong> comply with Applicable Laws <strong><strong>an</strong>d</strong>Regulations in the conduct <strong>of</strong> their respectivebusinesses.3.1.2 Neither <strong>of</strong> the Parties shall do or omit to do<strong>an</strong>y act or thing which may prevent, impedeor hinder the other in the discharge <strong>of</strong> itslegal or regulatory obligations.3.2 Data Protection3.2.1 The Parties agree to comply with theirrespective obligations under the DataProtection Acts 1988 <strong><strong>an</strong>d</strong> 2003 <strong>as</strong> may beamended from time to time <strong><strong>an</strong>d</strong> <strong>an</strong>y otherapplicable data protection laws (togetherthe “DPA”) <strong><strong>an</strong>d</strong> the Parties shall providesuch <strong>as</strong>sist<strong>an</strong>ce to each other <strong>as</strong> may bere<strong>as</strong>onably required in this regard. <strong>Aviva</strong>,acting <strong>as</strong> data controller under the DPA inrespect <strong>of</strong> the personal data provided to it bythe Intermediary in connection with carryingon <strong>of</strong> the Business, recognises that theIntermediary may also act <strong>as</strong> data controller inrespect <strong>of</strong> such personal data. To the extentthat the Intermediary acts or is held to act <strong>as</strong>data processor for <strong>Aviva</strong> under the DPA, theIntermediary undertakes to comply with thefollowing terms:(a) having regard to the cost <strong>of</strong>implementing technical <strong><strong>an</strong>d</strong>org<strong>an</strong>isational security me<strong>as</strong>ures <strong><strong>an</strong>d</strong>to technological development, theIntermediary shall implement me<strong>as</strong>uresto ensure a level <strong>of</strong> security appropriateto the harm that might result fromunauthorised or unlawful processing oraccidental loss, destruction or damage topersonal data, <strong><strong>an</strong>d</strong> to reflect the nature<strong>of</strong> the personal data to be protected;(b) the Intermediary shall notify <strong>Aviva</strong> <strong>of</strong><strong>an</strong>y breaches <strong>of</strong> its security (including<strong>an</strong>y unauthorised or accidental access)which are likely to or actually affect thepersonal data or its security immediatelyupon becoming aware <strong>of</strong> such a breach;(c) process the personal data (on behalf <strong>of</strong><strong>Aviva</strong>) exclusively for the carrying on <strong>of</strong>the Business but for no other purposeswhatsoever <strong><strong>an</strong>d</strong>/or solely in accord<strong>an</strong>cewith the written instructions <strong>of</strong> <strong>Aviva</strong>;<strong><strong>an</strong>d</strong>(d) permit <strong>Aviva</strong>, upon re<strong>as</strong>onable notice,to carry out <strong>an</strong> audit in relation tothe Business to satisfy itself that theIntermediary is complying with the DPAin respect <strong>of</strong> the Business.3.2.2 The Intermediary underst<strong><strong>an</strong>d</strong>s <strong><strong>an</strong>d</strong> shallinform Clients:


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>(aa) The information provided to <strong>Aviva</strong> maybe used, stored <strong><strong>an</strong>d</strong> processed by, <strong>Aviva</strong>,other <strong>Aviva</strong> Group comp<strong>an</strong>ies, its or theircommercial partners, authorised agents/service providers <strong><strong>an</strong>d</strong>/or successors, oncomputer systems <strong><strong>an</strong>d</strong>/or in paper filesfor the following purposes: (i) to provide<strong><strong>an</strong>d</strong> administer fin<strong>an</strong>cial services/productsrequested; (ii) to comply with applicablelegal or regulatory obligations; <strong><strong>an</strong>d</strong> (iii)for other legitimate business interests<strong>of</strong> <strong>Aviva</strong>, including marketing that theClient h<strong>as</strong> permitted <strong><strong>an</strong>d</strong> protectionagainst non-disclosure <strong>of</strong> material facts<strong><strong>an</strong>d</strong> fraud.(bb) In connection with these purposes,information may be shared, both inside<strong><strong>an</strong>d</strong> outside the Europe<strong>an</strong> EconomicArea, with our other insur<strong>an</strong>ce <strong><strong>an</strong>d</strong>fin<strong>an</strong>cial services comp<strong>an</strong>ies includingthose within the <strong>Aviva</strong> Group <strong><strong>an</strong>d</strong> thirdparties such <strong>as</strong> reinsur<strong>an</strong>ce comp<strong>an</strong>ies,medical practitioners, the Irish Insur<strong>an</strong>ceFederation, trustees/administrators <strong><strong>an</strong>d</strong>sponsoring employers <strong>of</strong> pension pl<strong>an</strong>s,other insur<strong>an</strong>ce <strong><strong>an</strong>d</strong> fin<strong>an</strong>cial servicescomp<strong>an</strong>ies, <strong>Aviva</strong>’s service providerssuch <strong>as</strong> those to whom <strong>Aviva</strong> outsourcescertain business operations, pr<strong>of</strong>essionaladvisers, private investigators who maybe instructed to investigate a claim,reputable external agencies <strong><strong>an</strong>d</strong> <strong>as</strong>required by law.(cc) To <strong>as</strong>sist in preventing, detecting <strong><strong>an</strong>d</strong>/or protecting <strong>Aviva</strong>’s clients <strong><strong>an</strong>d</strong> <strong>Aviva</strong>/<strong>Aviva</strong> Group comp<strong>an</strong>ies from theft <strong><strong>an</strong>d</strong>fraud, <strong>Aviva</strong> may also use informationprovided to make searches <strong>of</strong> <strong>Aviva</strong>/<strong>Aviva</strong> Group comp<strong>an</strong>y records. Iffalse information is given or there isa failure to disclose information <strong><strong>an</strong>d</strong><strong>Aviva</strong> suspects fraud, <strong>Aviva</strong> will recordthis. <strong>Aviva</strong> also participate in the LifeAssur<strong>an</strong>ce Registry, which is operatedby The Irish Insur<strong>an</strong>ce Federation for thepurpose <strong>of</strong> sharing <strong>of</strong> information amonginsur<strong>an</strong>ce comp<strong>an</strong>ies <strong>as</strong> a check againstnon-disclosure.(dd) In the event <strong>of</strong> <strong>an</strong> application for <strong>an</strong>Insur<strong>an</strong>ce Policy not proceeding or apolicy ce<strong>as</strong>ing, information provided inconnection with such may be retainedfor <strong>as</strong> long <strong>as</strong> is permitted by law <strong><strong>an</strong>d</strong>may be shared <strong>as</strong> outlined above whereapplicable.(ee) Where sensitive personal data inrespect <strong>of</strong> a Client, for example datarelating to physical or mental health,are provided, access to <strong><strong>an</strong>d</strong> disclosure<strong>of</strong> this information will be restricted tothat necessary for the purposes set outabove, in particular for administeringthe contracts <strong>of</strong> insur<strong>an</strong>ce/productsrequested (including underwriting,processing, claims h<strong><strong>an</strong>d</strong>ling, reinsur<strong>an</strong>ce,protection against non-disclosure <strong><strong>an</strong>d</strong>fraud prevention).<strong><strong>an</strong>d</strong>(ff) about other processing activities <strong>as</strong> <strong>Aviva</strong>may notify to the Intermediary from timeto time.3.3 Confidential Information3.3.1 Save for the purposes <strong>of</strong> consultingpr<strong>of</strong>essional advisers, auditors <strong><strong>an</strong>d</strong> b<strong>an</strong>kers<strong><strong>an</strong>d</strong> if <strong><strong>an</strong>d</strong> to the extent required inconnection with <strong>an</strong>y insur<strong>an</strong>ce, reinsur<strong>an</strong>ceor <strong>an</strong>y other products or services providedby <strong>Aviva</strong> or <strong>as</strong> may be necessary for theperform<strong>an</strong>ce <strong>of</strong> their respective obligationsunder these T&Cs or <strong>an</strong>y other SeparateAgreement, each <strong>of</strong> the Parties agrees tokeep confidential, protect <strong><strong>an</strong>d</strong> not discloseto <strong>an</strong>y third party, all <strong><strong>an</strong>d</strong> <strong>an</strong>y confidentialinformation, technical data <strong><strong>an</strong>d</strong> trade secrets<strong>of</strong> the other party including informationconcerning a Client (save <strong>as</strong> is required forthe perform<strong>an</strong>ce <strong>of</strong> its respective obligationsunder these T&Cs or <strong>an</strong>y other SeparateAgreement) together with <strong>an</strong>y informationwhich may have been obtained by <strong>Aviva</strong> inthe exercise <strong>of</strong> its rights under these T&Csor <strong>an</strong>y other agreement between the Parties<strong><strong>an</strong>d</strong> each <strong>of</strong> the Parties shall further usere<strong>as</strong>onable care to prevent such disclosure by<strong>an</strong>y <strong>of</strong> its p<strong>as</strong>t <strong><strong>an</strong>d</strong> present employees, agents<strong><strong>an</strong>d</strong> representatives with the exception <strong>of</strong><strong>an</strong>y information which is publicly available orbecomes publicly available otherwise th<strong>an</strong> <strong>as</strong>a result <strong>of</strong> a breach <strong>of</strong> this provision or <strong>an</strong>yother confidentiality agreement relating to<strong>an</strong>y <strong>of</strong> the matters referred to in these T&Csor <strong>an</strong>y other agreement between the Parties


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong><strong><strong>an</strong>d</strong> shall not use or disclose such informationexcept with the prior written consent <strong>of</strong>the other party or <strong>as</strong> required by law or inaccord<strong>an</strong>ce with the order <strong>of</strong> a court ortribunal <strong>of</strong> competent jurisdiction.3.3.2 Where either Party is required by law orrequested to disclose information relating tothe other Party, to <strong>an</strong>y competent regulatoryor governmental authority, or in accord<strong>an</strong>cewith the order <strong>of</strong> a court or tribunal <strong>of</strong>competent jurisdiction, the Party upon whomsuch requirement is imposed or <strong>of</strong> whomsuch request is made shall, in so far <strong>as</strong> itin its re<strong>as</strong>onable opinion determines that itis appropriate <strong><strong>an</strong>d</strong> lawful to do so, consultwith the other Party prior to such disclosurewith a view to providing the opportunity forthe other Party to contest such disclosure orotherwise to agree the timing <strong><strong>an</strong>d</strong> content<strong>of</strong> such disclosure. In <strong>an</strong>y event, the Partymaking such disclosure shall, unless in itsre<strong>as</strong>onable opinion determines that it isinappropriate to do so, notify the other Partyimmediately <strong>of</strong> the disclosure.The provisions <strong>of</strong> this Clause 3.1.4 shallcontinue without limit in point <strong>of</strong> time <strong><strong>an</strong>d</strong>shall not terminate upon the termination <strong>of</strong>this appointment.SECTION 4.0 - DUTIES OF INTERMEDIARY4.1 Processing <strong>of</strong> Client Information4.1.1 The Intermediary shall use its best endeavoursto:(a) ensure that all questions on proposalforms in connection with Insur<strong>an</strong>cePolicies are completed correctly, clearly<strong><strong>an</strong>d</strong> fully by the Client;(b) forward all proposals to <strong>Aviva</strong> <strong>as</strong> soon<strong>as</strong> received by the Intermediary <strong><strong>an</strong>d</strong>in accord<strong>an</strong>ce with <strong>an</strong>y arr<strong>an</strong>gementsadvised to the Intermediary by <strong>Aviva</strong>from time to time;(c) promptly seek from the Client <strong>an</strong>yfurther information required by <strong>Aviva</strong> inorder to confirm the acceptability <strong>of</strong> theproposal to <strong>Aviva</strong>;(d) notify <strong>Aviva</strong> immediately upon beingnotified <strong>of</strong> <strong>an</strong>y claim or <strong>an</strong>y possibleclaim under <strong>an</strong>y Insur<strong>an</strong>ce Policy <strong><strong>an</strong>d</strong><strong>as</strong>sist <strong>Aviva</strong> in responding to a claimin accord<strong>an</strong>ce with <strong>an</strong>y arr<strong>an</strong>gementsadvised to the Intermediary by <strong>Aviva</strong>from time to time; <strong><strong>an</strong>d</strong>(e) notify <strong>Aviva</strong> immediately <strong>of</strong> <strong>an</strong>y otherrelev<strong>an</strong>t correspondence received froma Client or other party in relation to<strong>an</strong> Insur<strong>an</strong>ce Policy <strong><strong>an</strong>d</strong> <strong>as</strong>sist <strong>Aviva</strong> inresponding to that correspondence.4.2 H<strong><strong>an</strong>d</strong>ling <strong>of</strong> FundsThe Intermediary shall adopt best practice<strong><strong>an</strong>d</strong> comply in every respect at all timeswith Applicable Laws <strong><strong>an</strong>d</strong> Regulations <strong>as</strong>regards the receipt, acknowledgement,h<strong><strong>an</strong>d</strong>ling, safekeeping, b<strong>an</strong>king, accounting,documenting, recording, tr<strong>an</strong>sfer <strong><strong>an</strong>d</strong>m<strong>an</strong>agement generally <strong>of</strong> all premiums <strong><strong>an</strong>d</strong>funds held by them whether or not in afiduciary capacity on behalf <strong>of</strong> <strong>Aviva</strong> or theClient. In the absence <strong>of</strong> specific authorityin writing from <strong>Aviva</strong> nothing herein shall beconstrued <strong>as</strong> authorisation from <strong>Aviva</strong> for theholding <strong>of</strong> such premiums or funds by theIntermediary.4.3 Client Premium AccountsThe intermediary will subject to <strong><strong>an</strong>d</strong> inaccord<strong>an</strong>ce with Applicable Laws <strong><strong>an</strong>d</strong>Regulations operate <strong><strong>an</strong>d</strong> lodge moneyit receives in respect <strong>of</strong> a premium to <strong>as</strong>egregated b<strong>an</strong>k account to be designated“client premium account”. In particular butwithout limitation on the foregoing, subjectto <strong><strong>an</strong>d</strong> in accord<strong>an</strong>ce with Applicable Laws<strong><strong>an</strong>d</strong> Regulations, the Intermediary shall:(a) ensure that all payments from a clientpremium account clearly state thatthe payment em<strong>an</strong>ated from a clientpremium account(b) ensure that a client premium account isnever overdrawn(c) ensure that only debits <strong><strong>an</strong>d</strong> credits <strong>as</strong>specified under Applicable Laws <strong><strong>an</strong>d</strong>Regulations are p<strong>as</strong>sed through a clientpremium account <strong><strong>an</strong>d</strong>(d) carry out <strong><strong>an</strong>d</strong> retain, on a monthly b<strong>as</strong>is,a detailed reconciliation <strong>of</strong> amounts dueto regulated entities with the bal<strong>an</strong>ce oneach client premium account it operates.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>4.4 Notification <strong>of</strong> InformationThe Intermediary shall notify <strong>Aviva</strong> <strong>as</strong> soon <strong>as</strong>re<strong>as</strong>onably practicable:4.4.1 <strong>of</strong> <strong>an</strong>y ch<strong>an</strong>ge in the business address,telephone or fax number, email address orother contact details <strong>of</strong> the Intermediary;4.4.2 <strong>of</strong> <strong>an</strong>y ch<strong>an</strong>ge in the ownership, partners,directors or control <strong>of</strong> the Intermediary or<strong>an</strong>y ch<strong>an</strong>ge in its capital structure or <strong>an</strong>ysubst<strong>an</strong>tial disposal or diminution in the<strong>as</strong>sets <strong>of</strong> the Intermediary or <strong>an</strong>y subst<strong>an</strong>tialch<strong>an</strong>ge in the m<strong>an</strong>agement team <strong>of</strong> theIntermediary;4.4.3 <strong>of</strong> <strong>an</strong>y intermediary appointment theIntermediary holds with <strong>an</strong>y other insurer isterminated;4.4.4 if the Intermediary is in breach <strong>of</strong> <strong>an</strong>y <strong>of</strong>its obligations under <strong>an</strong>y provision <strong>of</strong> theseT&Cs;4.4.5 if the Intermediary’s licence, permit,authorisation, registration or approval whichis necessary for the conduct <strong>of</strong> its business inthe Territory is revoked or notice is received<strong>of</strong> <strong>an</strong> intention to revoke, or the Intermediaryotherwise ce<strong>as</strong>es to be authorised to carry onthe business <strong>of</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inthe Territory;4.4.6 if the Intermediary or <strong>an</strong>y owner, director,partner, m<strong>an</strong>ager or employee <strong>of</strong> theIntermediary is s<strong>an</strong>ctioned <strong>as</strong> the result <strong>of</strong>disciplinary action instituted by <strong>an</strong>y relev<strong>an</strong>tcompetent regulatory or governmentalauthority or is convicted <strong>of</strong> <strong>an</strong>y criminal<strong>of</strong>fence;4.4.7 if the Intermediary, being <strong>an</strong> individual,is adjudicated b<strong>an</strong>krupt, or being acomp<strong>an</strong>y, goes into liquidation or entersinto a composition or arr<strong>an</strong>gement with itscreditors or h<strong>as</strong> a receiver appointed over allor <strong>an</strong>y part <strong>of</strong> its <strong>as</strong>sets or h<strong>as</strong> <strong>an</strong> examinerappointed, or being a partnership is dissolved.SECTION 5.0 - OBLIGATIONS OFINTERMEDIARY5.1 Compli<strong>an</strong>ce with Laws <strong><strong>an</strong>d</strong> Regulations5.1.1 The Intermediary shall, in the carrying on<strong>of</strong> the Business <strong><strong>an</strong>d</strong> the perform<strong>an</strong>ce <strong>of</strong> itsobligations <strong><strong>an</strong>d</strong> duties under these T&Cs,at all times comply with Applicable Laws<strong><strong>an</strong>d</strong> Regulations. In particular <strong><strong>an</strong>d</strong> withoutlimitation, the Intermediary shall complywith all applicable <strong>an</strong>ti-money launderingrequirements, data protection requirements,Consumer Protection Code requirements, theEurope<strong>an</strong> Communities (Insur<strong>an</strong>ce Mediation)Regulations 2005, the Minimum CompetencyRequirements <strong><strong>an</strong>d</strong> all obligations imposedon insur<strong>an</strong>ce intermediaries operating in theTerritory.5.1.2 The Intermediary shall ensure that allapplicable requirements <strong>of</strong> the ConsumerProtection Code <strong><strong>an</strong>d</strong> all other applicableconsumer protection requirements in theTerritory, including without limitation, thePensions Act, 1990, the Consumer ProtectionAct 2007, the Europe<strong>an</strong> Communities(Dist<strong>an</strong>ce Marketing <strong>of</strong> Consumer Fin<strong>an</strong>cialServices) Regulations 2004 <strong><strong>an</strong>d</strong> the Life<strong>as</strong>sur<strong>an</strong>ce (Provision <strong>of</strong> Information)Regulations 2001 are satisfied in relationto the Insur<strong>an</strong>ce Policies <strong><strong>an</strong>d</strong> that theClients have been provided with all requiredinformation <strong><strong>an</strong>d</strong> documents <strong>as</strong> described inthose aforementioned requirements.5.1.3 The Intermediary shall do all things necessaryto <strong>as</strong>sist <strong>Aviva</strong> to comply with its obligationsunder all Applicable Laws <strong><strong>an</strong>d</strong> Regulations.5.2 Expertise <strong><strong>an</strong>d</strong> Skill5.2.1 The Intermediary warr<strong>an</strong>ts that it shallin the perform<strong>an</strong>ce <strong>of</strong> its duties underApplicable Laws <strong><strong>an</strong>d</strong> Regulations <strong><strong>an</strong>d</strong> theseT&Cs, exercise the skill, care <strong><strong>an</strong>d</strong> diligenceto be expected <strong>of</strong> a properly qualified<strong><strong>an</strong>d</strong> competent <strong><strong>an</strong>d</strong> prudent insur<strong>an</strong>ceintermediary experienced in carrying out work<strong>of</strong> a similar size, scope <strong><strong>an</strong>d</strong> purpose to theduties being carried out by the Intermediaryunder these T&Cs.5.2.2 The Intermediary shall be responsible forproviding properly trained <strong><strong>an</strong>d</strong> competentstaff necessary or appropriate to perform its<strong><strong>an</strong>d</strong> their respective duties under these T&Cs<strong><strong>an</strong>d</strong> in particular but without limitation isresponsible for ensuring all relev<strong>an</strong>t staff meetthe Minimum Competency Requirements setout by the Central B<strong>an</strong>k <strong>of</strong> Irel<strong><strong>an</strong>d</strong>.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>5.3 Use <strong>of</strong> Documents5.3.1 In carrying on <strong>of</strong> the Business, theIntermediary will use in connection with theInsur<strong>an</strong>ce Policies, only such documentation(including quotations <strong><strong>an</strong>d</strong> illustrations) <strong>as</strong>are accurate <strong><strong>an</strong>d</strong> consistent with the terms<strong><strong>an</strong>d</strong> conditions attaching to such Insur<strong>an</strong>cePolicies provided always that <strong>Aviva</strong> shall beresponsible for the accuracy <strong><strong>an</strong>d</strong> consistency<strong>of</strong> such documentation provided by <strong>Aviva</strong>.5.3.2 Unless the written authority <strong>of</strong> <strong>Aviva</strong> shall havefirst been obtained, the Intermediary shall notutilise <strong>an</strong>y book, newspaper, publication orother media for advertisements in <strong>an</strong>y wayrelating to <strong>Aviva</strong> or bearing the trade mark ortrade name <strong>of</strong> <strong>Aviva</strong> or <strong>an</strong>y <strong>of</strong> its products.5.3.3 The Intermediary will not use <strong>an</strong>y documentswhich would bring into disrepute, the nameor goodwill attaching to <strong>Aviva</strong> or <strong>an</strong>y <strong>of</strong> theInsur<strong>an</strong>ce Policies provided always that theIntermediary shall not by these T&Cs, berestricted in <strong>an</strong>y way from furnishing bestadvice to its Clients <strong><strong>an</strong>d</strong> pursuing its business<strong>as</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary.5.4 Mainten<strong>an</strong>ce <strong>of</strong> St<strong><strong>an</strong>d</strong>ardsThe Intermediary shall use its best endeavoursin carrying on <strong>of</strong> the Business <strong><strong>an</strong>d</strong> carryingout the other duties <strong>of</strong> the Intermediaryunder these T&Cs, to meet the st<strong><strong>an</strong>d</strong>ardsre<strong>as</strong>onably expected <strong>of</strong> a properly qualified,competent, prudent <strong><strong>an</strong>d</strong> registered insur<strong>an</strong>ceintermediary operating in the Territory.5.5 Pr<strong>of</strong>essional Indemnity Cover5.5.1 Without prejudice to its other obligations <strong><strong>an</strong>d</strong>liabilities under these T&Cs, the Intermediaryshall maintain pr<strong>of</strong>essional indemnity coverwith <strong>an</strong> insurer without <strong>an</strong>y unusuallyonerous conditions <strong><strong>an</strong>d</strong> with a level <strong>of</strong>indemnity <strong>of</strong> not less th<strong>an</strong> the amountsspecified in Applicable Laws <strong><strong>an</strong>d</strong> Regulations,in relation to each such type <strong>of</strong> liability. Theinsur<strong>an</strong>ce shall cover acts or omissions arisingout <strong>of</strong> the perform<strong>an</strong>ce by the Intermediary<strong>of</strong> its obligations under these T&Cs.5.5.2 The Intermediary shall produce to <strong>Aviva</strong> uponwritten request, satisfactory evidence <strong>of</strong> theinsur<strong>an</strong>ce arr<strong>an</strong>gements referred to abovewithin 5 Business Days <strong>of</strong> receiving such arequest.5.5.3 The Intermediary shall notify <strong>Aviva</strong> in writingimmediately if it contemplates ce<strong>as</strong>ing, orce<strong>as</strong>es, for <strong>an</strong>y re<strong>as</strong>on, to maintain the saidinsur<strong>an</strong>ce on its then current terms.5.5.4 The Intermediary should maintain <strong>an</strong>appropriate dis<strong>as</strong>ter recovery pl<strong>an</strong> forthe prompt <strong><strong>an</strong>d</strong> efficient h<strong><strong>an</strong>d</strong>ling <strong>of</strong> <strong>an</strong>yoccurrence which would impair its abilityto perform the obligations required <strong>of</strong> it bythese T&Cs.5.6 Access to Records5.6.1 The Intermediary shall maintain properrecords in relation to the Business <strong><strong>an</strong>d</strong> shallpursu<strong>an</strong>t to these T&Cs, afford to <strong>Aviva</strong>,its internal <strong><strong>an</strong>d</strong> external auditors <strong><strong>an</strong>d</strong> otherpr<strong>of</strong>essional advisers, <strong><strong>an</strong>d</strong> to all relev<strong>an</strong>tcompetent regulatory or governmentalauthorities, on re<strong>as</strong>onable written notice,access to its computer datab<strong>as</strong>es, computerrecords, computer s<strong>of</strong>tware, micr<strong>of</strong>iche <strong><strong>an</strong>d</strong><strong>an</strong>y other me<strong>an</strong>s <strong>of</strong> storing informationincluding books, documents <strong><strong>an</strong>d</strong> records tothe extent that the same relate to the subjectmatter <strong>of</strong> these T&Cs <strong><strong>an</strong>d</strong> shall permit themto take <strong><strong>an</strong>d</strong> remove copies <strong>of</strong> the records. Inaddition, the Intermediary shall furnish themwith such information with regard thereto <strong>as</strong><strong>Aviva</strong> may re<strong>as</strong>onably require in such form<strong><strong>an</strong>d</strong> in such m<strong>an</strong>ner <strong>as</strong> <strong>Aviva</strong> may re<strong>as</strong>onablyspecify (including on computer disk or bymagnetic, optical or other media).5.6.2 The Intermediary shall comply with <strong>an</strong>y requestfor information or records relating to theBusiness or the Insur<strong>an</strong>ce Policies received byeither <strong>of</strong> the Parties from a relev<strong>an</strong>t competentregulatory or governmental authority.5.6.3 If at <strong>an</strong>y time after this appointment h<strong>as</strong>terminated the Intermediary wishes to destroythe said relev<strong>an</strong>t records, the Intermediarywill contact <strong>Aviva</strong> <strong><strong>an</strong>d</strong> if so required by<strong>Aviva</strong> arr<strong>an</strong>ge to tr<strong>an</strong>sfer such records to theownership <strong>of</strong> <strong>Aviva</strong>.5.6.4 The Intermediary shall permit <strong>Aviva</strong>, theother parties referred to in Clause 5.6.1above <strong><strong>an</strong>d</strong> a relev<strong>an</strong>t competent regulatoryor governmental authority, on re<strong>as</strong>onablewritten notice, such access to its premises<strong>as</strong> may be necessary for the purposes <strong>of</strong>Clauses 5.6.1 <strong><strong>an</strong>d</strong> 5.6.2 above. If <strong>Aviva</strong> is notsatisfied at <strong>an</strong>y time with <strong>an</strong>y inspection <strong>of</strong>


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong><strong>an</strong>y books, documents or records pursu<strong>an</strong>tto Clause 5.6.1 above, it may at its ownexpense procure <strong>an</strong> audit (whether fin<strong>an</strong>cial,underwriting or other) <strong>of</strong> such computerrecords, books, documents <strong><strong>an</strong>d</strong> records <strong><strong>an</strong>d</strong>the Intermediary shall cooperate with <strong><strong>an</strong>d</strong>facilitate such audit <strong><strong>an</strong>d</strong> promptly take suchsteps <strong>as</strong> may be re<strong>as</strong>onably necessary toremedy <strong>an</strong>y defects highlighted by such audit.5.6.5 The Intermediary shall give <strong>Aviva</strong>’s internalauditors <strong><strong>an</strong>d</strong> external auditors suchinformation <strong><strong>an</strong>d</strong> expl<strong>an</strong>ations <strong>as</strong> theyre<strong>as</strong>onably consider necessary for theperform<strong>an</strong>ce <strong>of</strong> their duties <strong>as</strong> auditors.5.6.6 The Intermediary shall comply with ApplicableLaws <strong><strong>an</strong>d</strong> Regulations <strong>as</strong> regards themainten<strong>an</strong>ce <strong>of</strong> records <strong><strong>an</strong>d</strong> the gr<strong>an</strong>ting <strong>of</strong>access to such records.5.6.7 The Intermediary undertakes <strong><strong>an</strong>d</strong>/or warr<strong>an</strong>tsthat it is fully licensed to use <strong>an</strong>y <strong><strong>an</strong>d</strong> alls<strong>of</strong>tware that is used for the Business <strong><strong>an</strong>d</strong>that to the extent <strong>Aviva</strong> (or <strong>an</strong>y other party inexercise <strong>of</strong> rights under these T&Cs) requiresa licence to use <strong>an</strong>y such s<strong>of</strong>tware in orderto exercise its rights under these T&Cs, theIntermediary will arr<strong>an</strong>ge at the Intermediary’sexpense for the appropriate licences to beobtained.5.7 Consequences <strong>of</strong> Unsatisfactory Conductby IntermediaryIn the event <strong>of</strong> Unsatisfactory Conduct bythe Intermediary in the perform<strong>an</strong>ce <strong>of</strong> itsduties under these T&Cs <strong>Aviva</strong> reserves theright to do <strong>an</strong>y <strong>of</strong> the matters described inSections 5.7.1 to 5.7.3 below. Prior to theexercise <strong>of</strong> <strong>Aviva</strong>’s rights hereunder, it willuse the Dispute Resolution process set out inSection 15, except if, in <strong>Aviva</strong>’s opinion, suchUnsatisfactory Conduct requires notificationto a relev<strong>an</strong>t competent regulatory orgovernmental authority.5.7.1 Communicate directly with holders <strong>of</strong>Insur<strong>an</strong>ce Policies or Clients in respect <strong>of</strong>matters relating to Insur<strong>an</strong>ce Policies onwhose behalf the Intermediary h<strong>as</strong> beendealing with <strong>Aviva</strong>.5.7.2 Take <strong>an</strong>y available remedy to protect theinterests <strong>of</strong> the holders <strong>of</strong> Insur<strong>an</strong>ce Policiesor Clients.5.7.3 Take <strong>an</strong>y available remedy for the recovery<strong>of</strong> <strong>an</strong>y monies payable <strong><strong>an</strong>d</strong> documents dueto <strong>Aviva</strong> or a Client in connection with <strong>an</strong>yInsur<strong>an</strong>ce Policy or under the terms <strong>of</strong> theseT&Cs.SECTION 6.0 - DUTIES OF AVIVA 6.1Payment <strong>of</strong> Commission6.1.1 The Intermediary shall be entitled to receivecommission from <strong>Aviva</strong> in respect <strong>of</strong> aparticular Insur<strong>an</strong>ce Policy on the followingconditions:(a) the appointment <strong>as</strong> <strong>an</strong> Intermediary w<strong>as</strong>in force at the time the Insur<strong>an</strong>ce Policyw<strong>as</strong> effected;(b) the business w<strong>as</strong> introduced by theIntermediary <strong><strong>an</strong>d</strong> the Intermediarycontinues to act for the Client;(c) <strong>Aviva</strong> h<strong>as</strong> received all the premiumspayable to date for the Insur<strong>an</strong>ce Policy.6.1.2 Commission shall be payable by <strong>Aviva</strong> tothe Intermediary in accord<strong>an</strong>ce with theCommission Arr<strong>an</strong>gements. <strong>Aviva</strong> reservesthe right by written notice to the Intermediaryto vary the Commission Arr<strong>an</strong>gements orother remuneration arr<strong>an</strong>gements generallyto include (without limitation) in respect<strong>of</strong> Insur<strong>an</strong>ce Policies in force when theamendment takes effect.6.1.3 Commission payable to the Intermediary by<strong>Aviva</strong> in respect <strong>of</strong> <strong>an</strong>y cl<strong>as</strong>s <strong>of</strong> insur<strong>an</strong>cebusiness may be subject to set-<strong>of</strong>f against <strong>an</strong>ymonies due to <strong>Aviva</strong> from the Intermediary.6.1.4 Commission shall not be payable on thebusiness initiated by the Intermediary:(a) unless otherwise determined <strong><strong>an</strong>d</strong> notifiedto the Intermediary in writing by <strong>Aviva</strong>,following termination <strong>of</strong> the appointment<strong>of</strong> the Intermediary in accord<strong>an</strong>ce withthese T&Cs;(b) unless otherwise determined <strong><strong>an</strong>d</strong>notified to the Intermediary in writingby <strong>Aviva</strong>, where, at the direction <strong>of</strong> theClient, the Intermediary is no longer theintermediary for the Client in respect <strong>of</strong>that Insur<strong>an</strong>ce Policy;(c) in the event <strong>of</strong> the Intermediarybecoming b<strong>an</strong>krupt, insolvent, going into


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>liquidation or entering into a compositionwith <strong>an</strong>y creditors, or having a receiver orexaminer appointed;(d) if the Intermediary is in breach <strong>of</strong> <strong>an</strong>y<strong>of</strong> its obligations under these T&Cs <strong><strong>an</strong>d</strong>h<strong>as</strong> not remedied that breach to thesatisfaction <strong>of</strong> <strong>Aviva</strong> within 28 BusinessDays <strong>of</strong> that breach having occurred.6.1.5 The payment <strong>of</strong> commission shall constitutethe entire payment by <strong>Aviva</strong> to theIntermediary in respect <strong>of</strong> the Business <strong><strong>an</strong>d</strong>the Intermediary shall not be entitled to <strong>an</strong>yother payment. In particular but withoutlimitation the Intermediary shall not beentitled to <strong>an</strong>y other payment in respect<strong>of</strong> <strong>an</strong>y expenses or outlays incurred by theIntermediary in connection with or pursu<strong>an</strong>tto the terms <strong>of</strong> these T&Cs. The Parties agreethat all payment for the carrying on <strong>of</strong> theBusiness should be compli<strong>an</strong>t with ApplicableLaws <strong><strong>an</strong>d</strong> Regulations.6.2 Supply <strong>of</strong> Documents<strong>Aviva</strong> shall <strong>as</strong> it considers re<strong>as</strong>onable <strong><strong>an</strong>d</strong>appropriate to its role <strong>as</strong> underwriter <strong>of</strong> theInsur<strong>an</strong>ce Policies:6.2.1 at its own expense, supply the Intermediarywith or make available to the Intermediaryrelev<strong>an</strong>t <strong><strong>an</strong>d</strong> re<strong>as</strong>onable information <strong><strong>an</strong>d</strong>documentation relating to <strong>Aviva</strong> <strong><strong>an</strong>d</strong> theInsur<strong>an</strong>ce Policies to enable the Intermediaryto properly carry on <strong>of</strong> the Business <strong><strong>an</strong>d</strong> carryout its obligations under these T&Cs;6.2.2 at its own expense, supply the Intermediarywith or make available to the Intermediarysuch catalogues, pamphlets <strong><strong>an</strong>d</strong> otheradvertising or marketing material to enablethe Intermediary to carry on the Business <strong><strong>an</strong>d</strong>carry out its obligations under these T&Cs.6.3 Response to Information Requests<strong>Aviva</strong> shall, unless it determines that it isinappropriate to do so by re<strong>as</strong>on <strong>of</strong> <strong>an</strong>yconflict with Applicable Laws <strong><strong>an</strong>d</strong> Regulations,Client confidentiality, market practice orotherwise, use its best endeavours to:6.3.1 reply promptly to <strong>an</strong>y re<strong>as</strong>onable requestsfor information in relation to the Insur<strong>an</strong>cePolicies from the Intermediary;6.3.2 deal promptly with <strong>an</strong>y proposals,correspondence <strong><strong>an</strong>d</strong> claims in relation to theInsur<strong>an</strong>ce Policies for Clients, submitted to itby the Intermediary <strong><strong>an</strong>d</strong> shall communicateits decision on <strong>an</strong>y proposal or claim to theIntermediary <strong>as</strong> soon <strong>as</strong> practicable after suchdecision h<strong>as</strong> been made;6.3.3 deal promptly with <strong>an</strong>y requests or enquiriesfrom the Intermediary relating to theInsur<strong>an</strong>ce Policies for Clients <strong><strong>an</strong>d</strong> use its bestendeavours fully to support the Intermediaryin the conduct <strong>of</strong> its business for the purpose<strong>of</strong> fulfilling its obligations under these T&Cs.6.4 Notification <strong>of</strong> Information<strong>Aviva</strong> shall notify the Intermediary <strong>of</strong> thefollowing <strong>as</strong> soon <strong>as</strong> re<strong>as</strong>onably practicable:6.4.1 <strong>of</strong> <strong>an</strong>y ch<strong>an</strong>ge in the business address,telephone or fax number, e-mail address orother contact details <strong>of</strong> <strong>Aviva</strong>;6.4.2 if <strong>Aviva</strong>’s authorisation <strong>as</strong> <strong>an</strong> insur<strong>an</strong>ceundertaking is revoked or notice is received <strong>of</strong><strong>an</strong> intention to revoke or if <strong>Aviva</strong> otherwisece<strong>as</strong>es to be authorised to conduct ¬life<strong>as</strong>sur<strong>an</strong>ce in the Territory;6.4.3 if <strong>Aviva</strong> enters into liquidation or entersinto a composition or arr<strong>an</strong>gement with itscreditors or h<strong>as</strong> a receiver appointed over allor <strong>an</strong>y part <strong>of</strong> its <strong>as</strong>sets or h<strong>as</strong> <strong>an</strong> examinerappointed, or being a partnership is dissolved.SECTION 7.0 - CLIENT INSTRUCTIONS7.1 Client InstructionsIf <strong>an</strong>y Client instructs <strong>Aviva</strong> in writingthat they desire some other person to beregarded <strong>as</strong> intermediary in relation to <strong>an</strong>Insur<strong>an</strong>ce Policy, then <strong>Aviva</strong> shall notify theIntermediary <strong><strong>an</strong>d</strong> thereafter, <strong>Aviva</strong> shall berele<strong>as</strong>ed <strong><strong>an</strong>d</strong> discharged from its obligationsunder these T&Cs <strong><strong>an</strong>d</strong> <strong>an</strong>y other agreementbetween the Parties in so far <strong>as</strong> that Clientis concerned, save only <strong>as</strong> regards <strong>an</strong>ycommissions that might be payable, subjectto <strong><strong>an</strong>d</strong> in accord<strong>an</strong>ce with Clause 6.1 <strong><strong>an</strong>d</strong>the Commission Arr<strong>an</strong>gements, to theIntermediary in respect <strong>of</strong> Insur<strong>an</strong>ce Policiesissued by <strong>Aviva</strong> prior to the date <strong>of</strong> suchinstruction from the Client.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>SECTION 8.0 - PROPERTY OF AVIVA8.1 Property <strong>of</strong> <strong>Aviva</strong><strong>Aviva</strong>’s Property shall remain the soleproperty <strong>of</strong> <strong>Aviva</strong> <strong><strong>an</strong>d</strong> shall be held by theIntermediary at the absolute disposal <strong>of</strong> <strong>Aviva</strong>at all times <strong><strong>an</strong>d</strong> in all circumst<strong>an</strong>ces.SECTION 9.0 - INTELLECTUAL PROPERTY9.1 Intellectual PropertyThe Intermediary shall not use the name,logo, marketing device or other trade marklicensed to or owned by <strong>Aviva</strong> without theexpress permission <strong>of</strong> <strong>Aviva</strong>, nor shall <strong>an</strong>yintellectual property rights in the same betr<strong>an</strong>sferred to the Intermediary <strong>as</strong> a result <strong>of</strong>these T&Cs. All intellectual property rights in<strong>Aviva</strong>’s Property remain with <strong><strong>an</strong>d</strong> vested in<strong>Aviva</strong>.SECTION 10.0 - TERM AND TERMINATION10.1 TermThese T&Cs shall have immediate effect fromthe date <strong>of</strong> receipt by the Intermediary <strong><strong>an</strong>d</strong>shall continue until terminated in accord<strong>an</strong>cewith the provisions <strong>of</strong> this Clause 10.10.2 Termination by NoticeThis appointment may be terminated byeither <strong>of</strong> the Parties <strong>an</strong>y time by 28 BusinessDays prior written notice sent to the l<strong>as</strong>tknown address <strong>of</strong> the other Party.10.3 Termination Events10.3.1 <strong>Aviva</strong> shall have the right to terminate thisappointment forthwith if:(a) the Intermediary is in breach <strong>of</strong> <strong>an</strong>y<strong>of</strong> the provisions <strong>of</strong> these T&Cs whichbreach h<strong>as</strong> been brought to the attention<strong>of</strong> the Intermediary by notice in writingfrom <strong>Aviva</strong>, <strong><strong>an</strong>d</strong> the Intermediary h<strong>as</strong> notremedied such breach to the satisfaction<strong>of</strong> <strong>Aviva</strong> (if such breach is capable <strong>of</strong>remedy) within 14 Business Days (or suchlonger period if <strong>an</strong>y <strong>as</strong> <strong>Aviva</strong> may in itsabsolute discretion specify) <strong>of</strong> the date<strong>of</strong> the said notice; or(b) the Intermediary’s licence, permit,authorisation, registration or approvalwhich are necessary for the conduct <strong>of</strong>its business in the Territory is revokedor notice is received <strong>of</strong> <strong>an</strong> intention torevoke, or the Intermediary otherwisece<strong>as</strong>es to be authorised to conduct thebusiness <strong>of</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inthe Territory; or(c) the Intermediary, being <strong>an</strong> individual,dies or is adjudicated b<strong>an</strong>krupt, orbeing a comp<strong>an</strong>y, becomes insolventor enters into liquidation or enters intoa composition or arr<strong>an</strong>gement with itscreditors or h<strong>as</strong> a receiver appointedover all or <strong>an</strong>y part <strong>of</strong> its <strong>as</strong>sets or h<strong>as</strong><strong>an</strong> examiner appointed, or being apartnership is dissolved; or(d) there is a Ch<strong>an</strong>ge in Control in theownership <strong>of</strong> the Intermediary or there isa subst<strong>an</strong>tial ch<strong>an</strong>ge in the m<strong>an</strong>agementteam <strong>of</strong> the Intermediary or a subst<strong>an</strong>tialdisposal or diminution in the <strong>as</strong>sets<strong>of</strong> the Intermediary <strong><strong>an</strong>d</strong> <strong>Aviva</strong> h<strong>as</strong> notconsented to the continued validity <strong>of</strong>the appointment within 21 days <strong>of</strong> thech<strong>an</strong>ge; or(e) <strong>an</strong>y event occurs or is likely to occur, or<strong>an</strong>y act or omission <strong>of</strong> <strong>an</strong>y party results inor is likely to result in potential or actualdamage to the reputation <strong>of</strong> <strong>Aviva</strong> or <strong>an</strong>y<strong>of</strong> its affiliates; or(f) if either Party is requested by the CentralB<strong>an</strong>k <strong>of</strong> Irel<strong><strong>an</strong>d</strong> in writing, to terminatethis appointment.SECTION 11.0 - CONSEQUENCES OFTERMINATION11.1 Consequences <strong>of</strong> Termination11.1.1 On termination <strong>of</strong> this appointment:(a) the Intermediary shall immediately ce<strong>as</strong>eto be authorised to carry on the Businessor act <strong>as</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inrespect <strong>of</strong> the Insur<strong>an</strong>ce Policies or onbehalf <strong>of</strong> <strong>Aviva</strong> in <strong>an</strong>y m<strong>an</strong>ner <strong><strong>an</strong>d</strong> shallimmediately:(i)pay to <strong>Aviva</strong> all monies properly dueto <strong>Aviva</strong>;(ii) return <strong>Aviva</strong>’s Property to <strong>Aviva</strong>;(iii) ce<strong>as</strong>e to use such documents <strong><strong>an</strong>d</strong>s<strong>of</strong>tware which it had used in


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>connection with the carrying on <strong>of</strong>the Business <strong><strong>an</strong>d</strong> shall not retain <strong>an</strong>ycopies there<strong>of</strong>;(b) <strong>Aviva</strong> may make alternativearr<strong>an</strong>gements in the interests <strong>of</strong> Clientsfor the future conduct <strong>of</strong> <strong>an</strong>y businessin relation to Insur<strong>an</strong>ce Policies at thetime <strong>of</strong> termination <strong><strong>an</strong>d</strong> the Intermediaryshall provide all re<strong>as</strong>onable <strong>as</strong>sist<strong>an</strong>ce<strong><strong>an</strong>d</strong> co-operation required to effect suchalternative arr<strong>an</strong>gements;(c) the Intermediary shall have no claimagainst <strong>Aviva</strong> for commission accruingin respect <strong>of</strong> Insur<strong>an</strong>ce Policies issued orrenewed after the date <strong>of</strong> terminationnor shall the Intermediary have a claimfor <strong>an</strong>y loss <strong>of</strong> goodwill;(d) subject to Clause 6.1, <strong>Aviva</strong> shallcontinue to pay all commissions thendue <strong><strong>an</strong>d</strong> payable to the Intermediary inaccord<strong>an</strong>ce with these T&Cs <strong><strong>an</strong>d</strong> theCommission Arr<strong>an</strong>gements;(e) the following provisions shall continue infull force <strong><strong>an</strong>d</strong> effect without limit in point<strong>of</strong> time: Clauses 2.1.4, 2.1.5, 3.1.2, 3.2,3.3, 5.3.2, 5.3.3, 5.6, 5.7, 8.1, 9.1, 11,12.1 <strong><strong>an</strong>d</strong> 18.1.11.1.2 The termination <strong>of</strong> this appointment shallbe without prejudice to the rights orremedies <strong>of</strong> either Party accrued prior to suchtermination <strong><strong>an</strong>d</strong> shall not affect or relievethe Intermediary or <strong>Aviva</strong> from <strong>an</strong>y priorobligations imposed upon either <strong>of</strong> them bythe terms <strong>of</strong> these T&Cs including withoutlimitation those imposed on the Intermediarypursu<strong>an</strong>t to Clause 11.1.1(e) herein.11.1.3 Both Parties agree that they do not regardthis appointment or the carrying on <strong>of</strong>the Business <strong>as</strong> constituting a “relev<strong>an</strong>ttr<strong>an</strong>sfer” for the purposes <strong>of</strong> the Europe<strong>an</strong>Communities (Protection <strong>of</strong> Employees onTr<strong>an</strong>sfer <strong>of</strong> Undertakings) Regulations 2003,SI 131 <strong>of</strong> 2003 (the “Regulations”). If <strong>an</strong>employee <strong>of</strong> the Intermediary or <strong>an</strong>y otherperson previously engaged in providingto the Intermediary like services <strong>as</strong> thosecontemplated in whole or in part by theseT&Cs (“the Intermediary Personnel”) <strong>as</strong>sertsor establishes that his or her employment or<strong>an</strong>y claim, right or liability in connection withhis or her employment or the termination<strong>of</strong> his or her employment h<strong>as</strong> tr<strong>an</strong>sferredto <strong>Aviva</strong> pursu<strong>an</strong>t to the Regulations at <strong>an</strong>ytime arising from or in connection with thecarrying on <strong>of</strong> the Business or the termination<strong>of</strong> this Intermediary appointment or thetermination or expiration <strong>of</strong> the carrying on<strong>of</strong> the Business, then:(a) <strong>Aviva</strong> shall <strong>as</strong> soon <strong>as</strong> re<strong>as</strong>onablypracticable, following it becoming aware<strong>of</strong> the same, notify the Intermediary (orsuch other person) who shall be afforded<strong>an</strong> opportunity to re-engage <strong>an</strong>y suchemployee <strong><strong>an</strong>d</strong> consult with <strong>Aviva</strong> <strong>as</strong> tohow such employee is to be dealt with;(b) notwithst<strong><strong>an</strong>d</strong>ing sub-Clause 11.1.3(a)above, <strong>Aviva</strong> may within 3 months <strong>of</strong>becoming aware <strong>of</strong> the application <strong>of</strong>the Regulations to <strong>an</strong>y such employmentcontract, terminate such contract;(c) the Intermediary shall indemnify <strong><strong>an</strong>d</strong>keep <strong>Aviva</strong> indemnified at all times from<strong><strong>an</strong>d</strong> against all costs, claims, liabilities,expenses <strong><strong>an</strong>d</strong> incidental costs (on a fullindemnity b<strong>as</strong>is) re<strong>as</strong>onably incurred by<strong>Aviva</strong> arising out <strong>of</strong> the employment <strong>of</strong>or the termination <strong>of</strong> employment <strong>of</strong>such Intermediary Personnel in respect<strong>of</strong> the period <strong>of</strong> employment <strong>of</strong> <strong>an</strong>ysuch employee up to the date <strong>of</strong> suchtermination <strong><strong>an</strong>d</strong> against all <strong><strong>an</strong>d</strong> <strong>an</strong>y costs,expenses or damages incurred by <strong>Aviva</strong>in contesting <strong>an</strong>y claim;(d) if <strong>an</strong>y person brings a claim against <strong>Aviva</strong>arising out <strong>of</strong> or in connection with thetr<strong>an</strong>sfer or termination <strong>of</strong> that person’semployment in connection with thisappointment, the Intermediary shall giveto <strong>Aviva</strong> all information which it mayre<strong>as</strong>onably require that is relev<strong>an</strong>t tosuch a claim <strong>as</strong> soon <strong>as</strong> practicable aftera request is made <strong><strong>an</strong>d</strong> shall render to<strong>Aviva</strong> such <strong>as</strong>sist<strong>an</strong>ce <strong><strong>an</strong>d</strong> co-operation <strong>as</strong>it shall re<strong>as</strong>onably require in contesting,settling or dealing with <strong>an</strong>y such claim.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>SECTION 12.0 - NOTIFICATION ANDPUBLICATION OF TERMINATION12.1 Notification <strong><strong>an</strong>d</strong> Publication <strong>of</strong>TerminationOn termination <strong>of</strong> this appointment, theIntermediary shall, to the extent <strong><strong>an</strong>d</strong> withinthe timeline required by Applicable Laws <strong><strong>an</strong>d</strong>Regulations, ensure the publication in one ormore <strong>of</strong> the national newspapers circulatingin the Territory, <strong>of</strong> a notice to the effectthat its written appointment <strong>as</strong> <strong>an</strong> insur<strong>an</strong>ceintermediary <strong>of</strong> <strong>Aviva</strong> h<strong>as</strong> been discontinued,<strong><strong>an</strong>d</strong> the Intermediary hereby acknowledgesthat if it fails to publish such a notice, Aviv<strong>as</strong>hall, to the extent <strong><strong>an</strong>d</strong> within the timelinerequired by Applicable Laws <strong><strong>an</strong>d</strong> Regulations<strong><strong>an</strong>d</strong> otherwise may, publish a similar notice.SECTION 13.0 - NOTICES13.1 Notices13.1.1 Any notice or other communication given ormade under these T&Cs shall be in writing<strong><strong>an</strong>d</strong> in English <strong><strong>an</strong>d</strong> signed by or on behalf<strong>of</strong> the Party giving it <strong><strong>an</strong>d</strong> shall be served byh<strong><strong>an</strong>d</strong>, delivering it or sending it by registeredpost, fax or e-mail to the address <strong><strong>an</strong>d</strong> for theattention <strong>of</strong> the relev<strong>an</strong>t party set out in thisClause 13 (or <strong>as</strong> otherwise notified by thatparty hereunder). Any such notice shall bedeemed to have been received:(a) if h<strong><strong>an</strong>d</strong> delivered or sent by registeredpost, at the time <strong>of</strong> delivery; <strong><strong>an</strong>d</strong>(b) in the c<strong>as</strong>e <strong>of</strong> fax or e-mail, at the time<strong>of</strong> tr<strong>an</strong>smission, provided that if deemedreceipt occurs before 9.00 a.m. on aBusiness Day, the notice shall be deemedto have been received by 9.00 a.m. onthat day, <strong><strong>an</strong>d</strong> if deemed receipt occursafter 5.00 p.m. on a Business day, oron <strong>an</strong>y day which is not a Business Day,the notice shall be deemed to havebeen received at 9.00 a.m. on the nextBusiness Day.13.1.2 The addresses <strong><strong>an</strong>d</strong> fax numbers <strong>of</strong> the Partiesfor the purposes <strong>of</strong> this Clause 13 are:(a) where the Intermediary h<strong>as</strong> notpreviously entered into <strong>an</strong> arr<strong>an</strong>gementwith <strong>Aviva</strong>, the addresses <strong><strong>an</strong>d</strong> faxnumbers <strong>of</strong> the Parties <strong>as</strong> notified inwriting by one Party to the other Party;or(b) where the Intermediary h<strong>as</strong> <strong>an</strong> existingarr<strong>an</strong>gement with <strong>Aviva</strong>, the addresses<strong><strong>an</strong>d</strong> fax numbers <strong>of</strong> the Parties previouslynotified by the Parties in accord<strong>an</strong>ce withthat existing arr<strong>an</strong>gement.SECTION 14.0 - SUB-CONTRACTING14.1 Sub-ContractingThe Intermediary shall not subcontract,tr<strong>an</strong>sfer, or delegate <strong>an</strong>y <strong>of</strong> its duties orobligations under these T&Cs or <strong>an</strong>y partthere<strong>of</strong> or tr<strong>an</strong>sfer or <strong>as</strong>sign <strong>an</strong>y <strong>of</strong> its rightsunder these T&Cs to <strong>an</strong>y third party withoutthe prior written consent <strong>of</strong> <strong>Aviva</strong>. TheIntermediary shall not appoint or attemptto appoint a sub-intermediary in respect <strong>of</strong><strong>an</strong>y <strong>of</strong> its rights or duties under these T&Cswithout the express written consent <strong>of</strong> <strong>Aviva</strong>.SECTION 15.0 - DISPUTE RESOLUTION15.1 Dispute Resolution<strong>Aviva</strong> <strong><strong>an</strong>d</strong> the Intermediary shall use allre<strong>as</strong>onable efforts to negotiate in good faith<strong><strong>an</strong>d</strong> settle amicably, <strong>an</strong>y question, dispute ordifference that may arise out <strong>of</strong> or relate tothe interpretation or implementation <strong>of</strong> theseT&Cs or <strong>an</strong>y breach there<strong>of</strong>. Neither <strong>of</strong> theParties shall attempt to commence <strong>an</strong>y courtproceedings in relation to <strong>an</strong>y dispute arisingout <strong>of</strong> these T&Cs until they have attemptedto resolve the dispute amicably.SECTION 16.0 – ENTIRE AGREEMENT16.1 Entire AgreementWithout prejudice to the terms <strong>of</strong> <strong>an</strong>ySeparate Agreement, these T&Cs constitutethe entire agreement <strong><strong>an</strong>d</strong> underst<strong><strong>an</strong>d</strong>ing <strong>of</strong>the Parties relating to the subject matter <strong>of</strong>these T&Cs <strong><strong>an</strong>d</strong> supersedes <strong><strong>an</strong>d</strong> replaces <strong>an</strong>yprevious terms <strong><strong>an</strong>d</strong> conditions or agreementpreviously entered into between the Partiesrelating to the subject matter here<strong>of</strong>.


<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>SECTION 17.0 - WAIVER17.1 WaiverNo waiver by <strong>Aviva</strong> <strong>of</strong> <strong>an</strong>y breach by theIntermediary <strong>of</strong> <strong>an</strong>y <strong>of</strong> the terms <strong>of</strong> theseT&Cs shall be construed <strong>as</strong> a waiver <strong>of</strong> <strong>an</strong>ysubsequent breach.SECTION 18.0 - INDEMNITY18.1 IndemnityThe Intermediary hereby indemnifies <strong>Aviva</strong>from <strong><strong>an</strong>d</strong> against all liabilities, damages,claims, taxes, costs <strong><strong>an</strong>d</strong> expenses, including,without limitation, legal fees incurred by<strong>Aviva</strong> arising out <strong>of</strong> <strong>an</strong>y breach by theIntermediary or <strong>an</strong>y <strong>of</strong> its <strong>of</strong>ficers, directors,employees or permitted sub-agents orsub¬contractors, <strong>of</strong> its <strong><strong>an</strong>d</strong> their obligationsunder these T&Cs provided always that Aviv<strong>as</strong>hall not be indemnified from <strong>an</strong>y liabilityresulting from negligence, wilful default orfraud on the part <strong>of</strong> <strong>Aviva</strong>. Any indemnityexpressly given to <strong>Aviva</strong> in these T&Cs shallbe in addition to, <strong><strong>an</strong>d</strong> without prejudice to,<strong>an</strong>y indemnity permitted by law.SECTION 19.0 - SEVERABILITY19.1 SeverabilityIn the event that <strong>an</strong>y one or more <strong>of</strong> theprovisions contained in these T&Cs shall bedeemed to be invalid or unenforceable, thevalidity <strong><strong>an</strong>d</strong> enforceability <strong>of</strong> the remainingprovisions contained herein shall not in <strong>an</strong>yway be affected <strong><strong>an</strong>d</strong> the T&Cs shall apply <strong>as</strong>if the invalid <strong><strong>an</strong>d</strong>/or unenforceable provisionshad not been included.SECTION 20.0 - FORCE MAJEURE20.1 Force MajeureNeither <strong>of</strong> the Parties shall be held to bein breach <strong>of</strong> these T&Cs to the extent thatits due perform<strong>an</strong>ce <strong>of</strong> its obligations isprevented or delayed by re<strong>as</strong>on <strong>of</strong> act<strong>of</strong> God, war <strong><strong>an</strong>d</strong> other hostilities, civilcommotion, accident, strikes, lock¬outs,trade disputes, decrees, acts or restraints<strong>of</strong> governments, restrictions <strong>of</strong> imports orexports or <strong>an</strong>y other cause not within thecontrol <strong>of</strong> that Party. In such a c<strong>as</strong>e the saidParty shall forthwith notify the other Party <strong>of</strong>its inability to perform or <strong>of</strong> the delay in theperform<strong>an</strong>ce <strong>of</strong> its obligations hereunder <strong><strong>an</strong>d</strong>the Parties shall where the same is practicableuse every re<strong>as</strong>onable endeavour to eliminateor minimise the impact <strong><strong>an</strong>d</strong> to comply withtheir respective obligations herein contained<strong>as</strong> nearly <strong>as</strong> may be in their original form.Where such inability or delay persists to theextent that it is, in the re<strong>as</strong>onable opinion<strong>of</strong> the other Party, having a material adverseeffect upon the purposes <strong>of</strong> these T&Cs, thenthat other Party shall be entitled to terminatethis appointment by giving to the said Party7 Business Days written notice. This clauseprovides a procedure in addition to the rights<strong>of</strong> termination provided in Clause 10 above<strong><strong>an</strong>d</strong> with the exception <strong>of</strong> the provisions ontermination for irremediable breach does notlimit the rights <strong>of</strong> termination referred to inthat clause.SECTION 21.0 - GOVERNING LAW ANDJURISDICTION21.1 Governing Law <strong><strong>an</strong>d</strong> JurisdictionThese T&Cs shall be interpreted, construed<strong><strong>an</strong>d</strong> governed by Irish Law <strong><strong>an</strong>d</strong> the Partiesshall submit to the exclusive jurisdiction <strong>of</strong>the Irish Courts.SECTION 22.0 – AMENDMENT22.1 Amendment<strong>Aviva</strong> reserves the right by 28 Business Daysnotice in writing to the Intermediary tounilaterally amend these T&Cs with effectfrom the expiry <strong>of</strong> such notice.
