<strong>Terms</strong> <strong><strong>an</strong>d</strong> <strong>Conditions</strong>SECTION 8.0 - PROPERTY OF AVIVA8.1 Property <strong>of</strong> <strong>Aviva</strong><strong>Aviva</strong>’s Property shall remain the soleproperty <strong>of</strong> <strong>Aviva</strong> <strong><strong>an</strong>d</strong> shall be held by theIntermediary at the absolute disposal <strong>of</strong> <strong>Aviva</strong>at all times <strong><strong>an</strong>d</strong> in all circumst<strong>an</strong>ces.SECTION 9.0 - INTELLECTUAL PROPERTY9.1 Intellectual PropertyThe Intermediary shall not use the name,logo, marketing device or other trade marklicensed to or owned by <strong>Aviva</strong> without theexpress permission <strong>of</strong> <strong>Aviva</strong>, nor shall <strong>an</strong>yintellectual property rights in the same betr<strong>an</strong>sferred to the Intermediary <strong>as</strong> a result <strong>of</strong>these T&Cs. All intellectual property rights in<strong>Aviva</strong>’s Property remain with <strong><strong>an</strong>d</strong> vested in<strong>Aviva</strong>.SECTION 10.0 - TERM AND TERMINATION10.1 TermThese T&Cs shall have immediate effect fromthe date <strong>of</strong> receipt by the Intermediary <strong><strong>an</strong>d</strong>shall continue until terminated in accord<strong>an</strong>cewith the provisions <strong>of</strong> this Clause 10.10.2 Termination by NoticeThis appointment may be terminated byeither <strong>of</strong> the Parties <strong>an</strong>y time by 28 BusinessDays prior written notice sent to the l<strong>as</strong>tknown address <strong>of</strong> the other Party.10.3 Termination Events10.3.1 <strong>Aviva</strong> shall have the right to terminate thisappointment forthwith if:(a) the Intermediary is in breach <strong>of</strong> <strong>an</strong>y<strong>of</strong> the provisions <strong>of</strong> these T&Cs whichbreach h<strong>as</strong> been brought to the attention<strong>of</strong> the Intermediary by notice in writingfrom <strong>Aviva</strong>, <strong><strong>an</strong>d</strong> the Intermediary h<strong>as</strong> notremedied such breach to the satisfaction<strong>of</strong> <strong>Aviva</strong> (if such breach is capable <strong>of</strong>remedy) within 14 Business Days (or suchlonger period if <strong>an</strong>y <strong>as</strong> <strong>Aviva</strong> may in itsabsolute discretion specify) <strong>of</strong> the date<strong>of</strong> the said notice; or(b) the Intermediary’s licence, permit,authorisation, registration or approvalwhich are necessary for the conduct <strong>of</strong>its business in the Territory is revokedor notice is received <strong>of</strong> <strong>an</strong> intention torevoke, or the Intermediary otherwisece<strong>as</strong>es to be authorised to conduct thebusiness <strong>of</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inthe Territory; or(c) the Intermediary, being <strong>an</strong> individual,dies or is adjudicated b<strong>an</strong>krupt, orbeing a comp<strong>an</strong>y, becomes insolventor enters into liquidation or enters intoa composition or arr<strong>an</strong>gement with itscreditors or h<strong>as</strong> a receiver appointedover all or <strong>an</strong>y part <strong>of</strong> its <strong>as</strong>sets or h<strong>as</strong><strong>an</strong> examiner appointed, or being apartnership is dissolved; or(d) there is a Ch<strong>an</strong>ge in Control in theownership <strong>of</strong> the Intermediary or there isa subst<strong>an</strong>tial ch<strong>an</strong>ge in the m<strong>an</strong>agementteam <strong>of</strong> the Intermediary or a subst<strong>an</strong>tialdisposal or diminution in the <strong>as</strong>sets<strong>of</strong> the Intermediary <strong><strong>an</strong>d</strong> <strong>Aviva</strong> h<strong>as</strong> notconsented to the continued validity <strong>of</strong>the appointment within 21 days <strong>of</strong> thech<strong>an</strong>ge; or(e) <strong>an</strong>y event occurs or is likely to occur, or<strong>an</strong>y act or omission <strong>of</strong> <strong>an</strong>y party results inor is likely to result in potential or actualdamage to the reputation <strong>of</strong> <strong>Aviva</strong> or <strong>an</strong>y<strong>of</strong> its affiliates; or(f) if either Party is requested by the CentralB<strong>an</strong>k <strong>of</strong> Irel<strong><strong>an</strong>d</strong> in writing, to terminatethis appointment.SECTION 11.0 - CONSEQUENCES OFTERMINATION11.1 Consequences <strong>of</strong> Termination11.1.1 On termination <strong>of</strong> this appointment:(a) the Intermediary shall immediately ce<strong>as</strong>eto be authorised to carry on the Businessor act <strong>as</strong> <strong>an</strong> insur<strong>an</strong>ce intermediary inrespect <strong>of</strong> the Insur<strong>an</strong>ce Policies or onbehalf <strong>of</strong> <strong>Aviva</strong> in <strong>an</strong>y m<strong>an</strong>ner <strong><strong>an</strong>d</strong> shallimmediately:(i)pay to <strong>Aviva</strong> all monies properly dueto <strong>Aviva</strong>;(ii) return <strong>Aviva</strong>’s Property to <strong>Aviva</strong>;(iii) ce<strong>as</strong>e to use such documents <strong><strong>an</strong>d</strong>s<strong>of</strong>tware which it had used in
