TERMS and CONDITIONS<br />
It is our intent to serve our Clients to the best of our ability. One way we do this is by having a simple, yet clear agreement<br />
between US PRESORT and the Client. The Proposed Services, Terms and Conditions and Prices are valid for 30 days.<br />
This WEBSITE DESIGN, DEVELOPMENT , <strong>SEO</strong> SERVICES and SOCIAL MANAGEMENT terms and conditions<br />
agreement between US PRESORT and NY URGENT CARE (the “Client”) located at 110 Pennsylvania Avenue, SF-5,<br />
Brooklyn, NY 11207, Phone 718-272-2272; will commence as soon as they are signed and accepted.<br />
[PURPOSE AND AUTHORIZATION]<br />
The Client is engaging US PRESORT, for the purpose of developing and/or improving a website. Website will be<br />
hosted by US PRESORT. The Client authorizes US PRESORT to access its DNS account, and authorizes changes to be<br />
made to the DNS servers.<br />
[WEBSITE CONTENT]<br />
The Client agrees to provide US PRESORT ALL content for the website such as text, images, video and sound specific<br />
to the NY URGENT CARE and its industry, in an electronic format. Stock graphic and photos will be used where<br />
needed (additional charges may apply). Once the website is completed and installed the integrated Content<br />
Management System (CMS) will allow the Client to take on the responsibility of maintaining the content of the site,<br />
such as text, images, etc<br />
[COMPLETION DATE]<br />
US PRESORT and the Client must work together to complete the website in a timely manner. We agree to work<br />
expeditiously to complete the website within the timeframe set. Client understands that if he/she does not respond<br />
promptly or does not provide the necessary materials, the completion of the project might be delayed.<br />
[LIABILITY]<br />
US PRESORT does not warrant that the functions contained in the website will be uninterrupted or error-free. In no<br />
event will US PRESORT be liable to the Client or any third party for any damages, including any lost profits, lost<br />
savings or other incidental, consequential or special damages arising out of the operation of or inability to operate<br />
these web pages or website. If any provision of this agreement shall be unlawful, void, or for any reason<br />
unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity<br />
and enforceability of any remaining provisions.<br />
[COPYRIGHTS AND TRADEMARKS]<br />
The Client represents to US PRESORT and unconditionally guarantees that any elements of text, graphics, photos,<br />
designs, trademarks, or other artwork furnished to US PRESORT for inclusion in web pages are owned by the Client,<br />
or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless,<br />
protect, and defend US PRESORT and its subcontractors from any claim or suit arising from the use of such elements<br />
furnished by the Client.<br />
[ COPYRIGHT NOTICE ]<br />
Ownership of all source code remains with the US PRESORT and will only transfer to the Client upon payment of a<br />
specified fee. This fee is not covered in this proposal and will require separate negotiation.<br />
