PROPOSAL SUMMARY
Based on our preliminary discussion we have identified and listed below the
Needs and Solutions that we will want to address in this project.
NEEDS
NY Urgent Care needs a website to reach out to the community and also to
serve and support the current NY Urgent Care clients. Furthermore, NY Urgent
Care needs a website that can be maintained by its employee without the need
to regularly employ US Presort or any third party agency to make changes.
The NY Urgent Care employee needs to be able to add and revise both text and
photos if necessary.
SOLUTIONS
US Presort will provide NY Urgent Care with a responsive web design that is
easy to navigate and is mobile friendly. The design will integrate the current
logo and color palette so it will maintain a familiar look.
CONTENT MANAGEMENT SYSTEM
Central to the new website will be a robust Content Management System (CMS)
that will allow NY Urgent Care to make changes easily to the website, without
requiring a dedicated workstation or additional software. Not only will the CMS
save NY Urgent Care website revision costs, but it will also ensure that the
website stays fresh and up to date.

TERMS and CONDITIONS
It is our intent to serve our Clients to the best of our ability. One way we do this is by having a simple, yet clear agreement
between US PRESORT and the Client. The Proposed Services, Terms and Conditions and Prices are valid for 30 days.
This WEBSITE DESIGN, DEVELOPMENT , SEO SERVICES and SOCIAL MANAGEMENT terms and conditions
agreement between US PRESORT and NY URGENT CARE (the “Client”) located at 110 Pennsylvania Avenue, SF-5,
Brooklyn, NY 11207, Phone 718-272-2272; will commence as soon as they are signed and accepted.
[PURPOSE AND AUTHORIZATION]
The Client is engaging US PRESORT, for the purpose of developing and/or improving a website. Website will be
hosted by US PRESORT. The Client authorizes US PRESORT to access its DNS account, and authorizes changes to be
made to the DNS servers.
[WEBSITE CONTENT]
The Client agrees to provide US PRESORT ALL content for the website such as text, images, video and sound specific
to the NY URGENT CARE and its industry, in an electronic format. Stock graphic and photos will be used where
needed (additional charges may apply). Once the website is completed and installed the integrated Content
Management System (CMS) will allow the Client to take on the responsibility of maintaining the content of the site,
such as text, images, etc
[COMPLETION DATE]
US PRESORT and the Client must work together to complete the website in a timely manner. We agree to work
expeditiously to complete the website within the timeframe set. Client understands that if he/she does not respond
promptly or does not provide the necessary materials, the completion of the project might be delayed.
[LIABILITY]
US PRESORT does not warrant that the functions contained in the website will be uninterrupted or error-free. In no
event will US PRESORT be liable to the Client or any third party for any damages, including any lost profits, lost
savings or other incidental, consequential or special damages arising out of the operation of or inability to operate
these web pages or website. If any provision of this agreement shall be unlawful, void, or for any reason
unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity
and enforceability of any remaining provisions.
[COPYRIGHTS AND TRADEMARKS]
The Client represents to US PRESORT and unconditionally guarantees that any elements of text, graphics, photos,
designs, trademarks, or other artwork furnished to US PRESORT for inclusion in web pages are owned by the Client,
or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless,
protect, and defend US PRESORT and its subcontractors from any claim or suit arising from the use of such elements
furnished by the Client.
[ COPYRIGHT NOTICE ]
Ownership of all source code remains with the US PRESORT and will only transfer to the Client upon payment of a
specified fee. This fee is not covered in this proposal and will require separate negotiation.

[ RESERVATION OF RIGHTS ]
All rights not expressly granted hereunder are reserved to US PRESORT, including but not limited to all rights in
sketches, comps, or other preliminary materials. Client acknowledges and agrees that US PRESORT may include the
Site, the Pages or any of the other Prepared Materials in US PRESORT’s portfolio, case studies, and other marketing
promotions. The Client may publish or disclose information regarding the Work and shall acknowledge the support
of US PRESORT in all such publications.
[SEO TERMS]
All fees are non-refundable. All fees, services, documents, recommendations, and reports are confidential.
US PRESORT has no control over the policies of search engines with respect to the type of sites and/or content that
they accept now or in the future.
Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and
other competitive factors, US PRESORT does not guarantee #1 positions or consistent top 10 positions for any
particular keyword, phrase, or search term. However, we guarantee increase of traffic to the site and improved
ranking after at least four months of services,
Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited
listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees.
Linking to “bad neighborhoods” or getting links from “link sellers” can seriously damage all SEO efforts. US PRESORT
does not assume liability for the Client's choice to link to or obtain a link from any particular website without prior
consultation.
[PAYMENTS]
WEB DESIGN ONLY. Non-refundable 50% Deposit due at signing. Before launch, another 40% are due, Balance at
Launch - 10%.
WEB DESIGN WITH SEO MONTHLY PACKAGES. The monthly packages are valid only with 6 months minimum
commitment. A valid Credit Card or Bank Account has to be provided for automated billing.
SOCIAL MEDIA PACKAGES. All social media packages are monthly based, there is NO associated setup, or
cancellation fees.
[ CANCELLATION]
If the Client halts work and applies by registered letter for a cancellation within 30 days of the Effective Date to US
PRESORT, 3801 Victory Blvd., Ste 1, Staten Island, NY 10314 phone (718) 980-6556, The Client will be provided with a
final billing within 10 day of the cancellation. Any work completed up to the cancellation date will be billed to the
Client. The Client is responsible to pay for any work completed which is not covered by the initial deposit. SEO
packages cannot be cancelled.
The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
