role through the Management Toolk<strong>it</strong>. Th<strong>is</strong> introduction provides insight<br />

and guidance on how <strong>to</strong> successfully manage the performance of<br />

others, as well as some elective fundamental management skills. These<br />

include elements like time management, present<strong>at</strong>ion skills, managing<br />

change and compliance training.<br />

Our structured Men<strong>to</strong>rship Programme supports our entire<br />

management and leadership development philosophy and helps us<br />

Management Development Programme<br />

The ADvTALENT programme aims <strong>to</strong> system<strong>at</strong>ically close the gap<br />

between the talent we have and the talent we need <strong>to</strong> implement our<br />

str<strong>at</strong>egic goals. In order <strong>to</strong> know, develop and support our people, the<br />

MDP delivers specially selected aspects of management functions by<br />

allowing staff <strong>to</strong> experience an <strong>ADvTECH</strong> day, a business simul<strong>at</strong>ion<br />

<strong>work</strong>shop and Leading Inclusively through Divers<strong>it</strong>y Management.<br />

Candid<strong>at</strong>es are then required <strong>to</strong> embark on a Continuous Professional<br />

Development programme in consult<strong>at</strong>ion w<strong>it</strong>h their HR Manager and<br />

Line Manger.<br />

The Top Employers Inst<strong>it</strong>ute <strong>is</strong> a global inst<strong>it</strong>ute w<strong>it</strong>h headquarters in the<br />

Netherlands. It assesses the <strong>work</strong>ing cond<strong>it</strong>ions employers cre<strong>at</strong>e for<br />

their people and only those employers th<strong>at</strong> meet their stringent cr<strong>it</strong>eria<br />

are certified as <strong>to</strong>p employers. Once certified, an employer can proudly<br />

call themselves one of the world’s leading employers. We were thrilled <strong>to</strong><br />

be certified on our first applic<strong>at</strong>ion.<br />

To be considered for certific<strong>at</strong>ion, we needed <strong>to</strong> complete a survey<br />

cons<strong>is</strong>ting of 100 questions th<strong>at</strong> dealt w<strong>it</strong>h nine <strong>to</strong>pics covering 600 HR<br />

practices. One of the advantages of completing the in-depth applic<strong>at</strong>ion<br />

<strong>to</strong> become certified as a Top Employer <strong>is</strong> th<strong>at</strong> we had the opportun<strong>it</strong>y <strong>to</strong><br />

really examine our HR processes. Instead of just l<strong>is</strong>ting these, we needed<br />

<strong>to</strong> really analyse their appropri<strong>at</strong>eness, their effectiveness and how<br />

relevant they were <strong>to</strong> our organ<strong>is</strong><strong>at</strong>ion’s needs. Our detailed explan<strong>at</strong>ion<br />

of these processes was reviewed in detail by an independent aud<strong>it</strong>or,<br />

and during an ons<strong>it</strong>e v<strong>is</strong><strong>it</strong> we needed <strong>to</strong> provide proof th<strong>at</strong> we actually<br />

do implement the practices th<strong>at</strong> we described in our subm<strong>is</strong>sion.<br />

Through th<strong>is</strong> applic<strong>at</strong>ion process and the resultant scores we achieved<br />

we were able <strong>to</strong> pinpoint areas th<strong>at</strong> we’d like <strong>to</strong> improve and cre<strong>at</strong>e<br />

specific interventions <strong>to</strong> achieve better scores w<strong>it</strong>h the next<br />

accred<strong>it</strong><strong>at</strong>ion round.<br />

During the 2015 survey we were awarded the Silver Service Excellence<br />

Seal award – an achievement th<strong>at</strong> we are proud of, but th<strong>at</strong> reminds us<br />

of our ongoing responsibil<strong>it</strong>y <strong>to</strong>wards our people.<br />

CORPORATE GOVERNANCE:<br />

Wh<strong>at</strong> does <strong>it</strong> mean and<br />

why does <strong>it</strong> m<strong>at</strong>ter?<br />

Corpor<strong>at</strong>e governance <strong>is</strong> a term describing the system<br />

used <strong>to</strong> direct and control a company. At <strong>ADvTECH</strong> our<br />

Board of direc<strong>to</strong>rs oversees the management and<br />

control structure th<strong>at</strong> controls the Group’s overall<br />

direction.<br />

The King Code of Corpor<strong>at</strong>e Governance<br />

Corpor<strong>at</strong>e governance <strong>is</strong> a dynamic field, w<strong>it</strong>h constantly evolving<br />

requirements based on the best practice principles controlling the<br />

sec<strong>to</strong>r the company oper<strong>at</strong>es in. Former High Court judge Mervyn King<br />

S.C. <strong>is</strong> widely regarded as an expert in the field of corpor<strong>at</strong>e governance.<br />

King publ<strong>is</strong>hed a report called the King Code of Corpor<strong>at</strong>e Governance<br />

in 2009, called KING III. The report contains 75 reporting principles th<strong>at</strong><br />

guide organ<strong>is</strong><strong>at</strong>ions <strong>to</strong>ward responsible, transparent reporting th<strong>at</strong><br />

aligns w<strong>it</strong>h local and intern<strong>at</strong>ional standards. We have always supported<br />

the values contained in the King Report (King III) and we constantly aim<br />

for gre<strong>at</strong>er compliance <strong>to</strong> the Code of Corpor<strong>at</strong>e Practices section of the<br />

report. We look forward <strong>to</strong> examining the next <strong>it</strong>er<strong>at</strong>ion of th<strong>is</strong> report,<br />

called King IV, due for official release on 01 November 2016.<br />

More about the Board<br />

The <strong>ADvTECH</strong> Board cons<strong>is</strong>ts (as <strong>at</strong> 31 December 2015) of two Executive<br />

and 6 Non-Executive Direc<strong>to</strong>rs. The Board encourages gre<strong>at</strong>er integr<strong>at</strong>ion<br />

of corpor<strong>at</strong>e governance principles across all areas of oper<strong>at</strong>ion <strong>to</strong> help<br />

the Group <strong>to</strong> run <strong>it</strong>s business in an efficient, ethical and sustainable way.<br />

Th<strong>is</strong> in turn cre<strong>at</strong>es value and sustainable returns, which means th<strong>at</strong><br />

more investments will be made in<strong>to</strong> the priv<strong>at</strong>e educ<strong>at</strong>ion sec<strong>to</strong>r.<br />

The direc<strong>to</strong>rs have a wide range of experience in str<strong>at</strong>egic, financial,<br />

legal, Inform<strong>at</strong>ion Technology and educ<strong>at</strong>ional activ<strong>it</strong>ies. Th<strong>is</strong> means th<strong>at</strong><br />

there <strong>is</strong> enough intellectual cap<strong>it</strong>al <strong>to</strong> guide the business <strong>to</strong>wards<br />

The Board has seven comm<strong>it</strong>tees, establ<strong>is</strong>hed as part of regula<strong>to</strong>ry and<br />

business requirements. Members of the Board are appointed <strong>to</strong><br />

Comm<strong>it</strong>tees based on their areas of expert<strong>is</strong>e and experience.<br />

R<strong>is</strong>k Comm<strong>it</strong>tee<br />

Every business faces several actual and potential r<strong>is</strong>ks in the day-<strong>to</strong>-day<br />

execution of their tasks. While the R<strong>is</strong>k Comm<strong>it</strong>tee has assumed<br />

responsibil<strong>it</strong>y for mon<strong>it</strong>oring and overseeing the management of r<strong>is</strong>k<br />

w<strong>it</strong>hin the Group, the Board, Exco and the internal aud<strong>it</strong> department<br />

continue <strong>to</strong> review and assess the integr<strong>it</strong>y and the qual<strong>it</strong>y of our r<strong>is</strong>k<br />

control systems and ensure th<strong>at</strong> r<strong>is</strong>k policies and str<strong>at</strong>egies are effectively<br />

managed.<br />

L<strong>it</strong>ig<strong>at</strong>ion Comm<strong>it</strong>tee<br />

The L<strong>it</strong>ig<strong>at</strong>ion Comm<strong>it</strong>tee provides guidance <strong>to</strong> the Board in respect of<br />

all major l<strong>it</strong>ig<strong>at</strong>ion th<strong>at</strong> happens outside the ordinary course of business.<br />

The Comm<strong>it</strong>tee only meets when necessary.<br />

Transform<strong>at</strong>ion, Social and Ethics Comm<strong>it</strong>tee (TSEC)<br />

TSEC mon<strong>it</strong>ors and oversees the Group’s progress on aspects rel<strong>at</strong>ing <strong>to</strong><br />

transform<strong>at</strong>ion <strong>at</strong> every level. It considers social and ethical aspects, and,<br />

where appropri<strong>at</strong>e, provides management w<strong>it</strong>h guidance in th<strong>is</strong> regard.<br />

The div<strong>is</strong>ional CEOs must <strong>at</strong>tend the major<strong>it</strong>y of TSEC meetings held<br />

during the year. Th<strong>is</strong> ensures th<strong>at</strong> social and ethical m<strong>at</strong>ters, as well as<br />

m<strong>at</strong>ters pertaining <strong>to</strong> transform<strong>at</strong>ion remain high on management’s<br />

agenda.<br />

Nomin<strong>at</strong>ions Comm<strong>it</strong>tee<br />

The Comm<strong>it</strong>tee meets when necessary, <strong>to</strong> nomin<strong>at</strong>e, evalu<strong>at</strong>e and<br />

recommend possible new appointments <strong>to</strong> the Board.<br />

Why corpor<strong>at</strong>e governance m<strong>at</strong>ters<br />

While the Board and Group Management team are ultim<strong>at</strong>ely held<br />

accountable for the Group’s ethical corpor<strong>at</strong>e governance, every one of<br />

us plays an important role in making our business one th<strong>at</strong> <strong>is</strong> oper<strong>at</strong>ed<br />

w<strong>it</strong>h integr<strong>it</strong>y. When we are ill-informed about regula<strong>to</strong>ry <strong>is</strong>sues th<strong>at</strong><br />

could neg<strong>at</strong>ively affect our particular business un<strong>it</strong>, <strong>it</strong> places the entire<br />

Group <strong>at</strong> r<strong>is</strong>k for reput<strong>at</strong>ional or even financial damage. It’s worth<br />

understanding which laws and regul<strong>at</strong>ions govern your particular area of<br />

<strong>work</strong> and understanding exactly wh<strong>at</strong> you can do <strong>to</strong> ensure th<strong>at</strong> we act<br />

w<strong>it</strong>h complete integr<strong>it</strong>y and transparency in everything we do.<br />

Remuner<strong>at</strong>ion Comm<strong>it</strong>tee<br />

Th<strong>is</strong> Comm<strong>it</strong>tee determines and approves how much employees are<br />

paid. The Group CEO and Group HR executive only <strong>at</strong>tend these<br />

meetings by inv<strong>it</strong><strong>at</strong>ion, but don’t have any say regarding dec<strong>is</strong>ions about<br />

their own remuner<strong>at</strong>ion.<br />

Aud<strong>it</strong> Comm<strong>it</strong>tee<br />

The Comm<strong>it</strong>tee <strong>is</strong> responsible for appointing the Group’s aud<strong>it</strong>ors,<br />

agreeing the fees th<strong>at</strong> must be paid <strong>to</strong> them and settling on the terms<br />

of their engagement. They also provide recommend<strong>at</strong>ions <strong>to</strong> the Board<br />

about a number of oper<strong>at</strong>ional <strong>is</strong>sues. A full l<strong>is</strong>t of these <strong>is</strong> available<br />

WHY IS <strong>ADvTECH</strong> LISTED<br />

ON THE STOCK EXCHANGE?<br />

When <strong>ADvTECH</strong>’s founder, Brian Buckham, started a<br />

small IT training business in Anderson Street in the<br />

Joburg CBD, he could not have known just how<br />

successful the <strong>ADvTECH</strong> Group would become. In case<br />

you’re still in the dark about how <strong>ADvTECH</strong> came <strong>to</strong> be,<br />

here’s a short recap:<br />

1978<br />

Brian Buckham starts an IT training business in Anderson<br />

Street, Johannesburg<br />

1987<br />

Advanced Technical Systems Lim<strong>it</strong>ed l<strong>is</strong>ts on the Johannesburg<br />

S<strong>to</strong>ck Exchange (JSE) w<strong>it</strong>h a share price of 55 cents.<br />

1990<br />

The end of apartheid <strong>is</strong> declared, Nelson Mandela <strong>is</strong> released<br />

from pr<strong>is</strong>on and a new pol<strong>it</strong>ical dawn breaks in South Africa.<br />

Brian Buckham real<strong>is</strong>es th<strong>at</strong> educ<strong>at</strong>ion would be the key <strong>to</strong><br />

South Africa’s success.<br />

1995 & 1996<br />

<strong>ADvTECH</strong> makes <strong>it</strong>s first acqu<strong>is</strong><strong>it</strong>ion in the educ<strong>at</strong>ion sec<strong>to</strong>r,<br />

including Rosebank College and Vars<strong>it</strong>y College in 1996.<br />

1998 – 2015<br />

<strong>ADvTECH</strong> grows exponentially during th<strong>is</strong> period, <strong>to</strong> 124<br />

educ<strong>at</strong>ion, training and recru<strong>it</strong>ment s<strong>it</strong>es across South Africa<br />

and the African continent.<br />

From baby steps <strong>to</strong> giant leaps<br />

The <strong>ADvTECH</strong> s<strong>to</strong>ry <strong>is</strong> a gre<strong>at</strong> example of a small business successfully<br />

making the trans<strong>it</strong>ion from a priv<strong>at</strong>ely held company <strong>to</strong> a publically<br />

l<strong>is</strong>ted one. Taking th<strong>is</strong> step allows a company <strong>to</strong> ra<strong>is</strong>e funds through<br />

selling shares <strong>to</strong> the broader public and special<strong>is</strong>t investment groups.<br />

<strong>ADvTECH</strong>’s l<strong>is</strong>ting on the JSE in 1987 signaled the first step <strong>to</strong>wards<br />

growing the business <strong>to</strong>wards wh<strong>at</strong> <strong>it</strong> <strong>is</strong> <strong>to</strong>day. It enabled Brian <strong>to</strong> ra<strong>is</strong>e<br />

the kind of cap<strong>it</strong>al needed <strong>to</strong> acquire the schools, univers<strong>it</strong>ies and<br />

resourcing businesses th<strong>at</strong> the Group now owns.<br />

The benef<strong>it</strong>s of l<strong>is</strong>ting on the s<strong>to</strong>ck<br />

exchange<br />

L<strong>is</strong>ting a company means th<strong>at</strong> instead of one or more (up <strong>to</strong> a maximum<br />

of 50) people holding all the company’s shares, the shares are made<br />

available on a s<strong>to</strong>ck exchange where they are traded not only as a way<br />

<strong>to</strong> ra<strong>is</strong>e funds, but <strong>to</strong> make ordinary people a part of the success of our<br />

business.<br />

There are qu<strong>it</strong>e a few steps <strong>to</strong> follow before you can l<strong>is</strong>t on a s<strong>to</strong>ck<br />

exchange, read more about them. In 1987 Brian and h<strong>is</strong> management<br />

team would have needed <strong>to</strong> follow the applicable steps <strong>to</strong> get the<br />

company l<strong>is</strong>ted.<br />

Some of the benef<strong>it</strong>s of l<strong>is</strong>ting include:<br />

Companies can trade their shares securely and efficiently through a<br />

fully au<strong>to</strong>m<strong>at</strong>ed trading system.<br />

Ra<strong>is</strong>ing funds through selling shares <strong>is</strong> better than entering in<strong>to</strong> a debt<br />

agreement w<strong>it</strong>h a bank. In the event th<strong>at</strong> companies need <strong>to</strong> make<br />

use of debt facil<strong>it</strong>ies from a bank, they have the added benef<strong>it</strong> of banks<br />

being more inclined <strong>to</strong> lend them money. Th<strong>is</strong> <strong>is</strong> because the banks<br />

know th<strong>at</strong> the l<strong>is</strong>ted company <strong>is</strong> now likely <strong>to</strong> be f<strong>is</strong>cally responsible as<br />

<strong>it</strong> <strong>is</strong> expected <strong>to</strong> comply w<strong>it</strong>h l<strong>is</strong>ting and other regula<strong>to</strong>ry requirements.<br />

The company therefore has both options available in terms of ra<strong>is</strong>ing<br />

cap<strong>it</strong>al <strong>to</strong> e<strong>it</strong>her pay off ex<strong>is</strong>ting debt or <strong>to</strong> fund expansion plans.<br />

The introduction of IIE Marque – a unique electronic <strong>to</strong>ol th<strong>at</strong> allows<br />

prospective employers and tertiary inst<strong>it</strong>utions <strong>to</strong> search for and verify<br />

a gradu<strong>at</strong>e’s qualific<strong>at</strong>ions.<br />

Rosebank College opened the first technologically enabled campus<br />

in Polokwane. It uses a combin<strong>at</strong>ion of trad<strong>it</strong>ional and dig<strong>it</strong>al teaching<br />

methods <strong>to</strong> bring qual<strong>it</strong>y educ<strong>at</strong>ion <strong>to</strong> students in and around<br />

An electronic Learning Management System called IIELearn went live<br />

across Vars<strong>it</strong>y College, Vega and Rosebank College during February<br />

2015. Approxim<strong>at</strong>ely 11 000 students use th<strong>is</strong> Blackboard-based dig<strong>it</strong>al<br />

Central<strong>is</strong>ed Admin<strong>is</strong>tr<strong>at</strong>ion system<br />

While no-one doubts the abil<strong>it</strong>ies of the office admin lady, we know th<strong>at</strong><br />

au<strong>to</strong>m<strong>at</strong>ing admin<strong>is</strong>tr<strong>at</strong>ive tasks means th<strong>at</strong> we are able <strong>to</strong> collect, s<strong>to</strong>re<br />

and find important inform<strong>at</strong>ion much faster than if we continued <strong>to</strong> use<br />

a paper filing system. Being able <strong>to</strong> accur<strong>at</strong>ely report on important<br />

figures like enrolments in real-time means th<strong>at</strong> we can adequ<strong>at</strong>ely plan<br />

for the year ahead. Our dig<strong>it</strong>al Human Resources programme helps us <strong>to</strong><br />

access employee records <strong>at</strong> the <strong>to</strong>uch of a but<strong>to</strong>n. You also have the<br />

convenience of booking your leave online and our Intranet has a wealth<br />

of inform<strong>at</strong>ion <strong>to</strong> help you navig<strong>at</strong>e life <strong>at</strong> <strong>ADvTECH</strong>.<br />
