ShoreTel UK Business Terms and Conditions:<br />

1. This Order Form is confidential information.<br />

2. Provided ShoreTel’s Services are available for use, invoicing for the Service Monthly Commitment<br />

shall take place within sixty (60) days of the Effective Date hereof.<br />

3. Unless otherwise specified in the Order Form, the Services are offered for a minimum term of<br />

twelve (12) months. The Term shall renew in accordance with the ShoreTel Terms of Service<br />

incorporated herein (see link below).<br />

4. Customer may increase Services unlimitedly during the Service Term at the Service Monthly<br />

Commitment prices agreed herein. A one-time implementation fee of £38.00 will be charged per<br />

profile added.<br />

5. Customer is liable for any and all applicable taxes and surcharges.<br />

6. Installation Services bundles include Local Number Porting (LNP) for the first two (2) invoices for<br />

each Location. LNP for each additional invoice is £189.98 per Location.<br />

7. Calls outside England, Scotland, Wales and Northern Ireland, premium-rate telephone numbers (e.g.<br />

Directory assistance calls, 900 numbers, etc.) and toll free inbound calls are billed on a usage basis.<br />

8. Customer is aware that ShoreTel Connect CLOUD does not support inbound calls for certain number<br />

ranges in the UK, specifically numbers with the 084, 087 and 09 prefix. Connect CLOUD does<br />

support outbound calls to 084 and 087 prefixes. See our posted charges for details on the cost per<br />

minute for these calls.<br />

9. Unless otherwise specified, Customer receives only standard features.<br />

Statement of Work<br />

IMPORTANT INFORMATION AND ACKNOWLEDEGEMENT (EMERGENCY SERVICE)<br />

If your broadband connection fails, your voice service will also fail. Your service may cease to function if<br />

there is a power cut or failure. These failures may be caused by reasons outside of ShoreTel’s control.<br />

I understand that this service allows calls to the emergency services numbers 999 and 112. However, I<br />

also understand that calls will fail if there is a power cut or my broadband connection fails<br />

Fair Use Policy<br />

ShoreTel CLOUD customers agree to provision and use their services within the following limits:<br />

- Auto-attendants: up to 15 per customer location or per every 25 users<br />

- Bridged Call Appearances (BCA): up to 15 per customer location or per every 25 users<br />

- Hunt Groups: up to 15 per customer location or per every 25 users<br />

ShoreTel reserves the right to bill customers a monthly overage charge for each feature instance that is<br />

provisioned above the stated limits at a unit cost of £3.80 per month.

a specific set of permissions and responsibilities for installing and managing your ShoreTel service. For more<br />

ShoreTel Connect CLOUD CRM Integration Options for Swish Building Products:<br />

CRM Integration is included with all of your Standard and Advanced profiles. Please indicate the number<br />

of users with those profiles who will use each integration type. Your total number of entitled<br />

integrations indicated on this form must not exceed 20, the total number of Standard and Advanced<br />

profiles you ordered.<br />

During implementation you will be asked to indicate which named users are to be assigned what CRM<br />

integrations. A single named Standard or Advanced profile user may be assigned none or to one or<br />

more CRM integrations. CRM integrations entitled under a Standard or Advanced profile may not be<br />

assigned to a user with any other profile.<br />

CRM Integration for Essentials profile users must be purchased separately. You may also separately<br />

purchase additional CRM integrations for Standard and Advanced profile users who need more than one<br />

if 20 is not sufficient for your needs. Please see your ShoreTel sales representative or authorized<br />

Addendum A<br />

ShoreTel Trade-In Program<br />

Customer Requirements<br />

This Addendum refers to ShoreTel’s Customer Trade-In Program (the “Program”) including associated program<br />

discounts and credits. Under the terms and conditions of the Program, Customer has the responsibility for the<br />

decommissioning and destruction of any ShoreTel premises equipment relevant for the trade-in; including<br />

switches, servers and phones that are replaced by the ShoreTel Connect CLOUD service as the customer<br />

migrates from a ShoreTel premise-based telephony system to a ShoreTel Connect CLOUD-hosted telephony<br />

system.<br />

Customer responsibilities under the Program are detailed below. Acknowledgement and execution of this<br />

Addendum constitutes agreement and acceptance of these responsibilities.<br />

Step 1: Decommission Trade-in Product<br />

All ShoreTel equipment associated with the premise-based system and migration to Connect CLOUD must<br />

be decommissioned and removed from operation.<br />

ShoreTel will decommission ShoreTel feature licenses associated with the trade-in.<br />

Customer is responsible to itemise and arrange destruction of trade-in gear using an ISO-14001 certified<br />

e-Waste company, and must provide ShoreTel with confirmation documentation.<br />

After Customer delivers the trade-in equipment to their chosen ISO-14001 certified e-Waste disposal<br />

provider, Customer must provide ShoreTel an appropriate Certificate of Destruction that includes the e-<br />

Waste provider’s company name, address, website and contact information.<br />

All destroyed trade-in equipment and quantities must be listed on the Certificate of Destruction, including<br />

serial numbers for servers and switches. Serial numbers are not required for phones.<br />

The Certificate of Destruction must be sent via email to TradeInCustomerRewards@shoretel.com no<br />

later than 60 days after the ShoreTel Connect CLOUD services are provisioned to Customer.<br />

Step 2: Notice of Decommission<br />

A list of ShoreTel premises licenses to be decommissioned must be emailed to the following<br />

address: TradeInCustomerRewards@shoretel.com. The list of licenses can be found in the<br />

ShoreTel Director on the Licenses page.<br />

ShoreTel will decommission ShoreTel feature licenses associated with the Program.<br />

For Customers migrating their equipment in phases, the Certificate of Destruction and the list of<br />

decommissioned licenses must be sent for each part of the network being decommissioned. The<br />

hardware and licenses must represent a reasonable network construct for the number of onpremises<br />

seats credited under the Program<br />

Step 3: ShoreTel Reconciles Customer Assets<br />

<br />

ShoreTel will remove assets from the ShoreTel Customer account record based on the<br />

Certificate of Destruction and list of decommissioned licenses received by ShoreTel.


Decommissioned licenses will be marked as such in the ShoreTel's License Key Management<br />

system.<br />

For Customers migrating all of their on- premises users to the CLOUD, the on-premises account<br />

will be closed, and a new CLOUD account will be created.<br />

Should Customer fail to meet the requirements presented above, within 60 days after the<br />

provisioning of the ShoreTel Connect CLOUD services, ShoreTel reserves the right to reverse<br />

discounts and credits offered under the Program.<br />

ShoreTel reserves the right to audit customer’s adherence to the terms and conditions of this<br />

Program.<br />

ShoreTel reserves the right to change or cancel the Program at any time.<br />
