TRUSTEES<br />
The Board periodically reviews the operations of the Foundation. The Foundation follows the discipline of submitting<br />
the monthly financials to the Board of Trustees, providing them with updates on the performance of the Foundation<br />
and other important matters. The Board also reviews the same and advises the management from time to time with<br />
their feedback/inputs. Apart from the above, additional board meetings are convened by providing appropriate notice to<br />
address the specific needs of the Foundation.<br />
(A) Composition of the Board<br />
The Foundation’s Board comprises eight Trustees, all having considerable experience in their respective fields.<br />

(C) Other Information Regarding the Board<br />
Your Foundation’s Board of Trustees plays a primary role in ensuring good governance and functioning of the Foundation.<br />
The Board’s roles, functions, responsibilities, and accountabilities are defined.<br />
The Agenda and Notes of each meeting of the Board of Trustees is circulated to the Trustees in advance. If it is not practical to<br />
attach or send the relevant information as a part of agenda papers, the same is tabled at the meeting with presentations to the<br />
Board. The Members of the Board have complete freedom to express their opinion and the decisions are taken after detailed<br />
discussions.<br />
I. AUDIT COMMITTEE<br />
(A) Composition of the Audit Committee<br />
Your Foundation has an Audit Committee at the Board level, which acts as a link between the Management, the Statutory<br />
and Internal Auditors, and the Board of Trustees, and oversees the financial reporting process.<br />
The composition of the Audit Committee is as follows:<br />

Chief Executive Officer, Chief Financial Officer, and other senior officers of the Foundation are permanent invitees to the<br />
Audit Committee meetings. The internal auditors of the Foundation are also invited to the Audit Committee meetings as<br />
necessary.<br />
Suresh Senapaty<br />
Mr. Senapaty was a former member of the Board and Chief Financial Officer of Wipro<br />
Ltd. He is the Chairman of Honeywell Automation India Ltd. and Member of the Board<br />
of various companies, listed and non-listed including ITRAF (International Tax Research<br />
and Analysis Foundation). He was a member of many other committees including<br />
NACAS, SCODA and also a member of the IFRS Global Advisory Board.<br />
A regular speaker at various seminars and forums, Mr. Senapaty has won several awards<br />
and accolades to his credit, most notable amongst them being the Best CFO award<br />
in 2002 by IMA (an associate of Economist Corporate Network) in association with<br />
American Express, the Best CFO award for IT/ITES sector by CNBC-TV <strong>18</strong>, CFO Wall of<br />
Fame by 9dot9 Mediaworx (an Indian print media under 9dot9 publications).<br />
