Recommendation 5:<br />

The FAR Council should review existing rules and regulations, and to the<br />

extent necessary, create new, uniform, government-wide policy and clauses<br />

dealing with Organizational Conflicts <strong>of</strong> Interest, Personal Conflicts <strong>of</strong> Interest,<br />

and Protection <strong>of</strong> Contractor Confidential and Proprietary Data, as<br />

described in more detail in the following sub-recommendations.<br />

With.respect.to.all.the.sub-recommendations.in.this.category,.the.Panel.recognized.<br />

that.numerous.agencies.have.considered.these.issues,.and.in.many.cases.agencies.have.<br />

identified.and.implemented.effective.measures.to.address.them ..However,.there.has.been.<br />

no.standardization,.and.there.is.no.central.repository.or.list.<strong>of</strong>.best.practices.available ..The.<br />

Panel.concluded.that.the.identification.and.adoption.<strong>of</strong>.government-wide.policies.and.<br />

standardized.contract.clauses.in.these.areas.would.be.beneficial.and.that.the.FAR.Council.<br />

was.the.appropriate.organization.to.perform.this.task ..The.Panel.anticipated.that.the.FAR.<br />

Council.would.not.have.to.start.from.scratch.on.most,.if.not.all,.<strong>of</strong>.these.issues,.but.would.<br />

be.able.to.select.from.among.existing.strategies ...<br />

Recommendation 5-1:<br />

Organizational Conflicts <strong>of</strong> Interest (“OCI”).<br />

The.FAR.Council.should.consider.development.<strong>of</strong>.a.standard.OCI.clause,.or.a.set.<strong>of</strong>.standard.OCI.clauses.if.appropriate,.for.inclusion.in.solicitations.and.contracts.(that.set.forth.the.<br />

contractor’s.responsibility.to.assure.its.employees,.and.those.<strong>of</strong>.its.subcontractors,.partners,.<br />

and.any.other.affiliated.organization.or.individual),.as.well.as.policies.prescribing.their.use ..<br />

The.clauses.and.policies.should.address.conflicts.that.can.arise.in.the.context.<strong>of</strong>.developing.<br />

requirements.and.statements.<strong>of</strong>.work,.the.selection.process,.and.contract.administration ..<br />

Potential.conflicts.<strong>of</strong>.interest.to.be.addressed.may.arise.from.such.factors.as.financial.interests,.unfair.competitive.advantage,.and.impaired.objectivity.(on.the.instant.or.any.other.<br />

action),.among.others ..<br />

The.Panel.recognized.that.a.single.OCI.clause.would.probably.not.fit.all.circumstances,.<br />

so.it.suggested.that.the.FAR.Council.consider.whether.it.would.be.better.to.set.forth.a.set.<strong>of</strong>.<br />

such.clauses.from.which.procurement.<strong>of</strong>ficials.could.select .<br />

The.Panel.noted.that.OCIs.could.arise.in.various.time.frames.(before,.during,.and.after.<br />

the.award.<strong>of</strong>.a.contract),.and.that.they.could.arise.in.a.variety.<strong>of</strong>.contexts ..Among.other.<br />

possibilities,.the.Panel.identified.potential.financial.conflicts.(e.g.,.attempting.to.steer.<br />

business.to.an.affiliate);.unfair.competitive.advantage.(e.g.,.using.information.learned.as.<br />

a.contractor.to.enhance.the.contractor’s.ability.to.receive.a.future.contract);.and.impaired.<br />

objectivity.(e.g.,.reviewing.the.performance.<strong>of</strong>.an.affiliate.or.<strong>of</strong>.a.potential.competitor.for.a.<br />

future.contract) ..<br />

The.Panel.emphasized.that.whatever.clauses.were.adopted.should.“flow.down”.to.the.<br />

employees,.affiliates,.and.subcontractors.<strong>of</strong>.the.contractor ..<br />
