4. PRICES<br />

All our prices are expressed in euros, net of taxes. They shall be invoiced on the basis of the tariff in force upon the<br />

date of ordering, subject to the addition of VAT at the statutory rate.<br />

Modul Distribution shall reserve the right to modify its tariffs at any time.<br />

The published price of Products shall be notified in response to a simple request, in hard copy or PDF format.<br />

5. TERMS OF SETTLEMENT<br />

In the event of an order for delivery to a country other than mainland France, the Client shall be the importer of<br />

the Product(s) concerned. Customs duties or other local taxes, import duties or national government taxes may be<br />

enforceable. These duties and payments shall not be the responsibility of Modul Distribution. They shall be assumed<br />

exclusively by the Client, with respect to both declarations and payments to the competent authorities and organizations<br />

in the country of destination. The final price will depend upon the applicable INCOTERM for the Client, which<br />

will define the distribution of logistical and administrative costs between the Client and Modul Distribution.<br />

If Modul Distribution allows a discount for payment in cash, the conditions for this discount shall be entered on the<br />

invoice.<br />

When a client account is created, orders will be settled at the time of ordering (prepayment).<br />

This mode of payment may be subject to change, in the event of the conclusion between the Parties of a written agreement<br />

for derogation therefrom. In this case, the due date for settlement shall be that indicated on the invoice.<br />

In all cases, terms conferred shall not exceed those indicated in Article L.441-10 of the Commercial Code, namely, 45<br />

days from the month-end or 60 days from the date of invoicing.<br />

Settlement of orders shall be completed by bank transfer only.<br />

Moreover, the term of validity of credits issued by the company shall be one year with effect from the date of issue<br />

thereof. No credit issued by the company which dates back more than one year shall give rise to any deduction in conjunction<br />

with a settlement or reimbursement.<br />

6. DEFAULT OR ARREARS IN SETTLEMENT<br />

In the event of any default or arrears in settlement, Modul Distribution shall be entitled:<br />

- To immediately suspend the delivery of orders pending;<br />

- To require the settlement of a delay penalty, to an amount equal to three times the statutory interest rate;<br />

- To require the immediate settlement of all invoices, whether due for payment or otherwise;<br />

- To require settlement in respect of all orders pending, prior to delivery;<br />

- To initiate action at law for the recovery of sums due, which shall be subject to the addition of the above-mentioned<br />

interest on arrears, under the terms of a penalty clause, which shall be fixed at 20% of outstanding capital and interest,<br />

plus legal costs;<br />

- To cancel the sale, and to require the settlement of compensation.<br />

Any sums received shall be automatically offset against the oldest invoices outstanding, even if the amount thereof<br />

corresponds to other invoices.<br />
