10. INTELLECTUAL PROPERTY<br />
The purchase of Products by the Client from Modul Distribution shall not confer in favour of the Client any intellectual<br />
property rights with respect to the distinctive symbols (such as logos and trademarks) of Modul Distribution, the<br />
contents of its website or the documentation of Modul Distribution or with respect to Products marketed by Modul<br />
Distribution and the appearance thereof (hereinafter “Elements”), which shall remain the full and exclusive property<br />
of Modul Distribution, or of its dealers who have been authorized to undertake the utilization thereof.<br />
Any information, documentation or content pertaining to the Products of Modul Distribution, or to the representation<br />
thereof, shall be exclusively supplied by Modul Distribution, or by a representative appointed by the latter. The<br />
Client hereby undertakes to represent on their website, and/or at their points of sale, only such information, documentation<br />
and official content as shall be supplied or validated by Modul Distribution. The Client undertakes to use<br />
information, documentation or content disclosed by Modul Distribution exclusively for the purposes of the promotion<br />
and marketing of Products, in accordance with the present GCS, without geographical limitation and on any medium,<br />
including electronically. Any other utilization by the Client shall be subject to the prior and written authorization of<br />
Modul Distribution. The Client shall refrain from the conferral, in favour of any third party, of entitlements conferred<br />
by Modul Distribution in the context of the marketing and promotion of Products.<br />
The Client hereby undertakes to utilize Elements in accordance with the entitlements and interests of Modul Distribution<br />
pertaining thereto, to respect and enhance, to the best of their ability, the image of trademarks and Products,<br />
and to refrain from any damage to the reputation thereof. Modul Distribution shall reserve the right to contest, terminate<br />
or seek reparation in respect of any utilization which it shall deem unfair or contrary to its image, its interests<br />
or to any entitlements conferred by the latter or conferred in its favour.<br />
11. PROTECTION OF PERSONAL DATA<br />
In the context of the execution of the agreement between Modul Distribution and the Client, either party may have<br />
occasion to collect personal data on the employees, agents and representatives of the other party. These data shall<br />
be collected and processed, in the context of actions assumed in the capacity of data controller, exclusively for the<br />
following purposes:<br />
- The execution of administrative operations associated with the management of contracts, orders, invoices and payments;<br />
- The maintenance of commercial relations with the other party, together with the conservation of documentation<br />
and contact data of the other party;<br />
- Management of orders (taking of orders, deliveries, etc.);<br />
- Notification of the other party of any changes and developments introduced by the parties to their services;<br />
-The management of any disputes.<br />
Personal data collected for the above-mentioned purposes shall be intended for the exclusive attention of each internal<br />
department of the parties and, where applicable, for the attention of subcontractors acting on behalf of each<br />
party, in accordance with the instructions thereof. Data shall not be transferred outside the European Union.<br />
Personal data collected in this context shall be conserved for the duration of the present agreement, notwithstanding<br />
the entitlement of either party to archive all or part of said data in order to fulfil their statutory obligations or<br />
establish their legal entitlements. The persons concerned shall enjoy a right of access, rectification, deletion or portability<br />
with respect to their data, together with an entitlement to object to the processing of their data or to request<br />
the limitation of such processing. These entitlements may be exercised directly vis-à-vis the party concerned.<br />
