GENERAL TERMS AND CONDITIONS OF SALE<br />
12. ASSIGNMENT OF JURISDICTION<br />
Relations governing the Client and Modul Distribution shall be subject to French law.<br />
Any dispute pertaining to our sales, even in the event of the guarantee claims or multiple defendants, in the absence<br />
of amicable agreement, shall be referred to the exclusive jurisdiction of the Commercial Court of Versailles.<br />
13. CONFIDENTIALITY<br />
In the event of receipt by the Client of design analyses, plans, drawings and documents pertaining to Products<br />
(hereinafter “Confidential Information”), the latter shall undertake to protect the confidentiality thereof, and shall<br />
not publish, communicate or disclose said Confidential Information, by any means whatsoever, to third parties. Said<br />
Confidential Information shall remain the property of Modul Distribution.<br />
14. PARTICULAR CONDITIONS<br />
In the event of the conclusion of a written agreement between the Client and Modul Distribution, over and above<br />
the present GCS, said agreement shall constitute particular conditions for the modification or expansion thereof.<br />
In the event of contradiction between the particular conditions of sale and the general conditions of sale, the provisions<br />
of the particular conditions of sale shall take precedence.<br />
15. AUTOMATIC TERMINATION CLAUSE<br />
In the event of the non-fulfilment of its obligations by one of the parties, the present GCS shall be subject to automatic<br />
termination in favour of the other party, notwithstanding any compensation which might be claimed from the<br />
party in default. Termination shall take effect 7 (seven) days after the submission of a formal warning, to which no<br />
response is received.<br />
