As the founder and publisher of trimcards we are excited about the plans<br />
to produce our trimcards <strong>Weight</strong> and <strong>Health</strong> <strong>System</strong> <strong>for</strong> <strong>Life</strong>! in a Box.<br />
I started using filecards in 1974 while attending college at RIT in<br />
upstate NY where I was majoring in Printing Technology. I used file cards<br />
every day to write down my goals, exercise and food consumed and track<br />
my weight. I must admit that tool writing things down and keeping track<br />
got me through college with a degree in less than 4 years, Being that my<br />
Dad and Grandfather were both in the printing and binding industries I<br />
guess you can say I had some ink in my blood. The idea of trim cards as a<br />
printed product became a reality in the 70s when I placed an ad in<br />
Prevention Magazine under the name healthy habits dieters filecards and<br />
received some orders. The name of the product was changed to trimcards<br />
since the name healthy habits was already a trademark. We have been<br />
marketing our product under the name trimcards since 2002. If you are<br />
interested in selling our product as a reseller or wish to order trimcards as<br />
a consumer we look <strong>for</strong>ward to hearing from you! Also at this time we are<br />
taking bids to produce our latest version of trimcards. Our goal is to work<br />
with print, packaging, fulfillment suppliers and graphic designers in the<br />
USA and be able to tag our product as made in the USA . We look <strong>for</strong>ward<br />

CALIFORNIA NON-DISCLOSURE AGREEMENT (NDA) I. THE PAR-<br />
TIES. This Cali<strong>for</strong>nia Non-Disclosure Agreement (“Agreement”) created<br />
on, September 6th <strong>2023</strong> is by and between: JBGMG Publisher of Trincards<br />
<strong>Weight</strong> & <strong>Health</strong> Managment <strong>System</strong> <strong>for</strong> <strong>Life</strong> with a with a mailing<br />
address of PO Box 168 Sunset Beach, CA 90742<br />
JBGMG is disclosing confidential in<strong>for</strong>mation <strong>for</strong> <strong>Trimcards</strong> to several<br />
prospective suppliers. The collective “Parties potential Suppliers to<br />
JBGmg agree to prevent the unauthorized disclosure of confidential and<br />
proprietary in<strong>for</strong>mation owned by JBGmg. The Parties agree as follows:<br />
<strong>for</strong> a Unilateral. Agreement. JBGmg the 1st Party shall have sole<br />
ownership of the Confidential In<strong>for</strong>mation, with the 2nd Party being<br />
prohibited from disclosing confidential and proprietary in<strong>for</strong>mation that<br />
is or has been released by the 1st Party. PURPOSE. The purpose of this<br />
Agreement is <strong>for</strong>: Obtaining quotes from potential suppliers <strong>for</strong> the trimcards<br />
<strong>Weight</strong> and <strong>Health</strong> <strong>Management</strong> <strong>System</strong> a printed producst<br />
distributed and owned by JBGmg<br />
CONFIDENTIAL INFORMATION. For the purposes of this Agreement,<br />
the term “Confidential In<strong>for</strong>mation” shall include, but not be limited to,<br />
documents, records, in<strong>for</strong>mation and data (whether verbal, electronic or<br />
written), drawings, models, apparatus, sketches, designs, schedules, product<br />
plans, marketing plans, technical procedures, manufacturing processes,<br />
analyses, compilations, studies, software, prototypes, samples, <strong>for</strong>mulas,<br />
methodologies, <strong>for</strong>mulations, product developments, patent applications,<br />
knowhow, experimental results, specifications and other business in<strong>for</strong>mation,<br />
relating to the Party’s business, assets, operations or contracts,<br />
furnished to the other Party and/or the other Party’s affiliates, employees,<br />
officers, owners, agents, consultants or representatives, in the course<br />
of their work contemplated in this Agreement, regardless of whether such<br />
Confidential In<strong>for</strong>mation has been expressly designated as confidential<br />
or proprietary. Confidential In<strong>for</strong>mation also includes any and all work<br />
products, studies, and other material prepared by or in the possession or<br />
control of the other Party, which contain, include, refer to, or otherwise<br />
reflect or are generated from any Confidential In<strong>for</strong>mation.
Confidential In<strong>for</strong>mation in the strictest of confidence and to their agents,<br />
employees, representatives, affiliates, and any other individual or entity<br />
that is on a “need to know” basis. If any such Confidential In<strong>for</strong>mation<br />
shall reach a third (3rd) party, or become public, all liability will be on<br />
the Party that is responsible. Neither Party shall, without the written<br />
approval of the other Party, publish, copy, or use the Confidential In<strong>for</strong>mation<br />
<strong>for</strong> their sole benefit. If requested, either Party shall be bound to<br />
return any and all materials to the Requesting Party as soon as possible.<br />
The bounded Party’s(ies’) duty to hold the Confidential In<strong>for</strong>mation in<br />
confidence shall remain in effect until such in<strong>for</strong>mation no longer qualifies<br />
as a trade secret or written notice is given releasing such Party from this<br />
Agreement. INTEGRATION. This Agreement expresses the complete understanding<br />
of the Parties with respect to the subject matter and<br />
supersedes all prior proposals, agreements, representations, and<br />
understandings. This Agreement may not be amended except in writing<br />
with the acknowledgment of the Parties. SEVERABILITY. If a court finds<br />
that any provision of this Agreement is invalid or unen<strong>for</strong>ceable, the remainder<br />
of this Agreement shall be interpreted so as to best affect the intent<br />
of the Parties. ENFORCEMENT. The Parties acknowledge and agree<br />
that due to the unique and sensitive nature of the Confidential<br />
In<strong>for</strong>mation, any breach of this Agreement would cause irreparable harm<br />
<strong>for</strong> which damages and/or equitable relief may be sought. The harmed<br />
Party in this Agreement shall be entitled to all remedies available at law.<br />
GOVERNING LAW. This Agreement shall be governed under the laws<br />
in the State of Cali<strong>for</strong>nia. IN WITNESS WHEREOF, the parties hereto<br />
have executed this Agreement as of the date written below.<br />
