� 4. Upon dissolution there is supposed to be a winding<br />
up. The partnership continues for the purpose of<br />
winding up.<br />
� 5. In some circumstances (e.g., where dissolution is<br />
caused by the death of a partner), the winding up will<br />
be accomplished by the partners who are still available<br />
to do so. If this is not feasible, or if there is<br />
disagreement, a court may order a sale. The court has<br />
discretion as to the appointment of a receiver and as<br />
to how the sale is to be accomplished (e.g., auction,<br />
use of a broker, or some other methods).<br />
