UPA (1914) § 40<br />
� § 40(b): subject to contrary agreement, upon dissolution<br />
partnership assets should be distributed as follows: “(I) Those<br />
owing to creditors other than partners, (II) Those owing to<br />
partners other than for capital and profits, (III) Those owing to<br />
partners in respect of capital, and (IV) Those owing to partners in<br />
respect of profits.”<br />
� § 40(d): "partners shall contribute, as provided by [§18(a)] the<br />
amount necessary to satisfy the liabilities [set forth in § 40(b)]. . .<br />
