CONGRATULATIONS TO GHILOTTI 

BROS. INC. AND THE DUTRA GROUP! 

Contracts on the Marin-to-Sonoma Commuter Train 

Project are awarded to local businesses. 

Work will begin Tuesday morning, January 

17 in Santa Rosa on the Marin-to-Sonoma 

commuter train project. The Sonoma-Marin 

Area Rail Transit agency approved a $103 

million contract Monday to begin work on 

the project three years after voters approved 

a quarter-cent sales tax for the rail service. 

The SMART board of directors voted unanimously 

to award the contract to Alamedabased 

Stacy and Witbeck/Herzog, a joint 

venture that will work on track, bridges, station 

platforms and grade crossings. 

Judy Arnold, Vice Chair of the Smart 

Board, said “This is the biggest public 

works project approved in the Bay Area 

since the Great Recession began. It brings 

more than 900 jobs to our region. With this 

first contract, we will be rebuilding track, 

repairing, rehabilitating or replacing 20 

bridges, improving grade crossings and constructing 

station platforms along 37 miles 

from Santa Rosa to the Civic Center. And 

there will be even more jobs later this year. 

The SMART train is coming and it is carrying 

jobs. I want to thank the public, and 

particularly the Marin Builders Association, 

for all your support in getting the project to 

this long awaited moment.” 

Two of the local businesses who were 

awarded contracts are Ghilotti Brothers 

who will be handling the construction 

and Dutra who will provide over 150,000 

tons of ballast rock. Both companies are 

active members of the Marin Builders 

Association. 

The first contract will cover work from 

Santa Rosa to the Marin Civic Center. Work 

from the Civic Center to downtown San Rafael 

will be handled in a separate contract.

THE DUTRA GROUP ACQUIRES DREDGE VESSEL 

The Dutra Group has added a hopper dredge, 

the Stuyvesant, to its fleet of dredges, marking 

an historic day in the company’s history. 

At 372 feet in length and 72 feet wide, the 

Stuyvesant is the second largest hopper dredge 

in the United States. A Marin Builders Association 

member and President and CEO of the 

Dutra Company, Bill Dutra says, “This ship 

will be a welcome addition to our fleet and 

its size will allow us greater flexibility in our 

operations.” 

The Stuyvesant joins a growing fleet of Dutra 

dredging equipment that actively clears shipping 

channels and performs other important 

maritime-related work in the United States. 

The Dutra Company has long been involved 

in key dredging activities, such as maintaining 

clear and navigable water channels, performing 

emergency repair work and conducting 

other activities for a host of valued customers, 

including those in both the private and public 

sectors. 

Bill Dutra notes that, “We are excited and 

proud that the addition of the Stuyvesant to 

the national hopper dredge fleet will bring 

significant and needed dredging capacity to 

strengthen the flow of goods and cargo from 

our nation’s ports.” Dutra adds, “With the

Tell me if this doesn’t sound familiar! 

Despite our strong urgings to the 

contrary (as part of a large employer 

coalition), the governor signed into 

law AB 469 (Chapter 655, Statutes 

of 2011) which is known as the Wage 

Theft Protection Act of 2011. This 

“turkey” took effect on January 

1, 2012 and is already causing big 

problems. 

Labor Code section 2810.5 was added 

by the bill which requires that all 

employers must provide each new 

hire with a “Notice to Employee” and

I received an email from my 

esteemed colleague, Bob Roginson, 

who is a partner in the law firm of 

Atkinson, Andelson, Loya, Ruud & 

Romo, giving me a “heads up” that 

this new requirement is causing mass 

confusion amongst employers and 

to also ask if I’d be willing to join 

with his other clients in pushing for 

changes to the law? My quick reply, 

“hell yes!” A copy of his letter to the 

labor commissioner is attached. 

I will keep you posted; however, in 

the meantime be sure to go to the 

aforementioned website and comply 

with this new law as best as you 

can. I was just told this morning that 

DLSE intends to correct the problems 

within the next two weeks. Stay 

tuned! 

Final Diesel Retrofit Safety Proposal 

Adopted 

You may recall that the California 

Air Resources Board (CARB) 

issued rules requiring heavy 

diesel equipment to be fitted with 

particulate filters, based on studies 

that it believes show diesel exhaust 

is an unaddressed health hazard. 

Unfortunately, while the CARB staff 

ultimately mandated devices that 

would quell these ‘nasty particles,’ 

they forgot to actually ride in any of 

the equipment after it was retrofitted 

(hey, that would have been too much 

like work!)! 

Lo and behold, contractors 

retrofitting their equipment 

discovered that the devices seriously 

blocked the view of the driver which 

could, in-turn, result in someone 

getting run over! So, while the 

unfortunate victim would have the 

cleanest pair of lungs in town, the 

tread marks across the victim’s chest 

would certainly result in death!

‘minor’ conflict, Cal OSHA was alerted who, in-turn, 

suspended the requirement. It has taken three years and 

many hours of meetings in between, but alas the Cal 

OSHA board adopted new regulations in December that 

will take effect in mid-January if approved by the Office 

of Administrative law. Once the final regulation has been 

approved and published, I will provide you with a copy. 

During the interim, the summary of the newly adopted 

regulations are as follows: 

Exhaust Retrofits Proposal at a Glance 

CSO §1591 

• An exhaust retrofit shall not reduce the capacity, 

structural integrity or safe performance of a vehicle or 

reduce an employee’s ability to safely access or egress 

a vehicle. 

• Retrofits shall be located or effectively shielded to 

prevent employees contacting a surface at least 140°F, 

and so that the retrofit does not increase the risk of fire 

from fluid or fuel spills. 

• Heat shielding is not required on an exhaust retrofit 

located under the hood of a vehicle if space limitations 

make shielding impracticable. 

• An exhaust retrofit, excluding exhaust stacks, shall 

not obstruct the driver’s view of an area or object 

located 40 inches outside of the smallest rectangle that 

encompasses the perimeter of a vehicle. 

• A modification or addition made to a vehicle to install 

a retrofit, such as an expanded engine compartment 

hood or added heat shield, shall be considered part of 

the exhaust retrofit. 

• If a bucket or blade is attached to a vehicle, it shall be 

placed in the traveling position and shall be considered 

a part of the vehicle for the purpose of establishing the 

perimeter of the vehicle to the front and rear, but not to 

the sides. 

• The driver’s view shall be determined without the use 

of mirrors or cameras. 

• The driver’s view shall represent the view that a driver 

would have under the following conditions: 

• The driver weighs at least 195 pounds and is less than 

70 inches tall. 

• The driver is sitting upright in the driver’s seat and is 

looking towards the exhaust retrofit. 

• The driver’s seat is positioned in the middle of its 

adjustable range. 

• Visibility Test Procedures in Non-Mandatory 

Appendix A constitute one method that may be used to 

demonstrate compliance with this subsection. 



Kalb's Q&A for Contractors

The waiting is over after more than a decade of 

demand contractors can form a new ‘structure’ for 

licensing their business. For many years in CA the 

State refused to allow Limited Liability Companies 

(LLC) to be licensed as contractors. With this pentup 

demand now released the rush is on at Capitol 

Services… 

Q: Now that a LLC can be licensed, we would like to 

transfer our corporation number to the new LLC. Can 

this be done? 

I have received many questions during the past few 

weeks related to the new LLC license. I am familiar 

with several corporations that were formed for the express 

purpose of doing business in CA until such a time 

as the state allowed LLC construction companies to 

become licensed. The new law amended Section 7075.1 

to allow the transfer of a corporate license “to a limited 

liability company that is formed by a corporation to continue 

the business of the corporation subsequent to the 

cancellation of the corporate entity’s license, provided 

the personnel listed for each entity are the same.” 

A potential for problems with this transfer is the corporation 

will cease to exist and this may call into question 

ongoing contracts. 

Q: We are looking into the dissolution of our present 

corporation, and would like to know if we can transfer 

our contractor’s license to the new corporation. 

A: According to B&P Code Section 7075.1, if forming 

a new corporation you’re only allowed to transfer 

the current license number to the new entity under the 

following conditions: “...when the parent corporation 

has merged or created a subsidiary, the subsidiary has 

merged into the parent corporation, or the corporation 

has changed its filing status with the Secretary of State 

from a domestic corporation to a foreign corporation or 

from a foreign corporation to a domestic corporation.” 

For any of these scenarios the formation of the new 

entity must be to continue the business of the formerly 

licensed corporation. 

Q: We’re considering offering a gift card to any homeowner 

who signs up for new flooring during the month of 

February (amount to be determined). Do you think this 

would be acceptable under CSLB rules? 

A: According to B&P Code 7157(b), A contractor or his 

or her agent or salesperson may give tangible items to 

prospective customers for advertising or sales promotion 

purposes if the gift is not conditioned upon obtaining 

a home improvement contract and does not exceed five 

dollars ($5). 

Unless the offer involves a very minimal gift card, you 

may instead want to offer a rebate or reduction in contract 

price because it is not considered “tangible”. 

This is based on an Attorney General opinion from 1985. 

In response to a question from an Assembly member, the 

AG concluded, “as an inducement to contract, a home 

improvement contractor may offer a homeowner cash 

rebates or discounts on the purchase of products or services”. 

This “non-tangible” rebate could include carpeting, 

painting, cabinetry, or any of several other ‘home 

improvement’ trades. 

Construction News: According to the Associated General 

Contractors of California (AGC), Governor Jerry 

Brown’s recently released budget contained welcome 

news for transportation as it proposed a significant 

structural change to transportation agencies and continuation 

of Proposition 1B projects. For years the AGC has 

contended that spending on infrastructure has been inadequate 

to allow for growth and business in CA. However, 

according to the AGC’s chief Executive Officer Tom 

Holsman, “It appears the governor is moving in the right 

direction in putting California on a path to recovery.”
