CONGRATULATIONS TO GHILOTTI<br />
BROS. INC. AND THE DUTRA GROUP!<br />
Contracts on <strong>the</strong> <strong>Marin</strong>-<strong>to</strong>-Sonoma Commuter Train<br />
Project are awarded <strong>to</strong> local businesses.<br />
Work will begin Tuesday morning, January<br />
17 in Santa Rosa on <strong>the</strong> <strong>Marin</strong>-<strong>to</strong>-Sonoma<br />
commuter train project. The Sonoma-<strong>Marin</strong><br />
Area Rail Transit agency approved a $103<br />
million contract Monday <strong>to</strong> begin work on<br />
<strong>the</strong> project three years after voters approved<br />
a quarter-cent sales tax for <strong>the</strong> rail service.<br />
The SMART board of direc<strong>to</strong>rs voted unanimously<br />
<strong>to</strong> award <strong>the</strong> contract <strong>to</strong> Alamedabased<br />
Stacy <strong>and</strong> Witbeck/Herzog, a joint<br />
venture that will work on track, bridges, station<br />
platforms <strong>and</strong> grade crossings.<br />
Judy Arnold, Vice Chair of <strong>the</strong> Smart<br />
Board, said “This is <strong>the</strong> biggest public<br />
works project approved in <strong>the</strong> Bay Area<br />
s<strong>inc</strong>e <strong>the</strong> Great Recession began. It brings<br />
more than 900 jobs <strong>to</strong> our region. With this<br />
first contract, we will be rebuilding track,<br />
repairing, rehabilitating or replacing 20<br />
bridges, improving grade crossings <strong>and</strong> constructing<br />
station platforms along 37 miles<br />
from Santa Rosa <strong>to</strong> <strong>the</strong> Civic Center. And<br />
<strong>the</strong>re will be even more jobs later this year.<br />
The SMART train is coming <strong>and</strong> it is carrying<br />
jobs. I want <strong>to</strong> thank <strong>the</strong> public, <strong>and</strong><br />
particularly <strong>the</strong> <strong>Marin</strong> <strong>Builders</strong> Association,<br />
for all your support in getting <strong>the</strong> project <strong>to</strong><br />
this long awaited moment.”<br />
Two of <strong>the</strong> local businesses who were<br />
awarded contracts are Ghilotti Bro<strong>the</strong>rs<br />
who will be h<strong>and</strong>ling <strong>the</strong> construction<br />
<strong>and</strong> Dutra who will provide over 150,000<br />
<strong>to</strong>ns of ballast rock. Both companies are<br />
active members of <strong>the</strong> <strong>Marin</strong> <strong>Builders</strong><br />
Association.<br />
The first contract will cover work from<br />
Santa Rosa <strong>to</strong> <strong>the</strong> <strong>Marin</strong> Civic Center. Work<br />
from <strong>the</strong> Civic Center <strong>to</strong> down<strong>to</strong>wn San Rafael<br />
will be h<strong>and</strong>led in a separate contract.<br />

THE DUTRA GROUP ACQUIRES DREDGE VESSEL<br />
The Dutra Group has added a hopper dredge,<br />
<strong>the</strong> Stuyvesant, <strong>to</strong> its fleet of dredges, marking<br />
an his<strong>to</strong>ric day in <strong>the</strong> company’s his<strong>to</strong>ry.<br />
At 372 feet in length <strong>and</strong> 72 feet wide, <strong>the</strong><br />
Stuyvesant is <strong>the</strong> second largest hopper dredge<br />
in <strong>the</strong> United States. A <strong>Marin</strong> <strong>Builders</strong> Association<br />
member <strong>and</strong> President <strong>and</strong> CEO of <strong>the</strong><br />
Dutra Company, Bill Dutra says, “This ship<br />
will be a welcome addition <strong>to</strong> our fleet <strong>and</strong><br />
its size will allow us greater flexibility in our<br />
operations.”<br />
The Stuyvesant joins a growing fleet of Dutra<br />
dredging equipment that actively clears shipping<br />
channels <strong>and</strong> performs o<strong>the</strong>r important<br />
maritime-related work in <strong>the</strong> United States.<br />
The Dutra Company has long been involved<br />
in key dredging activities, such as maintaining<br />
clear <strong>and</strong> navigable water channels, performing<br />
emergency repair work <strong>and</strong> conducting<br />
o<strong>the</strong>r activities for a host of valued cus<strong>to</strong>mers,<br />
<strong>inc</strong>luding those in both <strong>the</strong> private <strong>and</strong> public<br />
sec<strong>to</strong>rs.<br />
Bill Dutra notes that, “We are excited <strong>and</strong><br />

Despite our strong urgings <strong>to</strong> <strong>the</strong><br />
contrary (as part of a large employer<br />
coalition), <strong>the</strong> governor signed in<strong>to</strong><br />
law AB 469 (Chapter 655, Statutes<br />
of 2011) which is known as <strong>the</strong> Wage<br />
Theft Protection Act of 2011. This<br />
“turkey” <strong>to</strong>ok effect on January<br />
1, 2012 <strong>and</strong> is already causing big<br />
problems.<br />
Labor Code section 2810.5 was added<br />
by <strong>the</strong> bill which requires that all<br />
employers must provide each new<br />
hire with a “Notice <strong>to</strong> Employee” <strong>and</strong><br />

supposed <strong>to</strong> go <strong>the</strong> DLSE website <strong>to</strong><br />
obtain <strong>the</strong> template (notice) <strong>and</strong><br />

I received an email from my<br />
esteemed colleague, Bob Roginson,<br />
who is a partner in <strong>the</strong> law firm of<br />
Atkinson, Andelson, Loya, Ruud &<br />
Romo, giving me a “heads up” that<br />
this new requirement is causing mass<br />
confusion amongst employers <strong>and</strong><br />
<strong>to</strong> also ask if I’d be willing <strong>to</strong> join<br />
with his o<strong>the</strong>r clients in pushing for<br />
changes <strong>to</strong> <strong>the</strong> law? My quick reply,<br />
“hell yes!” A copy of his letter <strong>to</strong> <strong>the</strong><br />
labor commissioner is attached.<br />
I will keep you posted; however, in<br />
<strong>the</strong> meantime be sure <strong>to</strong> go <strong>to</strong> <strong>the</strong><br />
aforementioned website <strong>and</strong> comply<br />
with this new law as best as you<br />
can. I was just <strong>to</strong>ld this morning that<br />
DLSE intends <strong>to</strong> correct <strong>the</strong> problems<br />
within <strong>the</strong> next two weeks. Stay<br />
tuned!<br />
Final Diesel Retrofit Safety Proposal<br />
Adopted<br />
You may recall that <strong>the</strong> California<br />
Air Resources Board (CARB)<br />
issued rules requiring heavy<br />
diesel equipment <strong>to</strong> be fitted with<br />
particulate filters, based on studies<br />
that it believes show diesel exhaust<br />
is an unaddressed health hazard.<br />
Unfortunately, while <strong>the</strong> CARB staff<br />
ultimately m<strong>and</strong>ated devices that<br />
would quell <strong>the</strong>se ‘nasty particles,’<br />
<strong>the</strong>y forgot <strong>to</strong> actually ride in any of<br />
<strong>the</strong> equipment after it was retrofitted<br />
(hey, that would have been <strong>to</strong>o much<br />
like work!)!<br />
Lo <strong>and</strong> behold, contrac<strong>to</strong>rs<br />
retrofitting <strong>the</strong>ir equipment<br />
discovered that <strong>the</strong> devices seriously<br />
blocked <strong>the</strong> view of <strong>the</strong> driver which<br />
could, in-turn, result in someone<br />
getting run over! So, while <strong>the</strong><br />
unfortunate victim would have <strong>the</strong><br />
cleanest pair of lungs in <strong>to</strong>wn, <strong>the</strong><br />
tread marks across <strong>the</strong> victim’s chest<br />
would certainly result in death!<br />

‘minor’ conflict, Cal OSHA was alerted who, in-turn,<br />
suspended <strong>the</strong> requirement. It has taken three years <strong>and</strong><br />
many hours of meetings in between, but alas <strong>the</strong> Cal<br />
OSHA board adopted new regulations in December that<br />
will take effect in mid-January if approved by <strong>the</strong> Office<br />
of Administrative law. Once <strong>the</strong> final regulation has been<br />
approved <strong>and</strong> published, I will provide you with a copy.<br />
During <strong>the</strong> interim, <strong>the</strong> summary of <strong>the</strong> newly adopted<br />
regulations are as follows:<br />
Exhaust Retrofits Proposal at a Glance<br />
CSO §1591<br />
• An exhaust retrofit shall not reduce <strong>the</strong> capacity,<br />
structural integrity or safe performance of a vehicle or<br />
reduce an employee’s ability <strong>to</strong> safely access or egress<br />
a vehicle.<br />
• Retrofits shall be located or effectively shielded <strong>to</strong><br />
prevent employees contacting a surface at least 140°F,<br />
<strong>and</strong> so that <strong>the</strong> retrofit does not <strong>inc</strong>rease <strong>the</strong> risk of fire<br />
from fluid or fuel spills.<br />
• Heat shielding is not required on an exhaust retrofit<br />
located under <strong>the</strong> hood of a vehicle if space limitations<br />
make shielding impracticable.<br />
• An exhaust retrofit, excluding exhaust stacks, shall<br />
not obstruct <strong>the</strong> driver’s view of an area or object<br />
located 40 <strong>inc</strong>hes outside of <strong>the</strong> smallest rectangle that<br />
encompasses <strong>the</strong> perimeter of a vehicle.<br />
• A modification or addition made <strong>to</strong> a vehicle <strong>to</strong> install<br />
a retrofit, such as an exp<strong>and</strong>ed engine compartment<br />
hood or added heat shield, shall be considered part of<br />
<strong>the</strong> exhaust retrofit.<br />
• If a bucket or blade is attached <strong>to</strong> a vehicle, it shall be<br />
placed in <strong>the</strong> traveling position <strong>and</strong> shall be considered<br />
a part of <strong>the</strong> vehicle for <strong>the</strong> purpose of establishing <strong>the</strong><br />
perimeter of <strong>the</strong> vehicle <strong>to</strong> <strong>the</strong> front <strong>and</strong> rear, but not <strong>to</strong><br />
<strong>the</strong> sides.<br />
• The driver’s view shall be determined without <strong>the</strong> use<br />
of mirrors or cameras.<br />
• The driver’s view shall represent <strong>the</strong> view that a driver<br />
would have under <strong>the</strong> following conditions:<br />
• The driver weighs at least 195 pounds <strong>and</strong> is less than<br />
70 <strong>inc</strong>hes tall.<br />
• The driver is sitting upright in <strong>the</strong> driver’s seat <strong>and</strong> is<br />
looking <strong>to</strong>wards <strong>the</strong> exhaust retrofit.<br />
• The driver’s seat is positioned in <strong>the</strong> middle of its<br />
adjustable range.<br />
• Visibility Test Procedures in Non-M<strong>and</strong>a<strong>to</strong>ry<br />
Appendix A constitute one method that may be used <strong>to</strong><br />
demonstrate compliance with this subsection.<br />

Kalb's Q&A for Contrac<strong>to</strong>rs<br />

The waiting is over after more than a decade of<br />
dem<strong>and</strong> contrac<strong>to</strong>rs can form a new ‘structure’ for<br />
licensing <strong>the</strong>ir business. For many years in CA <strong>the</strong><br />
State refused <strong>to</strong> allow Limited Liability Companies<br />
(LLC) <strong>to</strong> be licensed as contrac<strong>to</strong>rs. With this pentup<br />
dem<strong>and</strong> now released <strong>the</strong> rush is on at Capi<strong>to</strong>l<br />
Services…<br />
Q: Now that a LLC can be licensed, we would like <strong>to</strong><br />
transfer our corporation number <strong>to</strong> <strong>the</strong> new LLC. Can<br />
this be done?<br />
I have received many questions during <strong>the</strong> past few<br />
weeks related <strong>to</strong> <strong>the</strong> new LLC license. I am familiar<br />
with several corporations that were formed for <strong>the</strong> express<br />
purpose of doing business in CA until such a time<br />
as <strong>the</strong> state allowed LLC construction companies <strong>to</strong><br />
become licensed. The new law amended Section 7075.1<br />
<strong>to</strong> allow <strong>the</strong> transfer of a corporate license “<strong>to</strong> a limited<br />
liability company that is formed by a corporation <strong>to</strong> continue<br />
<strong>the</strong> business of <strong>the</strong> corporation subsequent <strong>to</strong> <strong>the</strong><br />
cancellation of <strong>the</strong> corporate entity’s license, provided<br />
<strong>the</strong> personnel listed for each entity are <strong>the</strong> same.”<br />
A potential for problems with this transfer is <strong>the</strong> corporation<br />
will cease <strong>to</strong> exist <strong>and</strong> this may call in<strong>to</strong> question<br />
ongoing contracts.<br />
Q: We are looking in<strong>to</strong> <strong>the</strong> dissolution of our present<br />
corporation, <strong>and</strong> would like <strong>to</strong> know if we can transfer<br />
our contrac<strong>to</strong>r’s license <strong>to</strong> <strong>the</strong> new corporation.<br />
A: According <strong>to</strong> B&P Code Section 7075.1, if forming<br />
a new corporation you’re only allowed <strong>to</strong> transfer<br />
<strong>the</strong> current license number <strong>to</strong> <strong>the</strong> new entity under <strong>the</strong><br />
following conditions: “...when <strong>the</strong> parent corporation<br />
has merged or created a subsidiary, <strong>the</strong> subsidiary has<br />
merged in<strong>to</strong> <strong>the</strong> parent corporation, or <strong>the</strong> corporation<br />
has changed its filing status with <strong>the</strong> Secretary of State<br />
from a domestic corporation <strong>to</strong> a foreign corporation or<br />
from a foreign corporation <strong>to</strong> a domestic corporation.”<br />
For any of <strong>the</strong>se scenarios <strong>the</strong> formation of <strong>the</strong> new<br />
entity must be <strong>to</strong> continue <strong>the</strong> business of <strong>the</strong> formerly<br />
licensed corporation.<br />
Q: We’re considering offering a gift card <strong>to</strong> any homeowner<br />
who signs up for new flooring during <strong>the</strong> month of<br />
February (amount <strong>to</strong> be determined). Do you think this<br />
would be acceptable under CSLB rules?<br />
A: According <strong>to</strong> B&P Code 7157(b), A contrac<strong>to</strong>r or his<br />
or her agent or salesperson may give tangible items <strong>to</strong><br />
prospective cus<strong>to</strong>mers for advertising or sales promotion<br />
purposes if <strong>the</strong> gift is not conditioned upon obtaining<br />
a home improvement contract <strong>and</strong> does not exceed five<br />
dollars ($5).<br />
Unless <strong>the</strong> offer involves a very minimal gift card, you<br />
may instead want <strong>to</strong> offer a rebate or reduction in contract<br />
price because it is not considered “tangible”.<br />
This is based on an At<strong>to</strong>rney General opinion from 1985.<br />
In response <strong>to</strong> a question from an Assembly member, <strong>the</strong><br />
AG concluded, “as an inducement <strong>to</strong> contract, a home<br />
improvement contrac<strong>to</strong>r may offer a homeowner cash<br />
rebates or discounts on <strong>the</strong> purchase of products or services”.<br />
This “non-tangible” rebate could <strong>inc</strong>lude carpeting,<br />
painting, cabinetry, or any of several o<strong>the</strong>r ‘home<br />
improvement’ trades.<br />
Construction News: According <strong>to</strong> <strong>the</strong> Associated General<br />
Contrac<strong>to</strong>rs of California (AGC), Governor Jerry<br />
Brown’s recently released budget contained welcome<br />
news for transportation as it proposed a significant<br />
structural change <strong>to</strong> transportation agencies <strong>and</strong> continuation<br />
of Proposition 1B projects. For years <strong>the</strong> AGC has<br />
contended that spending on infrastructure has been inadequate<br />
<strong>to</strong> allow for growth <strong>and</strong> business in CA. However,<br />
according <strong>to</strong> <strong>the</strong> AGC’s chief Executive Officer Tom<br />
Holsman, “It appears <strong>the</strong> governor is moving in <strong>the</strong> right<br />
direction in putting California on a path <strong>to</strong> recovery.”<br />
