6/28 ESC Medical Systems Ltd. announced the voting results from the Combined Annual and<br />
Extraordinary General Meeting of shareholders held on June 23, 1999 in New York City.<br />
According to the final certified report of the Independent Inspectors of Election, the<br />
seven director nominees proposed by Messrs. Arie Genger and Barnard Gottstein were<br />
elected. Those nominees were Aharon Dovrat, Philip Friedman, Thomas Hardy, Darrell<br />
Rigel, MD, S.A. Spencer, Mark Tabak and Professor Zehev Tadmor. Furthermore, in<br />
accordance with the agreement between the company and Messrs. Genger and Gottstein,<br />
at the first meeting of the newly elected Board held today, the Board was reconstituted<br />
to add back as members Shimon Eckhouse and the four outside incumbent directors,<br />
Messrs. Halley Faust, Marshall Butler, Kenneth Rind and Dan Suesskind.<br />
Each of the seven Genger Gottstein nominees elected received votes from ESC<br />
shareholders representing 11,860,681 shares, while the incumbent slate of nominees<br />
received 8,566,545 shares. In addition, shareholders did not approve the motion to<br />
adjourn the meeting and the proposal on the original meeting agenda concerning<br />
indemnification of directors with respect to certain litigation. The proposal <strong>for</strong> the<br />
re-appointment of the auditor was approved. There were 20,889,941 shares voted at the<br />
meeting, representing approximately 76% of the shares outstanding.<br />
6/28 Cell Robotics International said that Chronimed, its exclusive worldwide distributor of<br />
CRII's Professional and Personal Lasette products, showed the Personal Lasette prototype<br />
at the <strong>American</strong> Diabetes Association (ADA) meeting held in San Diego. According to<br />
CRII president Dr. Ronald K. Lohrding, "I was delighted with the number of people who<br />
were eager to get Personal Lasettes <strong>for</strong> the children they were treating. The awareness<br />
of and enthusiasm <strong>for</strong> the Personal Lasette exceeded my expectations."<br />
The Lasette is the only home-use alternative to the stainless steel lancet that is cleared by<br />
the FDA <strong>for</strong> collecting blood samples to monitor glucose levels and is the first medical<br />
laser device ever cleared by the FDA <strong>for</strong> use in the home. Two weeks ago Cell Robotics<br />
delivered 27 prototypes of the Personal Lasette to Chronimed, which in turn, distributed<br />
the prototypes to diabetic individuals <strong>for</strong> use in their homes in order to collect customer<br />
input into the final design. The Personal Lasette will be featured by Chronimed at the<br />
<strong>American</strong> Association of Diabetes Educators (AADE) annual conference, Aug. 18-21,<br />
1999, in Orlando, Fla. If no supply problems develop, the Personal Lasette will be in<br />
production in September with enough inventories to start aggressive sales in October.<br />
