General Terms and Conditions of Sale<br />
The acceptance by LAMP S.A. of any or<strong>de</strong>r implies complete acceptation by the purchaser of these General<br />
Terms and Conditions of Sale.<br />
1. Prices<br />
<br />
quotation must be sought for out-of-catalogue and specially-executed articles.<br />
2. Deliveries<br />
The place of <strong>de</strong>livery of the material or<strong>de</strong>red and thus that of the associated sale, is always <strong>de</strong>emed to be<br />
<br />
unless the or<strong>de</strong>r is accepted on a carriage paid basis. The risks relating to product return will always be<br />
<br />
possibilities.<br />
3. Delivery period<br />

4. Transport<br />
Unless agreement is reached to the contrary, carriage shall always be borne by the purchaser.<br />
The recipient shall have a duty to examine goods upon receipt and place on record any problems on the<br />
goods <strong>de</strong>livery note or make a claim with 48 hours to their transport agency if sent on a carriage forward<br />
basis, or to <strong>Lamp</strong>, if ma<strong>de</strong> on a freight paid basis.<br />
5. Cancellation of or<strong>de</strong>rs<br />
All cancellations of or<strong>de</strong>rs must be ma<strong>de</strong> in writing. Should cancellation occur after <strong>de</strong>livery of an or<strong>de</strong>r, it will<br />
be treated as a return, the procedure for which is governed by Clause 10. Specially-executed or<strong>de</strong>rs cannot<br />
be cancelled when production thereof has already commenced.<br />
6. Samples<br />
All samples of materials must be requested by means of an or<strong>de</strong>r and shall be invoiced. When returned,<br />

8. Lighting projects<br />
We are happy to offer all our customers the free service provi<strong>de</strong>d by our Technical Projects Department,<br />
which can carry out a lighting calculation study.<br />
Together with the technical report, you will receive a lighting quotation and plan to assist with the implementation<br />
of the works.<br />
You can also request, free of charge, our lighting calculation program on CD.<br />
9. Returns<br />
LAMP S.A. will accept returns of all those goods marked in the price list with a symbol (a single blue dot).<br />
<br />
- Customers must have ma<strong>de</strong> the original or<strong>de</strong>r in writing (fax, e-mail, letter, etc.)<br />
- They must request a return merchandise authorisation (RMA) number from LAMP S.A.<br />
- The relevant goods must not be damaged in any way.<br />
<br />
- RMA numbers must be requested within 90 calendar days of the date of shipment of the relevant goods.<br />
- Returns must be ma<strong>de</strong> within 30 calendar days of the date of receipt of the RMA number (which LAMP<br />
S.A. shall notify in writing).<br />
<br />
-LAMP S.A. shall be entitled not to accept any return, whatever the reason therefor, in any of the following<br />
cases:<br />

- All duly-authorised returns shall be sent to LAMP S.A. carriage paid.<br />
<br />
LAMP S.A. shall issue credit notes for all returns which meet each and every one of the above requirements<br />
in respect of procedures, <strong>de</strong>adlines and conditions for 85% of the originally-invoiced sum. The remaining 15%<br />
shall be set asi<strong>de</strong> to cover the costs in respect of the return (handling, packaging, quality control...<br />
Credit notes arising due to causes other than returns (differences in prices, carriage, errors, etc.) shall also be<br />
subject to the above procedural and <strong>de</strong>adline requirements, that is, the original or<strong>de</strong>r must be ma<strong>de</strong> in writing<br />
and the related claim must be ma<strong>de</strong> within 90 calendar days of the date of issuing of the invoice.<br />
A further prerequisite is that customer is fully up to date with all its payment duties.<br />
10. Quality<br />
<br />

LAMP. S.A. is continually working to improve and update its products. It therefore reserves the right to change,<br />
withdraw or expand its products without prior notice and without this giving rise to the right to make any form of<br />
claim or complaint.<br />
11. Warranty<br />
All LAMP S.A. products have a guarantee period against manufacturing <strong>de</strong>fects lasting for 2 years from the<br />
moment of purchase. During this period any of those products shall be repared or replaced free of charge.<br />
For products that use LED lamps, the warranty is 5 years LAMP does not guarantee the commerciality or<br />
<br />
and it cannot be required to take on any other type of responsibility un<strong>de</strong>r the guarantee or any other explicit<br />
or inexplicit concept unless it is established here. The products will loose their guarantee if they have been<br />
manipulated by technicians who are not authorised by LAMP.<br />
12. Reservation of title<br />
LAMP S.A. reserves title over all the goods it supplies until the purchaser has paid for them in full.<br />
13. Jurisdiction<br />
In the case of any disagreement or dispute over these General Terms and Conditions of sale, both parties,<br />
expressly waiving any other jurisdiction, submit themselves to the authority of the Courts and Tribunals of the<br />
city of Terrassa (Barcelona).<br />

erreurs, etc.) seront eux aussi soumis à <strong>de</strong>s conditions formelles et à <strong>de</strong>s conditions <strong>de</strong> délais. Ainsi, la comman<strong>de</strong><br />
<strong>de</strong> départ <strong>de</strong>vra avoir été formulée par écrit et la réclamation <strong>de</strong>vra être effectuée sous 90 jours civils<br />

Pour être remboursé, le client <strong>de</strong>vra impérativement avoir réglé tous ses paiements.<br />
10. Qualité<br />
Tous les produits fournis par LAMP S.A.<br />
été soumis à <strong>de</strong> rigoureux contrôles <strong>de</strong> qualité qui garantissent leur parfait fonctionnement.<br />

11. Garantie<br />
Tous les produits <strong>de</strong> LAMP S.A.<br />
à compter du moment <strong>de</strong> leur achat. Durant cette pério<strong>de</strong>, ils seront reparés ou remplacés sans aucun frais.<br />
Pour les produits qui utilisent <strong>de</strong>s lampes LED, la garantie est étendue à 5 ans. LAMP ne saurait garantir le ca-<br />

au prix du produit défectueux et aucune autre responsabilité ne pourra lui être exigée au titre <strong>de</strong> la garantie<br />
<br />
manipulation par <strong>de</strong>s techniciens non autorisés par LAMP.<br />
12. Réserve <strong>de</strong> propriété<br />
<br />
13. Juridiction<br />
Pour tout différend ou litige relatif aux présentes Conditions Générales <strong>de</strong> Vente, les parties seront soumises<br />
à la juridiction du Tribunal <strong>de</strong> Terrassa (province <strong>de</strong> Barcelone, Espagne) et renonceront expressément aux<br />
autres tribunaux dans le ressort <strong>de</strong>squels ils pourraient se trouver.<br />
NOTE: Ce tarif annule les précé<strong>de</strong>nts. Prix en vigueur au premier Février <strong>2013</strong>.<br />
