Considering the existing disputes between X and Y (“the Parties”) which they were
unable to settle in direct discussions between them;

Considering the joint desire of the Parties to preserve their good relations and to settle
all their disputes amicably;
Considering that the Parties agree to submit their disputes to ADR proceedings by a
Mediator, including a non-binding proposal by the Mediator;
Now, therefore, the Parties agree

CLAUSE 1: Agreement to ICC ADR Proceedings
The Parties agree to submit all their disputes to a sole Mediator. The mediation shall be
conducted pursuant to the International Chamber of Commerce (ICC) ADR Rules of 1 July
2001, except where these rules conflict with any of the terms within this Memorandum of
Understanding.
CLAUSE 2: The Language and the Place of the Proceedings
The language of the ADR proceedings shall be English.
The place of the ADR proceedings shall be Geneva without prejudice for the Parties and the
Mediator to meet in any other convenient location.
CLAUSE 3: The Appointment of the Mediator
