Consi<strong>de</strong>ring that the Parties agree to submit their disputes to ADR proceedings by a<br />

Mediator, including a non-binding proposal by the Mediator;<br />

Now, therefore, the Parties agree<br />

CLAUSE 1: Agreement to ICC ADR Proceedings<br />

The Parties agree to submit all their disputes to a so<strong>le</strong> Mediator. The mediation shall be<br />

conducted pursuant to the International Chamber of Commerce (ICC) ADR Ru<strong>le</strong>s of 1 July<br />

2001, except where these ru<strong>le</strong>s conflict with any of the terms within this Memorandum of<br />

Un<strong>de</strong>rstanding.<br />

CLAUSE 2: The Language and the Place of the Proceedings<br />

The language of the ADR proceedings shall be English.<br />

The place of the ADR proceedings shall be Geneva without prejudice for the Parties and the<br />

Mediator to meet in any other convenient location.<br />

CLAUSE 3: The Appointment of the Mediator<br />

fournir <strong>de</strong>s indications quant aux éléments pouvant être intégrés <strong>dans</strong> <strong>le</strong>s accords <strong>de</strong> ce type.<br />
