Malta 1. Business Enterprise 1.1 Types The business enterprise you can start in Malta may be one of the following types: • Sole Trader • Partnership: en nom collectif / en com mandite or limited partnership • Private Limited Liability Company • Association en participation • Cooperative Further information may be obtained from: • The Malta Enterprise website which may be assessed on: http://www.maltaenterprise.com/ (c) Oliver Pace 1.2 Registration 1.2.1 Sole traders: Sole traders need to register with the Department of Inland Revenue as self-employed. Sole traders can start trading as soon as they have the required permits and registrations. They are solely responsible for controlling the business. If the business fails, they are also fully responsible for all the business debts. Sole traders need a trading licence to start trading. There are 6 categories of licences to choose from, each having separate types of activities that can be undertaken as a business each having a different code: I: Processing, Manufacturing and Sale of Food Products and Beverages II : Manufacturing Activities III: Wholesale and Retail Trade IV: Construction Services V: Professional and Business Services VI: Social and Personal Services 39 Administration
The Trade Services Directorate of the Department of Commerce is responsible for the issue of such licences. Its website which may be assessed on: http://www.gov.mt/frame.asp?l=2&url=http://www.mcmp.gov.mt/commerce_trade06.asp 1.2.2 Partnerships Partners in a Partnership need to register with the Department of Inland Revenue as self-employed. They share responsibility for controlling the business. If the business fails, then the partners (not being limited partners) are fully responsible for all the business debts. The partners must register their Deed of Partnership at the Registry of Companies whose website may be assessed on: http://registry.mfsa.com.mt. A trading licence has also to be obtained. (See: Sole Traders for website of Trade Services Directorate). 1.2.3 Companies A Company is a legal entity in its own right. Companies need to follow a predefined process of registration and set-up. A company must have a Memorandum of Association and Articles of Association which are to be registered at the Registry of Companies (See Partnerships for website). The business is controlled by the Board of Directors who are held personally responsible for its management. The shareholders` personal assets are protected if the business fails and can only lose what they have put in the business. A trading licence has also to be obtained. (See: Sole Traders for website of Trade Services Directorate). 1.2.4 Cooperatives A Co-operative is similar to a Company, but its employees, or a large percentage of them, own the Company. It is a legal entity in its own right. It cannot just start operating but needs to follow a predefined process of registration and set-up with the Co-operative Board whose website may be assessed on: http://www.coopsbord.org.
