The majority of the CAC Board should be <strong>in</strong>dependent of both the management team<br />

<strong>and</strong> any commercial deal<strong>in</strong>gs with the CAC.<br />

The Board Chairperson should be <strong>in</strong>dependent of management.<br />

Where a Board member f<strong>in</strong>ds that there is a personal conflict, that member should<br />

formally declare the conflict <strong>and</strong> absta<strong>in</strong> from vot<strong>in</strong>g on the issue giv<strong>in</strong>g rise to the<br />

conflict. The Board charter should have clear procedures for deal<strong>in</strong>g with these<br />

circumstances.<br />

Directors should be actually <strong>in</strong>volved <strong>in</strong> the development of the agenda for Board<br />

meet<strong>in</strong>gs, <strong>and</strong> not just management <strong>and</strong> the CEO.<br />

The <strong>in</strong>dependent members of the Board should meet separately of the CEO <strong>and</strong><br />

executive directors periodically.<br />

Directors must devote the time <strong>and</strong> attention necessary to fulfil their obligations. As a<br />

m<strong>in</strong>imum, regular director attendance at Board meet<strong>in</strong>gs is important.<br />

Board meet<strong>in</strong>gs are an essential element for good corporate governance <strong>and</strong> provide the<br />

forum for Board decision-mak<strong>in</strong>g. Directors can only properly discharge their<br />

responsibilities if they meet regularly <strong>and</strong> collectively as a Board.<br />

The effectiveness of Board meet<strong>in</strong>gs is dependent on carefully planned agendas <strong>and</strong><br />

provid<strong>in</strong>g board papers <strong>and</strong> materials to directors sufficiently prior to Board meet<strong>in</strong>gs. It<br />

is also important that m<strong>in</strong>utes accurately record outcomes from meet<strong>in</strong>gs.<br />

Better Practice<br />

The Board should meet regularly, say at least every two months.<br />

Directors should be given adequate notice of meet<strong>in</strong>gs.<br />

Agenda items, <strong>in</strong>clud<strong>in</strong>g availability of discussion material, should be provided prior to<br />

Board meet<strong>in</strong>gs to enable <strong>in</strong>formed discussion by directors.<br />

M<strong>in</strong>utes of meet<strong>in</strong>gs should accurately record decisions taken by the Board.<br />
