makes its debut.<br />
Dietrich-Kurt Frowein, Chairman of the Supervisory<br />
Board of <strong>Software</strong> <strong>AG</strong>, resigned his position in accordance<br />
with prior arrangements, effective September<br />
30, <strong>2002</strong>, upon reaching the age of 65. He<br />
retained his position as an ordinary member of the<br />
Supervisory Board until November 30, <strong>2002</strong>.<br />
The Supervisory Board elected the previous<br />
Deputy Chairman, Frank F. Beelitz, as its new Chairman,<br />
effective October 1, <strong>2002</strong>. The position of<br />
Deputy Chairman was held by Karl Heinz Achinger<br />
from October 1 to November 30, <strong>2002</strong>. Upon Mr.<br />
Achinger’s appointment to the Executive Board, the<br />
Supervisory Board appointed Dr. Peter Lex as its<br />
Deputy Chairman for such period as Mr. Achinger’s<br />
membership of the Supervisory Board remains suspended.<br />
This decision was made during the meeting<br />
held on December 18, <strong>2002</strong>.<br />
Mr. Justus Mische was appointed as Mr. Frowein’s<br />
successor, effective December 9, <strong>2002</strong>, following a<br />
resolution of the Darmstadt Municipal Court.<br />
At its meeting on December 18, <strong>2002</strong>, the Supervisory<br />
Board gave its approval, following an indepth<br />
discussion, of the Corporate Governance<br />
Guidelines, and made a Declaration of Compliance<br />
in accordance with the German Corporate Governance<br />
Code.<br />
In accordance with the resolution of the Stockholders’<br />
Meeting, the Supervisory Board appointed<br />
BDO Deutsche Warentreuhand Aktiengesellschaft,<br />
Frankfurt am Main, Germany, to audit the year-end<br />
financial statements and consolidated financial statements<br />
for <strong>2002</strong>.<br />

the consolidated financial statements for the<br />
REPORT OF THE SUPERVISORY BOARD<br />
<strong>Software</strong> <strong>AG</strong> Group, the management report and<br />
the accounts, were audited by BDO and certified<br />
without qualification.<br />
The audit report was submitted to the Supervisory<br />
Board, and the auditors explained the report’s<br />
findings in person to all Supervisory Board and Executive<br />
Board members. The Audit Committee and<br />
the Supervisory Board examined the report in detail<br />
at its meeting on February 28, 2003, and has<br />
declared itself in agreement with the auditor’s findings.<br />
The annual account and the consolidated financial<br />
statements are hereby approved.<br />
The Supervisory Board wishes to thank the Executive<br />
Board and all <strong>Software</strong> <strong>AG</strong> employees for<br />
their dedication and commitment throughout fiscal<br />
<strong>2002</strong>.<br />
