FMRCo, including the Fund. FDC is a registered broker-dealer under the Exchange Act.
an alternative trading system that allows orders submitted by its subscribers to be crossed
each trade executed in CrossStream. Using CrossStream, NFS crosses client accounts, and
it charges a commission on its trades to both of its brokerage customers. CrossStream may
be used to execute transactions for our investment companies and other clients. NFS is a
registered broker-dealer under the Exchange Act, and NFS is also registered as an investment
compensate NFS for these services to the Service.
In all cases, transactions executed by affiliated brokers on behalf of investment company
clients are effected in accordance with Rule 17e-1 under the 1940 Act, and procedures
approved by the Trustees of Strategic Advisers clients in the Fidelity group of funds. The
Board of Trustees of each fund in the Fidelity group of funds has approved FCM effecting
