DIRECTORS’ SERVICE CONTRACTS<br />
As at 31 December <strong>2006</strong>, none of the directors had any existing or proposed service contract with the Company or any of<br />
its subsidiaries which will not expire or is not determinable by the Company within one year without payment of<br />
compensation, other than statutory compensation.<br />
DIRECTORS’ REMUNERATION AND FIVE HIGHEST PAID EMPLOYEES<br />
Particulars of the directors’ remuneration and the five highest paid employees during the financial year are set out in note<br />
11 to the financial statements.<br />
EMOLUMENT POLICY AND LONG-TERM INCENTIVE SCHEMES<br />
Details of the Group’s emolument policy and long-term incentive schemes, as well as the basis for determining the<br />
emolument payable to the directors are set out in “Emolument Policy and Long-Term Incentive Plans” of the Corporate<br />
Government Report.<br />
PENSION SCHEME<br />
Particulars of the Group’s pension schemes are set out in note 5 to the financial statements.<br />
DIRECTORS’ INTERESTS IN CONTRACTS<br />
Save as disclosed in note 38 to the financial statements under the heading “Related Parties Transactions”, no director had a<br />
material interest, either directly or indirectly, in any contract of significance to the business of the Group to which the<br />
Company, its holding company, or any of its subsidiaries or fellow subsidiaries was a party during the year.<br />
MANAGEMENT CONTRACTS<br />
Save as disclosed in note 38 to the financial statements under the heading “Related Parties Transactions”, no other<br />
contracts concerning the management and administration of the whole or any substantial part of the business of the Group<br />
were entered into or in existence during the year.<br />
DIRECTORS’ AND CHIEF EXECUTIVE’S INTERESTS AND SHORT POSITIONS IN SHARES,<br />
UNDERLYING SHARES AND DEBENTURES<br />
At 31 December <strong>2006</strong>, the interests and short positions of the directors and chief executive in the share, underlying shares<br />
and debentures of the Company or its associated corporations (within the meaning of Part XV of the Securities and<br />
Futures Ordinance (the “SFO”)), as recorded in the register required to be kept by the Company pursuant to Section 352<br />
of the SFO, or as otherwise notified to the Company and The Stock Exchange of Hong Kong <strong>Limited</strong> (the “Stock<br />
Exchange”) pursuant to the Model Code for Securities Transactions by Directors of Listed Issuers (the “Model Code”) set<br />
out in Appendix 10 to the Rules Governing the Listing of Securities on the Stock Exchange (the “Listing Rules”), were as<br />
