<strong>Board</strong> members of the district’s Performing Arts Center which is currently under construction.<br />

Rick Guaderrama, Director of Maintenance & Facilities, provided a progress report on the El<br />

Camino Real High School modernization project.<br />

Candy Plahy, Assistant Superintendent of Educational Services, presented a brief overview of<br />

the Summer Professional Development training provided.<br />

BOARD REPORT<br />

1. Mr. Eric Padget looks forward to the new school year under the leadership of Mr. Doug Domene<br />

and the new administrative team members. He is also pleased that he, Carol Downey, and Judi<br />

Carmona are unopposed in the upcoming election and can maintain their focus on their role as<br />

<strong>Board</strong> members rather than campaigning. He very much appreciates the community’s support. He<br />

added that he enjoyed the recent Management Symposium; it was a very positive experience.<br />

2. Mrs. Judi Carmona is happy to be able to serve the incredible PYLUSD students, teachers, and<br />

staff for the next four years—it is a dream come true. On July 26, <strong>2012</strong>, Mrs. Carmona attended<br />

the Fire, Police, and Citizen of the Year Breakfast for the city of <strong>Placentia</strong>. She also attended a<br />

special bipartisan session hosted by Assemblymembers Chris Norby and Jose Solorio on bilingual<br />

education and came away with affirmation that the district is headed in the right direction. Mrs.<br />

Carmona extended kudos to Mrs. Candy Plahy, Assistant Superintendent of Educational Services,<br />

Mrs. Dorie Staack, Director of Elementary Education, and staff for their work in this area.<br />

3. Mrs. Carrie Buck shared briefly regarding middle school registration for her children and the<br />

excitement of getting ready for a new school year. She is looking forward to a great school year.<br />

4. Mrs. Carol Downey is gratified to be able to continue to serve in this district and shared her surprise<br />

upon hearing from Superintendent Domene that she has 48 years of service to the PYLUSD.<br />

5. Mrs. Karin Freeman provided a brief overview of a recent North Orange County Regional<br />

Occupation Program board meeting and their discussion regarding current finances and for the<br />

years ahead. She also attended a back-to-school inservice for the NOCROP. Mrs. Freeman<br />

indicated she was pleased to have attended the Management Symposium and have the opportunity<br />

to meet new staff members and expressed appreciation to everyone who contributed to such a<br />

successful event.

RESOLUTION NO. 5<br />

A RESOLUTION OF THE BOARD OF EDUCATION<br />

OF THE PLACENTIA-YORBA LINDA UNIFIED SCHOOL DISTRICT<br />

OF ORANGE COUNTY, CALIFORNIA<br />

WHEREAS, pursuant to Education Code Section 35120 (c), a school district <strong>Board</strong> of Education<br />

member may be paid for any meeting when absent if the <strong>Board</strong> by resolution duly adopted and included<br />

in its minutes finds that at the time of the meeting he or she is performing services outside the meeting<br />

for the school district or districts, he or she was ill or on jury duty, or the absence was due to a hardship<br />

or circumstance deemed acceptable by the <strong>Board</strong>; and<br />

WHEREAS, Karin Freeman, a member of the <strong>Board</strong> of Education of the <strong>Placentia</strong>-<strong>Yorba</strong> <strong>Linda</strong><br />

<strong>Unified</strong> School District, was absent from the <strong>Board</strong> of Education meeting on <strong>August</strong> 6, <strong>2012</strong> due to a<br />

circumstance deemed acceptable by the <strong>Board</strong>.<br />

NOW, THEREFORE, BE IT RESOLVED that Karin Freeman, a member of the <strong>Board</strong> of<br />

Education of the <strong>Placentia</strong>-<strong>Yorba</strong> <strong>Linda</strong> <strong>Unified</strong> School District, shall be paid her normal salary for the<br />

RESOLUTION OF THE BOARD OF TRUSTEES OF<br />

PLACENTIA-YORBA LINDA UNIFIED SCHOOL DISTRICT<br />

ORANGE COUNTY, CALIFORNIA<br />

Resolution No. 4<br />

AUGUST <strong>21</strong>, <strong>2012</strong><br />

WHEREAS, the <strong>Placentia</strong>-<strong>Yorba</strong> <strong>Linda</strong> <strong>Unified</strong> School District (the “District”) desires to request<br />

the County Treasurer to make temporary transfers (the “Transfer”) of monies to meet its current<br />

maintenance expenses for fiscal years 2011-<strong>2012</strong> and <strong>2012</strong>-2013; and<br />

WHEREAS, California Constitution Article XVI, Section 6, provides that the County Treasurer<br />

shall have the power and the duty to make temporary transfers of monies, as further specified therein,<br />

upon resolution adopted by the <strong>Board</strong> of Supervisors authorizing such temporary transfer; and<br />

WHEREAS, pursuant to California Constitution Article XVI, Section 6 and Education Code<br />

Section 42620, the total amount that may be temporarily transferred to the District may not exceed 85%<br />

of the anticipated revenues which will accrue to the District during the fiscal year (“FY”); and<br />

WHEREAS, the District has not issued, nor will issue, a TRAN or other borrowing or any kind or<br />

nature for the purpose of funding the District’s short term cash flow, which is outstanding in whole or in<br />

part, while a Transfer is outstanding; and<br />

WHEREAS, any Transfer to the District will be made from and limited to the Educational Money<br />

Market Fund.<br />

NOW, THEREFORE, BE IT RESOLVED that this <strong>Board</strong> does hereby:<br />

1. Find and determine that the Transfers are in the public interest and serve a<br />

valid public purpose.<br />

2. The District <strong>Board</strong> of Trustees hereby requests transfers of monies from the<br />

Educational Money Market Fund to the District to cover the District’s current maintenance expenses for<br />

FY 2011-<strong>2012</strong> and FY <strong>2012</strong>-2013. The amount of any Transfer cannot exceed 85% of the anticipated<br />

revenues which will accrue to the District during the fiscal year. This amount shall be certified by the<br />

District and the actual amount of any Transfer(s) will be approved, if at all, in the discretion of the<br />

County Treasurer, exercising her trust and fiduciary duties with respect to protecting all of the<br />

Educational Investment Pool participants from any principal loss and ensuring adequate liquidity to<br />

meet operating cash needs, that such monies are available for such Transfers. The District<br />

Superintendent and/or Assistant Superintendent of Business is hereby authorized and directed for and

on behalf of the District to formally request a Transfer in an amount and upon a date designated by the<br />

District Superintendent and/or Assistant Superintendent of Business, not to exceed the limitations to<br />

such Transfer as provided herein.<br />

3. For FY 2011-<strong>2012</strong>, the District hereby requests that the Transfer be made by<br />

the Treasurer in one or more installments and not prior to July 1, 2011, nor later than April 30, <strong>2012</strong>.<br />

The Transfer shall be repaid no later than October 31, <strong>2012</strong>.<br />

4. For FY <strong>2012</strong>-2013, the District hereby requests that the Transfer be made by the Treasurer<br />

in one or more installments and not prior to July 1, <strong>2012</strong>, nor later than April 30, 2013. The Transfer<br />

shall be repaid no later than October 31, 2013.<br />

5. It is hereby requested that the Treasurer deposit Transfer installments to the District in the<br />

General Fund. All Transfers installments to the District will be made from and limited to the Educational<br />

Money Market Fund.<br />

6. The monies transferred to the District shall be repaid to the Educational Investment Pool<br />

from the first revenues accruing to the District before any other obligation of the District is met from<br />

such revenue. Compound interest on any Transfer installment will accrue and be payable by the<br />

District at a rate equal to the gross rate the Educational Investment Pool is earning for the same period<br />

from the date of the Transfer plus five (5) basis points until the entire Transfer and applicable interest is<br />

repaid.<br />

7. The monies transferred to the District will be repaid to the Educational Money Market Fund<br />

from the first revenues accruing to the District before any other obligation of the District is met from<br />

such revenue. Full repayment of any Transfer shall be made no later than October 31 following each<br />

fiscal year. The District understands and agrees that repayment of any and all Transfers is an<br />

obligation imposed by law and the obligation of the District to make payments with respect to such<br />

Transfer(s) is absolute and unconditional, payable from lawfully available funds of the District. In<br />

furtherance of the District’s repayment obligations, District hereby grants the County a first lien and<br />

pledge of all District revenues accruing to the District for the purpose of repayment of the Transfer(s).<br />

8. The District <strong>Board</strong> of Trustees hereby determines that it can meet its financial obligations as<br />

set forth in the Temporary Transfer Agreement presented to this <strong>Board</strong>. The Temporary Transfer<br />

Agreement is hereby approved and the District Superintendent and/or Assistant Superintendent of

Business is hereby authorized and directed to execute the Temporary Transfer Agreement on behalf of<br />

the District.<br />

9. The Clerk/Secretary of the <strong>Board</strong> of Trustees is hereby directed to submit a certified copy of<br />

this Resolution to the Orange County Treasurer-Tax Collector.<br />

10. This resolution shall take effect immediately.<br />
