NOTICE OF TRANSACTIONS<br />
Notice is hereby given that The Standard Life Assurance<br />
Company (“Standard Life”) and The Standard Life Assurance<br />
Company <strong>of</strong> Canada (“Standard Life Canada”) have entered into<br />
a Domestication Transfer and Assumption Agreement pursuant<br />
to which substantially all <strong>of</strong> the assets <strong>of</strong> the Canadian branch <strong>of</strong><br />
Standard Life (the “Branch”) have been transferred to Standard<br />
Life Canada and Standard Life Canada has assumed<br />
substantially all <strong>of</strong> the liabilities <strong>of</strong> the Branch.<br />
Notice is also hereby given that Standard Life and Standard<br />
Life Canada have entered into a Stacking Policies Transfer and<br />
Assumption Agreement pursuant to which certain assets <strong>of</strong><br />
Standard Life Canada have been transferred to the Branch and<br />
the Branch has assumed the liability <strong>of</strong> Standard Life Canada<br />
under individual insurance policies and group insurance po1icies<br />
issued by Standard Life Canada or issued jointly by Standard<br />
Life Canada and the Branch, other than structured settlement<br />
assignment and assumption agreements entered into by Standard<br />
Life Canada and investments in Standard Life Canada pooled<br />
funds.<br />
