SECOND AMENDMENT TO CONTRACT NO. 11-01<br />
FOR SECURITY SURVEILLANCE SYSTEMS<br />
THIS SECOND AMENDMENT TO CONTRACT NO. 11-01 for Security Surveillance Systems<br />
is made effective January 7, 2013 between the <strong>SANTA</strong> <strong>CRUZ</strong> <strong>METROPOLITAN</strong> <strong>TRANSIT</strong><br />
<strong>DISTRICT</strong>, a political subdivision of the State of California (“Santa Cruz METRO”), and OJO<br />
TECHNOLOGY (“Contractor”).<br />
I. RECITALS<br />
1.1 Santa Cruz METRO and Contractor entered into a Contract for a Closed Circuit<br />
Television Surveillance System at the Watsonville Transit Center (“Contract”) on<br />
January 7, 2011.<br />
1.2 Effective January 7, 2012, the Contract was amended to include a comprehensive<br />
security surveillance system for all of Santa Cruz METRO facilities, including but not<br />
exclusive to the Watsonville Transit Center, as per the original Request for Proposals<br />
dated August 3, 2010 and Contractor’s proposal with Best and Final Offer dated<br />
December 22, 2010.<br />
1.3 Santa Cruz METRO and Contractor desire to amend the Contract as provided herein.<br />
Therefore, Santa Cruz METRO and Contractor amend the Contract as follows:<br />
II.<br />
TERM<br />
2.1 Article 4.01 is replaced in its entirety by the following:<br />
The term of this Contract shall be from January 7, 2011 to January 6, 2014.<br />
III. TERMS OF PAYMENT<br />
3.1 Article 5.01 is replaced in its entirety by the following:<br />
Santa Cruz METRO shall compensate Contractor in an amount not to exceed the<br />
amounts/rates agreed upon by Santa Cruz METRO. Santa Cruz METRO shall<br />
reasonably determine whether work has been successfully performed for purposes<br />
of payment. Compensation shall be made within thirty (30) days of Santa Cruz<br />
METRO’s written approval of Contractor’s written invoice for said work.<br />
Santa Cruz METRO and Contractor agree that the total amount payable pursuant to<br />
this Second Amendment shall not exceed $810,198.<br />
IV. REMAINING TERMS AND CONDITIONS<br />
4.1 All other provisions of the Contract that are not affected by this amendment shall<br />
remain unchanged and in full force and effect.<br />
