Session 3A: Basic Valuation
All ESOP Champions did not become victorious overnight. Winning takes a keen
understanding of the “game” and a coordinated effort of many! In an ESOP company, it is
up to the employee-owners to push the share value up and keep it up. This heavy lifting
takes knowledge. Explore the most significant factors that affect value and learn how
employee-owners can influence company value. In this session, we’ll remove some of the
mystery of the valuation game as our panelists take you through basic training and gear
you up for victory at the buzzer.
Sharyl David, Moss Adams LLP
Mike Davidson, Gardeners’ Guild, Inc.
Session 3B: ESOP Accounting and Annual Audits
ESOPs with 100 or more participants are required to have their financial statements
audited by an independent CPA. Our session will focus on preparing for and completing
the audit, including the types of information required by the CPA, form of representations
letter, coordination with legal counsel and the top 5 issues that generally arise in the
course of the audit. We will also provide an update on the Financial Accounting Standards
Board decision to defer implementation of additional valuation disclosure requirements
in the ownership culture. Close the gap!
experience and engage the audience in a lively discussion of this interesting area.
Richard Joseph, Alerus Financial (moderator)
Becoming a champion takes both physical ability and technical know-how! During this
session on Basic ESOP Administration, you will gain (or refresh) your basic technical
course of the year to complete the ESOP administration process. You’ll gain valuable
knowledge about what the process looks like for our professionals and what clients can
Administrator and Company Plan Sponsor on how they train for victory!
Karen Ellis, Superior Farms
Debra Stoll, Principal Financial Group
Section 4B: Advanced Valuation Issues
This session will focus on current valuation controversies and complex valuation issues
facing on-going ESOPs, such as the impact of multi-stage transactions, changes in the
repurchase obligation, and synthetic equity.
Section 4D: Fiduciary Responsibility: Benefit Requirements and ERISA guarantees
rights of ESOP participants. To do so, perfect your understanding of participant rights
and outline a game plan for participant distributions, with an understanding of what you
are required to provide, and where you have flexibility.
9:00 a.m. – 10:15 a.m. Roundtable Discussions
10:30 a.m. –11:45 a.m. Concurrent Sessions
Section 5A: Benefit Distribution Basics
When we watch those huge celebrations at the end of a big victory, we imagine that this
must be what it feels like to get that distribution check from the ESOP! In fact, it can be
argued that the benefit distribution is the reason ESOPs exist. However, there is also an
extremely complex set of rules to follow if those distributions are to be done correctly
and create the best outcome for both the participant and the company. This session is
structured to help provide you with the basics of the distribution “rule book” from the
legal requirements to the “best practice” on processing these important transactions.
Randy Shrake, Blue Ridge ESOP Associates
Barbara Hileman, A-Z Bus Sales, Inc.
Section 5B: Dealing with IRS Audits and DOL Investigations
The U.S. Department of Labor (“DOL”) and the Internal Revenue Service (“IRS”) are
charged with enforcements of laws and regulations governing ESOPs, just like the
“Commissioners” who regulate the sports leagues. This session will provide guidance
on what to expect and how to respond to DOL and IRS investigations, audits and
examinations of ESOPs and proactive measures, when they call you in for “review.”
Rachel Markun, Jackson Lewis LLP
Nicholas L. Saakvitne, Saakvitne Law Corporation
Section 5C: ESOP Champions: Hall of Fun & Games
How can you make your ESOP into fun and games? Come and learn how this new
“sport” is being discovered in ESOP organizations. They will show you samples of
their version of ESOP games and how to establish them and set your own rules. Come
play with the Champions!
Adam Hochfield, Central Casting (Entertainment Partners)
Susan Hoop, Recology
Nancy Latu, Chatsworth Products, Inc.
Session 5D: DOL Priorities for ESOP Fiduciaries
The big question on everyone’s mind is “what the heck is the DOL thinking?” While
we aren’t mind readers, this session will cover the topics, issues and hot buttons that
are currently on the DOL’s radar.
Dan Reser, Fiduciary Services, Inc.
An Employee Owned Company
12:00 p.m. – 1:45 p.m. Buffet Luncheon
Our teambuilding event concludes during today’s luncheon.
2:00 p.m. – 3:00 p.m. Concurrent Sessions
Section 6A: Basics of Repurchase Obligations
On the ESOP field of play, few topics are more discussed than repurchase obligations.
Although often painted as a potential pitfall, we mustn’t forget that the true Champion
in ESOPs is the repurchase obligation and why the ESOP exists. It is the tangible
evidence that the ESOP is succeeding in spreading wealth to places where it would
not automatically exist on its own. For true success we must learn how to balance the
competing interests between the cash needs of the company, the requirement to fund
benefits to terminated employees as well as the need to provide value and benefits to
current employees. This session will help you understand the basics of planning and
managing this critical component.
Paul Dougherty, Recology
Kim Blaugher, Principal Financial Group
Section 6B: Case Studies of ESOP Administration Issues
Even when you know the rules of the game, sometimes a play in the field will baffle even
the experts. Our session will walk you through real life sticky ESOP administration
issues and the analysis used to resolve the issues.
Kristina Cox, Recology
Lynn Dubois, ESOP Law Group, LLP
Section 6C: ESOP Champions: Hall of Technology
Learn how these ESOP champions use intranets, websites, social media, portals, videos
and other tools to communicate, educate, and celebrate the benefits of employee
ownership. Come get your tech on!
Lori Rodriguez, Hot Dog on a Stick
Justin Standard, Entertainment Partners
Lisa Betts, The ESOP Association
Section 6D: Fiduciary Case Studies:
Important Cases and Guidance: Of all the champions of ESOPs, none are more important
than the intrepid souls who voluntarily take on the risk of serving as the ESOP Trustee.
Some do it because it is their job and some do it just for the good of their ESOPs, but in
all cases these people are the principal protectors of ESOP benefits. This session is a
chance for the attendees to witness a conversation among and interact with a panel of
fiduciary champions representing both professional and non-professional practitioners.
The panel will engage in a wide ranging conversation about issues and outcomes from
their individual perspectives and invite the audience to share their experiences.
Neil M. Brozen, ESOP Services
Merri E. Ash, First Bankers Trust Services, Inc.
3:15 p.m. - 4:00 p.m. Post Game Wrap-Up
An open forum to discuss the nuts and bolts of ESOP: Communications, Fiduciary
and other areas. A panel of our leading experts will be on hand to share their
wisdom on almost any topic you wish to discuss – even SF Giants trivia questions
will be answered
4:00 p.m. Chapter Conference Concludes
The 2013 Duffers to Dazzlers Golf Tournament to benefit the
Employee Ownership Foundation is on again! The tournament will
be played at the beautiful location of the Presidio Golf Course, just
contribution to the Employee Ownership Foundation and a chance
to win some excellent prizes.
As always, the Tournament will be conducted according to our time
honored rules:
1) We may not play well, but we play fast.
2) Golf is a game; we play it to have fun; we may take it seriously
sometimes but never ourselves.
3) When we get together, no matter what we are doing, the real
winner is employee ownership, and finally,
4) For the right price we could be influenced not to wear Nike logos
when we play (just in case Phil Knight is listening and would
like to avoid that embarrassment).
The prestigious Presidio golf course opened for public play in 1995 and
has quickly gained a reputation as one of the nation’s top public courses.
Located just minutes from downtown San Francisco, this 18-hole
