A GATHERING OF CHAMPIONS<br />
“A <strong>Gathering</strong> <strong>of</strong> <strong>Champions</strong>” is set for October 2-4, 2013, at the Hotel Nikko in the<br />
championship city <strong>of</strong> San Francisco. <strong>The</strong> location provides the perfect setting to celebrate<br />
the <strong>Champions</strong> <strong>of</strong> <strong>ESOP</strong> and the Chapter’s 25th Annual Conference.<br />
This conference includes educational sessions ranging from <strong>ESOP</strong> basics to advanced issues<br />
and also includes several sessions for internal fiduciaries. We also have a full track developed<br />
for the most important part <strong>of</strong> an <strong>ESOP</strong> company: Its employee ownership culture.<br />
Join us to network with fellow <strong>ESOP</strong> companies and to learn how we can keep our <strong>ESOP</strong><br />
companies and the employee ownership movement in the winner’s circle.<br />

Rookies (A Sessions):<br />
New to <strong>ESOP</strong>s<br />
If you are new to the wonderful world <strong>of</strong> <strong>ESOP</strong>S, this track is right for<br />
you. <strong>The</strong> sessions in this track will help you to gain (or refresh) a basic<br />
technical understanding <strong>of</strong> how <strong>ESOP</strong>S work.<br />
Veterans (B Sessions):<br />
Experience with <strong>ESOP</strong>s<br />
Once you complete basic training, it’s time to move up. In this track, you<br />
will expand your technical <strong>ESOP</strong> skills with such sessions as advanced<br />
<strong>ESOP</strong> valuation issues and dealing with the Internal Revenue Service<br />
(IRS) and Department <strong>of</strong> Labor (DOL).<br />

A successful Communications Committee builds winning teams. This<br />
track highlights communications and the building <strong>of</strong> an employee<br />

Intensive Session for Senior Managers<br />
Pre-Registration Required – Limited to Senior Management<br />
<strong>The</strong> Senior Manager session will focus on Independent Board Members. We<br />
will discuss the role <strong>of</strong> independent directors and their use as members <strong>of</strong><br />
compensation, audit and governance committees. Consideration will be given<br />
to the method <strong>of</strong> selecting independent directors and determining the best fit<br />
for a company. Additional specific situations that will be addressed through live<br />
examples: How is an independent director different from an independent <strong>ESOP</strong><br />
trustee? How does an independent director interact with senior management?<br />
What is the director’s role in the <strong>ESOP</strong> valuation? What are the most common<br />
conflict-<strong>of</strong>-interest situations that <strong>ESOP</strong> companies encounter and how can the<br />
independent director help? This session is intended to help those companies<br />
considering the addition <strong>of</strong> their first independent director, as well as those<br />

the audit, including the types <strong>of</strong> information required by the CPA, form <strong>of</strong> representations<br />
letter, coordination with legal counsel and the top 5 issues that generally arise in the<br />
course <strong>of</strong> the audit. We will also provide an update on the Financial Accounting Standards<br />
Board decision to defer implementation <strong>of</strong> additional valuation disclosure requirements<br />
in paragraph 820-10-50-2 <strong>of</strong> the FASB Accounting Standards Codification.<br />

argued that the benefit distribution is the reason <strong>ESOP</strong>s exist. However, there is also an<br />
extremely complex set <strong>of</strong> rules to follow if those distributions are to be done correctly<br />
and create the best outcome for both the participant and the company. This session is<br />
structured to help provide you with the basics <strong>of</strong> the distribution “rule book” from the<br />
legal requirements to the “best practice” on processing these important transactions.<br />

Although <strong>of</strong>ten painted as a potential pitfall, we mustn’t forget that the true Champion<br />
in <strong>ESOP</strong>s is the repurchase obligation and why the <strong>ESOP</strong> exists. It is the tangible<br />
evidence that the <strong>ESOP</strong> is succeeding in spreading wealth to places where it would<br />
not automatically exist on its own. For true success we must learn how to balance the<br />
competing interests between the cash needs <strong>of</strong> the company, the requirement to fund<br />
benefits to terminated employees as well as the need to provide value and benefits to<br />

Some do it because it is their job and some do it just for the good <strong>of</strong> their <strong>ESOP</strong>s, but in<br />
all cases these people are the principal protectors <strong>of</strong> <strong>ESOP</strong> benefits. This session is a<br />
chance for the attendees to witness a conversation among and interact with a panel <strong>of</strong><br />

<strong>The</strong> 2013 Duffers to Dazzlers Golf Tournament to benefit the<br />
Employee Ownership Foundation is on again! <strong>The</strong> tournament will<br />
be played at the beautiful location <strong>of</strong> the Presidio Golf Course, just<br />
a few miles from Hotel Nikko. <strong>The</strong> price for golf is a very reasonable<br />
$150.00 which includes green fees, a delicious boxed lunch, a nice<br />
contribution to the Employee Ownership Foundation and a chance<br />
to win some excellent prizes.<br />
As always, the Tournament will be conducted according to our time<br />
honored rules:<br />
1) We may not play well, but we play fast.<br />
2) Golf is a game; we play it to have fun; we may take it seriously<br />
sometimes but never ourselves.<br />
3) When we get together, no matter what we are doing, the real<br />
winner is employee ownership, and finally,<br />
4) For the right price we could be influenced not to wear Nike logos<br />
when we play (just in case Phil Knight is listening and would<br />
like to avoid that embarrassment).<br />

has quickly gained a reputation as one <strong>of</strong> the nation’s top public courses.<br />
Located just minutes from downtown San Francisco, this 18-hole<br />
course plays 6,500 yards <strong>of</strong> challenging golf winding through beautiful<br />
Eucalyptus and Monterey Pine trees in <strong>The</strong> City’s trademark hills.<br />

Transportation<br />
Hotel Nikko is located at 222 Mason Street, San Francisco, CA. If using GPS<br />
to drive to the hotel, please input 180 Ellis Street, San Francisco, CA to arrive<br />
at the entrance.<br />
Valet parking is available at the hotel for a fee <strong>of</strong> $45 per 24 hour period.<br />
Several self-park garages are available within a few blocks (rates will vary).<br />

San Francisco International Airport is the closest airport about 14 miles away.<br />
Taxis and shuttles are available, although rates may vary.<br />
BART is available from the SF airport to the Powell St. station (3 blocks from<br />
Hotel Nikko). Get <strong>of</strong>f at Powell Street and head towards 5th Street. Turn right<br />
on 5th for 2 blocks and arrive at Hotel Nikko (approximately 30min ride).<br />
Oakland International Airport is the next closest airport about 20 miles away.<br />
Taxis and shuttles are available, although rates may vary and include a bridge<br />
toll fee.<br />
To take BART from the Oakland Airport, take the Air Bart bus to the<br />
Coliseum/Oakland Airport Station. Take the Daly City line and get <strong>of</strong>f at<br />
Powell Street. Head towards 5th Street and turn right on 5th. Walk 2 blocks<br />
and arrive at Hotel Nikko (approximately 45 min ride).<br />
North Beach: Come to “Little Italy” and savor a great meal, relax with a<br />
cappuccino in a cozy café, and soak up the sun in Washington Square Park.
