I am Nicola Horton, the partner who leads the Financial Services
team at Crowe Clark Whitehill.
We provide firms, financial institutions and funds in the financial
services sector with a range of advisory, support and compliance
services including regulatory compliance, audit, tax planning,
corporate governance and corporate finance. We are committed
to delivering a high-quality, practical and cost-effective service
that meets the needs of our clients.
We provide proactive support for start-ups and established
institutions through expansion, maturity and an exit through
a sale or listing.
Our clients include hedge fund managers, corporate finance
houses, private equity firms, property funds, insurance
intermediaries, banks, financial advisers, stockbrokers,
other lessors and lenders.

We are authorised and regulated by the Financial Services Authority (FSA), and whilst not all our
services are regulated by the FSA, we advise firms on compliance with the FSA requirements.
We assist clients in obtaining an FSA registration and in meeting their ongoing compliance
requirements. We support fund managers and partnerships in the establishment and operation of
Unregulated Collective Investment Schemes. Our Corporate Finance team assists corporate clients
with regulated fundraising and investment activities and transactions governed by the Takeover Code.

Our credentials
Our work is as varied as our clients and the challenges
they bring us, and it would be impossible to describe
every case. However, this small selection will give you
an idea of the scope and nature of our work.
A collective investment in property using a
partnership structure
We assisted the fund manager in structuring a
fund tax efficiently for the intended investors.
We reviewed the Information Memorandum
and acted as the FSA regulated Approver
providing advice on the promotion of the
Unregulated Collective Investment Scheme.
After fundraising was completed we acted as
the FSA regulated Operator of the fund by
overseeing the property fund manager.
A UK subsidiary of the largest bank in
Indonesia regulated by the FSA
The client brief was that the non-executive
directors required independent confirmation
that the control systems and procedures
operated effectively. We worked in
conjunction with the auditors of the parent
bank to develop an internal audit approach to
give assurance to the board that a sound
system of internal control exists in key
financial and operational areas.
A team leaving a large financial institution
to set up a fund management business in
the UK and Switzerland
We assisted the clients in setting up the
UK fund manager company, obtaining their
FSA registration and planning the optimal
tax structure for the key stakeholders.
On an ongoing basis we provide outsourced
accounting, regulatory compliance support
and statutory audit.
Reconstruction of an IFA/Fund
Management Group
We advised a group undertaking which
included IFA and Fund Management
activities on a group reconstruction splitting
the activities into two new groups. Our role
included ensuring compliance with the
FSA capital requirements, obtaining HMRC
agreement and negotiations with the
group’s bankers.
Admission to PLUS Markets Group
We acted as reporting accountant on the
company’s admission to trading on PLUS
Markets group, provided tax structuring
advice to the company and assisted on
staff incentivisation plans.
