2.2 Consultant is a non-exclusive independent contractor to Metro. Consultant’s employees
and/or agents are not Metro employees and are not eligible to participate in any benefits or
privileges given or extended by Metro, or by operation of law, to its employees. Consultant has
no authority to assume or to create any obligation or responsibility, express or implied, on
behalf of or in the name of Metro, unless as expressly stated in the scope of work described in
Section 3.2. Consultant is solely responsible for the payment of any federal, state, or local
income tax, or payroll/employment taxes of any kind
2.3 Metro represents that it is an interstate compact authority organized and existing under
a Compact entered into by the States of Missouri and Illinois and ratified by the Congress of the
United States, and that it is authorized by its Board of Directors to enter into and perform this
Agreement. Metro agrees that it will furnish and approve, in a timely manner, information
required by the Consultant in the performance of the contracted services, and will make
payment to the Consultant in accordance with the requirements herein.
Section 3.
SCOPE OF WORK
3.1 Consultant shall fully execute the Work described in this Section or in other contract
documents that are incorporated by reference herein, except as may be indicated in said
contract documents to be the responsibility of others.
3.2 DESCRIPTION – The full details of the Work are set forth in the Proposal for Detailed
Water Leakage Assessment of Tunnel #3 and Big Bend Stations that was prepared by Gall Zeidler
Consultants, LLC and is attached hereto as EXHIBIT 1 and incorporated by reference herein.
Section 4.
CONTRACT DOCUMENTS
4.1 The Contract Documents consist of this Agreement, any drawings, specifications or
addenda issued prior to the execution of this Agreement, other documents listed in this
Agreement and any modifications issued after the execution of this Agreement, all of which
form the Agreement and are as fully a part of it as if attached hereto or repeated herein. The
Agreement represents the entire and integrated understanding of the parties, and supersedes
prior representations, negotiations or agreements, written or oral. However, if anything in the
other Contract Documents, other than a modification, is inconsistent with the provisions of this
Agreement, the Agreement shall govern.
4.2 Consultant shall furnish all services, labor, materials, equipment, tools, transportation,
insurance and necessary supplies, and shall perform all operations required to complete Work in
accordance with the details described in the Contract Documents, except as set forth in this
paragraph or elsewhere in this Agreement. For Big Bend Station and Tunnel No. 3, it has been
agreed that Metro will provide Consultant with the following equipment and materials:
• High rail bucket truck or other lifting equipment
• Working platforms and ladders
• Closed off work zones
• Portable lighting equipment
