Changes During the Year In 2012, the company has significant changes as follows: - The Board of Directors of the company in its Meeting No.2/2012, on February 24, 2012, has approved expending for short-term bill with period of not over than 270 days with the limit of 1,000 million Baht and the Board of Directors of the company in its Meeting No.9/2012, on December 17, 2012, has approved expending for short-term bill with period of not over than 270 days with the limit of 2,000 million Baht. In 2012, the company issued short-term bill of 6 times the amount of bills total 1,000 million Baht. - Samart Broadband Services Company Limited as subsidiary held by the company of 99.99% of the total issued has purchased shares of IT Absolute Company Limited running a business to Supply and Distribution of electronic equipment and technologies equipments. The purchase of 22,485,490 shares counting for 99.94% of the total issued and sold shares of the existing shareholders who were not related. - The company purchased shares of Portalnet Company Limited running a business to Provide design and Outsourcing Enterprise Resource Planning. The purchase of 33,699,990 shares counting for 99.99% of the total issued and sold shares of the existing shareholders who were not related. - The company sold of ordinary shares of IT Gen Company Limited held by the company in total of 624,373 shares counting for 99.99% of the total issued who has no any relationship with the Company. - The company sold of ordinary shares of Oasis Consulting Company Limited held by the company in total of 70,000 shares counting for 70% of the total issued who has no any relationship with the Company. For effective operations, the Company’s business is divided into 5 business units consisting of Network Services, System Integration, Innovation Business Application Solution & Services, ICT Outsourcing Services and IP Business. In 2012, significant changes of each business unit can be indicated as follows; 1. Network Services Business Group 1) Samart Telcoms Public Co., Ltd. has significant changes as follows; • The Company won the bidding for various projects in 2012 as follows; - Project of Digital Trunked Radio System (DTRS) 1 system with CAT Telecom Public Company Limited - Project of Replacement of International Internet Gateway (IIG) with Alcatel-Lucent ASON Protection with TOT Public Company Limited - Project of Transponder renting and Hi-speed internet protocol (Satellite) 84 Mbps with the Ministry of Education - Project of repair Motorola (MA) radio command in 14 provinces with TOT Public Company Limited • The Company signed on major contracts as follows; - Project of Supply of Radio Transmitter, Motorola GM 338/Base 45w, Royal Thai Police - Project of SCPC with PTT Exploration and Production Public Company Limited at Myanmar - Project of Purchase Server Computer, Excise Department, Ministry of Finance - Project of Replacement of Main Communication Network Department of Provincial Adminstration - Project of C-Band 5 MHz network Leasing with TOT Public Company Limited 32 Annual Report 2012
• Trusted for Contract renewals to provide data communication service for Private and Government customers - SCPC network for PTT Exploration and Production Public Company Limited - SCPC network for Total Access Communication PLC. - Project of Broadcasting Service, Panyapiwat School - Project of Satellite Communication Leasing, Ministry of Interior 2) Samart Communication Services Co., Ltd. has significant changes as follows; • The Company has maintained its service standards in conformity to the ISO 9001:2008 adding customers’ confidence and strengthening competitiveness in long run. As a consequence, the Company won the bidding for various projects in 2012 including - Design and Installation of Fiber Optic Cable Network under the National Education Network (NEdNet) Phase 2 (Office of the Higher Education Commission), project with Thai Transmission Industry Company Limited. - The Procurement of a Conference System for a laboratory and to support the conference in 77 provinces, project for office of Permanent Secretary with the Ministry of Health. - Rental of CCTV Security Network for harmless in Map Ta Phut Industrial Estate (CCTV Phase1), project with the Industrial Estate Authority of Thailand. - The development of GIS and GIS server, project with the Ministry of Health. - Trun-key contract for news distribution center (CCTV Phase 2), project with the Industrial Estate Authority of Thailand. These projects will generate revenues for the Company in 2013 and serve as additional revenue source for maintenance service in the future. 2. System Integration Business Group Samart Comtech Co., Ltd. has significant changes as follows; The Company continually maintains corporate work standard with efficiency and effectiveness emphasizing knowledge base development (Target Knowledge Certification) enabling sales force, designers and engineers to deliver high quality works in keeping up with business changes in current period and the future. Besides, the Company maintains service standards pertaining to the certified ISO 9001:2008 and CMMI Level3 that improves work systems and customer services crucial for long-term competitiveness. As a consequence, the Company won the bidding for various projects in 2012 including - Project of Service of Information Technology Development for Environmental Management with Bangkok Metropolitan Administration. - Project of service of CCTV procurement and installation with Bangkok Metropolitan Administration. - Project of service of CCTV development in Bangkok Area with Bangkok Metropolitan Administration. - Project of Universal Service Obligation (USO) amount 169 stations with CAT Telecom Public Company Limited. - Project of Measurement of water in the canal that provides circulating system in Bangkok with Bangkok Metropolitan Administration.
