MEMORANDUM OF UNDERSTANDING
This/ Memorandum of Understanding ( hereinafter referred as the "MoU") is made at Gujarat on

The Chief Executive Officer, Development Support Agency of Gujarat (D-SAG), Gandhinagar
having its office at 2nd Floor , Block No. 8, Tribal Development Department, New Sachivalaya,
Gandhinagar, Gujarat, (hereinafter referred as "First Party ", which expression shall, unless
repugnant or contrary to the meaning or context thereof , means and includes its representatives,
executors and permitted assigns ) of the First Part; and

Gramm Vikas Trust, with Registered Office at 49-50, Red Rose House, Nehru Place, New Delhi,
Corporate Office, KRIBHCO BHAWAN, 5th Floor, A Wing, Plot A-10, Sector-1, NOIDA-201301
(U.P.) (State Office, Kanchan Kunj, Anand Bhavan, Chakaliya Road, Dahod-Gujarat, 389151)
(hereinafter referred to as "Second Party", which expression shall, unless repugnant or contrary to
the meaning or context thereof means and includes its administrators, executors and permitted
assigns) of the Second Part;
Records the understanding arrived at between the parties relating to providing skill up-gradation
training (on trades of Masonry, Shuttering Carpentry & Bar Binding, Plumbing and General
Supervision) at Dahod District of Gujarat to the tribal people of ITDA's (80%) and to general
public (20%) in the state of Gujarat.
WHEREAS the First Party is desirous to provide all financial and non-financial resources to be
located at taluka of Garbada, Dahod, Limkheda and Dhanpur of Dahod District in the State of
Gujarat.
WHEREAS the Second Party has requisite experience ,
non-patented know-how in relation to
various training processes related to skill up- gradation of tribal people and managing its operations
relating to `Enhancing Human Capital through Skill Up gradation of the tribal workers' which
implement best practices in the field of Skill training;
WHEREAS the Second Party is the promoter of various training processes which will manage the
operations of `Enhancing Human Capital through Skill Up gradation of the tribal workers'
WHEREAS the First Party proposes to avail assistance, guidance, know-how and services
(financial and non-financial) of the Second Party in relation to providing and carrying operations of
`Enhancing Human Capital through Skill Up gradation of the tribal workers' on similar lines as
promoted by Second party, for benefit of the Tribal people and general population in the State of
Gujarat.
WHEREAS the Second Party agrees to provide all its assistance, guidance, know-how and services
as may required by the First Party in relation to implement the said project('Enhancing Human
Capital through Skill Up gradation of the tribal workers'), on the terms and conditions mutually
agreed between the parties and set forth herein below.

IN VIEW OF ABOVE PREMISES AND COVENANTS AGREED HEREINBELOW THE
PARTIES ABOVE NAMED AGREED AS UNDER:
1. The First Party shall identify the location , trainees for conducting training at Garbada and
adjacent talukas namely Limkheda, Dahod and Dhanpur of Dahod district which shall,
inter alia, impart ` Enhancing Human Capital through Skill Up gradation of the tribal
workers' (on the trades of Masonry, Shuttering Carpentry & Bar Binding, Plumbing and
General Supervision) to Tribal people of ITDA' s (80%) and to the general public (20%) in
the State of Gujarat.
2. The Second Party shall assist, provide all support, guidance to the First Party relating to
implementation of `Enhancing Human Capital through Skill Up gradation of the tribal
workers' for imparting training. This service rendered by Second party to the First party is
hereinafter referred to as the Project.
3. The First Party shall enter into requisite agreement/s with any party/ies including the
second party, for granting the required infrastructure to the second party for the purpose of
managing the project.
4. For conducting the training GVT will use as much of materials namely cement sand wood
tools etc, it will be under total responsibly and ownership of GVT.
5. The Second Party i.e. GVT shall manage and run the proposed `Enhancing Human Capital
through Skill Up gradation of the tribal workers' in its own name and account in the Dahod
district within the state of Gujarat. The First Party and second party shall govern relations
between them in matters relating to implementation and management
of `Enhancing
Human Capital through Skill Up gradation of the tribal workers' as per the mutual
agreement clause no. of this contract within the state of Gujarat.
6. The understanding recorded herein shall be effective as of the date hereof and shall
continue to be in force till the completion date of the project as mentioned in this
agreement or any other date as mutually agreed by both the parties.
7. The parties hereby agree that all information supplied and/or acquired by them or
documents exchanged in pursuance of this MoU shall be kept strictly confidential and shall
not be disclosed to any person without approval from the other party.

8. The Second Party will endeavour to provide placement to a minimum of 60% of the
candidates on successful completion of Training.
9. Second party named Gramin Vikas Trust, Kanchan Kunj, Anand Bhavan, Chakaliya Road,
Dahod-Gujarat, 389151 will submit Quarterly Progress Report, Annual Progress Report
and End-of-the-project Report to TDD and its agencies at a maximum time period of 3
weeks from the end of the mentioned respective durations.
10. This is a MOU to render consultancy services and not a grant contract. The second party
will accordingly raise invoices / bills / claims on the first party on pre-determined rates.
The first party or its auditors or agencies will not insist on production of books of accounts
or bills of expenses. Instead while settling the claims; the first agency is at liberty to send
its agencies for an audit or review of the process.
11. The second party will raise invoices on the first party on a bi-monthly basis, and though the
service tax already included in the project cost and the same is subjected to changes as per
Government rules from time to time if any.
12. All symbols, sign boards and printed material brought out under this project should
mention "Construction Sector Trainings jointly conducted by Gramin Vikas Trust, Tribal
Development Department and Development Support Agency under Chief Ministers' Ten
Point Programme".
13. The Standard Protocol Document for Skill Training, annexed with this document, is a part
of this MoU and the Second Party will be abiding by the same to First Party.
14. This MOU is being executed in duplicate, each of which shall be deemed to be original.
Each party shall retain a copy hereof.
15. The project memorandum submitted by Gamin Vikas Trust is a part parcel of the MoU. In
the event of contradiction between the MoU and the project documents, whatever is stated
in the MoU will prevail.

IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed by and
through their duly authorized representatives as of the date written herein. The parties hereto have
caused their representative duly authorized for that purpose to sign and execute this MoU and affix
hereto their seals on the dates and in the year hereinabove written.
