6. Significant Events Following March 31, 2009 On April 30, the Ordinary Shareholders' Meeting held in Parma (second call) approved the Annual Report 2008, and authorized the buy-back plan up to a maximum of 10,000,000 treasury shares. On the same date, Buongiorno SpA signed a binding agreement with a pool of banks headed by Banca IMI (Intesa Sanpaolo Group) that provides for the granting of a new multi-year loan of Euro 87 million. The loan is scheduled to be disbursed at the end of June 2009 once the final contract, which is already in the final negotiation stage, has been finalized and the usual guarantees provided. 7. Outlook Management believes that the Company's unique expertise in the Mobile world gives it a clear competitive advantage and that this asset can guarantee significant growth of the business in the medium- to long-term. Given the ongoing transformation of the VAS market, the financial market situation and the potential recession risks, the company believes that the results for the current year, compared to the previous year, will be substantially in line with the performance during the first quarter. 8.
