Economy 101: It’s About Jobs!
MICHAEL C. STOSKOPF, EXECUTIVE OFFICER
A
recent 60 Minutes
segment focused
on Stamford,
Connecticut’s “Platform
Sponsored
By:
To Employment,” a
boot camp for the long
term unemployed, that
partners with business
and pays for an eight
week internship for each potential employee.
During the internship, the potential employee
(often college educated with years of positive
career experience in an industry that has
downsized) has the opportunity to prove his
or her value to the business. The first wave of
the program has found jobs for 70 of its 100
participants, so far.
Unemployment acutely affects individuals
when they are unemployed for over six
months, making them feel like they’ve been
severed from the workforce and facing them
with real discrimination, as many employers
will only hire the currently employed. When
there are not enough jobs for people who
want to work, this debilitation affects
not only the individuals but the broader
economy – both private and public sectors
– as well.
In our industry, the importance of jobs and
employment as it relates to home building
activity cannot be understated. One only
needs to look at southeastern Michigan over
the past four years to see the direct correlation
between the two.
As the accompanying chart shows, the shape
of the curves in this comparison of the 4-county
employment levels with the trailing 12-month
single-family home permit totals is strikingly
similar. It shows that as jobs decline, new
home permits decline. As the number of people
employed increases, so do permits. Finally, if
jobs remain “flat” permits tend to follow suit and
remain relatively flat as well.
The effects of rising employment are
also felt in the public sector in two ways.
First, the cost for government assistance
programs such as unemployment, welfare and
food stamps decreases. At the same time, tax
revenues from income, sales and property
taxes all tend to increase. This “double effect”
creates immediate benefits for local, state and
Federal governments in that they literally have
more money for programs and services such as
Update
Transfer Taxes And New Construction
GREGG A. NATHANSON, ESQ., COUZENS, LANSKY
Can builders and developers (legally)
avoid paying Michigan’s state
real estate transfer tax on new
construction? The answer: Maybe.
The Michigan Court of Appeals recently
considered this issue in Eastbrook Homes v
Department of Treasury, decided April 24, 2012.
In this case, the developer and affiliated builder
were found liable for transfer taxes, penalty and
interest in excess of $1,000,000.
The facts are not in dispute. Developer and
Builder used the following business model:
Developer conveys a vacant platted lot or
site condominium unit to Buyer by warranty
deed, and pays the transfer tax on the value
of the undeveloped property at the time of the
conveyance. When Buyer purchases the unit or
lot from the Developer, Buyer also enters into
a building contract with Developer’s affiliated
building company to construct a residence on
the property. The purchase agreement between
Buyer and Developer includes the value of
the vacant land without the value of the later
constructed home. Similarly, the contract
between Buyer and Builder includes only
the cost of construction, not the value of the
underlying land. So far, so good.
Unfortunately for the Developer and
Builder, there are additional facts. As security
for payment of the contract price under the
building contract, Builder requires Buyer to quit
claim the property to Builder. Once construction
is complete and Buyer pays for the home, Builder
quit claims the property back to Buyer.
The case involves interpretation of an
exemption from Michigan’s State Real Estate
Transfer Tax Act. MCL 207.526 states that,
“The following written instruments and transfers
of property are exempt from the tax imposed
by this Act ... (d) A written instrument given as
security or an assignment or discharge of the
security interest”. The quit claim deed from
Buyer to Builder states that the parties’ intend
to use the deed as security, and therefore, the
instrument is exempt from Michigan state real
estate transfer tax under MCL 207.526(d). The
quit claim deed from Builder back to Buyer
states that it was given to discharge a security
interest, and is therefore likewise exempt from
transfer tax pursuant to MCL 207.526(d).
So, does the state real estate transfer tax
apply to (a) the quit claim deed from Buyer to
Builder, transferring title to the vacant land
ostensibly for purposes of granting Builder
a security interest and/or (b) the quit claim
deed from Builder back to Buyer, intended to
discharge the security interest?
The Michigan Tax Tribunal ruled in favor of
the Developer and Builder. The Tax Tribunal
acknowledged several facts favorable to the
Developer and Builder. The Court acknowledged
that the Developer is in the business of taking
raw, unimproved land and developing it into
divisible parcels of property; the Builder is
in the business of residential construction;
the Developer and Builder are separate and
distinct legal entities; both companies have a
legitimate business purpose, other than avoiding
transfer tax, to maintain and operate the
building company and development company as
separate entities, including, without limitation,
complying with the condominium act and land
division act and tort liability avoidance; the
Builder has a legitimate business interest to
maintain physical possession of the property
throughout construction; and the parties acted
consistent with their intentions set forth in the
transaction documents.
The Tax Tribunal concluded that the quit
claim deeds should be treated as creating
and discharging a security interest, and
were exempt from payment of the state
transfer tax. The Tax Tribunal reasoned that
the statute does not require a security interest
be created by way of a mortgage. The quit
claim deed from Buyer
to Builder was really an
equitable mortgage and
therefore, satisfied the
transfer tax exemption.
Similarly, the deed from Builder to Buyer was
exempt because it merely discharged that
equitable mortgage.
The Michigan Court of Appeals disagreed,
noting that exemption statutes are to be
strictly construed in favor of the taxing
authority. The Court of Appeals refused to
interpret the quit claim deed from Buyer to Builder
as “an equitable mortgage.” Therefore, the
exemption from transfer tax for instruments used
to create or discharge a security interest was not
applicable. The quit claim deeds transferred all
title to the property from Buyer to Builder, and
from Builder back to Buyer. Unlike a mortgage,
the quit claim deed from Buyer to Builder did not
reserve to the Buyer any property rights. The
deeds were taxable because they conveyed an
interest in the property, for consideration, beyond
creating or discharging a security interest.
What lessons can Developers and Builders
draw from this Court of Appeals decision?
Based upon the language of the decision, it
appears that this Court of Appeals panel may
have reached a different result had Buyer
granted the Builder a traditional mortgage
instead of using a quit claim deed. Second,
even without a mortgage, the Builder would
have lien rights under Michigan’s Construction
Lien Act. Third, the Builder could have recorded
a claim of interest or other instrument against
title, to further limit the Buyer’s ability to sell (or
further encumber) the property, free and clear
of the Builder’s interest. This case leaves open
the door to the proposition that, if structured
properly, a Builder may be able to legally protect
itself and still avoid paying transfer taxes on the
value of a newly constructed home or building. ■
Motor vehicle-related incidents are
consistently the leading cause of workrelated
fatalities in the United States.
Thirty-five percent of occupational fatalities
reported by the Bureau of Labor Statistics are
associated with motor vehicles. Between 2003
and 2009, on average:
• 1308 workers died each year from crashes
on public highways.
• 316 workers died each year in crashes that
occurred off the highway or on industrial premises.
• 347 pedestrian workers died each year as a
result of being struck by a motor vehicle.
Motor vehicle crashes have economic costs
in addition to human costs. According to the
National Highway Traffic Safety Administration,
from 1998 to 2000, motor vehicle crash injuries
occurring on and off the job were estimated to cost
employers nearly $60 billion annually. On average,
a fatality occurring on the job cost a business over
$500,000 in direct and liability costs, and each
nonfatal injury cost nearly $74,000.
Risk of work-related motor vehicle crashes
cuts across all industries and occupations.
Workers who drive on the job may be
“professional” drivers whose primary job is to
transport freight or passengers. Many other
workers spend a substantial part of the work
day driving a vehicle owned or leased by their
employer, or a personal vehicle. In the United
States, companies and drivers that operate large
trucks and buses are covered by comprehensive
safety regulations. In contrast, there are no
federal occupational safety regulations that
cover the workers
who use smaller
employer-provided
vehicles or
personal vehicles.
For all workers
who drive on the
job, employer
safety policies are
a critical element
in reducing crash
risks. Employer
policies may be
limited to supporting and reinforcing state traffic
laws. However, many employers choose to
manage road risk more proactively through
programs and policies to promote safe
driving behaviors, ensure that work-related
driving takes place under the safest possible
conditions and ensure that worker vehicles
are safe and properly maintained. Some
small Fleet Safety Program ideas:
• Include the requirement for safe vehicle
operation and how safety results will be measured.
• Required use of safety belts by all
occupants of all vehicles driven on company
business, including personal vehicles (Tip:
Embrace Life – always wear your seat belt
at http://www.youtube.com/watch?v=h-
8PBx7isoM is a powerfully inspirational video.)
• Prohibit consumption of alcohol and/or
controlled substances prior to and during vehicle
operation and at any time on company premises.
• Require an application that includes detailed
information on applicants’ driving history, listing
of all crashes and all moving violations.
• Visually check applicants’ driver’s licenses
to determine if they have the proper license for
the job and any restrictions.
• Obtain a Motor Vehicle Record (MVR)
from all states where the applicant is licensed.
Monitor at least annually.
• Establish specific criteria for an acceptable
driving history and use it.
• Offer defensive driver training.
• Maintain vehicles according to
manufacturer’s specifications.
• Insist that personal vehicles used on
company business be properly maintained.
Reserve the right to inspect those vehicles.
• Establish a firm policy of reporting all
crashes immediately, with no exceptions.
• Keep a crash report and disposable camera
within each vehicle.
• Investigate serious crashes with the
objective of identifying controls that will prevent
similar crashes from occurring in the future.
• Review crashes with the driver. Make it
clear that the primary purpose is to identify all
possible causes, not to assess blame. ■
Help AAM-PAC Make A Difference in
Election 2012!
Property Management Council News
When you say “Election 2012” most people’s thoughts turn to
the Presidential campaign. Arguably, of greater importance
for apartment owners, are the races in this election for state
legislative seats. The policies pursued by our state elected leaders can
have a swift and significant impact on your operations and profitability.
While Michigan’s Senators do not run in 2012, all 110 seats in the
Michigan House of Representatives are up for election.
One great way to have your voice heard in this election is to support
AAM-PAC. AAM-PAC is the Apartment Association’s political action
committee, which utilizes contributions from members and aggregates
them into one fund. This fund is used to financially support those elected
officials who understand the important role of rental housing in Michigan’s
economy. In short, we do the legwork for you to find the candidates who
will best represent your business, and then support their campaign.
AAM has been very successful in this legislative session, with the
following recent victories:
• Interest Rate on Tax Tribunal Appeals – Public Act 220 of 2012,
requested by AAM, increased the statutory interest rate on Tribunal
appeals effective 7/1/12.
• Nonrecourse Mortgage Loan Provisions – Public Act 67 of 2012
helps to rectify the problems with certain loan covenants in nonrecourse
commercial loan transactions.
There is much work left to do, however, starting with our proposal
for Apartment Inspection Law Reform. This legislation seeks to put
limits on registration fees and inspection fees, and extends inspection
cycle timeframes.
Remember, AAM-PAC contributions must be made via personal,
partnership, or LLP check or credit cards. Please contact me at 248-862-
age of 86 on July 22. Irving was a partner
in AAM member company Edward Rose
and Sheldon. Their father founded the
company in 1921.
According to their website, the company
engages in a variety of land development
and construction projects that range from
Irving Rose. March 1950. single-family residential to large scale
mixed use and multifamily projects, with a
focus on multifamily projects. The organization is creative and adaptive
in its response to various rental markets and has a philosphy that
considers their projects long term investments in communities.
Edward Rose & Sons has been continuously active in residential
development and construction since its inception and has completed
more than 80,000 dwelling units. Prior to 1965, the majority of the
construction work was in the area of single-family homes. Since then
the concentration has shifted towards multifamily construction with over
65,000 units built. Approximately 57,000 of these multifamily units are
managed and retained by the company.
Edward Rose was inducted into the Building Industry Association’s
Hall of Fame in 1981. The company is currently under the leadership of
