Economy 101: It’s About Jobs!<br />

term unemployed, that<br />

partners with business<br />

and pays for an eight<br />

week internship for each potential employee.<br />

During the internship, the potential employee<br />

(<strong>of</strong>ten college educated with years <strong>of</strong> positive<br />

career experience in an industry that has<br />

downsized) has the opportunity to prove his<br />

or her value to the business. The first wave <strong>of</strong><br />

the program has found jobs for 70 <strong>of</strong> its 100<br />

participants, so far.<br />

Unemployment acutely affects individuals<br />

when they are unemployed for over six<br />

months, making them feel like they’ve been<br />

severed from the workforce and facing them<br />

with real discrimination, as many employers<br />

will only hire the currently employed. When<br />

there are not enough jobs for people who<br />

want to work, this debilitation affects<br />

not only the individuals but the broader<br />

economy – both private and public sectors<br />

– as well.<br />

In our industry, the importance <strong>of</strong> jobs and<br />

employment as it relates to home building<br />

activity cannot be understated. One only<br />

needs to look at southeastern <strong>Michigan</strong> over<br />

the past four years to see the direct correlation<br />

between the two.<br />

As the accompanying chart shows, the shape<br />

<strong>of</strong> the curves in this comparison <strong>of</strong> the 4-county<br />

employment levels with the trailing 12-month<br />

single-family home permit totals is strikingly<br />

similar. It shows that as jobs decline, new<br />

home permits decline. As the number <strong>of</strong> people<br />

employed increases, so do permits. Finally, if<br />

jobs remain “flat” permits tend to follow suit and<br />

remain relatively flat as well.<br />

The effects <strong>of</strong> rising employment are<br />

also felt in the public sector in two ways.<br />

First, the cost for government assistance<br />

programs such as unemployment, welfare and<br />

food stamps decreases. At the same time, tax<br />

revenues from income, sales and property<br />

taxes all tend to increase. This “double effect”<br />

creates immediate benefits for local, state and<br />

Federal governments in that they literally have<br />

more money for programs and services such as<br />

police, fire protection and schools.<br />

The United States and <strong>Michigan</strong> each<br />

have a rich history <strong>of</strong> rewarding hard work<br />

and entrepreneurship, regardless <strong>of</strong> whether<br />

you work for a corporation or you own a small<br />

business. This upcoming election season will take<br />

many twists and turns on the way to the voting<br />

booth. At the forefront, candidates from both<br />

parties are promoting ideas they think will unlock<br />

the economic power <strong>of</strong> our state and nation.<br />

I urge you – irrespective <strong>of</strong> your party<br />

affiliation – to demand from your preferred<br />

candidates the understanding that the<br />

citizens <strong>of</strong> our state and nation have an<br />

overwhelming need for an economic climate<br />

where jobs are created and restored. Simply<br />

stated, the election is about one thing, “…it’s<br />

about jobs!” ■

Transfer Taxes And New Construction<br />

Can builders and developers (legally)<br />

avoid paying <strong>Michigan</strong>’s state<br />

real estate transfer tax on new<br />

construction? The answer: Maybe.<br />

The <strong>Michigan</strong> Court <strong>of</strong> Appeals recently<br />

considered this issue in Eastbrook Homes v<br />

Department <strong>of</strong> Treasury, decided April 24, <strong>2012</strong>.<br />

In this case, the developer and affiliated builder<br />

were found liable for transfer taxes, penalty and<br />

interest in excess <strong>of</strong> $1,000,000.<br />

The facts are not in dispute. Developer and<br />

Builder used the following business model:<br />

Developer conveys a vacant platted lot or<br />

site condominium unit to Buyer by warranty<br />

deed, and pays the transfer tax on the value<br />

<strong>of</strong> the undeveloped property at the time <strong>of</strong> the<br />

conveyance. When Buyer purchases the unit or<br />

lot from the Developer, Buyer also enters into<br />

a building contract with Developer’s affiliated<br />

building company to construct a residence on<br />

the property. The purchase agreement between<br />

Buyer and Developer includes the value <strong>of</strong><br />

the vacant land without the value <strong>of</strong> the later<br />

constructed home. Similarly, the contract<br />

between Buyer and Builder includes only<br />

the cost <strong>of</strong> construction, not the value <strong>of</strong> the<br />

underlying land. So far, so good.<br />

Unfortunately for the Developer and<br />

Builder, there are additional facts. As security<br />

for payment <strong>of</strong> the contract price under the<br />

building contract, Builder requires Buyer to quit<br />

claim the property to Builder. Once construction<br />

is complete and Buyer pays for the home, Builder<br />

quit claims the property back to Buyer.<br />

The case involves interpretation <strong>of</strong> an<br />

exemption from <strong>Michigan</strong>’s State Real Estate<br />

Transfer Tax Act. MCL 207.526 states that,<br />

“The following written instruments and transfers<br />

<strong>of</strong> property are exempt from the tax imposed<br />

by this Act ... (d) A written instrument given as<br />

security or an assignment or discharge <strong>of</strong> the<br />

security interest”. The quit claim deed from<br />

Buyer to Builder states that the parties’ intend<br />

to use the deed as security, and therefore, the<br />

instrument is exempt from <strong>Michigan</strong> state real<br />

estate transfer tax under MCL 207.526(d). The<br />

quit claim deed from Builder back to Buyer<br />

states that it was given to discharge a security<br />

interest, and is therefore likewise exempt from<br />

transfer tax pursuant to MCL 207.526(d).<br />

So, does the state real estate transfer tax<br />

apply to (a) the quit claim deed from Buyer to<br />

Builder, transferring title to the vacant land<br />

ostensibly for purposes <strong>of</strong> granting Builder<br />

a security interest and/or (b) the quit claim<br />

deed from Builder back to Buyer, intended to<br />

discharge the security interest?<br />

The <strong>Michigan</strong> Tax Tribunal ruled in favor <strong>of</strong><br />

the Developer and Builder. The Tax Tribunal<br />

acknowledged several facts favorable to the<br />

Developer and Builder. The Court acknowledged<br />

that the Developer is in the business <strong>of</strong> taking<br />

raw, unimproved land and developing it into<br />

divisible parcels <strong>of</strong> property; the Builder is<br />

in the business <strong>of</strong> residential construction;<br />

the Developer and Builder are separate and<br />

distinct legal entities; both companies have a<br />

legitimate business purpose, other than avoiding<br />

transfer tax, to maintain and operate the<br />

building company and development company as<br />

separate entities, including, without limitation,<br />

complying with the condominium act and land<br />

division act and tort liability avoidance; the<br />

Builder has a legitimate business interest to<br />

maintain physical possession <strong>of</strong> the property<br />

throughout construction; and the parties acted<br />

consistent with their intentions set forth in the<br />

transaction documents.<br />

The Tax Tribunal concluded that the quit<br />

claim deeds should be treated as creating<br />

and discharging a security interest, and<br />

were exempt from payment <strong>of</strong> the state<br />

transfer tax. The Tax Tribunal reasoned that<br />

the statute does not require a security interest<br />

be created by way <strong>of</strong> a mortgage. The quit<br />

claim deed from Buyer<br />

to Builder was really an<br />

equitable mortgage and<br />

therefore, satisfied the<br />

transfer tax exemption.<br />

Similarly, the deed from Builder to Buyer was<br />

exempt because it merely discharged that<br />

equitable mortgage.<br />

The <strong>Michigan</strong> Court <strong>of</strong> Appeals disagreed,<br />

noting that exemption statutes are to be<br />

strictly construed in favor <strong>of</strong> the taxing<br />

authority. The Court <strong>of</strong> Appeals refused to<br />

interpret the quit claim deed from Buyer to Builder<br />

as “an equitable mortgage.” Therefore, the<br />

exemption from transfer tax for instruments used<br />

to create or discharge a security interest was not<br />

applicable. The quit claim deeds transferred all<br />

title to the property from Buyer to Builder, and<br />

from Builder back to Buyer. Unlike a mortgage,<br />

the quit claim deed from Buyer to Builder did not<br />

reserve to the Buyer any property rights. The<br />

deeds were taxable because they conveyed an<br />

interest in the property, for consideration, beyond<br />

creating or discharging a security interest.<br />

What lessons can Developers and Builders<br />

draw from this Court <strong>of</strong> Appeals decision?<br />

Based upon the language <strong>of</strong> the decision, it<br />

appears that this Court <strong>of</strong> Appeals panel may<br />

have reached a different result had Buyer<br />

granted the Builder a traditional mortgage<br />

instead <strong>of</strong> using a quit claim deed. Second,<br />

even without a mortgage, the Builder would<br />

have lien rights under <strong>Michigan</strong>’s Construction<br />

Lien Act. Third, the Builder could have recorded<br />

a claim <strong>of</strong> interest or other instrument against<br />

title, to further limit the Buyer’s ability to sell (or<br />

further encumber) the property, free and clear<br />

<strong>of</strong> the Builder’s interest. This case leaves open<br />

the door to the proposition that, if structured<br />

properly, a Builder may be able to legally protect<br />

itself and still avoid paying transfer taxes on the<br />

value <strong>of</strong> a newly constructed home or building. ■<br />

Motor vehicle-related incidents are<br />

consistently the leading cause <strong>of</strong> workrelated<br />

fatalities in the United States.<br />

Thirty-five percent <strong>of</strong> occupational fatalities<br />

reported by the Bureau <strong>of</strong> Labor Statistics are<br />

associated with motor vehicles. Between 2003<br />

and 2009, on average:<br />

• 1308 workers died each year from crashes<br />

on public highways.<br />

• 316 workers died each year in crashes that<br />

occurred <strong>of</strong>f the highway or on industrial premises.<br />

• 347 pedestrian workers died each year as a<br />

result <strong>of</strong> being struck by a motor vehicle.<br />

Motor vehicle crashes have economic costs<br />

in addition to human costs. According to the<br />

National Highway Traffic Safety Administration,<br />

from 1998 to 2000, motor vehicle crash injuries<br />

occurring on and <strong>of</strong>f the job were estimated to cost<br />

employers nearly $60 billion annually. On average,<br />

a fatality occurring on the job cost a business over<br />

$500,000 in direct and liability costs, and each<br />

nonfatal injury cost nearly $74,000.<br />

Risk <strong>of</strong> work-related motor vehicle crashes<br />

cuts across all industries and occupations.<br />

Workers who drive on the job may be<br />

“pr<strong>of</strong>essional” drivers whose primary job is to<br />

transport freight or passengers. Many other<br />

workers spend a substantial part <strong>of</strong> the work<br />

day driving a vehicle owned or leased by their<br />

employer, or a personal vehicle. In the United<br />

States, companies and drivers that operate large<br />

trucks and buses are covered by comprehensive<br />

safety regulations. In contrast, there are no<br />

federal occupational safety regulations that<br />

cover the workers<br />

who use smaller<br />

employer-provided<br />

vehicles or<br />

personal vehicles.<br />

For all workers<br />

who drive on the<br />

job, employer<br />

safety policies are<br />

a critical element<br />

in reducing crash<br />

risks. Employer<br />

policies may be<br />

limited to supporting and reinforcing state traffic<br />

laws. However, many employers choose to<br />

manage road risk more proactively through<br />

programs and policies to promote safe<br />

driving behaviors, ensure that work-related<br />

driving takes place under the safest possible<br />

conditions and ensure that worker vehicles<br />

are safe and properly maintained. Some<br />

small Fleet Safety Program ideas:<br />

• Include the requirement for safe vehicle<br />

operation and how safety results will be measured.<br />

• Required use <strong>of</strong> safety belts by all<br />

occupants <strong>of</strong> all vehicles driven on company<br />

business, including personal vehicles (Tip:<br />

Embrace Life – always wear your seat belt<br />

8PBx7isoM is a powerfully inspirational video.)<br />

• Prohibit consumption <strong>of</strong> alcohol and/or<br />

controlled substances prior to and during vehicle<br />

operation and at any time on company premises.<br />

• Require an application that includes detailed<br />

information on applicants’ driving history, listing<br />

<strong>of</strong> all crashes and all moving violations.<br />

• Visually check applicants’ driver’s licenses<br />

to determine if they have the proper license for<br />

the job and any restrictions.<br />

• Obtain a Motor Vehicle Record (MVR)<br />

from all states where the applicant is licensed.<br />

Monitor at least annually.<br />

• Establish specific criteria for an acceptable<br />

driving history and use it.<br />

• Offer defensive driver training.<br />

• Maintain vehicles according to<br />

manufacturer’s specifications.<br />

• Insist that personal vehicles used on<br />

company business be properly maintained.<br />

Reserve the right to inspect those vehicles.<br />

• Establish a firm policy <strong>of</strong> reporting all<br />

crashes immediately, with no exceptions.<br />

• Keep a crash report and disposable camera<br />

within each vehicle.<br />

• Investigate serious crashes with the<br />

objective <strong>of</strong> identifying controls that will prevent<br />

similar crashes from occurring in the future.<br />

• Review crashes with the driver. Make it<br />

clear that the primary purpose is to identify all<br />

possible causes, not to assess blame. ■<br />

Election <strong>2012</strong>!<br />

When you say “Election <strong>2012</strong>” most people’s thoughts turn to<br />

the Presidential campaign. Arguably, <strong>of</strong> greater importance<br />

for apartment owners, are the races in this election for state<br />

legislative seats. The policies pursued by our state elected leaders can<br />

have a swift and significant impact on your operations and pr<strong>of</strong>itability.<br />

While <strong>Michigan</strong>’s Senators do not run in <strong>2012</strong>, all 110 seats in the<br />

<strong>Michigan</strong> House <strong>of</strong> Representatives are up for election.<br />

One great way to have your voice heard in this election is to support<br />

AAM-PAC. AAM-PAC is the Apartment Association’s political action<br />

committee, which utilizes contributions from members and aggregates<br />

them into one fund. This fund is used to financially support those elected<br />

<strong>of</strong>ficials who understand the important role <strong>of</strong> rental housing in <strong>Michigan</strong>’s<br />

economy. In short, we do the legwork for you to find the candidates who<br />

will best represent your business, and then support their campaign.<br />

AAM has been very successful in this legislative session, with the<br />

following recent victories:<br />

• Interest Rate on Tax Tribunal Appeals – Public Act 220 <strong>of</strong> <strong>2012</strong>,<br />

requested by AAM, increased the statutory interest rate on Tribunal<br />

appeals effective 7/1/12.<br />

• Nonrecourse Mortgage Loan Provisions – Public Act 67 <strong>of</strong> <strong>2012</strong><br />

helps to rectify the problems with certain loan covenants in nonrecourse<br />

commercial loan transactions.<br />

There is much work left to do, however, starting with our proposal<br />

for Apartment Inspection Law Reform. This legislation seeks to put<br />

limits on registration fees and inspection fees, and extends inspection<br />

cycle timeframes.<br />

Remember, AAM-PAC contributions must be made via personal,<br />

New Smoke-Free Toolkit Available from HUD<br />

The U.S. Department <strong>of</strong> Housing<br />

and Urban Development (HUD) and<br />

the U.S. Department <strong>of</strong> Health and<br />

Human Services (HHS) have issued<br />

a Smoke-Free Housing Toolkit to<br />

provide multifamily rental property<br />

owners guidance on adoption <strong>of</strong><br />

smoke-free housing policies. In<br />

addition to the policy guidance, the<br />

toolkit includes a sample resident<br />

survey, frequently asked questions,<br />

and other resources. To view the<br />

Irving Rose, Edward Rose & Sons<br />

Sincere condolences to the family and<br />

associates <strong>of</strong> Irving Rose who died at the<br />

age <strong>of</strong> 86 on July 22. Irving was a partner<br />

in AAM member company Edward Rose<br />

& Sons, along with his brothers Leslie<br />

and Sheldon. Their father founded the<br />

company in 1921.<br />

According to their website, the company<br />

engages in a variety <strong>of</strong> land development<br />

and construction projects that range from<br />

Irving Rose. March 1950. single-family residential to large scale<br />

mixed use and multifamily projects, with a<br />

focus on multifamily projects. The organization is creative and adaptive<br />

in its response to various rental markets and has a philosphy that<br />

considers their projects long term investments in communities.<br />

Edward Rose & Sons has been continuously active in residential<br />

development and construction since its inception and has completed<br />

more than 80,000 dwelling units. Prior to 1965, the majority <strong>of</strong> the<br />

construction work was in the area <strong>of</strong> single-family homes. Since then<br />

the concentration has shifted towards multifamily construction with over<br />

65,000 units built. Approximately 57,000 <strong>of</strong> these multifamily units are<br />

managed and retained by the company.<br />

Edward Rose was inducted into the Building Industry Association’s<br />

Hall <strong>of</strong> Fame in 1981. The company is currently under the leadership <strong>of</strong><br />

Irving’s nephew, Warren Rose.<br />

The Masco Corporation Foundation<br />

has awarded a $25,000 grant to HomeAid<br />

America (HAA) and HomeAid <strong>Southeastern</strong><br />

<strong>Michigan</strong> (HASEM). The grant, split evenly<br />

between HAA and HASEM, is to fund<br />

organizational operations. The grant was<br />

presented by Masco Corporation Foundation<br />

President Melonie Colaianne at the HASEM<br />

Board <strong>of</strong> Directors Meeting on August 14.<br />

HASEM’s mission is “to renovate and build<br />

dignified housing where homeless families and<br />

individuals can rebuild their lives.” Currently<br />

the chapter is organizing the renovation <strong>of</strong> four<br />

homes for Grace Centers <strong>of</strong> Hope in Pontiac<br />

in support <strong>of</strong> their Interdependent Living<br />
