The <strong>Unicity</strong> <strong>Compensation</strong> <strong>Plan</strong><br />
This Appendix A is part of and incorporated into<br />
the <strong>Unicity</strong> Europe Inc. Policies & Procedures.<br />
The <strong>Unicity</strong> <strong>Compensation</strong> <strong>Plan</strong> (the “<strong>Compensation</strong> <strong>Plan</strong>”) is the method by which Franchise Partners<br />
qualify to earn Awards for their efforts in developing a <strong>Unicity</strong> Business or Franchise. The <strong>Compensation</strong><br />
<strong>Plan</strong> is designed to award Franchise Partners who personally buy <strong>Unicity</strong> products, to sell <strong>Unicity</strong> products<br />
to Customers and recruit others to sell <strong>Unicity</strong> products, or develop their own <strong>Unicity</strong> businesses.<br />
Franchise Partners earn Awards under the <strong>Compensation</strong> <strong>Plan</strong> based on the Volume accumulated<br />
on their sales (purchases for distribution, purchases of their Customers), and those of their Downline<br />
Franchise Partners for their sales to their Customers. The <strong>Compensation</strong> <strong>Plan</strong> outlines the requirements<br />
for qualifying for Awards and recognition for Franchise Partners. It is acknowledged that Franchise Partnerships<br />
operate pursuant to the terms of the <strong>Unicity</strong> Franchise Partner Agreement and that they will<br />
comply with the terms of that agreement. Only Active Franchise Partners in good standing under the<br />
Franchise Partner Agreement may qualify for Awards under the <strong>Compensation</strong> <strong>Plan</strong>. To qualify for any<br />
Award under the <strong>Compensation</strong> <strong>Plan</strong>, a Franchise Partner must have a minimum of 100 Personal Volume<br />
(“PV”) in the Volume Month that the Award is earned. Successful Franchise Partners progressively advance<br />
to higher ranks in the <strong>Compensation</strong> <strong>Plan</strong>. As they attain higher ranks, greater benefits are made<br />
available to them.<br />
Selling <strong>Unicity</strong> Products: Franchise Partners are authorised to purchase <strong>Unicity</strong> Products at a wholesale<br />
price and earn a retail profit on such sales. These earnings are not part of the <strong>Compensation</strong> <strong>Plan</strong> but<br />
provide a tremendous income to many Franchise Partners throughout the world. In addition, Franchise<br />
Partners may register their Customers as Preferred Customers under which such Customers are granted<br />
preferred pricing and other benefits.<br />
A Franchise Partner may refer his or her Customers (either Preferred Customers or Retail Customers) to<br />
place their orders directly with <strong>Unicity</strong>. These orders may be placed through the various methods available<br />
within <strong>Unicity</strong>. <strong>Unicity</strong> issues each Customer a unique Customer identification number and automatically<br />
credits Customer purchases to the account of the referring Franchise Partner. <strong>Unicity</strong> manages<br />
the distribution of the profit on these Customer orders. To qualify for the service of receiving Preferred<br />
Customer <strong>Compensation</strong> or Retail <strong>Compensation</strong> in this manner, a Franchise Partner must be Active in<br />
the Volume Month in which the retail order is placed.<br />
Personal Bonus Award: For every Franchise Partner or Customer volume, a Franchise Partner qualifies<br />
to earn a Personal Bonus Award based on the Personal Volume (“PV”) that the Franchise Partner accumulated<br />
in the current Volume Month. The Award is essentially a bonus on the Volume generated by the<br />
Franchise Partner‘s customers and the Franchise Partner through product turnovers and is remitted to<br />
the Franchise Partner depending upon qualification. The percentage of Bonus that a Franchise Partner<br />
may earn is set forth in Table 1 below.<br />

Personal Group Award: Franchise Partners may also earn Personal Group Awards based on the PV<br />
of Franchise Partners that they recruit or are recruited under them in their Downline and are in their<br />
Personal Group. The Personal Group Award is based on a Franchise Partner’s PV in the current month.<br />
Downline members that are in a Franchise Partner’s Personal Group have the following ranks: Distributor,<br />
Bronze, Silver, and Gold. The Personal Group Award that a Franchise Partner may earn depends upon<br />
the rank of the Downline in his Personal Group. Provided a Franchise Partner has at least 100 PV in the<br />
present Volume Month, a Franchise Partner may qualify to earn the following Personal Group Awards:<br />
• A Manager may earn Awards equal to 5 % of the GV of Gold directly beneath him, 10 % of the GV of<br />
a Silver directly beneath him, 15 % of the GV of a Bronze directly beneath him, and 20 % of the GV of<br />
a Franchise Partner of no rank beneath him.<br />
• A qualified Gold Franchise Partner may earn Awards equal to 5% of the GV of a Silver directly beneath<br />
him, 10 % of the GV of a Bronze directly beneath him, and 15 % of the GV of a Franchise Partner<br />
of no rank beneath him.<br />
• A qualified Silver Franchise Partner may earn Awards equal to 5% of the GV of a Bronze directly beneath<br />
him, and 10 % of the GV of a Franchise Partner of no rank beneath him.<br />
• A qualified Bronze Franchise Partner may earn Awards equal to 5 % of the GV of a Franchise Partner<br />
of no rank beneath him.<br />
• The GV of a non-Active Manager is awarded as a Personal Group Award to the first Upline Active<br />
Manager.<br />
Manager Guarantee Award: Managers are guaranteed a 5 % Personal Group Award on all GV where the<br />
20 % has not been paid. The 20 % is only paid if a Downline Franchise Partner is becoming a Manager<br />
with 1,000 PV. In that case, the first Upline Active Manager must be at least a Senior Manager to earn<br />
Franchise Royalties. If the Manager does not earn Personal Group Awards on an eligible non-Manager<br />
Downline Volume, then the Manager is paid the Manager Guarantee Award. A Manager may not earn<br />
Personal Group Awards and the Manager Guarantee Award on the same Volume.<br />
Personal Group Awards for New Franchise Partners: The first month that a Franchise Partner’s PV is<br />
greater than 0, he will only earn Personal Bonus on PV that is over 1,000. The first 1,000 PV is paid entirely<br />
to the Upline. If there are non-Managers above them, then they will be paid according to the Personal<br />
Group Awards rules according to their PV. The difference between 20% and the percentage paid to non-<br />
Managers will be paid to the first Upline Active Manager with a minimum of 100 PV.

Becoming a Manager and “Breaking away” from the Personal Group: A Franchise Partner who is serious<br />
about establishing a <strong>Unicity</strong> Franchise becomes a Manager and earns even greater rewards. When<br />
a Franchise Partnership reaches the rank of Manager, it “breaks away” from the Personal Group of its<br />
Sponsor and is no longer considered a part of that Personal Group. The full PV from the Easyship of a<br />
Manager that has “broken away” will continue to count towards the Sponsor’s GV, but not any further<br />
PV from the Managers’ purchases and not the PV of the Managers group members. The full PV from the<br />
Easyship of a Manager that has “broken away” will also count towards the Managers’ own GV. The Sponsor,<br />
however, has a stronger partner in a Manager that has “broken away” and is developing a stronger<br />
<strong>Unicity</strong> Franchise Business.<br />
The PV of a non-Active Manager and the PV of his group members will again count towards the GV of the<br />
first qualified Upline Active Manager.<br />
To become a Manager a Franchise Partner must have 1,000 GV in one Volume Month, at least 100 of<br />
which is PV. Managers are eligible to earn Franchise Royalties and are recognised at <strong>Unicity</strong> events for<br />
their rank achievement.<br />
A Manager who does not accumulate 1,000 PV within the next 12 months and each 12-month-period<br />
thereafter of becoming a Manager will lose the rank of Manager and will be required to re-qualify to<br />
receive Manager benefit in the future.<br />
Provided that the Sponsor has an Easyship* agreement of 100 PV or more, the Sponsor may earn<br />
Franchise Royalties on the new Managers GV that exceeds 1,000. In the month a Franchise Partner<br />
achieves the rank of Manager, the GV of the Franchise Partner is also considered the GV of the Sponsor.<br />
The Sponsor, therefore, will have automatically met his Senior Manager GV requirement for that month.<br />
A Franchise Partner who becomes a new Manager will be eligible for Bonusses and Personal Group<br />
Awards for any GV over 1,000 and in some cases eligible for Franchise Royalties (i.e., when the Downline<br />
of a new Manager also “breaks away” in the same month).<br />
Franchise Royalties: Once a Franchise Partnership reaches the rank of Manager, it is on the way to building<br />
a true <strong>Unicity</strong> Franchise and becomes eligible to earn Franchise Builder Awards based on rank and<br />
qualifications. There are six (6) different ranks that a Manager may obtain in the <strong>Compensation</strong> <strong>Plan</strong>, they<br />
are: Senior Manager, Director, Senior Director, Presidential Sapphire, Presidential Ruby, and Presidential<br />
Diamond.<br />
*Please consider the country specific rule for Easyship! In countries, where<br />
Easyship is currently not available, there are at least 100 PV needed to participate<br />
in the <strong>Compensation</strong> <strong>Plan</strong>.<br />

To achieve these ranks a Manager must develop a Downline beneath him and increase the number of<br />
Legs and the Volume of those Legs. To earn an Award in any Volume Month each rank must have the<br />
following:<br />

E. A Presidential Ruby must have:<br />
At least 100 PV through an Easyship agreement<br />
1,000 GV<br />
5 Legs with each Leg having at least 10,000 OV<br />
F. A Presidential Diamond must have:<br />

For each rank that is achieved a Manager is entitled to a number of “Shares” based on the rank the<br />
Manager has reached. The number of Shares will determine how deeply a Franchise Partner will be<br />
awarded on his Franchise organisation.

Horizontal Compression: A Franchise Partner may achieve Leg OV qualifications for the ranks of<br />
Director through Presidential Diamond by using Horizontal Compression. Horizontal Compression is<br />
<strong>Unicity</strong>’s proprietary process of summing a Franchise Partner’s Leg OV, while excluding the four (4) largest<br />
Legs, to create a single Leg that may be used to qualify for a rank. (For the rank of Director only the<br />
two [2] largest Legs are excluded from Horizontal Compression.) The Franchise Partners own PV will be<br />
included in his horizontal compressed Leg.<br />
President’s Club: Presidential Sapphires, Presidential Rubies, and Presidential Diamonds may qualify<br />
to be members of the <strong>Unicity</strong> President’s Club. Members of the President’s Club may earn additional<br />
Awards, recognition and benefits including eligibility for a Car Bonus and the right to establish an Additional<br />
Franchise Position or “AFP.” To qualify for membership in the President’s Club, a Franchise Partner<br />
must maintain his or her rank for three (3) months in succession. Once a Franchise Partner has earned<br />
membership in the President’s Club, the membership is valid for 12 months. To renew the membership<br />
in the President’s Club, a Franchise Partner must qualify at one of the President’s Club ranks three<br />
months in succession for any 12-month-period.<br />
Additional Franchise Position: Presidential Diamonds who are members of the President’s Club have<br />
the unique and exciting opportunity to create an Additional Franchise Position (“AFP”). This position is a<br />

new Franchise Partnership of the qualifying Franchise Partner that is placed on the Franchise Partner’s<br />
Frontline. The qualifying Franchise Partner may move existing Legs, other than the four (4) largest Legs<br />
measured in terms of OV, under the AFP. The AFP will be paid at the rank of Presidential Diamond provided<br />
the original Franchise Partnership qualifies at the rank of Presidential Diamond. An AFP that qualifies<br />
for membership in the President’s Club as a Presidential Diamond has the right to create yet another Additional<br />
Franchise Position. If a Franchise Partner with an AFP does not qualify as a Presidential Diamond<br />
in a Volume Month, the AFP is considered non-qualified for that Volume Month. Detailed qualification<br />
rules can be found within the Franchise Office on <strong>Unicity</strong>’s website.<br />
Glossary of Terms<br />
A. Active or Active Franchise Partner. A Franchise Partner in good standing who has accumulated a<br />
minimum of 100 Personal Volume (PV) in a Volume Month. A person must be an Active Franchise<br />
Partner to be eligible to earn Awards in the <strong>Compensation</strong> <strong>Plan</strong>.<br />
B. Easyship agreement (automatic delivery). Easyship agreement (or “Easyship”) is a programme in<br />
which products are automatically shipped within certain time frames to Franchise Partners or Customers<br />
pursuant to the terms of an Easyship agreement.<br />
C. Awards. Any gift, award, premium, benefit, payment or incentive given by <strong>Unicity</strong> to a Franchise<br />
Partner pursuant to the <strong>Compensation</strong> <strong>Plan</strong> or some incentive plan of <strong>Unicity</strong>. Awards are based<br />
upon qualifications under the <strong>Compensation</strong> <strong>Plan</strong> or any incentive plan as it may be created from<br />
time to time. Most Awards take the form of “Points” assigned to an account in the name of a Franchise<br />
Partner. Points may be converted to cash payments, sometimes called commissions, bonuses,<br />
credits or the like. Other Awards may include prizes, product, gifts, trips, incentives, and the like.<br />
Cash payment Awards that are not claimed in a timely fashion are converted back into Points, which<br />
are placed on the Franchise Partner’s account.<br />
D. <strong>Compensation</strong> <strong>Plan</strong>. The <strong>Unicity</strong> <strong>Compensation</strong> <strong>Plan</strong> regulates finally all benefits such as Commissions,<br />
Boni or Incentives which a Franchise Partner can receive from <strong>Unicity</strong>.<br />
E. Customer. Customers are consumers, who purchase goods solely for a purpose, which is not commercial<br />
and does not relate to an independent business. This applies to preferred and normal customers.<br />
F. Franchise Partner. An independent contractor (independent dealer or tradesman – also called Independent<br />
Business Partner, Distributor, Independent Business Owner, IBO), who signs the Franchise<br />
Partner Agreement solely for the purpose of doing commercial business and who´s Franchise Partner<br />
Agreement has been accepted by <strong>Unicity</strong>. A Franchise Partner is given the right to own a <strong>Unicity</strong><br />
Franchise Partnership and may also be referred to as a Distributor or in other common terms such as<br />
Associate, Independent Business Owner, IBO, Member or the like; likewise, a Franchise Partner may<br />
be referred to by the name of the rank that the Franchise Partner has reached in the <strong>Compensation</strong><br />
<strong>Plan</strong>, such as Manager, Director, Presidential Sapphire, Presidential Ruby or Presidential Diamond.<br />
Preferred Customers and Retail Customers are not Franchise Partners. Any person who has obtained<br />
through marriage or any other means any beneficial interest or presumption of a beneficial interest

in a <strong>Unicity</strong> Franchise Partnership is a Franchise Partner and is bound by the duties and obligations<br />
of the Contract.<br />
G. Franchise Partnership. The right and licence granted to a Franchise Partner to sell, distribute, and<br />
promote the <strong>Unicity</strong> products and business opportunity under the terms and conditions of the Contract.<br />
H. Downline Organisation or Downline. A “Downline Organisation” consists of all Franchise Partners<br />
who are directly or indirectly sponsored by a Franchise Partner or by Franchise Partners in his or her<br />
Downline.<br />
I. Frontline. A Franchise Partner who is immediately below the Sponsor in the Sponsor’s Downline.<br />
J. Group Volume (GV). The sum of a Franchise Partner’s Personal Volume and the Volume of his or her<br />
Downline who have not yet achieved the rank of Manager down to the next Franchise Partner who<br />
has achieved the rank of Manager (but not including such Manager) during a Volume Month.<br />
K. Horizontal Compression. <strong>Unicity</strong>’s unique system of summing a Franchise Partner’s Leg OV, while<br />
excluding the four largest Legs, to create a single Leg that may be used to qualify for a rank. For the<br />
rank of Director only the two largest Legs are excluded from Horizontal Compression. The Franchise<br />
Partners own PV will be included in his horizontal compressed Leg.<br />
L. Leg. An entire Downline Organisation beginning with a Frontline Franchise Partner.<br />
M. Leg Volume. The total Organisation Volume of a Leg.<br />
N. Level. A position in a Franchise Partner’s Downline based on Sponsorship without compression.<br />
O. Multi-Share Compression. The process in which Shares are awarded to the Upline. The first Share<br />
of an Active Manager’s GV is awarded to the first upline Franchise Partner that is at least a Senior<br />
Manager. The second Share is awarded to the first Franchise Partner above the Senior Manager that<br />
is at least a Director. The third Share is awarded to the first Franchise Partner above the Director that<br />
is at least a Senior Director. The fourth Share is awarded to the Franchise Partner above the Senior<br />
Director that is at least a Presidential Sapphire. The fifth Share is awarded to the Franchise Partner<br />
above the Presidential Sapphire that is at least a Presidential Ruby. The sixth Share is awarded to the<br />
Franchise Partner above the Presidential Ruby that is at least a Presidential Diamond. The GV of a<br />
non-Active (not qualified) Manager is included in the GV of the first Upline Active Manager for Share<br />
calculations.<br />
P. Organisation Volume (OV). The sum total of all Volume in a Franchise Partner‘s organisation, including<br />
the Franchise Partner’s PV and the PV of all his or her Downline Franchise Partners.<br />
Q. Personal Bonus. Awards given to a Franchise Partner based on his or her PV, which is based on the<br />
Franchise Partner’s personal product purchases and product purchases made by his or her Customers.<br />

R. Personal Volume (PV). The Volume accumulated from a Franchise Partner’s <strong>Unicity</strong> product purchases<br />
and the product purchases made by his or her Customer(s) through <strong>Unicity</strong> during a Volume<br />
Month.<br />
S. Preferred Customer (or Premium Customer). An end consumer, who purchases <strong>Unicity</strong> products<br />
from a Franchise Partner or from <strong>Unicity</strong> (see definition E. Customer) and who receives discount<br />
for his or her product purchases when using the Easyship programme (see definition B. Easyship<br />
agreement).<br />
T. Preferred Customer Profit. The difference between the wholesale price and the preferred price<br />
paid by a Preferred Customer on selected products.<br />
U. Preferred Price. Recommended retail price for sales to Preferred Customers.<br />
V. Bonus Programmes. (see Appendix A.1 to A.5)<br />
W. Qualify. To “Qualify” is to earn a given rank, benefit or award under the <strong>Compensation</strong> <strong>Plan</strong> in a<br />
Volume Month while the Franchise Partnership is in good standing.<br />
X. Rank. A qualification title in the <strong>Compensation</strong> <strong>Plan</strong> used to describe the level of recognition or<br />
Awards that a Franchise Partnership has earned. The ranks include: Bronze, Silver, Gold, Manager,<br />
Senior Manager, Director, Senior Director, Presidential Sapphire, Presidential Ruby, and Presidential<br />
Diamond.<br />
Y. Bonus. See “Personal Bonus Award.”<br />
Z. Retail Customer. (see definition E. Customer).<br />
AA. Retail Price. Recommended retail price for retail sales.<br />
BB. Retail Profit. The difference between wholesale price and the retail price paid by a Customer.<br />
CC. Shares. The portion of a Manager’s GV that is paid to qualifying Upline Senior Manager’s and higher.<br />
DD. Sponsor. The first Upline position to a Franchise Partner. To “Sponsor” is to be recognised on the<br />
Franchise Partner Agreement as the Sponsor and/or to have the Franchise Partner placed on the<br />
Sponsor’s Frontline.<br />
EE. Upline. A Franchise Partner’s Sponsor and successive Sponsors of each Upline.<br />
FF. Volume. The value or points assigned to a <strong>Unicity</strong> product and which accrues to a Franchise Partner<br />
upon the purchase of the product by the Franchise Partner or by the Downline pursuant to the<br />
<strong>Compensation</strong> <strong>Plan</strong>.<br />
GG. Volume Month. The period of time used to calculate Awards and ranks under the <strong>Compensation</strong><br />
<strong>Plan</strong>.
